Source text - English DISTRIBUTORSHIP AGREEMENT
This Distributorship Agreement is made by and between:
XXX VAT code XXX, a company incorporated under the laws of Italy, whose registered office is at XXX, Italy (hereinafter referred to as "the Seller"), duly represented by Mr. X in his capacity of CEO and
XXX, VAT code XXX a company incorporated under the laws of Russia whose registered office is at XXX (hereinafter referred to as "the Distributor"), duly represented by Mr. X in his capacity of Chairman.
WHEREAS the Seller manufactures and sells metallic prefabricated modular building solutions units like monoblocks (portable cabins) storage containers and other construction equipment worldwide, throughout a network of selected distributors;
WHEREAS the Distributor has appropriate knowledge and experience and owns adequate facilities for marketing, selling and servicing the Seller's products in the Territory, as herein defined;
WHEREAS the Seller is willing to appoint XXX as its own distributor with the aim to gradually increase its market share in the Territory of Russian Federation, and the Distribution is prepared to accept such appointment;
NOW THEREFORE the Seller and the Distributor agree as follows.

Article 5 - Obligations of the Distributor
5.1 Throughout the duration of this Agreement the Distributor shall properly and faithfully act as distributor of the Products in the Territory, by continuously endeavouring to adequately increase the sales of the Seller's Products in the Territory.
5.2 For such purpose the Distributor:
5.2.1 shall market, advertise and sell the Products in accordance with the marketing, advertising and sales policies issued from time to time by the Seller, and
5.2.2 shall service the customers located in the Territory in accordance with the Seller's warranty and after sales terms and conditions, and
5.2.3 shall maintain adequate premises and sufficient sales staff and personnel to sell, market and service the Products in accordance with the terms of this Agreement and
5.2.4 shall not alter or modify neither the Products and the accessories nor the original packaging of the Products and shall properly store each of them in a way to avoid abnormal wear and tear, and
5.2.5 shall duly comply with any law and statutory regulations existing in the Territory and concerning the importation of the Products and their sale in the Territory.

Настоящий Дистрибьюторский договор заключён между:
XXX Код плательщика НДС XXX, компанией, зарегистрированной в соответствии с законодательством Италии, юридический адрес: XXX, Италия (далее именуемой «Продавец»), в лице X, действующего на основании своих должностных обязанностей Директора предприятия, и
XXX, ИНН XXX, компанией, зарегистрированной в соответствии с законодательством России, юридический адрес: XXX (далее именуемой «Дистрибьютор»), в лице X, действующего на основании своих должностных обязанностей Председателя.
СТОРОНЫ ПРИНИМАЮТ ВО ВНИМАНИЕ, ЧТО Продавец производит и продаёт металлические модульные строения заводского изготовления, такие как моноблоки (жилые вагоны), контейнеры для хранения и другое строительное оборудование по всему миру через сеть выбранных дистрибьюторов;
ЧТО у Дистрибьютора есть достаточные знания и опыт, а также подходящее оборудование для продажи продукции Продавца и обслуживания клиентов на Территории так, как определено настоящим Договором;
ЧТО Продавец желает назначить XXX своим дистрибьютором с целью постепенного увеличения своей доли рынка на Территории Российской Федерации, и Дистрибьютор готов принять такое назначение;
ТАКИМ ОБРАЗОМ, Продавец и Дистрибьютор договариваются о нижеследующем.

Статья 5 - Обязанности Дистрибьютора
5.1 В течение срока действия настоящего Договора Дистрибьютор обязан должным образом действовать в качестве дистрибьютора Продукции на Территории, постоянно стремясь в достаточной мере повышать продажи Продукции Продавца на Территории.
5.2 Для этих целей Дистрибьютор:
5.2.1 обязуется поставлять на рынок, рекламировать и продавать Продукцию в соответствии с политикой маркетинга, рекламы и продаж, при необходимости определяемой Продавцом, и
5.2.2 обязуется оказывать покупателям, находящимся на Территории, услуги в соответствии с гарантией Продавца и условиями продаж, и
5.2.3 обязуется обеспечивать соответствующие помещения и достаточное число сотрудников и специалистов по продажам, чтобы поставлять Продукцию на рынок и оказывать услуги покупателям в соответствии с условиями настоящего Договора, и
5.2.4 обязуется никак не изменять ни Продукцию, ни аксессуары, ни оригинальную упаковку Продукции и обязуется хранить всё это в надлежащих условиях так, чтобы избегать непредусмотренных повреждений и износа, и
5.2.5 обязуется должным образом соблюдать любые законы и законодательные нормы, существующие на Территории и касающиеся импорта Продукции и её продажи на Территории.

to register biologically active supplements (BAS) of our own production in the territory of the Russian Federation.
In order to carry out the above-mentioned activities, the undersigned hereby grants the aforesaid Attorney the following powers:
• to represent us before the various Governmental Bodies in the territory of the Russian Federation, that are carrying activities relating to the registration of biologically active supplements (BAS), for the registration of BAS in the territory of the Russian Federation;
• to carry out negotiations relating to the registration of biologically active supplements (BAS);
• to submit documents (materials) relating to the registration of biologically active supplements (BAS);
• to give explanations, submit any additional documents relating to the registration of biologically active supplements (BAS);
• to pay remuneration for services and state taxes relating to the registration of biologically active supplements (BAS);
• to obtain any necessary documents relating to the registration of biologically active supplements (BAS);
• to certify copies of original documents relating to the registration of biologically active supplements (BAS) with authorized signature and stamp.
The present Power of Attorney shall be valid for one (1) year.
This Power of Attorney is being granted for registration purposes only and no other use of the same is allowed.
The powers granted herein may not be delegated to another person without the grantor's consent.

1. Company formation
Note that copies of the following documents have been made available to the directors:
a) the certificate of Incorporation of the company dated 28th day of June 2012, and
b) a print of the memorandum and articles of association of the company, as registered.
2. Registered office and registered agent
Note that the first registered office of the company is situated at XXX.

3. Directors
