Source text - English 8 Liabilities
8.1 Company shall not be responsible for any loss, damage or costs incurred by the Service Provider, either direct or indirect, through the use or unavailability of Remote Access.
8.2 Any violation of this Agreement may cause irreparable harm to Company. In the event of breach of any material provision of this Agreement, the Service Provider is liable for all direct and indirect loss, damage and costs incurred by Company. However, such penalties shall not be exclusive nor be in derogation to Company’s rights and remedies under law or otherwise.
8.3 In the event of breach of section 3, 5 or 6 or any other material provision of this Agreement, Service Provider is furthermore liable to pay a penalty of [insert amount and currency] in each case. However, such penalties shall not be exclusive nor be in derogation to Company’s rights and remedies under law or otherwise.
8.4 All of Company’s rights and remedies are cumulative and may be exercised separately or concurrently.
9 Commencement
9.1 Remote Access will be made available by Company subsequent to satisfactory evidence being provided by the Service Provider that all provisions of this Agreement have been satisfied.
9.2 The level of evidence required in Clause 9.1 shall be at Company’s discretion, and may be a statement from the Service Provider, or a satisfactory audit outcome as specified in Clause 6.
10 Technical Specification
10.1 The Service Provider shall have Remote Access to Supported Systems using the technical solution as specified in Annex 2 of this Agreement.
10.2 Any modification to the technical solution shall not constitute an amendment to this Agreement and shall come into force as of both parties agreeing the modification of Annex 2 in writing.
11 Management Specification
11.1 The Service Provider shall manage Remote Access to Supported Systems in accordance with the management requirements as specified in Annex 3 of this Agreement.
11.2 Any modification to the management requirements shall not constitute an amendment to this Agreement and shall come into force as of both parties agreeing the modification of Annex 3 in writing.
12 Review
The requirement for continuation of Remote Access will be subject to annual review by Company.
13 Termination
13.1 Company has the right to terminate this Agreement without notice should Company deem it necessary.
13.2 This Agreement will terminate upon termination of any contract which incorporates this Agreement, such as a contract for support and maintenance services.
13.3 Upon termination, the Service Provider shall, within 5 business days, return all equipment provided by Company to facilitate Remote Access, such equipment being documented in Annex 2 of this Agreement. The Service Provider shall also, within 5 business days, return all documents, data, etc., provided by Company in relation to Remote Access.
13.4 In the event of the termination of this Agreement, the Service Provider shall be obliged to return to Company, without delay, all Company’s person-related data held in connection with this Agreement by the Service Provider, and to ensure that it is in a machine-readable form. This will also include data generated for back-up and protocol purposes. A receipt is to be obtained from Company. After this, the Service Provider must delete all such data without delay.
14 Notices
All notices permitted or required under this Agreement shall be in writing and shall be by personal delivery or by certified or registered mail. Notices shall be sent to the addresses above or such other address as either Party may specify in writing.
15 Governing Law and dispute settlement
15.1 This Agreement shall be governed by the laws of [insert country, which shall primarily be the law in the country where the Company party is located. In case of Group contracts or other contracts with Group perspective, the contract must be governed by the substantive law of Sweden, see GI 54].
15.2 Any dispute, controversy or claim arising out of or in connection with this Agreement, or the breach, termination or invalidity thereof shall be finally settled by arbitration in accordance with [insert relevant arbitration arrangements which must be in accordance with GI 54]. The language of the arbitration process shall be [insert language, however English is the preferable language as it facilitates the handling within the Company Group]. The arbitration tribunal shall convene in [insert location]. The arbitral tribunal and the parties shall maintain the confidentiality of the arbitration and the award.
16 Other Provisions
16.1 The invalidity, in whole or in part, of any of the clauses of this Agreement, shall not affect the validity of any of the other clauses thereof.
16.2 Changes or amendments to this Agreement and any supplementary stipulations, including the written form requirement set forth in this clause, must be in writing.
17 Signatures
This Agreement is executed in two identical copies, each of which shall be deemed an original.

8.1 Das Unternehmen ist nicht verantwortlich für Verluste, Schäden oder Kosten, die vom
Service Provider (direkt oder indirekt) durch die Nutzung oder Nichtverfügbarkeit des Remote-Zugriffs verursacht werden.
8.2 Jedwede Verletzung der vorliegenden Vereinbarung, ist dazu geeignet dem Unternehmen in
irreparabler Weise zu schaden. Im Falle der Verletzung einer wesentlichen Bestimmung dieser Vereinbarung, haftet der Service Provider für alle dem Unternehmen dadurch entstehenden direkten oder indirekten Verluste, Schäden oder Kosten. Die mit der Verletzung der Vereinbarung verbundenen Strafzahlungen schließen gesetzliche Ansprüche des Unternehmens oder etwaige Rechtsmittel jedoch nicht aus.
8.3 Im Falle einer Verletzung der in den Abschnitten 3, 5 und 6 genannten Regelungen oder der Verletzung einer anderen wesentlichen Regelung dieser Vereinbarung, ist der Service Provider darüber hinaus auch verpflichtet, dem Unternehmen für jede einzelne Verletzung eine Strafe in Höhe von [Betrag eintragen] zu zahlen. Die mit der Verletzung verbundene Strafzahlung schließt gesetzliche Ansprüche des Unternehmens oder etwaige Rechtsmittel jedoch nicht aus.
8.4 Die dem Unternehmen zustehenden Rechte und Rechtsmittel gelten kumulativ und können getrennt oder gemeinsam ausgeübt werden.
9 Vertragsbeginn
9.1 Der Remote-Zugriff wird vom Unternehmen freigeschaltet, sobald der Service-Provider hinreichend nachgewiesen hat, dass er allen Bestimmungen der Vereinbarung nachgekommen ist.
9.2. Die Anforderungen an den in Punkt 9.1 erforderlichen Nachweis stehen im Ermessen des Unternehmens. Der Nachweispflicht kann in Form einer Erklärung seitens des Service Providers nachgekommen werden oder in Form einer erfolgreichen Überprüfung (siehe Abschnitt 6).
10 Technische Spezifikation
10.1 Der Service Provider erhält einen Remote-Zugriff für alle unterstützten Systeme, welche die in Annex 2 des Vertrages aufgeführte technische Lösung verwenden.
10.2 Jedwede Veränderung der technischen Lösung hat nicht automatisch die Änderung der vorliegenden Vereinbarung zur Folge. Eine solche ist nur möglich, wenn beide Vertragsparteien einer Änderung des Anhang 2 schriftlich zustimmen.
11 Verwaltung
11.1 Der Service Provider verwaltet den Remote-Zugriff der unterstützten Systeme in Übereinstimmung mit den in Annex 3 des Vertrages niedergelegten Anforderungen an das Management.
11.2 Jedwede Veränderung der Anforderungen an das Management hat nicht automatisch die Änderung dieser Vereinbarung zur Folge. Eine solche ist nur möglich, wenn beide Vertragsparteien einer Änderung des Annex 3 schriftlich zustimmen.
12 Überprüfung
Jährlich findet eine Überprüfung hinsichtlich der Erforderlichkeit einer Verlängerung des Remote-Zugriffs statt.
13 Vertragsende
13.1 Das Unternehmen hat das Recht diese Vereinbarung ohne vorherige Ankündigung zu beenden, sofern es dies für erforderlich hält.
13.2 Diese Vereinbarung endet mit dem Ablauf eines jeden Vertrages, welcher diese Vereinbarung beinhaltet, wie beispielsweise der Vertrag über die Support- und Wartungsdienstleistungen.
13.3 Bei Beendigung hat der Service Provider innerhalb von 5 Werktagen die gesamte in Annex 2 der Vereinbarung aufgeführte Ausrüstung, die ihm vom Unternehmen für den Remote-Zugriff zur Verfügung gestellt wurde, zurückzugeben. Der Service Provider ist überdies auch dazu verpflichtet, innerhalb von 5 Werktagen alle Dokumente, Daten usw., welche ihm von dem Unternehmen zum Zwecke des Remote-Zugriffs zur Verfügung gestellt wurden, zurückzugeben.
13.4 Im Fall der Beendigung dieser Vereinbarung, ist der Service Provider dazu verpflichtet, dem Unternehmen unverzüglich alle personenbezogenen Daten des Unternehmens, welche mit der Vereinbarung in Zusammenhang stehen und sich im Herrschaftsbereich des Service Providers befinden, zurückzugeben, gewährleistend, dass die Daten maschinenlesbar sind. Die Verpflichtung betrifft auch Daten, die zu Back-up – oder Protokollzwecken erstellt wurden. Eine Bestätigung über den Erhalt des Materials und der Daten wird von dem Unternehmen ausgestellt. Sodann ist der Service Provider verpflichtet alle Daten unverzüglich zu löschen.
14 Mitteilungen
Alle Mitteilungen, die im Rahmen dieses Vertrages zugelassen oder erforderlich sind, erfordern der Schriftform und müssen entweder persönlich oder per Einschreiben oder Übergabeeinschreiben übermittelt werden. Mitteilungen sind an die oben stehenden Adressen zu richten oder an solche, welche jede Partei schriftlich dafür festlegt.
15 Geltendes Recht und Gerichtsstand
15.1 Auf den Vertrag findet [einfügen, welches Landesrecht anwendbar ist, vorzugsweise jenes des Landes, in welchem das Unternehmen niedergelassen ist. Sollte es sich um einen Gruppenvertrag handeln oder einen Vertrag, der sich zu einem solchen entwickeln könnte, ist zwingend schwedisches Recht zu wählen (siehe GI 54)] Recht Anwendung.
