Source text - English This Agency and Services Agreement (“this Agreement”) is made by and between
XXXX (the “Agent”), incorporated and existing pursuant to the laws of Bermuda, and
YYYY (the “Client”), incorporated and existing pursuant to the laws of BVI.
For the purposes of this Agreement the Client and the Agent are each also hereinafter referred to as a Party, and collectively - the Parties.
Now, therefore, the Parties hereby have agreed as follows:
1. DEFINITIONS
The following terms shall be used in this Agreement with the following meanings:
1.1. “Accrued Interest” shall mean the coupon interest or other income accrued on the Securities calculated by the Agent and to be added to the Price based on the total face value of the Securities, the applicable coupon interest and the number of calendar days form the beginning of the current coupon period to the Delivery Date. For all transactions which require payment of the Accrued Interest, the decimals of one cent equal to or exceeding five thousandth shall be accepted as equal to one cent, and the decimals of one cent less than five thousandth, shall be discarded in accordance with the accepted rules of rounding up the decimals, for example:

1.2. “Affiliate” shall mean in relation to any Person, any entity Controlled, directly or indirectly, by the Person, any entity that Controls, directly or indirectly, the Person, or any entity directly or indirectly under common Control with the Person.
1.3. “Authorized Person(s) of the Client” or “Authorized Person(s) of the Agent” or “Authorized Person(s)”
shall mean (i) any officer, employee, manager or agent of either Party as has been authorized by notice in writing to the other Party to act on behalf of the first Party in performance of any acts, elections or obligations under this Agreement, or (ii) any other person, firm or company holding a duly executed power of attorney from either Party which is in a form acceptable to the ether Party.
1.4. “Business Day” shall mean a day (other than Saturday or Sunday) on which commercial banks and stock exchanges are open for business in the City of New York, USA and the City of London, United Kingdom.
1.5. “Client” shall mean the Client and no other Person, unless otherwise agreed by the Parties. The Agent shall treat the Client as principal.
1.6. “Control” shall mean direct or indirect possession of power by means of ownership of a majority of the voting stock of an Affiliate or otherwise, directly or indirectly, to appoint a majority or controlling number of directors or similar members of management of an Affiliate or otherwise to stipulate, direct or manage the policies and activities of the management of an Affiliate.
1.7. “Currency” shall mean freely convertible, readily available and freely transferable US Dollars, Euro, GB Pounds and Russian Roubles. The Agent may expand the number of Currencies by sending an appropriate notification to the Client.
1.8. “Currency of Instrument” shall mean for the purpose of any Instruction in respect of Agency Services the Currency in which the Securities specified in the relevant Trade Confirmation are traded on the relevant stock exchange, trading system, or over-the-counter market through which such Securities are to be purchased, sold, or otherwise transferred, or redeemed by the Agent. In case Securities are traded in different Currencies or in currency which is not operated by the Agent, then the Currency of Instrument shall be determined by the Agent in its sole discretion.
1.9. “Delivery Date” shall mean a Business Day on which either Party shall transfer the Securities to the Account, unless otherwise agreed by the Parties.
1.10. “Euro” shall mean the official currency of the member states of the European Union that adopt a single currency in accordance with the Treaty establishing the European Communities, as amended by the Treaty on the European Union.
1.11. “Exchange Rate” shall mean the rate at which one Currency is exchanged for another. Depending on the purposes of calculating the Exchange Rate and unless otherwise provided in this Agreement, the Parties hereby agree that:
(a) in order to carry out calculations under a transaction executed hereunder the Exchange Rate agreed upon
by the Parties on the Trade Date shall apply;
(b) in order to carry out calculations as required to pay/withhold fees due to the Agent as well as for any other calculations as may be required pursuant to the terms and conditions hereof, the official cross rates for the exchanged Currencies established by the Central Bank of the Russian Federation on the date of such calculations shall apply.
For the avoidance of doubt, all calculations hereunder shall be made by the Agent.
1.12. “Financing Cost” shall mean the cost of the Agent’s funds to be used by the Agent to finance transactions initiated by the Agent pursuant to the Instructions. The Financing Cost shall be equivalent to twenty percent (20%) per annum, unless the Parties otherwise agree. The Agent shall have the right to change the aforementioned rate, provided that such change shall be made on reasonable basis and with a 10 (ten) Business Days prior notification to the Client. Any change in the rate of the Financing Cost shall be deemed accepted by the Client if a notification to the contrary is not received by the Agent from the Client within the time period set forth above.
1.13. “Funds” shall mean the Client’s money, which; (i) have been transferred by the Client to the bank account of the Agent for purposes of carrying out the settlements under a transaction executed pursuant to the terms and conditions herein; and/or (ii) have been received as a result of an appropriate transaction or as distributions on Securities hold by the Agent for the Client; and/or (iii) provided by the Agent to the Client as set forth in p. 4.1 hereof.
The Funds are to be held by the Agent and accounted in the Account. The amount of such Funds shall be stated by the Agent in the appropriate Statement. The Client may transfer additional Funds to the Account or withdraw the Funds from the Account pursuant to the terms and conditions specified in Section 4 of this Agreement. The Client hereby authorizes the Agent to use such Funds in its discretion in order to effect this Agreement and appropriate Instructions.
1.14. “GB Pounds” or “GBP” shall mean the official currency of the United Kingdom of Great Britain and Northern Ireland.
1.15. “Initial Amount” shall mean the amount of Funds in a particular Currency determined by the Client for the Currency exchange transaction.
1.16. “Instructions” shall mean instructions from any Authorized Person of the Client with respect to the Services received by the Agent, provided that:
(a) For the Agency Services, Instructions may be given orally or in writing and shall at a minimum include particular Material Terms as well as other relevant additional terms, if any;
(b) For the Custodian Services, Instructions shall be given in writing in the form attached hereto:
(i) as Appendix # 3 for the Instruction to credit the Account when the Client transfers, or causes any other party to transfer, Securities in the Account, or for the Instructions to debit the Account when the Agent delivers out Securities from the Account (other than pursuant to a transaction executed hereunder);
(ii) as Appendix # 4 for the Instructions to debit the Account when the Agent transfers out Funds from the Account (other than pursuant to a transaction executed hereunder); and
(iii) as Appendix # 5 for the Instruction to open a sub-account as set forth in p. 1.17 of this Agreement;
(c) For any Securities purchase or sale transactions Instruction shall specify the Currency in which the Payment Amount shall be credited or debited to the Account (as the case may be). Unless otherwise specified by the Client, the default Currency of Payment Amount for Securities purchase or sale transactions shall be the Currency of Instrument;
(d) Instructions shall be provided and carried out subject to the Laws;
(e) Unless otherwise agreed by the Parties, the Agent shall not perform any Instructions within the period when the register of particular Securities is closed for the purpose of payment of coupon interest or for any other reason; and
(f) The Agent shall not be required to perform any Instructions in the event such performance is prohibited, restricted or otherwise limited by the Laws and regulations applicable at the relevant securities market(s) and/or the Agent’s internal compliance procedures, as well as in the event the performance of any Instruction of the Client may, in the Agent’s sole opinion, infringe the Agent’s rights and/or interests in any form or manner. The Agent shall promptly notify the Client about such prohibitions, restrictions or limitations, but shall in no event be required to give any written or oral explanations as to the nature of and the reasons for such non-performance of the Client's Instruction as far as the Agent’s rights and interests are concerned. The Parties shall decide on subsequent steps to be taken with respect to such Instructions. The Agent shall not be liable for any damages incurred by the Client in the event the Agent fails to perform Instructions due to limitations arising from the Laws and such regulations or otherwise as set forth herein above.
1.17. “Investment (Brokerage) Account” or “the Account” shall mean an internal account or several accounts (including sub-accounts) to be opened and maintained by the Agent for the Client in respect of the Funds and Securities, and which shall include, without limitations, the relevant information about the Client, Issuer, type of the Securities, total nominal value (or number, if nominal value is not applicable), issuance number and date, series of the Securities and the amount of Funds in a particular Currency.
Except for the cases when Investment Brokerage Account is opened under another agreement executed by the Parties, the Agent shall open Investment Brokerage Account within seven (7) Business Days following the date of this Agreement and subject to receipt by the Agent from the Client of the required documents specified in the Account Opening Application. The main Currency of the Account shall be US Dollars, provided, however, that the Account may comprise certain sub-accounts to account Funds in Currency other than USD. Such sub-accounts shall be opened by the Agent upon receipt of the relevant Instruction from the Client.
1.18. “Issuer” shall mean any Person duly organized and validly existing under the laws of its jurisdiction, which has issued the Securities.
1.19. “Laws” shall mean the applicable laws, governing the performance of any activities contemplated herein by the Agent or its designated agents, brokers/dealers, custodians or nominees.
1.20. “Material Terms” shall mean the terms of the Trade Confirmation and any applicable transaction agreed upon by the Parties as the result of receipt by the Agent of Instructions from the Client on the Trade Date. At a minimum, the Material Terms shall include the following items:

Total Nominal Value and/or Quantity of the
Securities (whichever is applicable);
Currency, if other than Currency of Instrument;
Exchange Rate.
1.21. “Method of Valuation” shall mean the method of determining the value of the Securities. For the purposes of this Agreement, the Method of Valuation shall consist of a commercially reasonable estimation undertaken independently by the Agent and shall reflect the price at which the Agent determines it may sell Securities in accordance with the terms of this Agreement. Such price shall be determined at the bid for long positions and the ask for short positions at the end of the trading period during which the Method of Valuation is required.
1.22. “Nominal Value” shall mean the aggregate par value of Securities.
1.23. “Payment Amount” shall mean the amount to be paid by one Party to the other pursuant to the provisions of this Agreement, including the Agent’s fees. In respect of the Securities with a coupon interest, the Payment Amount shall also include the Accrued Interest accumulated on such Securities as of the Trade Date.
1.24. “Person” shall mean any individual, partnership, bank, joint venture, firm, corporation, company, association, trust or other legal entity or any government or political subdivision or any agency, department or instrumentality thereof.
1.25. “Price” shall mean the price for the Securities in a Currency of Instrument or in percentage of their total Nominal Value on the relevant stock exchange, trading system, or over-the-counter market through which the Securities are to be purchased, or sold, or otherwise transferred, or redeemed. The Price of the Securities shall be determined in an applicable Trade Confirmation.
1.26. “Russian Roubles” or “RUR” shall mean the official currency of the Russian Federation.
1.27. “Schedule” shall mean the list of the Services, specified in Appendix # 6 to this Agreement.
1.28. “Securities” shall mean any notes, stocks, treasury stocks, bonds, debentures, evidences of indebtedness, certificates of interest or participation in any profit-sharing agreement, collateral trust certificates, transferable shares, investment contracts, certificates of deposit for a security, any put, call, straddle, options, or privilege on any securities, certificate of deposit, or group or index of securities, or any put, call, straddle, options, or privilege entered into on a national securities exchange relating to foreign currency and other as may be defined so according to the Laws, and shall include certificates and extracts from applicable depository institutions, evidencing the title thereto.
The Securities shall constitute those being in the process of their original distribution or which have been already issued and registered under the Laws and are traded in organized stock exchanges and palaces through a local broker/dealer or otherwise.
1.29. “Services” shall mean the services provided for by the Agent to the Client in accordance with this Agreement. The charges for the Services may be amended by the Agent by providing the Client with thirty (30) days’ prior written notice.
1.30. “Trade Confirmation” shall evidence a binding oral Instruction from the Client to the Agent relating to the purchase or sale of Securities or Currency exchange transaction provided that:
(a) if for the purpose of purchase or sale transaction, a Trade Confirmation shall (i) be completed by the Agent substantially in the form of Appendix # 1 to this Agreement (except to the extent otherwise agreed by the Parties or required by the Laws); (ii) contain terms, including all respective Material Terms, agreed upon by the Parties, and (iii) refer to this Agreement. By agreement of the Parties, the Trade Confirmation may also evidence the transfer of ownership rights from one Party to the other Party in respect of the Securities;
(b) if for the purpose of a Currency exchange transaction, a Trade Confirmation shall (i) be completed by the
Agent substantially in the form of Appendix # 2 to this Agreement (except to the extent otherwise agreed by the Parties or required by the Laws); (ii) contain terms, including all respective Material Terms, agreed upon by the Parties, and (iii) refer to this Agreement
In the event of any inconsistency between the provisions of the Trade Confirmation and the provisions of this Agreement, the provisions of the Trade Confirmation shall prevail.
1.31. “Trade Date” shall mean any Business Day on which all applicable Material Terms have been agreed upon by the Parties.
1.32. “US Dollar” or “USD” shall mean the official currency of the United States of America.
1.33. “Value Date” shall mean a Business Day on which the Payment Amount shall be transferred by one Party to the other Party, unless otherwise agreed by the Parties.
2. SUBJECT OF THE AGREEMENT
Subject
2.1. The Client hereby retains the Agent to provide the Client with Services pursuant to the terms and provisions of this Agreement and agrees to pay the Agent its fees in accordance with the provisions of this Agreement, and the Agent agrees to provide the Client with the Services.
Agency Services
2.2. In accordance with the Instructions, the Agent shall use its commercially reasonable efforts to:
(a) purchase the Securities identified by the Client in its Instructions from third Persons;
(b) conduct registration of the Securities acquired hereunder pursuant to the terms of Sections 7 and 8 of this Agreement;
(c) sell or otherwise transfer the Securities to a third Person, subject to prior agreement between the Parties and the Client’s Instructions;
(d) conduct Currency exchange transactions.
2.3. In addition to the Agency Services specified in p. 2.2 above and subject to express consent of the Agent, the Agent may, but not obliged, to perform the Client’s Instruction to purchase the Securities in the process of their original distribution or present the Securities to the Issuer (any issue guarantor or other Person) in case the Issuer (any issue guarantor or other Person) makes a public offer to buy-back (repurchase) such Securities.
The terms and procedures for executing and settling of such Instruction shall be agreed by the Parties in each particular case.
Custodian Services
2.4. Pursuant to the relevant Instruction, the Agent shall provide the Client with the Custodian Services specified in the applicable parts of the Schedule, if any.
2.5. The Client agrees to pay the Agent for the Custodian Services in accordance with the charges set forth in the relevant parts of the Schedule, pursuant to the provisions of Section 5 of this Agreement.
2.6. The Custodian Services shall be performed in accordance with the provisions of Section 3 of this Agreement.
3. EXECUTION PROCEDURES
General Principles
3.1. Except as expressly provided for in this Agreement, the terms and procedures for executing and settling transactions pursuant to applicable Trade Confirmations and for performing other Instructions of the Client shall be agreed upon by the Parties.
3.2. The Agent shall make appropriate entries in respect of the Account, evidencing execution by the Agent of the Instructions, and perform such other actions, specified in the Schedule or stipulated in additional agreements between the Parties.
3.3. The Agent shall, at its sole discretion, determine the counterparty to any applicable transaction it executes pursuant to the Instructions, and shall not be required by the Client to execute a transaction with a particular Person selected by the Client unless otherwise agreed by the Parties.
3.4. The Agent shall enter into applicable transactions with third Persons in its own name.
Entering into Transactions
3.6. In order to execute a transaction the Parties shall agree upon all Material Terms thereof. Besides those described in p. 1.20 above the Material Terms may also include certain terms and conditions, that the Parties may, in their reasonable opinion, treat as Material Terms for the purposes of the particular transaction.
3.7. Any particular transaction shall be deemed entered into between the Parties when their Authorized Persons agree verbally by phone on the Material Terms thereof.
3.8. The Parties agree that each of them is entitled to provide for automatic tape recording of all telephone conversations and negotiations between the Parties with respect to the terms of a certain transaction and the procedure for issuing and performing the respective Instructions and orders, and such recordings will not be accompanied by any audible tone indicating that such recording is in progress. The Parties shall be entitled to subsequently refer to such tape recordings as a justified proof of their actions, fact of execution of the transaction and receipt of the Instruction. The Client hereby agrees not to object to automatic tape recording of telephone conversations in the course of which an Authorised Person of the Client and Authorised Person of the Agent make a transaction or agree on conditions, term and procedure for providing a Service to the Client.
The Client agrees that, should a dispute arise between the Parties, concerning, in particular, the fact of execution of the transaction and of agreement on all Material Terms, which, as described above, determines the availability of the Client’s verbal Instruction to the Agent, the tape recording of the corresponding telephone conversation between the Authorised Person of the Client and Authorised Person of the Agent shall be reasonable and sufficient confirmation of the Parties’ positions on the point of the dispute. Herewith, the Parties agree that neither Party shall object to or otherwise impede the use of such tape recording for further examination of the dispute by any arbitration court, as an objective proof of the Parties’ positions in such dispute or controversy.
Signing Trade Confirmations
3.9. Not later than the next Business Day following the Trade Date, the Agent shall prepare and deliver to the Client or instruct its appointee to prepare and deliver to the Client an appropriate Trade Confirmation in accordance with p. 16.1 of this Agreement.
3.10. On the next Business Day following receipt from the Agent or its appointee of an appropriate Trade Confirmation, such Trade Confirmation shall be signed by the Authorized Person of the Client and returned to the Agent or its appointee in accordance with p. 16.1 of this Agreement.
Without prejudice to the provisions of the preceding paragraphs, the receipt by the Client of the Trade Confirmation as well as crediting by the Agent of the Client’s Investment Brokerage Account for the relevant amount of Securities or Funds, as set forth in Section 4 below, shall be deemed to be the full and proper performance by the Agent of its obligations hereunder.

(i) as Appendix # 3 for the Instruction to credit the Account when the Client transfers, or causes any other party to transfer, Securities in the Account, or for the Instructions to debit the Account when the Agent delivers out Securities from the Account (other than pursuant to a transaction executed hereunder);
(ii) as Appendix # 4 for the Instructions to debit the Account when the Agent transfers out Funds from the Account (other than pursuant to a transaction executed hereunder); and
(iii) as Appendix # 5 for the Instruction to open a sub-account as set forth in p. 1.17 of this Agreement;
(c) For any Securities purchase or sale transactions Instruction shall specify the Currency in which the Payment Amount shall be credited or debited to the Account (as the case may be). Unless otherwise specified by the Client, the default Currency of Payment Amount for Securities purchase or sale transactions shall be the Currency of Instrument;
(d) Instructions shall be provided and carried out subject to the Laws;
(e) Unless otherwise agreed by the Parties, the Agent shall not perform any Instructions within the period when the register of particular Securities is closed for the purpose of payment of coupon interest or for any other reason; and
(f) The Agent shall not be required to perform any Instructions in the event such performance is prohibited, restricted or otherwise limited by the Laws and regulations applicable at the relevant securities market(s) and/or the Agent’s internal compliance procedures, as well as in the event the performance of any Instruction of the Client may, in the Agent’s sole opinion, infringe the Agent’s rights and/or interests in any form or manner. The Agent shall promptly notify the Client about such prohibitions, restrictions or limitations, but shall in no event be required to give any written or oral explanations as to the nature of and the reasons for such non-performance of the Client's Instruction as far as the Agent’s rights and interests are concerned. The Parties shall decide on subsequent steps to be taken with respect to such Instructions. The Agent shall not be liable for any damages incurred by the Client in the event the Agent fails to perform Instructions due to limitations arising from the Laws and such regulations or otherwise as set forth herein above.
1.17. “Investment (Brokerage) Account” or “the Account” shall mean an internal account or several accounts (including sub-accounts) to be opened and maintained by the Agent for the Client in respect of the Funds and Securities, and which shall include, without limitations, the relevant information about the Client, Issuer, type of the Securities, total nominal value (or number, if nominal value is not applicable), issuance number and date, series of the Securities and the amount of Funds in a particular Currency.
Except for the cases when Investment Brokerage Account is opened under another agreement executed by the Parties, the Agent shall open Investment Brokerage Account within seven (7) Business Days following the date of this Agreement and subject to receipt by the Agent from the Client of the required documents specified in the Account Opening Application. The main Currency of the Account shall be US Dollars, provided, however, that the Account may comprise certain sub-accounts to account Funds in Currency other than USD. Such sub-accounts shall be opened by the Agent upon receipt of the relevant Instruction from the Client.
1.18. “Issuer” shall mean any Person duly organized and validly existing under the laws of its jurisdiction, which has issued the Securities.
1.19. “Laws” shall mean the applicable laws, governing the performance of any activities contemplated herein by the Agent or its designated agents, brokers/dealers, custodians or nominees.
1.20. “Material Terms” shall mean the terms of the Trade Confirmation and any applicable transaction agreed upon by the Parties as the result of receipt by the Agent of Instructions from the Client on the Trade Date. At a minimum, the Material Terms shall include the following items:

1.21. “Method of Valuation” shall mean the method of determining the value of the Securities. For the purposes of this Agreement, the Method of Valuation shall consist of a commercially reasonable estimation undertaken independently by the Agent and shall reflect the price at which the Agent determines it may sell Securities in accordance with the terms of this Agreement. Such price shall be determined at the bid for long positions and the ask for short positions at the end of the trading period during which the Method of Valuation is required.
1.22. “Nominal Value” shall mean the aggregate par value of Securities.
1.23. “Payment Amount” shall mean the amount to be paid by one Party to the other pursuant to the provisions of this Agreement, including the Agent’s fees. In respect of the Securities with a coupon interest, the Payment Amount shall also include the Accrued Interest accumulated on such Securities as of the Trade Date.
1.24. “Person” shall mean any individual, partnership, bank, joint venture, firm, corporation, company, association, trust or other legal entity or any government or political subdivision or any agency, department or instrumentality thereof.
1.25. “Price” shall mean the price for the Securities in a Currency of Instrument or in percentage of their total Nominal Value on the relevant stock exchange, trading system, or over-the-counter market through which the Securities are to be purchased, or sold, or otherwise transferred, or redeemed. The Price of the Securities shall be determined in an applicable Trade Confirmation.
1.26. “Russian Roubles” or “RUR” shall mean the official currency of the Russian Federation.
1.27. “Schedule” shall mean the list of the Services, specified in Appendix # 6 to this Agreement.
1.28. “Securities” shall mean any notes, stocks, treasury stocks, bonds, debentures, evidences of indebtedness, certificates of interest or participation in any profit-sharing agreement, collateral trust certificates, transferable shares, investment contracts, certificates of deposit for a security, any put, call, straddle, options, or privilege on any securities, certificate of deposit, or group or index of securities, or any put, call, straddle, options, or privilege entered into on a national securities exchange relating to foreign currency and other as may be defined so according to the Laws, and shall include certificates and extracts from applicable depository institutions, evidencing the title thereto.
The Securities shall constitute those being in the process of their original distribution or which have been already issued and registered under the Laws and are traded in organized stock exchanges and palaces through a local broker/dealer or otherwise.
1.29. “Services” shall mean the services provided for by the Agent to the Client in accordance with this Agreement. The charges for the Services may be amended by the Agent by providing the Client with thirty (30) days’ prior written notice.
1.30. “Trade Confirmation” shall evidence a binding oral Instruction from the Client to the Agent relating to the purchase or sale of Securities or Currency exchange transaction provided that:
(a) if for the purpose of purchase or sale transaction, a Trade Confirmation shall (i) be completed by the Agent substantially in the form of Appendix # 1 to this Agreement (except to the extent otherwise agreed by the Parties or required by the Laws); (ii) contain terms, including all respective Material Terms, agreed upon by the Parties, and (iii) refer to this Agreement. By agreement of the Parties, the Trade Confirmation may also evidence the transfer of ownership rights from one Party to the other Party in respect of the Securities;
(b) if for the purpose of a Currency exchange transaction, a Trade Confirmation shall (i) be completed by the
Agent substantially in the form of Appendix # 2 to this Agreement (except to the extent otherwise agreed by the Parties or required by the Laws); (ii) contain terms, including all respective Material Terms, agreed upon by the Parties, and (iii) refer to this Agreement
In the event of any inconsistency between the provisions of the Trade Confirmation and the provisions of this Agreement, the provisions of the Trade Confirmation shall prevail.
1.31. “Trade Date” shall mean any Business Day on which all applicable Material Terms have been agreed upon by the Parties.
1.32. “US Dollar” or “USD” shall mean the official currency of the United States of America.
1.33. “Value Date” shall mean a Business Day on which the Payment Amount shall be transferred by one Party to the other Party, unless otherwise agreed by the Parties.
2. SUBJECT OF THE AGREEMENT
Subject
2.1. The Client hereby retains the Agent to provide the Client with Services pursuant to the terms and provisions of this Agreement and agrees to pay the Agent its fees in accordance with the provisions of this Agreement, and the Agent agrees to provide the Client with the Services.
Agency Services
2.2. In accordance with the Instructions, the Agent shall use its commercially reasonable efforts to:
(a) purchase the Securities identified by the Client in its Instructions from third Persons;
(b) conduct registration of the Securities acquired hereunder pursuant to the terms of Sections 7 and 8 of this Agreement;
(c) sell or otherwise transfer the Securities to a third Person, subject to prior agreement between the Parties and the Client’s Instructions;
(d) conduct Currency exchange transactions.
2.3. In addition to the Agency Services specified in p. 2.2 above and subject to express consent of the Agent, the Agent may, but not obliged, to perform the Client’s Instruction to purchase the Securities in the process of their original distribution or present the Securities to the Issuer (any issue guarantor or other Person) in case the Issuer (any issue guarantor or other Person) makes a public offer to buy-back (repurchase) such Securities.
The terms and procedures for executing and settling of such Instruction shall be agreed by the Parties in each particular case.
Custodian Services
2.4. Pursuant to the relevant Instruction, the Agent shall provide the Client with the Custodian Services specified in the applicable parts of the Schedule, if any.
2.5. The Client agrees to pay the Agent for the Custodian Services in accordance with the charges set forth in the relevant parts of the Schedule, pursuant to the provisions of Section 5 of this Agreement.
2.6. The Custodian Services shall be performed in accordance with the provisions of Section 3 of this Agreement.
3. EXECUTION PROCEDURES
General Principles
3.1. Except as expressly provided for in this Agreement, the terms and procedures for executing and settling transactions pursuant to applicable Trade Confirmations and for performing other Instructions of the Client shall be agreed upon by the Parties.
3.2. The Agent shall make appropriate entries in respect of the Account, evidencing execution by the Agent of the Instructions, and perform such other actions, specified in the Schedule or stipulated in additional agreements between the Parties.
3.3. The Agent shall, at its sole discretion, determine the counterparty to any applicable transaction it executes pursuant to the Instructions, and shall not be required by the Client to execute a transaction with a particular Person selected by the Client unless otherwise agreed by the Parties.
3.4. The Agent shall enter into applicable transactions with third Persons in its own name.
Entering into Transactions
3.6. In order to execute a transaction the Parties shall agree upon all Material Terms thereof. Besides those described in p. 1.20 above the Material Terms may also include certain terms and conditions, that the Parties may, in their reasonable opinion, treat as Material Terms for the purposes of the particular transaction.
3.7. Any particular transaction shall be deemed entered into between the Parties when their Authorized Persons agree verbally by phone on the Material Terms thereof.
3.8. The Parties agree that each of them is entitled to provide for automatic tape recording of all telephone conversations and negotiations between the Parties with respect to the terms of a certain transaction and the procedure for issuing and performing the respective Instructions and orders, and such recordings will not be accompanied by any audible tone indicating that such recording is in progress. The Parties shall be entitled to subsequently refer to such tape recordings as a justified proof of their actions, fact of execution of the transaction and receipt of the Instruction. The Client hereby agrees not to object to automatic tape recording of telephone conversations in the course of which an Authorised Person of the Client and Authorised Person of the Agent make a transaction or agree on conditions, term and procedure for providing a Service to the Client.
The Client agrees that, should a dispute arise between the Parties, concerning, in particular, the fact of execution of the transaction and of agreement on all Material Terms, which, as described above, determines the availability of the Client’s verbal Instruction to the Agent, the tape recording of the corresponding telephone conversation between the Authorised Person of the Client and Authorised Person of the Agent shall be reasonable and sufficient confirmation of the Parties’ positions on the point of the dispute. Herewith, the Parties agree that neither Party shall object to or otherwise impede the use of such tape recording for further examination of the dispute by any arbitration court, as an objective proof of the Parties’ positions in such dispute or controversy.
Signing Trade Confirmations
3.9. Not later than the next Business Day following the Trade Date, the Agent shall prepare and deliver to the Client or instruct its appointee to prepare and deliver to the Client an appropriate Trade Confirmation in accordance with p. 16.1 of this Agreement.
3.10. On the next Business Day following receipt from the Agent or its appointee of an appropriate Trade Confirmation, such Trade Confirmation shall be signed by the Authorized Person of the Client and returned to the Agent or its appointee in accordance with p. 16.1 of this Agreement.
Without prejudice to the provisions of the preceding paragraphs, the receipt by the Client of the Trade Confirmation as well as crediting by the Agent of the Client’s Investment Brokerage Account for the relevant amount of Securities or Funds, as set forth in Section 4 below, shall be deemed to be the full and proper performance by the Agent of its obligations hereunder.

«Счет расчетов в денежных средствах» означает процентный счет денежных средств на имя Эмитента, открытый для целей расчетов в денежных средствах в соответствии с пунктами «Право совместной продажи», «Погашение по требованию Держателей облигаций», «Погашение по наступлении срока погашения», «Расчеты в денежных средствах» и «Выплата возмещения за досрочное погашение».
«Договор о выкупе Компанией» означает договор между Эмитентом и Компанией, согласно которому Компания обязуется при погашении Облигаций выкупить одну третью пропорциональной доли Биржевого имущества по соответствующим Облигациям в соответствующую дату погашения в обмен на встречное удовлетворение в долларах США, равное одной третьей совокупной стоимости погашения таких Облигаций.
«Договор о выкупе VMHY » означает договор между Эмитентом и VMHY, согласно которому VMHY обязуется при погашении Облигаций выкупить две третьих пропорциональной доли Биржевого имущества по соответствующим Облигациям в соответствующую дату погашения в обмен на встречное удовлетворение в долларах США, равное двух третьих совокупной стоимости погашения таких Облигаций.
«Договор об обеспечении VMHY» означает договор первоочередного залога (регулируемый законодательством Британских Виргинских Островов) [•] принадлежащих VMHY Акций (далее - «Заложенные акции»), представляющих 6% от общего количества размещенных акций Компании, в обеспечение исполнения VMHY своих обязательств по Договору о выкупе VMHY. Любые распределения (дивиденды, бонус-акции и т.д.) по Заложенным акциям также считаются обеспечением исполнения VMHY своих обязательств по Договору о выкупе VMHY.

Такое Письменное обязательство, подлежащее оформлению Компанией (далее - «Письменное обязательство Компании»), включает, помимо прочего, следующие оговорки:

Публичное предложение на удовлетворяющей требованиям бирже: «Публичное предложение на удовлетворяющей требованиям бирже» означает (i) предложение продажи или подписки на существующие и/или новые Акции розничным и/или институциональным инвесторам при условии, что акции еще не размещены, сопровождающееся их размещением и допуском к Удовлетворяющей требованиям бирже («Первоначальное публичное предложение»); или (ii) любую сделку или договоренность, подразумевающую или осуществляемую в форме предложения акционерам, или в рамках схемы или иного мероприятия, в рамках которого: (а) Компания осуществляет слияние или иное объединение с другим юридическим лицом, при котором лицо, к которому осуществляется присоединение, включено в листинг Удовлетворяющей требованиям биржи; и (b) лицо, к которому осуществляется присоединение, принимает обязательства Компании, предусмотренные Договором о доверительном управлении и Письменным обязательством Компании (далее - «Присоединение»), при условии выполнения в каждом из случаев, описанных в пп. (i) и (ii) выше, Условия ликвидности.
Во избежание сомнений, при Присоединении Акции в составе Биржевого имущества заменяются встречным удовлетворением, полученным владельцами Акций, а под акциями понимаются акции лица, к которому осуществляется присоединение.
«Цена публичного предложения на удовлетворяющей требованиям бирже» означает: (i) в отношении первоначального публичного предложения, цену Акций, являющихся предметом первоначального публичного предложения, за вычетом комиссии за размещение ценных бумаг и прочих удержаний; (ii) в отношении Присоединения, стоимость акций лица, к которому осуществляется присоединение, на Дату размещения.
«Дата размещения» означает: (i) в отношении первоначального публичного предложения, дату, в которую Акции, предлагаемые или продаваемые в рамках первоначального публичного предложения, размещаются и допускаются к торгам на соответствующей Удовлетворяющей требованиям бирже, и такой Удовлетворяющей требованиям биржей предоставляются все прочие необходимые и требуемые разрешения в отношении такого размещения допуска к торгам; (ii) в отношении Присоединения, дату фактического завершения соответствующей сделки.
«Удовлетворяющая требованиям биржа» означает: (i) Московскую фондовую биржу, любую организованную фондовую биржу Европейского экономического пространства или (ii) любую другую биржу, при условии предварительного письменного утверждения на основании Внеочередной резолюции Держателей облигаций или Держателей облигаций, представляющих в совокупности большую часть основной суммы размещенных Облигаций (для этих целей Облигации, принадлежащие Эмитенту, Компании, VMHY и Аффилированным лицом Компании или VMHY не считаются размещенными).
«Условие ликвидности» считается выполненным, если в Дату размещения количество Акций (или акций лица, к которому осуществляется присоединение, в зависимости от случая), находящихся в свободном обращении, больше или равно Соответствующему количеству, где «Соответствующее количество» означает, на любой операционный день, меньшее из:
[10] процентов выпущенных по состоянию на такой операционный день акций; и
количества Акций, имеющих стоимость, определенную на основании Цены публичного предложения Акций на Удовлетворяющей требованиям бирже в такой операционный день, составляющую не менее [200 000 000] долл. США (или эквивалент в пересчете по Действующей ставке на такой операционный день);

«Дисконтированный купонный доход» означает сумму дисконта по купонному доходу, выплаченному в Дату размещения или до нее, рассчитываемую по каждому купона по следующей формуле:

Участие в Публичном предложении на удовлетворяющей требованиям бирже Каждый Держатель облигаций имеет право поручить Эмитенту, путем направления ему уведомления (далее - «Уведомление об участии в предложении»), продать пропорциональную долю Акций в составе Биржевого имущества, обеспечивающих соответствующие Облигации, в рамках первоначального публичного предложения.
Во избежание сомнений, при Присоединении Держатели облигаций не вправе направить Уведомление об участии в предложении.

1 RRR (the “Settlor”)

BACKGROUND
The Settlor wishes to make a revocable settlement and has transferred to the Original Trustee the property specified in schedule 1 to be held on the trusts and subject to the powers and provisions contained in this settlement.
SETTLEMENT
1 Name
This settlement shall be called the [XYZ Settlement] or such other name as the Trustees from time to time resolve.
2 Definitions and interpretation
2.1 In this instrument the following words and expressions have the following meanings unless the context requires otherwise:
Beneficiaries: the following persons not being Excluded Persons:
(1) the Settlor;
(2) the wife of the Settlor, [insert name];
(2) the descendants and remoter issue of the Settlor whenever born;
(3) [D1];
(4) [D2];
(5) [D3];
(6) any person added in accordance with clause 17; and
(7) any Charity;
Charity: any organisation or institution whether corporate or otherwise, wherever situated, registered, incorporated or established, which is charitable in the place where it is situated, registered, incorporated or established;
Excluded Person: any person declared an Excluded Person under the provisions of clause 15;
Incapacitated and Incapacity: the condition of any person who by reason of physical infirmity, mental disorder, duress or other similar cause is incapable of performing any act or function which he is required or empowered by this instrument to perform (the “Subject”) provided always that:
(1) the Subject shall be deemed to be incapacitated if the Trustees, with the consent of the Protector Committee, make a written declaration (a “Declaration of Incapacity”) to the effect that he is incapable of acting;
(2) the Trustees shall not make a Declaration of Incapacity in the case of physical infirmity or mental disorder unless the Trustees have received a certificate, signed by a Qualified Doctor, stating that the Subject is incapable of acting;
(3) following a Declaration of Incapacity such Incapacity will continue until the Trustees by written declaration (a “Declaration of Resumed Capacity”) determine otherwise;
(4) the Trustees shall not make a Declaration of Resumed Capacity in the case of physical infirmity or mental disorder unless the Trustees have received a certificate evidencing the discontinuance of the Incapacity signed by a Qualified Doctor;
(5) if the Subject is a member of the Protector Committee then that member of the Protector Committee shall not be required to consent to the selection of the Qualified Doctor or to the Declaration of Incapacity and the remaining members of the Protector Committee may exercise these powers (and if there are no other members of the Protector Committee then such consent is not required); and
(6) if the Subject is one of the Trustees then he shall not participate in the selection of the Qualified Doctor, in the Declaration of Incapacity or the Declaration of Resumed Capacity and the remaining Trustees may exercise these powers;
Protector Committee: the person or persons for the time being holding the office of protector in accordance with clause 11;
Qualified Doctor: a qualified medical practitioner selected by the Trustees with the consent of the Protector Committee, who is admitted to practice medicine in the United Kingdom and who specialises in the field of medicine which qualifies him to make the determination required of him
Related Person: any person, firm or company which is in any way associated or connected with any of the Trustees or any member of the Protector Committee or (in the case of a corporate trustee or corporate member of the Protector Committee) with any of its officers or employees;
Settlement: the settlement created by this instrument;
spouse: husband, wife or civil partner and the expressions married and remarried shall be construed accordingly;
Trustees: the Original Trustee or the trustees for the time being of this settlement;
Trust Fund:
(1) the assets specified in schedule 1;
(2) all further assets added or accruing by way of further settlement, capital accretion, accumulation of income or otherwise; and
(3) the assets from time to time representing these respectively;
Trust Period: the period commencing on the date of this settlement and ending on such day (if any) which the Trustees in writing declare not being earlier than the date of that declaration;
2.2 References to legislation shall include any statutory modifications or re-enactments.
2.3 [Expressions such as children, descendants and issue shall be construed so as to exclude
2.3.1 any person who is illegitimate, adopted or legitimated; and
2.3.2 persons claiming descent from such persons.]
2.4 Any gender includes a reference to any other gender.
2.5 Words in the singular include the plural and vice versa.
2.6 The headings and sub-headings of this settlement are inserted only for reference to its provisions and shall not affect their construction.
3 Proper law
Subject to clause 10 the proper law of this settlement shall be the law of the Island of Guernsey and the Courts of the Island of Guernsey shall have exclusive jurisdiction in any proceedings involving rights or obligations under this settlement.
4 Trusts of income and capital
4.1 During the Trust Period:
4.1.1 the Trustees shall have power to pay, transfer or apply to or for the benefit of all or any one or more of the Beneficiaries the whole or any part of the income of the Trust Fund in such shares and in such manner as they shall think fit;
4.1.2 the Trustees shall accumulate the income which is not paid, transferred or applied under clause 4.1.1 and add it to the capital of the Trust Fund; and
4.1.3 the Trustees (being at least two in number or a corporate trustee) shall have power with the consent of the Protector Committee to pay, transfer or apply to or for the benefit of all or any one or more of the Beneficiaries the whole or any part of the capital of the Trust Fund in such shares and in such manner as they shall think fit;
4.2 Subject to the preceding trusts and to any exercise of the powers in clause 4.1 or in clause 6 the Trustees shall at the end of the Trust Period hold the Trust Fund upon trust for such of the descendants of the Settlor as are living at the end of the Trust Period and if more than one in equal shares per stirpes.
5 Power of appointment
Notwithstanding the trusts, powers and provisions contained in clause 4 the Trustees (being at least two in number or a corporate trustee) shall have power with the consent of the Protector Committee to appoint that the whole or any part of the Trust Fund and its income shall be held on new trusts and subject to such new powers and provisions in favour or for the benefit of all or any one or more of the Beneficiaries in such shares and in such manner generally as the Trustees think fit.
6 Rules applying to power of appointment
6.1 The following rules apply to any appointment under the power in clause 5:
6.1.1 it must be made in writing during the Trust Period;
6.1.2 it may be made in respect of income or capital or both;
6.1.3 it may create interests of any kind, absolute or limited, vested or contingent, conditional or unconditional;
6.1.4 it may create discretionary trusts and powers (including new powers of appointment) to be executed or exercised by any person;
6.1.5 it may in any other way delegate the exercise of the discretion conferred by the power;
6.1.6 it may create trusts and powers for the accumulation of income during any period permitted by law;
6.1.7 it may include administrative and dispositive provisions;
6.1.8 it may be revocable during the Trust Period or irrevocable;
6.1.9 it may appoint and provide for the future appointment of separate trustees of different parts of the Trust Fund anywhere in the world;
6.1.10 it may appoint that the whole or any part of the Trust Fund shall be transferred to the trustees (to be held on the trusts) of any other trust or settlement (whether governed by the proper law of this settlement or of any other jurisdiction) anywhere in the world which shall be for the benefit of all or any one or more of the Beneficiaries even though it may benefit one or more other persons other than an Excluded Person.
6.2 No such appointment shall affect any right to income arising under this settlement before the appointment is made.
6.3 Neither such an appointment, nor any revocation of any such appointment which is revocable shall prejudice or invalidate any payment or application of funds previously made.
7 Ultimate default trusts
Subject to the trusts and any exercise of the Trustees’ powers above the Trust Fund and its income shall be held in trust for such Charity or Charities as the Trustees may determine and if more than one in such shares absolutely as the Trustees may determine and, subject to that, for the [The Russian Red Cross Society] absolutely.
8 Exclusive exercise of powers
In exercising any of the powers in this settlement which are exercisable in favour or for the benefit of more than one object of the power, or in consenting to the exercise of such powers, the Trustees and the Protector Committee shall be entitled to exercise the power or consent to the exercise of the power in favour or for the benefit of one or more of such objects to the exclusion of one or more of the others.
9 Power to accept or disclaim further assets
The Trustees may accept or disclaim any further assets transferred to them during the Trust Period to be held upon the trusts of this settlement.
10 Power to change proper law
10.1 The Protector Committee may during the Trust Period declare in writing that from the date of that declaration the proper law of this settlement or of any part of the Trust Fund held on separately defined trusts shall be the law of any other state or territory anywhere in the world which (subject to clause 10.3) recognises the validity of this settlement and the respective interests of the beneficiaries under it.
10.2 No change in the proper law shall affect the legality or validity of, or render any person liable for, anything done prior to the change.
10.3 Every time such a declaration is made the Protector Committee shall at the same time in writing make any alterations or additions in or to the trusts, powers and provisions of this settlement he may consider necessary to ensure that the trusts, powers and provisions of this settlement shall continue to be valid and effective.
11 The Protector Committee
11.1 There may be one or, subject to clause 11.3, more than one member of the Protector Committee from time to time.
11.2 The first members of the Protector Committee shall be [ ] and [ ] .
11.3 At no time shall there be more than [three] members of the Protector Committee.
11.4 The members of the Protector Committee shall act unanimously in exercising any powers conferred on the Protector Committee.
11.5 A member of the Protector Committee may resign at any time and shall be deemed to have resigned if he becomes incapable of acting, becomes bankrupt or (being a corporate member of the Protector Committee) enters into receivership, administration or liquidation (whether voluntary or compulsory, otherwise than a voluntary liquidation for the purpose of reconstruction or amalgamation) or is dissolved or is declared en desastre or otherwise ceases to exist.
11.6 The Protector Committee may at any time appoint a person to act as a successor to any member of the Protector Committee to take effect on a future date or on some contingency specified by the Protector Committee.
11.7 Any appointment under clause 11.6 which only takes effect on a future date or on some specified contingency may be revocable at any time before it takes effect or irrevocable.
11.8 Subject to clause 11.3, the Protector Committee may at any time appoint one or more than one additional member of the Protector Committee.
11.9 If the sole remaining member of the Protector Committee dies, resigns or is deemed to have resigned in circumstances where no successor member of the Protector Committee has been appointed, the Trustees may appoint one or, subject to clause 11.3, more than one person to act as the Protector Committee.
11.10 The appointment or resignation of a member of the Protector Committee under this clause shall be in writing.
11.11 Where the Protector Committee’s consent is required:
11.11.1 it shall be given (if at all) in writing prior to or at the same time as the exercise of the power;
11.11.2 the Protector Committee may either revocably or irrevocably consent prospectively to any exercise of any power either generally or in any manner specified in the consent.
11.12 The Trustees must answer all enquiries and requests for information made by the any member of the Protector Committee and supply copies of any documents relating to the Settlement within the control of the Trustees.
11.13 Each of the members of the Protector Committee shall be indemnified out of the Trust Fund in respect of all expenses, taxes or other liabilities incurred or payable by them in relation to their acting as members of the Protector Committee.
11.14 At any time when there are no members of the Protector Committee the Trustees may exercise any power which requires the consent of the Protector Committee without that consent.
11.15 The Protector Committee may authorise any member of the Protector Committee to sign any instrument, written notice, consent or direction to be given by the Protector Committee under this instrument for and on behalf of the Protector Committee.
11.16 The Protector Committee’s powers under this settlement shall be exercised by the members of the Protector Committee in a fiduciary capacity.
12 Appointment, resignation and removal of Trustees
12.1 Additional trustees may be appointed.
12.2 A new trustee may be appointed in place of any trustee who:
12.2.1 has died;
12.2.2 wishes to resign;
12.2.3 is Incapacitated;
12.2.4 being an individual becomes bankrupt;
12.2.5 being a corporate trustee enters into receivership, administration or liquidation (whether voluntary or compulsory, otherwise than a voluntary liquidation for the purpose of reconstruction or amalgamation) or is dissolved or is declared en desastre or otherwise ceases to exist; or
12.2.6 is being removed.
12.3 The power of appointing new or additional trustees shall be vested in:
12.3.1 the Protector Committee; or
12.3.2 if for the time being there is no member of the Protector Committee:
12.3.2.1 the Trustees (including a resigning trustee but otherwise excluding any trustee who is being replaced in accordance with clause 12.2); or
12.3.2.2 the personal representatives or the liquidator (as the case may be) of the last surviving trustee.
12.4 Any person anywhere in the world may be appointed as a trustee however, the Trustees shall not be Related Persons to the Protector.
12.5 Any trustee may resign and be discharged from the trusts of this settlement provided that this will not leave fewer than two individual or one corporate trustee whether by virtue of a contemporaneous appointment of any new trustee or otherwise.
12.6 The Protector Committee may at any time remove all or any of the Trustees provided that this will not leave fewer than two individual or one corporate trustee whether by virtue of a contemporaneous appointment of any new trustee or otherwise.
12.7 The following provisions apply to the appointment, resignation or removal of trustees:
12.7.1 the resignation of a trustee shall be in writing;
12.7.2 the appointment or removal of a trustee or trustees by the Protector Committee or the person having the power to appoint new trustees shall be in writing;
12.7.3 any appointment, resignation or removal of a trustee or trustees shall be effective immediately unless it is expressly stated to take effect on a future date or on some specified contingency in which case the appointment, resignation or removal shall become effective on such future date or on such specified contingency being fulfilled;
12.7.4 any appointment, resignation or removal of a trustee or trustees which only takes effect on a future date or on some specified contingency may be revocable at any time before it takes effect or irrevocable.
12.8 On the appointment, resignation or removal of any trustee all steps shall be taken to vest the trust property in the new or continuing trustees.
13 Protection of Trustees and members of the Protector Committee
13.1 No Trustee or member of the Protector Committee shall in the absence of his own fraud or wilful misconduct be liable for any loss to the Trust Fund or the income arising from it by reason of:
13.1.1 his being prevented by any law rule or regulation from time to time in force from dealing with or exercising any rights in respect of any asset forming part of the Trust Fund;
13.1.2 any failure to diversify assets comprised in the Trust Fund, if such non-diversification was considered to be in the interests of the beneficiaries;
13.1.3 the negligence or fraud of any agent employed by such person, even if the employment of such agent was not strictly necessary or expedient;
13.1.4 any other breach of trust or duty unless it involves his own gross negligence or, in the case of a paid Trustee or paid member of the Protector Committee, unless the breach involves his own negligence.
13.2 The Trustees may, without being liable for any breach of trust or duty, execute a trust, or exercise a power, on the basis that the only members of a class, defined by descent from some individual or individuals, are those who are legitimately descended from such individual or individuals and those others within the class of whom those executing the trust, or exercising the power, have actual knowledge; but this provision shall not prejudice the right of anyone to trace property that has been incorrectly distributed.
13.3 The powers and discretions conferred upon the Trustees and the Protector Committee by this settlement or by law shall be absolute and unfettered and the Trustees and the Protector Committee shall not be obliged to give any beneficiary any reason or justification for any exercise or non exercise of such powers and discretions.

ПРЕАМБУЛА
Учредитель желает заключить договор о доверительном управлении имуществом, предусматривающий право его расторжения или внесения в него изменений учредителем, и передал Первоначальному доверительному управляющего указанное в приложении 1 имущество в доверительное управление в соответствии с условиями настоящего Договора и предусмотренными им полномочиями.
ДОГОВОР О ДОВЕРИТЕЛЬНОМ УПРАВЛЕНИИ ИМУЩЕСТВОМ
1 Наименование
Настоящий Договор о доверительном управлении имуществом именуется «Договор о доверительном управлении имуществом XYZ» или иным образом по усмотрению Доверительных управляющих.
2 Термины и определения
2.1 Если иное не предусмотрено контекстом, нижеприведенные слова и выражения при их использовании в настоящем Договоре принимают следующие значения:
«Выгодоприобретатели» означает следующих лиц (за исключением Лиц, не имеющих право на получение выгод):
(1) Учредитель управления;
(2) супруга Учредителя управления [указать ФИО];
(2) наследники и потомки Учредителя управления, независимо от даты их рождения;
(3) [D1];
(4) [D2];
(5) [D3];
(6) любые лица, добавляемые в список Выгодоприобретателей в соответствии со статьей 17; а также
(7) любая Благотворительная организация;
«Благотворительная организация» означает любую организацию или учреждение, независимо от места регистрации, учреждения, создания и адреса места нахождения, занимающуюся благотворительной деятельностью по месту ее регистрации, учреждения или создания;
«Лица, не имеющие права на получение выгод» означает лиц, признанных Лицами, не имеющими права на получение выгод, в соответствии со статьей 15.
«Недееспособность» означает состояние неспособности любого лица выполнять какие-либо действия, которые оно вправе или обязано осуществлять в соответствии с условиями настоящего Договора, по причине инвалидности, психического расстройства, лишения свободы или иной подобной причине (далее - «Объект»), при условии, что:
(1) Объект признается недееспособным, если Доверительные управляющие, с согласия Попечительского комитета, делают письменное заявление о недееспособности такого лица (далее - «Заявление о недееспособности»);
(2) Доверительные управляющие не вправе сделать Заявление о недееспособности в случае инвалидности или психического расстройства при отсутствии справки о недееспособности Объекта, подписанной Квалифицированным врачом;
(3) период недееспособности начинается с даты Заявления о недееспособности и продолжается до письменного заявления Доверительных управляющих о его окончании (далее - «Заявление о дееспособности»);
(4) Доверительные управляющие не вправе сделать Заявление о дееспособности в случае инвалидности или психического расстройства при отсутствии справки о восстановлении дееспособности Объекта, подписанной Квалифицированным врачом;
(5) если Объект является членом Попечительского комитета, его согласие при выборе остальными членами комитета Квалифицированного врача или вынесения Заявления о недееспособности не требуется (равно как и не требуется такого согласия в случае, если Попечительский комитет составляет одно лицо);
(6) если Объект является Доверительным управляющим, он не участвует в выборе Квалифицированного врача, оформлении Заявления о недееспособности или Заявления о дееспособности; данные права сохраняются за остальными Доверительными управляющими;
«Попечительский комитет» означает лицо или лиц, являющееся(ихся) на текущий момент времени попечителями в соответствии со статьей 11;
«Квалифицированный врач» означает квалифицированного медицинского работника, выбранного Доверительными управляющими с согласия Попечительского комитета, допущенного к медицинской практике на территории Соединенного королевства и специализирующегося в области медицины, квалификация которого позволяет выносить требуемое решение;
«Связанные лица» означает любое физическое или юридическое лицо, ассоциированное или иным образом связанное с любым Доверительным управляющим, членом Попечительского комитета или (в случае, если Доверительный управляющий или член Попечительского комитета является юридическим лицом) его работниками или должностным лицами;
«Договор о доверительном управлении имуществом» означает настоящий Договор;
«супруг(а)» означает мужа, жену или партнёра по однополому браку, а выражения «состоящий в браке» или «повторно вступивший в брак» следует понимать соответственно;
«Доверительные управляющие» означает Первоначального доверительного управляющего или текущих доверительных управляющих в соответствии с настоящим Договором;
«Фонд переданного в доверительное управление имущества» означает:
(1) активы, перечисленные в приложении 1;
(2) все прочие активы, добавляемые в него или приобретаемые посредством последующего заключения договоров о доверительном управлении имуществом, прироста стоимости, накопления дохода или иным образом; а также
(3) активы, периодически подпадающие под одну из вышеописанных категорий;
«Срок доверительного управления» означает период с даты настоящего Договора о доверительном управлении имуществом по дату, установленную решением Доверительных управляющих, но не ранее даты такого решения;
2.2 Ссылки на законодательные акты подразумевают ссылки на соответствующие законодательные акты с внесенными в законодательном порядке изменениями и/или дополнениями или повторно введенные в действие.
2.3 [Значение слов «дети», «наследники» и «потомки» не включает:
2.3.1 любых незаконнорождённых, усыновленных, удочеренных и внебрачных детей; а также
2.3.2 лиц, заявляющих о праве на наследство таких лиц.]
2.4 Слова, употребленные в мужском, женском или среднем роде, включают в себя значения остальных родов.
2.5 Значение единственного числа включает значение множественного, и наоборот.
2.6 Используемые в тексте настоящего Договора заголовки и подзаголовки приведены только для ссылки на соответствующие положения и не влияют на их толкование.
3 Применимое законодательство
В соответствии со статьей 10, применимым законодательством настоящего Договора является законодательство о. Гернси. Суды о. Гернси имеют исключительную юрисдикцию в отношении любых разбирательств, связанных с правами и обязательствами по настоящему Договору.
4 Доверительное управление доходом и капиталом в составе фонда
4.1 В течение Срока доверительного управления:
4.1.1 Доверительные управляющие вправе выплачивать, передавать любому или нескольким Выгодоприобретателям или использовать в их интересах доход по Фонду переданного в доверительное управление имущества полностью или частично в размере и порядке, определяемых по их усмотрению;
4.1.2 Доверительные управляющие осуществляют накопление невыплаченного, непереданного или неиспользованного в соответствии с подпунктом 4.1.1. дохода в счет капитала в составе Фонда переданного в доверительное управление имущества; а также
4.1.3 Доверительные управляющие (в количестве не менее двух, или Доверительный управляющий - юридическое лицо) вправе, с согласия Попечительского комитета, выплачивать, передавать любому или нескольким Выгодоприобретателям или использовать в их интересах капитал в составе Фонда переданного в доверительное управление имущества полностью или частично в размере и порядке, определяемых по их усмотрению;
4.2 С учетом предыдущих договоров о доверительном управлении и осуществления предусмотренных п. 4.1. или статьей 6 прав, Доверительные управляющие обязуются после окончания Срока доверительного управления осуществлять доверительное управление Фондом переданного в доверительное управление имущества в интересах живущих наследников Учредителя управления, при этом, если их несколько, поровну между наследниками по каждой генеалогической линии.
5 Право распоряжения имуществом
Невзирая на условия статьи 4 и предусмотренные ей права доверительного управления и полномочия, Доверительные управляющие (в количестве не менее двух, или Доверительный управляющий - юридическое лицо) вправе, с согласия Попечительского комитета, распорядиться о передаче Фонда переданного в доверительное управление имущества полностью или частично в доверительное управление в интересах любого или нескольких Выгодоприобретателей на таких условиях, с такими полномочиями, в таком размере и порядке, которые сочтут приемлемыми.
6 Условия осуществления права распоряжения имуществом
6.1 Предусмотренное статьей 5право распоряжения имуществом осуществляется на следующих условиях:
6.1.1 решение о распоряжении имуществом должно быть оформлено в письменном виде в течение Срока доверительного управления;
6.1.2 его предметом может быть как доход от имущества фонда, так и капитал в его составе;
6.1.3 оно может предусматривать возникновение имущественных прав (абсолютные или ограниченные, закрепленные или будущие, условные или безусловные);
6.1.4 оно может предусматривать предоставление полномочий дискреционного доверительного управления и дискреционных прав (включая право распоряжения имуществом) любому лицу;
6.1.5 оно может предусматривать передачу предусмотренного им права вынесения решений;
6.1.6 оно может предусматривать права и полномочия доверительного управления накопленным доходом в течение предусмотренного законом периода;
6.1.7 им могут быть предусмотрены административные и юридические вопросы;
6.1.8 решение о распоряжении имуществом может быть отозвано в течение Срока доверительного управления или иметь безотзывный характер;
6.1.9 оно может предусматривать назначение или будущее назначение отдельных доверительных управляющих для различных частей Фонда переданного в доверительное управление имущества в любой стране мира;
6.1.10 оно может предусматривать полную или частичную передачу Фонда переданного в доверительное управление имущества в доверительное управление доверительным управляющим по любому другому договору доверительного управления (регулируемому применимым законодательством настоящего Договора или любой другой юрисдикции) в любой стране мира в интересах одного или нескольких Выгодоприобретателей, невзирая на возможность получения выгод одним или несколькими другими лицами (кроме Лиц, не имеющих права на получение выгод).
6.2 Осуществление права распоряжения имуществом никоим образом не влияет на любые права на доход по настоящему Договору, возникшие до осуществления такого права.
6.3 Ни решение об осуществлении права распоряжения имуществом, ни его отзыв (если оно может быть отозвано) никоим образом не влияет на действительность любого осуществленного ранее платежа или иного использования средств.
7 Порядок использования находящегося в доверительном управлении имущества после истечения срока доверительного управления в случае его нераспределения до его окончания
С учетом условий доверительного управления и полномочий Доверительных управляющих, Доверительные управляющие осуществляют управление Фондом переданного в доверительное управление имущества и доходом по нему в интересах Благотворительной(ых) организации(ий), определяемой(ых) по их усмотрению (в случае с несколькими организациями - в определяемой Доверительными управляющими пропорции), в конечном счете - в интересах Российского Красного Креста .
8 Выборочное осуществление прав
При осуществлении Доверительными управляющими и Попечительским комитетом, или даче ими согласия на осуществление любых предусмотренных настоящим Договором прав, объектом которых могут являться несколько лиц, Доверительные управляющие и Попечительский комитет вправе осуществлять такие права или давать согласие на их осуществление в интересах или в пользу одного или нескольких таких объектов права за исключением одного или нескольких из них.
9 Право принять или отказаться от дополнительных активов
Доверительные управляющие вправе, в течение Срока доверительного управления принять в доверительное управление в соответствии с условиями настоящего Договора любые дополнительные активы или отказаться от них.
10 Право смены применимого законодательства
10.1 Попечительский комитет вправе, в течение Срока доверительного управления, распорядиться в письменной форме о смене законодательства, применимого в отношении настоящего Договора или любых частей Фонда переданного в доверительное управление имущества, находящихся в доверительном управлении на различных условиях, на законодательство любой страны мира или территории, по которому (с учетом пп. 10.3) настоящий Договор и соответствующие имущественные права Выгодоприобретателей по нему признаются действительными.
10.2 Смена применимого законодательства никоим образом не влияет на правомерность или действительность любых совершенных до нее действий и не может привести к наложению ответственности на любое лицо за их совершение.
10.3 При вынесении такого решения Попечительский комитет обязан распорядиться в письменной форме о внесении изменений или дополнений в условия настоящего Договора о доверительном управлении и предусмотренные им полномочия, которые он считает необходимыми для обеспечения их действительности.
11 Попечительский комитет
11.1 Попечительский комитет может состоять из одного или (в соответствии с пунктом 11.3.) нескольких членов.
11.2 Первыми членами Попечительского комитета являются [ ] и [ ] .
11.3 В составе Попечительского комитета не может быть боле [трех] членов.
11.4 Члены Попечительского комитета действуют единогласно при осуществлении любых возложенных на них прав.
11.5 Любой член Попечительского комитета вправе уйти в отставку в любое время; он также считается ушедшим в отставку в случае его недееспособности, несостоятельности или (в случае с членом Попечительского комитета - юридическим лицом) его передачи в конкурсное управление, ликвидации (добровольной или принудительной, а в случае с принудительной - для целей реорганизации или слияния), роспуска, банкротства или прекращения деятельности по иной причине.
11.6 Попечительский комитет вправе в любое время назначить любое лицо правопреемником любого члена Попечительского комитета с определенной даты или с даты выполнения определенных условий по своему усмотрению.
11.7 Любое такое предусмотренное пунктом 11.6. назначение с определенной даты или с даты выполнения определенных условий может быть отозвано до ее наступления или иметь безотзывный характер.
11.8 С учетом пункта 11.3., Попечительский комитет вправе в любое время назначить одного или нескольких членов Попечительского комитета.
11.9 В случае смерти, фактической или предполагаемой отставки единственного члена Попечительского комитета при отсутствии его правопреемника Доверительные управляющие вправе назначить одного или (с учетом пункта 11.3.) нескольких членов Попечительского комитета.
11.10 Назначение и снятие с должности члена Попечительского комитета в соответствии с настоящей статьей оформляются в письменном виде.
11.11 При необходимости получения согласия Попечительского комитета:
11.11.1 такое согласие (при его предоставлении) оформляется в письменном виде до или в дату осуществления права;
11.11.2 Попечительский комитет вправе заранее дать согласие на осуществление любых прав (как в целом, так и в любом предусмотренным аким согласием порядке), которое может быть отозвано или иметь безотзывный характер.
11.12 Доверительные управляющие обязаны реагировать на все запросы информации любого члена Попечительского комитета и предоставлять копии любых имеющихся в их распоряжении имеющих отношение к Договору о доверительном управлении имуществом документов.
11.13 Любые понесенные членами Попечительского комитета расходы, затраты, а также любые наложенные на них обязательства по уплате налогов и иные обязательства в связи с осуществлением ими своих должностных обязанностей компенсируются за счет Фонда переданного в доверительное управление имущества.
11.14 При отсутствии членов Попечительского комитета любое право, осуществление которого требует согласия Попечительского комитета, может осуществляться Доверительными управляющими без получения такого согласия.
11.15 Попечительский комитет вправе уполномочить любого его члена на подписание от имени и по поручению Попечительского комитета любых документов, письменных уведомлений, согласий и указаний, подлежащих предоставлению Попечительским комитетом в соответствии с условиями настоящего Договора.
11.16 предусмотренные настоящим Договором права Попечительского комитета могут осуществляться любым его членом в качестве доверенного лица.
12 Назначение, уход и снятие с должности Доверительных управляющих
12.1 Допускается назначение дополнительных Доверительных управляющих.
12.2 Новый Доверительный управляющий может быть назначен взамен Доверительного управляющего, который:
12.2.1 умер;
12.2.2 желает уйти в отставку;
12.2.3 нетрудоспособен;
12.2.4 неплатежеспособен (в случае с физическим лицом);
12.2.5 в случае с юридическим лицом - передан в конкурсное управление, ликвидирован (добровольно или принудительно, а в случае с принудительной ликвидацией - для целей реорганизации или слияния), распущен, признан банкротом или прекратил деятельность по иной причине; или
12.2.6 снят с должности.
12.3 Право назначать новых или дополнительных Доверительных управляющих имеют:
12.3.1 Попечительский комитет; или,
12.3.2 если на текущий момент времени Попечительский комитет не сформирован:
12.3.2.1 Доверительные управляющие (включая уходящего в отставку, но не включая снимаемого с должности в соответствии с пунктом 12.2 доверительного управляющего); или
12.3.2.2 личные представители ликвидатора (в зависимости от случая) последнего живущего доверительного управляющего.
12.4 Доверительным управляющим может быть назначено любое лицо в любой стране мира, при условии, что оно не является Связанным лицом по отношению к Попечителю.
12.5 Любой доверительный управляющий вправе уйти в отставку и быть освобожденным от прав и полномочий доверительного управления по настоящему Договору при условии, что посредством одновременного назначения нового доверительного управляющего или иным образом будет обеспечено количество оставшихся доверительных управляющих не менее двух физических или одного юридического лица.
12.6 Попечительский комитет вправе в любое время снять с должности любого или всех Доверительных управляющих при условии, что посредством одновременного назначения нового доверительного управляющего или иным образом будет обеспечено количество оставшихся доверительных управляющих не менее двух физических или одного юридического лица.
12.7 В отношении назначения, ухода и снятия с должности доверительных управляющих применяются следующие положения:
12.7.1 заявление об отставке доверительного управляющего оформляется в письменном виде;
12.7.2 назначение или снятие с должности доверительного(ых) управляющего(их) Попечительским комитетом или лицом, имеющим право назначать новых доверительных управляющих, оформляется в письменном виде;
12.7.3 любое назначение, уход или снятие с должности доверительного(ых) управляющего(их) вступает в силу немедленно, если прямо не предусмотрена иная дата или условие вступления в силу; в этом случае назначение, уход или снятие с должности вступает в силу в такую дату или с момента выполнения такого условия;
12.7.4 любое назначение, уход или снятие с должности доверительного(ых) управляющего(их) с определенной даты или с даты выполнения определенных условий может быть отозвано до ее наступления или иметь безотзывный характер.
12.8 В дату назначения, ухода или снятия с должности любого доверительного управляющего должны быть приняты все меры для перехода управления доверенным имуществом новым или оставшимся доверительным управляющим.
13 Ограничения ответственности Доверительных управляющих и членов Попечительского комитета
13.1 Доверительные управляющие и члены Попечительского комитета не несут ответственности за любые убытки по Фонду переданного в доверительное управление имущества или доходу от него по причине:
13.1.1 предусмотренного любым действующим законом, законодательным или нормативным актом запрета на распоряжение любыми активами в составе Фонда переданного в доверительное управление имущества или осуществление любых прав в их отношении;
13.1.2 неосуществления диверсификации активов в составе Фонда переданного в доверительное управление имущества, если считается, что это в интересах выгодоприобретателей;
13.1.3 неосторожности или мошеннических действий любого нанятого таким лицом агента, даже если наем такого агента не был строгой необходимостью или целесообразен;
13.1.4 любого другого нарушения условий доверительного управления или обязательств при отсутствии грубой неосторожности с их стороны, или, в случае оплачиваемой должности Доверительного управляющего или члена Попечительского комитета - при отсутствии его неосторожности.
13.2 Доверительные управляющие вправе осуществлять права и полномочия доверительного управляющего без какой-либо ответственности за любые нарушения условий доверительного управления или обязательств в силу того, что единственными членами группы лиц, определенных как потомки некоторого физического лица или лиц, являются его законные потомки и другие члены такой группы, о существовании которых доверительным управляющим доподлинно известно; при этом данное положение никоим образом не ограничивает право любого лица истребовать некорректно распределенное имущество.
13.3 Права и полномочия Доверительных управляющих и Попечительского комитета, предусмотренные настоящим Договором или законодательством, являются неограниченными и абсолютными; Доверительные управляющие и Попечительский комитет не обязаны предоставлять выгодоприобретателям обоснование осуществления или неосуществления любых таких прав или полномочий.
