1.I HEREBY REVOKE all former Wills and testamentary dispositions at any time heretofore made by me
2. I APPOINT YYYYY of ………… in the said County of Tyne and Wear Solicitor and my sons AAAAAA and BBBBBB (hereinafter called "my Trustees") to be executors and trustees of this my Will
3. I GIVE all my real and personal estate whatsoever and wheresoever (subject to and after the payment thereout of my funeral and testamentary expenses debts and all capital transfer and other taxes payable on or by reason of my death in respect of my estate or any part thereof) and all the property over which I shall at my death have any general or special power of appointment or disposition(which said estate and property and the property for the time being representing the same are hereinafter referred to as "the Trust Fund") unto my Trustees UPON TRUST to sell the same or any part thereof or to retain the same or any part thereof in its actual state of investment or condition at the time of my death
4. MY Trustees shall hold the Trust Fund in trust for all or any of my children or child living at my death and if more than one in equal shares PROVIDED ALWAYS that if any child shall die in my lifetime leaving a child or children living at my death such child or children attaining the age of l8 years shall take by substitution if more than one in equal shares the share in the Trust Fund which such deceased child of mine would have taken had he survived me and attained a vested interest
5. ANY Trustee being a solicitor or other person engaged in any profession or business may be so employed or act and shall be entitled to charge and be paid all professional or other charges for any business or act done by him or his firm in connection with the trusts hereof including acts which a trustee could have done personally
6. I DECLARE that the provisions of this my Will shall be construed as though Section 15 of the Family Law Reform Act 1969 had not been enacted
7. MY Trustees shall have power to invest trust monies (irrespective of the amount of the income thereby produced) and to vary investment in the same full and unrestricted manner in all respects as if they were absolutely entitled to beneficially
8. I WISH to be cremated and my ashes scattered

MES Administrateurs détiendront en fiducie le Fonds Fiduciaire au profit de ceux de mes enfants qui seront encore en vie à ma mort et s’ils sont plusieurs, à parts égales ÉTANT ENTENDU que si l’un d’entre eux décède avant moi en laissant un enfant ou des enfants en vie lors de mon décès, alors cet enfant ou ces enfants dès l’âge de dix-huit ans, bénéficiera ou bénéficieront par substitution (et s’il en est plus d’un, à parts égales entre eux) de la quote-part du Fonds Fiduciaire qui serait revenue à mon enfant décédé si ce dernier m’avait survécu et avait acquis un droit dévolu.
5. TOUT Administrateur ayant qualité d’avocat ou exerçant toute profession ou activité commerciale pourra être engagé ou intervenir en tant que tel et aura le droit de facturer et de recevoir tous les honoraires ou autres paiements pour les actes ou les transactions réalisés par lui ou son cabinet concernant les fiducies constituées en vertu des présentes, y compris les actes qu’un administrateur aurait pu accomplir personnellement.
6. Je DÉCLARE que les dispositions de ceci mon Testament seront interprétées comme si l’article 15 du Family Law Reform Act 1969 (Loi de 1969 portant sur la réforme du droit de la famille) n’avait pas été édicté.
7. MES Administrateurs auront le pouvoir d’investir l’argent du Fonds(indépendamment du montant des revenus ainsi générés) et de transposer les investissements avec la même pleine et entière liberté de choix comme s’ils en étaient les propriétaires bénéficiaires absolus.

Source text - French DECISIONS DE L'ASSOCIE UNIQUE OU DECISIONS COLLECTIVES DES ASSOCIES
1. Lorsque la société est unipersonnelle, l'associé unique exerce les pouvoirs dévolus par la loi et les statuts à l'assemblée des associés.
L'associé unique ne peut déléguer ses pouvoirs. Ses décisions, prises au lieu et place de l'assemblée, sont répertoriées dans un registre.
2. En cas de pluralité d'associés, les décisions collectives sont prises soit en assemblée, soit par consultation écrite ou peuvent résulter du consentement unanime des associés exprimé dans un acte, sauf lorsque la loi impose la tenue d'une assemblée.
3. Chaque associé a au sein de l'assemblée générale, le droit de se faire représenter par un autre associé, son conjoint ou toute autre personne de son choix. Il ne peut toutefois se faire représenter par un autre associé si les associés sont au nombre de deux, ou par son conjoint si la société ne comprend que les deux époux.
4. Les décisions collectives ordinaires, c'est à dire celles qui ne concernent ni l'agrément des nouveaux associés, ni la modification des statuts, sont valablement adoptées par un ou plusieurs associés représentant plus de la moitié des parts sociales. Si cette majorité n'est pas obtenue, les associés sont convoqués ou consultés une seconde fois, et les décisions sont alors prises à la majorité des votes émis quel que soit le nombre de votants,
La révocation des gérants doit toujours être décidée à la majorité absolue.
5. Les décisions extraordinaires sont adoptées sauf exceptions prévues par la loi ou les statuts par les associés représentant au moins les deux tiers des parts sociales.
Translation - English DECISIONS BY THE SOLE SHAREHOLDER OR BY THE SHAREHOLDERS
1. If the Company has a single shareholder, the Sole Shareholder shall exercise the powers the law and the Articles of Association devolve to the Meeting of Shareholders.
The Sole Shareholder may not delegate his/her/its powers. His/her/its resolutions, which shall take the place of resolutions by the Meeting of Shareholders, shall be recorded in a register.
2. If the Company has more than one shareholder, shareholder resolutions shall be passed at physical meetings of shareholders, by written consultation or by unanimous agreement of the shareholders expressed in a deed, unless the law requires a physical meeting of shareholders to be held.
3. Shareholders may be represented at general meetings of shareholders by another shareholder, their spouse or by any other person they select. They may not however be represented by another shareholder if the total number of shareholders in the Company is two, or by their spouse if Company shareholders total just one husband and wife.
4. Ordinary shareholder resolutions, i.e. resolutions that do not concern the approval of new shareholders or the amendment of the Articles of Association, shall be valid if passed by one or more shareholders representing more than half the shares in the Company. If this majority is not obtained, the shareholders shall be convened or consulted a second time, whereby the resolutions concerned shall be passed by a majority of all votes cast, whatever the number of voters.
Revocations of managing directors' appointments shall always be subject to an absolute majority vote.
5. Extraordinary resolutions shall be adopted, unless otherwise provided for by the law or the Articles of Association, if passed by shareholders representing at least two-thirds of the shares in the Company.
