Source text - English summing up to the total amount of CHF 19'575’274 per 31.12.2011, minus CHF 188’000.00 (loan not paid yet), plus all interest already accrued and all interest accruable in the future are hereby subordinated to all existing and future claims against the Company.
In the case of the legally determined insolvency, debt moratorium or liquidation of the Company, the Creditor waives its claims to the extent necessary that all other creditors, and the costs of the insolvency, debt moratorium or liquidation proceedings, are covered in full.
A claim covered by the subordination may, neither in whole nor in part, be paid, settled by compensation or replacement, or newly secured.
A subordinated claim may, however, be forfeited in whole or in part, or converted into share capital of the Company. If the Creditor should enter bankruptcy, the Company has the right to net the subordinated claims of the Creditor with the Company’s claims against the Creditor.
the audited financial statements show that all claims against the Company, including those subordinated, are covered by assets, and that the legal requirements are met for an auditors' report without reference to the Art. 725 par. 2 CO. The termination, and any modification, only comes into effect when the statutory auditors of the Company have been informed in writing;
Subject to the following, this Agreement is irrevocable and non-cancellable, up to 31.3.2013. In respect of a claim covered by the subordination, this Agreement can only be terminated before 31.3.2013 in writing and when:
- the audited financial statements show that all claims against the Company, including those subordinated, are covered by assets, and that the legal requirements are met for an auditors' report without reference to the Art. 725 par. 2 CO. The termination, and any modification, only comes into effect when the statutory auditors of the Company have been informed in writing;
- another creditor of the Company replaces the claims subordinated under this subordination Agreement with subordinated claims of equal value.
The Creditor hereby specifically declares that its economic substance will not be significantly impaired through this subordination and that it would be in a position to bear a total loss of the claim.
The ordinary Courts at the Company's domicile have exclusive jurisdiction in respect of any disputes arising from this Agreement.
