Translation - English In the new century, the international situation has continued to undergo profound and complicated changes. World multipolarization and economic globalization are progressing amid twists and turns. Science and technology are advancing with each passing day. I would like to set the process in motion for the purchase of your shares to proceed.
Whatever the difficulties that have arisen between us, I made a promise that the shares you bought from Tim Emeny will be bought back at the same price you paid for them. There is no question that I will be sticking to this promise.
I have heard via others that you would be happy to have the shares bought out by Tingle through a 12 month loan agreement. While an 18 month arrangement would be more suitable for Tingle, I believe that a 12 month repayment period may be possible. However, I do not wish to assume, based on what others have said to me, that this is what you had in mind. Can you kindly confirm if you are happy to move forward on this basis? If so I can go ahead and supply you with the documents required for us to move forwards.
This is what we need to do:
1. 14 days before the transfer, we must supply ASIC with a notice of intention for Tingle to buy back your shares. This will need to be signed by myself and Chen Ping Chun. To get us started, I can send this notice if you let me know that you are happy to proceed. I will need to get the signed copy back, and I will lodge it as soon as I receive it.
2. After ASIC’s required 14 days, we would provide you with the paperwork to sign for the transfer of shares, and we would arrange payment for the shares by way of a deposit and a loan agreement for the balance.
To satisfy the Huangli’s promise regarding her $50,048 share parcel, Tingle will be buying back your entire 35% shareholding. We have made our own arrangement with Huangli regarding her promise. This $50,048 payment will be the deposit.
Timing of signing documents will be important, as I understand there are fears and concerns on both sides regarding trust. I propose that at the same time you deliver the signed paperwork for the transfer of the shares, I will hand you a bank cheque for $50,048, along with the signed loan agreement with set monthly repayments into your nominated bank account. We can do this when we meet, however, to ensure the meeting can finalise the transfer, it would be best to have the loan document and transfer documents agreed to first by email so that we do not need to make last minute changes when we meet.
I will also require the directors resignation letter before any transfer happens or the $50,048 deposit is paid. It would be OK to have the resignation letter together with the signed transfer documents, but I would not be proceeding with submitting the transfer or handing over payment without receiving the resignation.
I do hope you can see I am keen to make this transfer work. I trust that you can also see that what I am suggesting is reasonable, and that I have every intention of dealing with this situation in a fair and honest way.
Source text - Chinese Until recently, scientists knew little about life in deep sea, nor had they reason to believe that it was being threatened. Now, with the benefit of technology that allows for deeper exploration, researchers have uncovered a remarkable array of species inhabiting the ocean floor at depths of more than 660 feet, or about 200 meters. At the same time, however, technology has also enabled fishermen to reach far deeper than ever before, into areas where bottom trawls can destroy in minutes what has taken nature hundreds and in some cases thousands of years to build.
Many of the world’s coral species, for example, are found at depths of more than 200 meters. It is also estimated that roughly half of the world’s highest seamounts- areas that rise from the ocean floor and are particularly rich in marine life- are also found in the deep ocean.
These deep sea ecosystems provide shelter, spawning and breeding areas for fish and other creatures, as well as protection from strong currents and predators. Moreover, they are believed to harbor some of the most extensive reservoirs of life on earth, with estimates ranging from 500,000 to 100 million species inhabiting these largely unexplored and highly fragile ecosystems.
Yet just as we are beginning to recognize the tremendous diversity of life in these areas, along with the potential benefits newly found species may hold for human society in the form of potential food products and new medicines, they are at risk of being lost forever. With enhanced ability both to identify where these species-rich areas are located and to trawl in deeper water than before, commercial fishing vessels are now beginning to reach down with nets the size of football fields, catching everything in their path while simultaneously crushing fragile corals and breaking up the delicate structure of reefs and seamounts that provide critical habitat to the countless species of fish and other marine life that inhabit the deep ocean floor.
Because deep sea bottom trawling is a recent phenomenon, the damage that has been done is still limited. If steps are taken quickly to prevent this kind of destructive activity from occurring on the high seas, the benefits both to the marine environment and to future generations are incalculable. And they far outweigh the short-term costs to the fishing industry.
