This Memorandum of Understanding (hereinafter referred to as (“MOU”) is entered this___________ day of _____________________ 2013 between the Centre National d’*** (***) of the Ministry of Health of *** (***) and *** (***)
BACKGROUND:
The Government of *** through its Centre National d’*** (***) is interested in expanding healthcare reach to patients in *** (“the Territory”) and improve their access to innovative oncology products
The *** has designed a programme to enable the Government provide this access to healthcare for the Patients. Under this programme, **** products will be provided at a discounted price or free of charge.
*** has agreed to partner with the *** to facilitate this programme and both parties have agreed to enter this MOU for the purpose of recording the terms of and conditions that will govern the Parties duties and obligation in relation to the implementation of this Programme in ***.
SCOPE AND RELATIONSHIP:
1. The products shall be dispensed to the Patients, either free of charge or sold with a margin not exceeding 15%, in both cases the definition of the appropriate patient price will be left at the discretion of the of the ***
2. *** will provide the products to the *** according the price list herein. The Products, Prices, and other relevant details are listed and marked as Exhibit A.
3. The prices, negotiated and stated in Exhibit A, have been approved, in relation to the agreed demand.
4. In furtherance of this MOU, *** shall deliver one (1) pack free of charge, for every pack ordered by the ***.
5. *** shall provide training support to the *** on the proper use and administration of the Products from time to time, as it deems fit.
6. Supplied products are meant only for the agreed territory, being ***.
AGREED DEMAND:
Both parties have agreed that the proposed demand for the products shall be as set out in Exhibit A. If at the end of the Calendar Year, any of the Minimum Targets set forth in Exhibit A have not been attained or should the demand decrease by more than 10%, *** will be entitled, at its choice, to review the commercial terms of this MOU, in whole or with respect to the particular Product concerned.
PAYMENT TERMS:
The *** will open, at its sole cost, an irrevocable letter of credit with a term of 60 days, confirmed by a reputable international bank acceptable to *** in its sole discretion (“Letter of Credit”) prior to each shipment of Product. The Letter of Credit will cover the cost of Product to be supplied by *** to the *** at the Supply Price. *** will not have any obligation to supply any Product, unless and until *** provides a Letter of Credit in respect of such Product supply. The *** will be responsible for and pay any and all bank charges relating to each and every Letter of Credit, including confirmation charges.
Translation - French MÉMORANDUM D’ENTENTE
Le présent mémorandum d’entente (désigné ci-après par le vocable (« MDE ») est conclu le___________ ___________________ 2013 entre le Centre national d’*** (***) du Ministère de la Santé de *** (***) et *** (***).
CIRCONSTANCES :
Le Gouvernement de *** à travers son Centre national d’*** (***) souhaite développer l’accès des patients de *** (« le Territoire ») aux soins médicaux et faciliter leur accès à des Produits oncologiques novateurs.
Le *** a conçu un programme pour permettre au gouvernement de faciliter aux patients cet accès aux soins médicaux. Grâce à ce programme, les Produits *** de *** seront proposés à un prix réduit ou gratuitement.
*** a accepté de collaborer avec le *** pour mettre en place ledit programme et chaque partie acceptera donc d’établir le présent MDE dans le but de déterminer les conditions destinées à régir les obligations de chaque partie dans le cadre de l’implémentation dudit programme en ***.
CHAMP D’APPLICATION ET RELATIONS DANS LE CADRE DE L’ENTENTE :
1. Les Produits seront délivrés aux patients gratuitement ou vendus en appliquant une marge n’excédant pas 15 %. Dans chaque cas, la définition du prix approprié pour chaque patient sera laissée à la discrétion du ***
2. *** fournira les Produits au *** en respectant la liste de prix des présentes. Les Produits, les prix et autres détails pertinents sont répertoriés et identifiés dans l’Annexe A.
3. Les prix négociés et présents dans l’Annexe A ont été approuvés conformément aux accords sur la demande des Produits.
4. Aux fins de servir le présent MDE, *** devra livrer un (1) paquet gratuit pour chaque paquet commandé par le ***.
5. *** devra fournir au *** une formation sur l’utilisation et l’administration adéquate des Produits le cas échéant, lorsqu’il le jugera nécessaire.
6. Les Produits fournis sont uniquement destinés au Territoire convenu, à savoir la ***.
ACCORDS PASSÉS SUR LA DEMANDE :
Les parties conviennent que la demande de Produits devra correspondre à la demande définie dans l’Annexe A. Si, à la fin de l’année civile, tout ou partie des objectifs minimum présentés dans l’Annexe A n’ont pas été atteints ou dans le cas ou la demande souffrirait une baisse de plus de 10 %, *** sera habilité, à sa seule discrétion, de réviser les conditions commerciales du présent MDE dans leur intégralité ou uniquement pour certains Produits concernés.
CONDITIONS DE PAIEMENT :
Le *** délivrera, à ses propres frais, une lettre de crédit irrévocable payable à 60 jours garantie par une banque internationale digne de confiance et acceptable à la seule discrétion de *** (« Lettre de crédit ») avant chaque expédition de Produit. Le montant de ladite Lettre de crédit devra correspondre aux coûts des Produits livrés par *** au *** au prix convenu. *** ne sera en aucun cas obligé de livrer quelque Produit que ce soit tant que le *** n’aura pas remis la Lettre de crédit en contrepartie de ladite livraison de Produits. Tous les frais bancaires découlant de chacune de ces Lettres de crédit devront être assumés par le ***, y compris les frais de confirmation.
