With an overall population of roughly 450 million individuals, access to TV in Latin America is widespread, reaching about 100 million households but mostly limited to terrestrial broadcasters.
The number of Pay TV users is estimated in over 21 million households, where only 3,7 million are subscribers to DTH satellite services and the rest to cable TV platforms. Although the greatest proportion of the overall Latin American TV market is still terrestrial TV, Pay TV reaches high levels of penetration in certain countries (for instance, over 60% in Argentina, 50% in Uruguay and 40% in Mexico) and is making a comeback after the years of recession.
Furthermore, approximately 5 million households in the region have already access to digital TV signa;, mostly in Brazil and Mexico. Penetration of digital TV in the region is expected to grow substantially over the coming years to reach over 19% by 2015, translating to 29.7 million digital television households.' IPTV services are expected to take off mainly in Brazil, Argentina and Mexico.
The TV market in Latin America reflects much of the instability that has affected the region during the last few years. After the economic growth and expansion of the 1990s, economic activity in the region was down by 0.5% in 2002. As a result, per capita GDP growth for the Latin American region as a whole was negative for two years in a row. The hardest hit economies were Argentina, Uruguay and Venezuela. Consequently, major local and international companies lowered investments and suffered a slowdown.

Estima-se que o número de usuários da TV paga esteja em mais de 21 milhões, onde somente 3,7 milhões são assinantes dos serviços de satélite, e o resto de sistemas de TV a cabo. Apesar da maior fatia do mercado televisivo latino americano total ainda ser de rede terrestre, a TV paga alcança altos níveis de penetração em certos países (como por exemplo, 60% na Argentina, 50% no Uruguai e 40% no México) e está se recuperando após anos de recessão.
Na verdade, aproximadamente 5 milhões de lares da região já têm acesso ao sinal de TV Digital, principalmente no Brasil e no México. Espera-se que a penetração da TV Digital na região cresça substancialmente ao longo dos próximos anos, ultrapassando a marca de 19% em 2015 e, levando o sinal digital para dentro de 29.7 milhões de lares. Também se espera um grande crescimento dos serviços IPTV, sobretudo no Brasil, Argentina e México.
O Mercado de TV na América Latina reflete muito da instabilidade que tem afetado a região nos últimos anos. Posteriormente ao crescimento econômico e expansão dos anos 90, a atividade econômica caiu em até 0,5% em 2002, e o resultado foi que o crescimento geral do PIB per capita na América Latina ficou negativo por dois anos seguidos. As economias mais atingidas foram a da Argentina, do Uruguai e da Venezuela. Conseqüentemente, as grandes companhias locais e as multinacionais diminuíram seus níveis de investimento e sofreram uma desaceleração.

Source text - English I - DEFINITIONS.
In this Agreement the following expressions have the following meanings:
1.1 "Affiliate" means a Corporation, company, partnership, or other legal entity which, directly or indirectly, through one or more intermediaries, controls or is controlled by, or is under common control with, YYYY. "Control" means the ownership directly or indirectly the same or more than fifty percent (50%) of the voting rights in a Corporation, company, partnership, or other legal entity.
1.2 "Project" means the study about: "time stabilization of metal/zeolite bi-functional co-catalysts to hydrocrack/hydroisomerizate Fischer-Tropsch waxes in-situ", as XXXX Project proposal, Annex A attached herein.
1.3 "XXXX Technical Information" shall mean the study preparation, characterization and evaluation of the results in this domain that belong to University prior of the date of signature of this Agreement.
1.4 "Data" shall mean the operational data and technical information belonging to YYYY and made available or/disclosed to XXXX for carrying out the study.
1.5 "Foreground Information" shall mean all results and the application arising out of Annex A of the Project, mainly the catalyst composition and characteristics, spatial velocity, reactor's pressure and temperature profiles, reactor's dimensions and reactor's catalyst bed length, with the data related with the Project, subject of this Agreement.
1.6 "Deliverables" means the Progress Report and the Final Report about the Project Results to be prepared and delivered by XXXX to YYYY.
1.7 "Effective Date" means the date when YYYY shall obtain from Brazilian
Central Bank the Financial Operation Register of this Agreement. YYYY shall promptly notify XXXX in writing after YYYY receives such Financial Operation Register.
II-SCOPE
2.1 The scope of this Agreement is to define the terms and conditions under which
XXXX, in close consultation with YYYY, shall carry out the Project, as
described in Annex A.
III - PLAN OF WORK
3.1 XXXX shall conduct the Project, as described in the Annex A.
3.2 The Data will be made available by YYYY and XXXX using XXXX Technical Information in the carrying out the Project, observing item 7.1 of the confidentiality clause.
3.3 Mr. So and So, for XXXX, and Mr. Someone, for YYYY, are designated as Technical Coordinators for this Agreement. The Technical Coordinators will be responsible for transmitting information to and receiving information from the other Party, coordinating visits and arranging all others matters pertinent to this Agreement.
3.4 Written progress report shall be provided by XXXX to YYYY in accordance with the Statement of Work attached as Annex A.
3.5 During the Project work, representatives of each one of the Parties will meet with the representatives of the other party at times and places mutually agreed upon to discuss the progress of results, as well as ongoing plans, or changes therein, of the Project work to be performed hereunder. f
IV - SCHEDULE
4.1 The Project will be completed within the period of 6 months next following the Effective Date, as described in the time schedule, Annex A and when YYYY has accepted the Deliverables (as defined in 1.6) of Project.
V - FINANCIAL CHARGES
5.1 For the mobilization cost of the Project activities, YYYY shall pay to
XXXX a total amount of € 50,000 (fifty thousand Euros) net and free of charges
incurred in Brazil, in accordance with the following schedule:
• € 25,000 (twenty-five thousand Euros) after one (1) month from the Effective Date and the acceptation by YYYY of the Progress Report;
• € 25,000 (twenty-five thousand Euros) after (6) months after the Effective Date and acceptation by YYYY of the Final Report.
5.2 Other conditions must be observed, as follows:
a) Invoice shall be submitted in three counterparts to YYYY.

I – DEFINIÇÕES
Neste Contrato, as seguintes expressões terão como significado o que ora segue:
1.1 "Afiliada" significará Sociedade, companhia, parceria, ou qualquer outra entidade legal que, de forma direta ou indireta, através de um ou mais intermediários, controla ou é por esta controlada, ou sofre o controle conjuntamente com a YYYY. "Controle" significará a propriedade direta ou indireta da mesma ou de mais de 50% (cinquenta por cento) dos direitos de voto em uma Sociedade, companhia, parceria, ou qualquer outra entidade legal.
1.2 "Projeto" significará o estudo sobre a "estabilização temporal dos cocatalisadores bifuncionais metal/zeólito para o hidrocraqueamento/hidroisomerização de ceras Fischer-Tropsch insitu", conforme a proposta de Projeto XXXX, Anexo A incluída no presente.
1.3 "Informação Técnica da XXXX" significará a preparação, caracterização e avaliação do estudo dos resultados, pela área de conhecimentos, que já pertencia a Universidade desde antes da data de assinatura do Contrato.
1.4 "Dados" significará os dados operacionais e informações técnicas pertencentes a YYYY e que serão disponibilizados, ou revelados, à XXXX para que sejam realizados os estudos.
1.5 "Fundamentos Operacionais" significará todos os resultados e suas aplicações que derivem do Anexo A do Projeto, principalmente características e composição dos catalisadores, velocidade espacial, perfil de temperatura e pressão dos reatores, dimensão do leito catalítico dos reatores, com dados que se relacionem ao Projeto, consoante este Contrato.
1.6 "Demonstrativos" significará o Relatório de Progressividade e o Relatório Final sobre os Resultados do Projeto a serem preparados e entregues pela XXXX a YYYY.
1.7 "Data Efetiva" significará a data quando a YYYY tiver obtido do Banco Central do Brasil o Registro de Operações Financeiras deste Contrato. A YYYY deverá imediatamente notificar a XXXX por escrito, quando do recebimento de tal Registro de Operações Financeiras.
II-ESCOPO
2.1 O escopo deste Contrato será a definição dos termos e condições sob os quais a
XXXX, após discussão com a YYYY, deverá realizar o Projeto conforme está descrito no Anexo A.
III - PLANO DE TRABALHO
3.1 A XXXX conduzirá o Projeto conforme descrito no Anexo A.
3.2 A YYYY e a XXXX disponibilizarão Dados que juntamente com as Informações Técnicas da XXXX virão a produzir os resultados do Projeto, observado o item 7.1 da cláusula de sigilo.
3.3 O Sr. Beltrano, pela XXXX, e o Sr. Cicrano, pela YYYY, foram designados os Coordenadores Técnicos deste Contrato. Os Coordenadores Técnicos serão responsáveis pela transmissão e recepção de informações de uma Parte à outra, coordenando visitas e cuidando de quaisquer outros arranjos pertinentes ao Contrato.
3.4 A XXXX deverá providenciar relatórios escritos de progressividade para a YYYY segundo o Andamento do Trabalho apenso como Anexo A.
3.5 Durante os trabalhos do Projeto, os representantes de cada uma das Partes se encontrarão com os representantes da outra parte, em horários e ocasiões previamente estabelecidos, a fim de discutir a progressividade dos resultados, assim como o desenrolar de planos e mudanças havidos no Contrato quanto aos trabalhos relativos ao Projeto, e que precisem ser concluídos.
IV - CRONOGRAMA
4.1 O Projeto deverá ser concluído dentro de um período de 6 meses após a Data Efetiva, conforme descrito no cronograma, Anexo A, e quando a YYYY tiver recebido os Produtos (conforme definido no item 1.6) do Projeto.
V - COBRANÇAS
5.1 Para os custos de mobilização das atividades do Projeto, a YYYY pagará a XXXX uma quantia total € 50.000 (cinquenta mil Euros), líquidos e livres de impostos incorridos no Brasil, segundo o seguinte esquema:
• € 25.000 (vinte e cinco mil Euros) depois de 1 (um) mês a partir da Data Efetiva e do aceite da YYYY do Relatório de Progressividade;
• € 25,000 (vinte e cinco mil Euros) depois de 6 (seis) meses a partir da Data Efetiva e do aceite da YYYY do Relatório Final.
5.2 Outras condições deverão também ser seguidas:
a) A Fatura deverá der submetida a YYYY em três vias.
