Source text - English 5.13 Drag Along
5.13.1 At any time after expiration of the Lock-Up Period, if an Offeror makes a bonafide offer to purchase all of a Selling Shareholder's Shares, if such Selling Shareholder has an Ownership Percentage of at least fifteen (15%) percent (hereinafter the "Drag Along Purchaser"), then, after complying with the provisions relating to the Right of First Refusal hereinabove, the Selling Shareholder shall have the right (but not the obligation), by Notice (hereinafter the "Drag Along Notice") to the other shareholders (hereinafter the "Drag Along Shareholders") to require the Drag Along Shareholders to sell all of the shares owned by such Drag Along Shareholders (hereinafter the
"Drag Along Shares") to the Drag Along Purchaser at the same price per share and on the same terms as the Drag Along Purchaser has offered to purchase the Offered Shares from the Selling Shareholder. The Drag Along Notice shall contain a
description of the offered price per share, along with the proposed completion date for the Transfer to the Offeror of the Offered Shares and the Drag Along Shares, which completion date shall be not earlier than fifteen (15) Business Days after the
date of the Drag Along Notice and not later than one hundred eighty (180) days from the date of the Drag Along Notice, notwithstanding the ninety (90) day Transfer Period specified hereinabove (hereinafter the "Drag Along Completion").
5.13.2 At the Drag Along Completion, the Drag Along Shareholders agree to execute and deliver all documents required by the Selling Shareholder and the Drag Along Purchaser to consummate the Transfer of the Drag Along Shares to the Drag Along Purchaser on the terms set forth in the Drag Along Notice
5.13.3 In the event that Drag Along Completion does not occur within one hundred eighty (180) days from the date of the Drag Along Notice, the Drag Along Notice shall be deemed rescinded.
Translation - Ukrainian 5.13 Зобов’язання міноритарного акціонера продати акції
5.13.1 У будь-який момент після завершення Періоду заборони, якщо Оферент висуває оферту бона фіде купити всі Акції Акціонера-продавця, процента частка в акціонерному капіталу якого складає не менше п’ятнадцяти (15%) відсотків (далі – «Покупець акцій»), тоді після дотримання всіх положень, пов’язаних з Правом першої відмови, визначеним вище у цьому Статуті, Акціонер-продавець має право (але не зобов’язаний), надіславши Повідомлення (Повідомлення-вимога на продаж акцій) іншим акціонерам (далі – «Зобов’язані акціонери») вимагати від Зобов’язаних акціонерів продати всі акції, що належать таким Зобов’язаним акціонерам (далі – «Обов’язкові акції»), Покупцю акцій за ту саму ціну за акцію та на тих самих умовах, на яких Покупець акцій пропонував викупити Заявлені акції у Акціонера-продавця. Повідомлення-вимога має містити опис Ціни оферти за акцію, а також запропоновану дату завершення Передачі Оференту Заявлених акцій та Обов’язкових акцій, термін завершення яких не повинен настати раніше ніж через п'ятнадцять (15) Робочих днів з дати Повідомлення про вимогу та не пізніше ніж через сто вісімдесят (180) днів з дати Повідомлення про вимогу, незважаючи на дев’яносто (90) денний Період передачі, вище встановлений у цьому Статуті (надалі – «Завершення угоди на обов’язковий продаж акцій»).
5.13.2 По Завершенню угоди на обов’язковий продаж акцій, Зобов’язані акціонері погоджуються підписати та передати всі документи, необхідні Акціонеру-продавцю та Покупцю акцій для завершення Передачі Обов’язкових акцій Покупцю таких акцій на умовах визначених у Повідомленні про вимогу продажу акцій.
5.13.3 У випадку, якщо Завершення угоди на обов’язковий продаж акцій не відбудеться протягом ста вісімдесяти (180)днів з дати Повідомлення про вимогу продажу акцій, Повідомлення про вимогу продажу таких акцій вважатиметься анульованим.
