(nachstehend „YY" genannt)
I. Präambel
(1) YY ist alleinige Gesellschafterin der ZZ Zagreb d.o.o, mit einem voll
eingezahlten Stammkapital von KUNA 20.000,-- (nachstehend „ZZ" genannt).
Die „ZZ Zagreb d.o.o." hat als Vermieter mit XX als Mieter betreffend die
Liegenschaften

samt einem darauf zu errichtenden Gebäude (gemeinsam nachstehend „Mietobjekt" genannt) einen Mietvertrag (Operating Lease) samt Zusatzvereinbarung (gemeinsam nachstehend „Operating Leasevertrag" genannt) mit einer unkündbaren Laufzeit von 20 Jahren abgeschlossen. Der Operating Leasevertrag sowie alle sonstigen in diesem Zusammenhang abgeschlossenen Verträge und Vereinbarungen sind den Vertrags¬partnern vollinhaltlich bekannt.
(2) YY ist grundsätzlich bereit, XX eine Option auf den Erwerb der Gesell¬
schaftsanteile an der ZZ einzuräumen. Weiters ist XX grundsätzlich bereit,
der YY ein Andienungsrecht über die Geschäftsanteile an der „ZZ" ein¬
zuräumen.
Die Vertragsparteien vereinbaren nunmehr folgendes:
II. Option
(1) YY räumt hiermit der XX das Recht ein, 100% der Geschäftsanteile der „ZZ" von der YY zu den nachstehenden Bedingungen zu übernehmen. Dieses Optionsrecht kann nur schriftlich unter Einhaltung einer 6-monatigen Benach¬richtigungsfrist jeweils zum Ende eines Kalenderjahres, frühestens jedoch zum 30.6.2026, von XX ausgeübt werden. Weiters ist eine Optionsausübung nur unter der Voraussetzung der bis dahin ordnungsgemäßen Erfüllung des Operating Lease¬vertrages und sämtlicher in diesem Zusammenhang abgeschlossenen Vereinbarun¬gen zulässig. Nach Optionsausübung durch XX werden die Vertragsparteien binnen einer Frist von einem Monat einen entsprechenden Kaufvertrag über die Gesell¬schaftsanteile unter Zugrundelegung nachstehender Bedingungen abschließen.
III. Andienungsrecht YY
(1) Mit Ablauf der Dauer des Operating Leasevertrages oder aber sobald YY be¬rechtigt wäre, den Operating Leasevertrag gemäß dessen Bestimmung vorzeitig auf¬zulösen oder von diesem zurückzutreten, ist YY berechtigt, XX 100% der Geschäftsanteile an der „ZZ" schriftlich zum Kauf anzubieten.
(2) Darüber hinaus ist YY berechtigt KlKA auch während der ordnungsgemäßen Erfüllung des Operating Leasevertrages durch XX, sämtliche Geschäftsanteile an der „ZZ" zum Kauf anzubieten, soferne eine wahrend der Laufzeit des Opera¬ting Leasevertrages eintretende Änderung der steuerlichen (insbesondere steuer¬rechtlichen), rechtlichen (insbesondere zivilrechtlichen) oder wirtschaftlichen - nicht durch „ZZ" verursachten - Rahmenbedingungen in Kroatien eintritt, oder nachträglich ein derartiger Umstand bekannt wird, der für die „ZZ" und/oder YY nachteilig ist und XX nicht bereit ist, die daraus erwachsenden Konse¬quenzen zu tragen. Dies ist insbesondere dann der Fall, wenn „ZZ" die auf¬genommen Fremdfinanzierung nicht im vereinbarten Umfang aufrechterhalten kann und z.B. von der YY oder einem Dritten Eigenkapita! zuzuführen ist oder wenn „ZZ" die Fremdwährungsverbindlichkeiten nicht mehr vereinbarungsgemäß rückführen kann. Die Beurteilung, ob eine eingetretene Änderung der steuerlichen (insbesondere steuerrechtlichen), rechtlichen (insbesondere zivilrechtlichen) oder wirtschaftlichen Rahmenbedingungen oder ein solcher nachträglich hervorgekomme¬ner Umstand für die ZZ und/oder YY nachteilig ist, obliegt der YY. YY wird ihre Beurteilung unter Offenlegung der Gründe der XX darlegen.
(3) Sollte YY ihr Andienungsrecht gemäß (1) oder (2) in Anspruch nehmen, so ist XX verpflichtet, mit der YY über die zum Kauf angebotenen Geschäftsanteile binnen einer Frist von einem Monat einen Kaufvertrag unter Zugrundelegung der nachstehenden Bedingungen abzuschließen, oder einen dritten Käufer namhaft zu machen, weicher an Steile von XX die Geschäftsanteile zu den gleichen Bedingun¬gen ewirbt, wobei jedoch XX für die Erfüllung der Verpflichtungen durch diesen Käufer haftet. Kommt es innerhalb der genannten Frist von einem Monat nicht zum
Abschluß eines Kaufvertrages über die Geschäftsanteile, ist XX dennoch verpflich¬tet, binnen einer weiteren Frist von 4 Wochen den Abtretungspreis zu bezahlen und die Verbindlichkeiten der ZZ zurückzuführen.
IV. Jahresabschlüsse, Geseiischafterbeschlüsse, Gesellschaftsvertrag
(1) Bis zur Errichtung des Abtretungsvertrages wird YY einmal jährlich XX Jah¬resabschlüsse sowie eine Aufstellung der von der ZZ getätigten, nicht von XX oder Dritten ersetzten oder nicht in die Kalkulation der Mietentgelte (in der Folge kurz als „Entgelt" bezeichnet) einbezogenen Zahlungen der ZZ übermitteln und auch in die bezughabenden Unterlagen Einsicht gewähren. XX wird binnen ei¬ner Frist von 4 Wochen nach Übermittlung des Jahresabschlusses und dieser Aufstel¬lung die Richtigkeit der darin ausgewiesenen Positionen bestätigen oder begründet einen anfälligen Einwand erheben. Sollte XX innerhalb der genannten Frist keine Stellungnahme abgeben, so liegt darin eine Bestätigung der Richtigkeit des Jahres¬abschlusses und der Aufstellung.
(2) Die YY ist berechtigt, ohne Zustimmung von XX vor Ausübung der Opti¬on/des Andienungsrechtes durch XX bzw. YY einen Gesellschafterbeschluß über die Änderung des Firmenwortlautes der ZZ zu fassen sowie sämtliche sonstigen Maßnahmen als Gesellschafter der ZZ zu setzen, die ihr notwendig und/oder zweckmäßig erscheinen. Gleichzeitig verpflichtet sich „ZZ" in der „ZZ" nur das vertragsgegenständliche Projekt durchzuführen. Bis zur Aus¬übung der Option/des Andienungsrechtes ist daher YY in ihrer Gesellschafter-stellung in keiner Weise eingeschränkt.
(3) XX übernimmt den Geschäftsanteil an der ZZ mit allen Rechten und Pflich¬ten, wie sie der YY zustehen bzw. obliegen.
(4) XX erklärt, den Gesetlschaftsvertrag in der im Annahmezeitpunkt geltenden Fas¬
sung zu akzeptieren und sich allen seinen Bestimmungen zu unterwerfen sowie die
YY hinsichtlich aller übernommenen Verpflichtungen und Verbindlichkeiten, die
sich aus ihrer Gesellschaftersteilung ergeben, vollkommen schad- und klaglos zu hal¬
ten.
V. Haftung der YY
(1) Die YY übernimmt während des aufrechten Bestehens des Operating Lease-vertrages die Haftung, daß ihr Geschäftsanteil an der ZZ ihr unbeschränktes Eigentum darstellt und nicht mit Rechten Dritter belastet ist bzw. werden wird.
(2) Die YY haftet nicht für einen bestimmten Ertrag aus ihrem Geschäftsanteii an der „ZZ" oder eine bestimmte wirtschaftliche Situation der „ZZ", soferne nicht fahrlässig durch „ZZ" eine nachteilige Situation herbeigeführt wurde. Die YY übernimmt weiters keine Gewähr bzw. Haftung für Mängel welcher Art auch immer, insbesondere auch für verdeckte Mängel oder allfällige Kontaminierun-
gen sowie für ein bestimmtes Ausmaß, eine bestimmte Beschaffenheit, Eigenschaft, Nuizungsmögiichkeit oder bestimmte Erträgnisse der im Eigentum der „ZZ" stehenden Liegenschaften samt dem darauf befindlichen Gebäude.
(3) YY wird dafür sorgen, daß die ZZ während des aufrechten Bestehen des Operating Leasevertrages ohne vorherige Zustimmung der XX keine weiteren Operating Leaseverträge oder sonstige Transaktionen mit Dritten abschließt und auch das Mietobjekt bzw. die entsprechenden Liegenschaften in keiner Weise bücherlich oder außerbücherlich belastet.
VI. Stichtag
(1) Der Übergang aller mit dem Geschäftsanteil an der ZZ verbundenen Rechte und Pflichten auf XX erfolgt mit Errichtung des Abtretungsvertrages (nachstehend „Stichtag" genannt). Allfällige Vollmachten zur Fortfuhrung des ordentlichen Ge¬schäftsbetriebes im Sinne des neuen Gesellschafters werden von YY erteilt werden.
(2) Zum Stichtag werden die Geschäftsführer, Prokuristen und Handlungsbevollmächtig¬ten der Gesellschaft abberufen und wird ihnen die Entlastung erteilt.
VII. Abtretungspreis
(1) Der Preis für die Übertragung des Geschäftsanteiles an der „ZZ" errechnet sich unter Zugrundelegung einer Stichtagsbilanz durch Addition bzw. Subtraktion fol¬gender Werte und Beträge:
a) Bei in Anspruchnahme des Options- bzw. Andienungsrechtes zum Ablauf des
Operating Leasingvertrages, wird zur Berechnung des Preises für den Ge¬
schäftsanteil der Restwert herangezogen.
aa) Bei in Anspruchnahrne der Options- bzw. Andienungsrechtes vor dem vereinbar¬ten Vertragsablauf wird zur Berechnung des Preises für den Geschäftsanteil die Summe der bis zum Ablauf der vereinbarten Dauer des Operating Leasevertra-ges in EUR zu leistenden Entgelte sowie der vereinbarte kalkulatorische Rest¬wert, abgezinst nach der Rentenbarwertformel unter Zugrundelegung des der Be¬rechnung der Entgelte zum Stichtag der Übertragung der Geschäftsanteile zug¬rundegelegten Verzinsungsäquivalentes abzüglich 0,45 %-Punkte, herangezo¬gen.
b) Hinzuzurechnen sind alle sonstigen Aktiva der „ZZ" mit ihrem Verkehrs¬wert, mindestens jedoch mit dem Buchwert, mit Ausnahme des Mietobjektes ge¬mäß der Präambel Absatz (2).
c) Alle von der „ZZ" bis zur Annahme dieses Anbotes getätigten Zahlungen (insbesondere im Zusammenhang mit der Gesellschaftserrichtung (ca.
EUR 2.000,-), aber auch Steuern (z.B. Gebäudesteuern, „Tax on Land" u.a.m.), zuzüglich errechneter Ertrag- und Quellensteuern, die sich daraus ergeben, daß es durch eine erhöhte Eigenkapitalausstattung infolge EigenkapitaizuFührungen des Gesellschafters auf Grund von zivilrechtlichen, steuerrechtiichen und sonsti¬gen Eigenkapitalausstattungsverpflichtungen zu einem Ausfall von aufwandwirk¬samen Zinsen kommt, zuzüglich Ertrag- und Quellensteuern für Scheingewinne (z.B. aufgrund von absterbenden Verlustvorträgen), zuzüglich einer anfälligen Quellensteuer auf die Refinanzierungszinsen, zuzüglich der der „ZZ" ent¬stehenden Kosten für die Finanzierung der Mehrwertsteuer im Zusammenhang mit dem Ankauf bzw. der Errichtung des Mietobjektes sowie die Kosten für eine allenfalls notwendige Zwischenveranlagung von Devisen bzw. Kuna (Kursverlus¬te, Zinsenausfall etc.), zuzüglich Kosten der Gesellschaftsgründung, zuzüglich Abgaben, Kosten der Buchhaltung, Kosten der Steuerberatung, Wirtschaftsprü¬fung, Bilanzerstellung etc.), soweit diese Zahlungen, Kosten und Steuern nicht als Bestandteil der Gesamtinvestitionskosten in die Kalkulation des Entgeltes einbe¬zogen wurden oder von der XX bzw. Dritten ersetzt wurden, die entsprechen¬den Beträge umgerechnet - falls in Kuna zahlbar- mit dem von der HVB Splitska Banka, Zagreb zwei Banktage vor Zahlung für den Ankauf von Euro gegen Hin¬gabe von Kuna genannten Kurs (es wird der Kurs herangezogen, den die HVB Splitska Banka, Zagreb als Sonderkurs gewährt oder der Kurs, den die HVB Splitska Banka, Zagreb der „ZZ" ais Tochtergesellschaft der „Bank Austria Creditanstalt Leasing GmbH, Wien" gewährt, wobei jeweils der günstigere Kurs herangezogen wird), zuzüglich kalkulatorischer Zinsen in Höhe des der Be¬rechnung des Entgeltes aus dem Operating Leasevertrag zugrundeliegenden Zinssatzes, berechnet vorschüssig bei monatlicher Kapitalisierung.
d) Hinzuzurechnen sind weiters alle der „ZZ" und/oder der YY aus
Anlaß der Übertragung der Geschäftsanteile entstehenden Kosten und Abgaben
(einschließlich einer Veräußerungsgewinnbesteuerung), zuzüglich der Kosten der Erstellung und Prüfung der Abtretungsbilanz), in EURO.
e) Zinsen aus dem Abtretungspreis in Höhe des der Berechnung des zuletzt vorge¬schriebenen Entgeltes zugrunde gelegten Zinssatzes bis zum Tag der Errichtung des Abtretungsvertrages oder/und Zahlung.
f) Verbindlichkelten und Rückstellungen werden in Abzug gebracht.
(2) XX ist in Kenntnis, daß Verbindlichkeiten der „ZZ" aus der Finanzierung des Mietobjektes (Ankauf, Errichtung, Instandhaltung, Instandsetzung, Verpflichtungen gegenüber Dritten etc.), dem Betrieb, der Vermietung und der Verwaltung des Mietob¬jektes und aus der Finanzierung sämtlicher Abgaben, Steuern, Wirtschaftsprüfungs¬kosten etc. im Zusammenhang mit der Gestionierung der Gesellschaft und des Be¬standobjektes in der Gesellschaft verbleiben, XX ist weiters in Kenntnis der im Zu¬sammenhang mit der Refinanzierung anzuwendenden steuerlichen Vorschriften und erklärt sich einverstanden, daß alle aus den entsprechenden Abgabenverpflichtungen resultierenden Verbindlichkeiten ebenfalls in der „ZZ" verbleiben.
(3) Die Refinanzierung der „ZZ" erfolgt durch Fremdwährungsdarlehen in Euro. Mit diesem Refinanzierungsdarlehen werden sämtliche Ausgaben der „ZZ", insbesondere jene für die Anschaffung, Errichtung, Instandhaltung und den Betrieb des Mietobjektes, für die Gestionierung der Gesellschaft, für die Bezahlung aller Ho-
norare, Kosten, Abgaben, Steuern (insbesondere Körperschaftssteuer) und Gebühren etc. refinanziert. Die Rückführung des Darlehens erfolgt aus den Einnahmen aus dem Operating Leasevertrag.
VIII. Abwicklung
(1) Der sich gemäß Punkt VII ergebende Kaufpreis wird in einem in Euro festgelegten Betrag vereinbart.
(2) Die Bezahlung des Kaufpreises hat in Euro zu erfolgen. XX übernimmt die Ver¬pflichtung, vor Errichtung des Abtretungsvertrages entweder die zur Sicherung der Rückführung dieser Verbindlichkeiten zu vereinbarenden Sicherungsmittel zu bestel¬len oder die Verbindlichkeiten umzuschulden.
(3) Der Kaufpreis für die Übertragung der Geschäftsanteile ist bis zum Tag des tatsächli¬chen Einganges des Kaufpreises auf dem Konto der YY mit einem Zinssatz in Höhe des der Berechnung des Entgeltes im Monat des Stichtages der Übertragung der Geschäftsanteile zugrundegelegten Zinssatzes zu verzinsen.
IX. Allgemeines
(1) Die Vertragsparteien können Rechte unter dieser Vereinbarung nur mit Zustimmung des jeweils anderen Vertragspartners übertragen oder verpfänden. Eine ohne Zu-
Stimmung des anderen Vertragspartners vorgenommene Verfügung über dieses
Rechte ist rechtsunwirksam.
(2) Änderungen und Ergänzungen dieser Vereinbarung, einschließlich der Vereinbarung, künftighin vom Schriftlichkeitserfordernis abgehen zu wollen, bedürfen zu ihrer Rechtswirksamkeit der Schriftform. Mündliche Nebenabreden bestehen nicht bzw. verlieren mit Abschluß dieser Vereinbarung ihre Rechtsverbindlichkeit.
(3) Die Kosten der Errichtung dieser Vereinbarung und der Errichtung des Abtretungsver¬trages {Notariatsakt) sowie allfällige damit verbundene Steuern, Abgaben und Gebüh¬ren trägt XX. Die Kosten einer etwaigen rechtsfreundlichen Vertretung bzw. Bera¬tung trägt jeder Vertragsteil selbst.
(4) Erfüllungsort ist Wien. Als ausschließlicher Gerichtsstand wird zur Entscheidung aller sich aus dieser Vereinbarung ergebenden Streitigkeiten unter Anwendung österreichi¬schen Rechts '- mit Ausnahme der Normen des internationalen Privatrechts - die Zu¬ständigkeit des sachlich zuständigen Gerichtes für den ersten Wiener Gemeindebe¬zirk vereinbart.

I. Preambula
(1) YY jedini je vlasnik društva ZZ Zagreb d.o.o, s potpuno
uplaćenim temeljnim kapitalom u iznosu od HRK 20.000,-- (u daljnjem tekstu „ZZ").
Tvrtka „ZZ Zagreb d.o.o." u svojstvu zakupodavca sklopila je s XX kao zakupcem nekretnina:

uključujući zgradu koja se tek na njima treba izgraditi (skupno se u daljnjem tekstu nazivaju "objekt leasinga") Ugovor o leasingu (operativni leasing) kao i dodatne sporazume (u daljnjem tekstu skupno se nazivaju „Ugovor o operativnom leasingu") na neotkazivi rok od 20 godina. Ugovorni partneri u potpunosti su upoznati s Ugovorom o operativnom leasingu kao i sa svim drugim ugovorima i sporazumima koji su zaključeni s njime u vezi.
(2) YY u načelu je spremna dati XX opciju za kupnju
poslovnih udjela društva ZZ. Nadalje, XX je u načelu spremna,
dati tvrtki YY pravo prodaje poslovnih dijelova društva „ZZ".

Slijedom toga, ugovorne strane definiraju sljedeće:
II. Opcija
(1) YY ovime daje XX pravo preuzimanja 100% poslovnih udjela tvrtke ZZ od YY pod sljedećim uvjetima. Ovo pravo na opciju XX može realizirati samo pisanim putem uz pridržavanje šestomjesečnog roka obavještavanja i to uvijek na kraju kalendarske godine, ali najranije 30.6.2026. Nadalje, opcija se može realizirati samo pod uvjetom urednog ispunjavanja obveza iz Ugovora o operativnom leasingu te svih drugih sporazuma koji su zaključeni u ovom kontekstu. Nakon što XX realizira gornju opciju, ugovorne strane sklopit će Ugovor o kupnji poslovnih udjela u roku od mjesec dana pridržavajući se sljedećih uvjeta.
III. Pravo na ponudu YY
(1) Istekom roka Ugovora o operativnom leasingu ili čim YY stekne pravo prijevremenog raskida ili odstupanja od Ugovora o operativnom leasingu, YY ima pravo ponuditi XX kupnju100% poslovnih udjela društva „ZZ" u pisanom obliku.
(2) Osim toga YY ima pravo ponuditi KlKAI i tijekom perioda njenog urednog ispunjavanja Ugovora o operativnom leasingu, kupnju svih poslovnih udjela društva „ZZ" osim ako za vrijeme trajanja Ugovora o operativnom leasingu ne dođe do promjene općih uvjeta u Hrvatskoj, bilo u poreznom (posebno porezno-pravnom), pravnom (posebno na području građanskog prava) ili ekonomskom smislu - a koje nije prouzročilo društvo „ZZ" - ili ako se naknadno sazna o takvoj situaciji koja bi bila nepovoljna za „ZZ" i/ili YY te XX ne bude pripravna snositi posljedice takve novonastale situacije. To bi se posebno odnosilo na situaciju kada se „ZZ" više ne bi mogao financirati tuđim sredstvima u ugovorenom opsegu te bi bio potreban priljev vlastitog kapitala npr. od YY ili nekog trećeg društva ili kada društvo „ZZ" više ne bi bilo u stanju vraćati svoje obveze u stranoj valuti kao što je ugovoreno. YY vrši procjenu je li neka promjena općih uvjeta u poreznom (posebno porezno-pravnom), pravnom (posebno na području građanskog prava) ili ekonomskom smislu ili neka slična kasnije nastala situacija nepovoljna za ZZ i/ili YY. YY predočit će XX ovu procjenu skupa s razlozima zbog kojih je istu izvršila.
(3) Ako YY iskoristi svoje pravo na ponudu sukladno člancima (1) ili (2), XX je obvezna u roku od mjesec dana sklopiti s tvrtkom YY ugovor o kupnji ponuđenih poslovnih udjela pridržavajući se sljedećih uvjeta ili imenovati nekog trećeg kupca koji će pod istim uvjetima umjesto XX kupiti ove poslovne udjele, pri čemu međutim XX jamči za ispunjenje obveza od strane toga kupca. Ako u roku od mjesec dana ne dođe do zaključivanja
ugovora o kupnji poslovnih udjela, XX je ipak obvezna platiti cijenu ustupanja u dodatnom roku od četiri tjedna te platiti obveze društva ZZ.
IV. Godišnja izvješća, odluke društva, društveni ugovor
(1) Do izrade ugovora o ustupanju, YY će jednom godišnje XX omogućiti uvid u financijska izvješća te joj poslati popis plaćanja koja je društvo ZZ izvršilo, a koja nisu kompenzirana od strane XX ili neke treće osobe i nisu uključena u izračun naknade za leasing (u daljnjem tekstu skraćeno "naknada") kao ni u dokumentaciju u vezi s time. XX će u roku od 4 tjedna nakon slanja financijskih izvješća i gornjeg popisa potvrditi točnost pozicija koje su u njemu iskazane ili će uz obrazloženje uputiti eventualni prigovor. Ako XX ne iznese svoje stajalište unutar gore navedenoga roka, smatrat će se da prihvaća financijska izvješća i popis.
(2) Prije realizacije opcije/prava ponude od strane XX i bez pristanka XX, YY ima pravo donijeti odluku društva o izmjeni imena društva ZZ te poduzeti sve druge mjere kao vlasnik društva ZZ koje joj se čine neophodne i/ili svrsishodne. Istovremeno se društvo ZZ obvezuje provoditi unutar društva ZZ samo projekt koji je predmet Ugovora. To znači da tvrtka YY do realizacije opcije/prava ponude ni na koji način nije ograničena u svome statusu vlasnika tvrtke.
(3) XX preuzima poslovni udio društva ZZ sa svim pravima i obvezama koje ima YY.
(4) XX izjavljuje da prihvaća društveni ugovor u verziji koja je važeća u trenutku njegova primitka te da će poštivati sve njegove odredbe kao i da će tvrtku YY u potpunosti osloboditi štete i tužbe glede svih preuzetih obveza i dugovanja koja proizlaze iz njenog vlasničkog položaja.
V. Jamstva tvrtke YY
(1) Za vrijeme trajanja Ugovora o operativnom leasingu tvrtka YY jamči da njen poslovni udio u tvrtki ZZ predstavlja njeno neograničeno vlasništvo te da nije i da neće bit opterećen pravima trećih osoba.
(2) YY ne jamči neki određeni prinos iz svog poslovnog udjela u tvrtki ZZ ili neko određeno financijsko stanje tvrtke ZZ, osim ako tvrtka ZZ nije prouzročila neku negativnu situaciju svojim nemarom. Nadalje, YY ne preuzima nikakve druge garancije tj. jamstva za nedostatke bilo koje vrste, posebno za skrivene nedostatke ili eventualna onečišćenja,
kao ni za neku određenu mjeru, neko određenu svojstvo, osobinu, mogućnost korištenja ili za neke određene prihode nekretnine u vlasništvu društva „ZZ", uključujući i zgradu koja se na istoj nalazi.
(3) YY pobrinut će se da društvo ZZ za vrijeme trajanja Ugovora o operativnom leasingu ne zaključi druge ugovore o operativnom leasingu i da ne uđe u druge transakcije s trećim osobama bez prethodnog pristanka tvrtke XX kao i da ne optereti objekt leasinga tj. predmetne nekretnine, bilo da se taj teret uknjiži u zemljišne knjige ili ne.
VI. Referentni datum
(1) Prijenos svih prava i obveza koje proizlaze iz poslovnog udjela u društvu ZZ na društvo XX uslijedit će izradom ugovora o ustupanju (u daljnjem tekstu: "referentni datum"). YY izdat će sve punomoći koje su eventualno potrebne za nastavak poslovanja s obzirom na novog vlasnika.
(2) Toga dana opozvat će se svi direktori, prokuristi i opunomoćenici društva te će im se dati razrješnice.
VII. Cijena ustupanja
(1) Cijena prijenosa poslovnog udjela na društvo ZZ izračunava se temeljem bilance izrađene referentnog datuma uz dodavanje ili odbitak sljedećih vrijednosti i iznosa:
a) U slučaju realizacije prava na opciju tj. ponudu pri isteku Ugovora o operativnom leasingu za izračun cijene poslovnog udjela koristi se ostatak vrijednosti.
aa) U slučaju realizacije prava na opciju tj. ponudu prije definiranog isteka Ugovora, za izračun cijene poslovnog udjela koristi se zbroj naknade koja bi bila plaćena u eurima do isteka ugovorenog roka Ugovora o operativnom leasingu i ugovorenog kalkulacijskog ostatka vrijednosti. Taj iznos se ukamaćuje prema formuli za izračun gotovinske vrijednosti zakupnine temeljem kamatne stope leasinga koja je služila za izračun naknade za leasing referentnog datuma prijenosa poslovnog udjela, a od čega se oduzimaju 0,45 postotna boda.
b) Tome se priračunava sva druga aktiva društva ZZ po tržišnoj vrijednosti, ali minimalno prema knjigovodstvenoj vrijednosti, uz iznimku objekta leasinga sukladno preambuli, odjeljak (2).
c) Sva plaćanja koja je društvo „ZZ" izvršilo do prihvaćanja ove ponude (posebno u vezi s osnivanjem društva (ca.
EUR 2.000,-), ali i porezi (npr. porez na zgradu, između ostaloga „Tax on Land"), čemu se pridodaju izračunati porez na dobit i porez po odbitku koji su proizašli iz činjenice da je zbog visoke raspoloživosti vlastitog kapital slijedom priljeva kapitala vlasnika zbog građansko-pravnih, pravno-poreznih i drugih obveza vezano uz raspoloživost vlastitog kapitala došlo do gubitka kamata koje se mogu priznati u trošak, uz dodatak poreza na dobit i poreza po odbitku za prividnu dobit (npr. zbog "odumirućih" prijenosa gubitaka), čemu se pridodaje eventualni porez po odbitku na kamate refinanciranja, plus troškovi koje ZZ snosi za financiranje poreza na dodanu vrijednost u vezi s kupnjom i uređenjem objekta leasinga kao i troškovi za eventualno potrebno privremeno investiranje deviza tj. kuna (tečajni gubici, gubitak kamata, itd.) plus troškovi osnivanja društva, plus doprinosi, računovodstveni troškovi, troškovi poreznog savjetovanja, revizije, izrade bilance itd.) ukoliko ova plaćanja, troškovi i porezi nisu kao dio ukupnih troškova ušli u kalkulaciju naknade ili kompenzirani od strane XX ili trećih osoba. Ako su plativi u kunama, ovi iznosi se preračunavaju prema tečaju koji određuje HVB Splitska Banka, Zagreb dva radna dana prije plaćanja za kupnju eura kunama (primjenjuje se tečaj koji HVB-Splitska Banka Zagreb odobrava kao poseban tečaj ili tečaj koji HVB-Splitska Banka Zagreb odobrava tvrtki "ZZ" kao društvu-kćeri "Banke Austria Creditanstalt Leasing GmbH, Beč", pri čemu se uvijek primjenjuje povoljniji tečaj) uvećano za kalkulacijske kamate u visini kamatne stope koja se koristi za izračun naknade iz Ugovora o operativnom leasingu, a koje se izračunavaju unaprijed prilikom mjesečne kapitalizacije.
d) U to ulaze i svi troškovi i odbici temeljem prijenosa poslovnog udjela koje snosi ZZ ili YY (uključujući i oporezivanje dobiti od prodaje) uvećano za troškove izrade i revizije bilance ustupanja), u eurima
e) Kamate na cijenu ustupanja u visini kamatne stope koja služi za izračun propisane naknade do datuma izrade ugovora o ustupanju i/ili plaćanja.
f) Obveze i rezerviranja se odbijaju.
(2) XX je svjesna toga da financijske obveze društva ZZ nastale zbog financiranja objekta leasinga (kupnja, uređenje, održavanje, popravci, obveze prema trećim osobama), obveze iz poslovanja, zakupa i upravljanja objektom leasinga kao i temeljem financiranja svih doprinosa, poreza, troškova revizije itd. u vezi s vođenjem društva i investicijskog objekta ostaju unutar društva; nadalje, XX poznaje porezne propise koji se primjenjuju u kontekstu refinanciranja te izjavljuje da je suglasna s time da sve financijske obveze temeljem odgovarajućih obveza plaćanja doprinosa također ostaju unutar društva ZZ).
(3) Društvo ZZ refinancira se deviznim kreditom u eurima. Ovim kreditom za refinanciranje refinanciraju se svi izdaci društva ZZ, a posebno oni za nabavu, uređenje, održavanje i funkcioniranje objekta leasinga, za vođenje društva, za plaćanje svih
honorara, troškova, doprinosa, poreza (posebno poreza na dobit) te pristojbi. Kredit se vraća iz prihoda ostvarenih temeljem Ugovora o operativnom leasingu.
VIII. Postupak
(1) Kupovna cijena izračunata sukladno točki VII ugovara se u iznosu u eurima.
(2) Plaćanje kupovne cijene vrši se u eurima. Prije izrade ugovora o ustupanju, XX preuzima obvezu stavljanja na raspolaganje instrumenata osiguranja za povrat ovih obveza ili će te obveze reprogramirati.
(3) Na kupovnu cijena prijenosa poslovnog udjela do dana dospijeća iznosa kupovne cijene na račun YY obračunava se kamatna stopa jednaka kamatnoj stopi koja služi za izračun naknade za mjesec referentnog datuma prijenosa poslovnih udjela.
IX. Opće odredbe
(1) Jedna ugovorna strana može prenijeti ili založiti prava iz ovog Sporazuma samo uz suglasnost druge ugovorne strane. Raspolaganje ovim pravima bez suglasnosti druge ugovorne strane nije pravomoćno.
(2) Izmjene i dopune ovoga Sporazuma moraju uslijediti u pisanom obliku kako bi bile pravovaljane. Isto vrijedi i za sporazum o tome da se ubuduće može odstupiti od ovoga zahtjeva. Usmeni dogovori ne vrijede, tj. zaključivanjem ovog sporazuma gube svoju pravnu snagu.
(3) XX snosi troškove izrade ovog ugovora o ustupanju (javnobilježničke isprave) kao i sve eventualne poreze, doprinose i pristojbe. Svaka strana zasebno snosi troškove svih zastupanja tj. pravnog savjetovanja.
(4) Mjesto izvršenja ugovorne obveze je Beč. U slučaju bilo kakvih sporova koji proizlaze iz ovoga Sporazuma, materijalno nadležni Sud prvog bečkog okruga ima isključivu i konačnu nadležnost za donošenje odluka uz primjenu austrijskog prava. Iznimku sačinjavaju norme međunarodnog privatnog prava.

Aufgrund der gesetzlichen Bestimmungen, insbesondere des Gesetzes über Devisengeschäfte der Republik Kroatien (NN 96/03) wurde heute der nachstehende

II. Allgemeines
Durch diesen Vertrag wird
1) ein Kreditgeschäft zwischen einer ausländischen Bank, einem Kreditnehmer, einem Bürge und Zahler und einem Pfandschuldner aus der Republik Kroatien;
2) die Sicherheiten für dieses Kreditgeschäft,
3) Art der Kreditrückzahlung,
geregelt.

III.
Schuldverhältnis Forderung und Rechtsgrund
Die Bank stellt der Firma

als Kreditnehmer entsprechend den jeweiligen Vorschriften der Republik Österreich und der Republik Kroatien einen langfristigen Kredit in Höhe von
EUR 1.500.000,00
(in Worten: einemillionfünfhunderttausend Euro)
zu nachstehenden Bedingungen zur Verfügung:
Der Kreditnehmer verpflichtet sich, die Kreditmittel ausschließlich zur Rückführung seiner Verbindlichkeiten gegenüber der xxxxxxxxxxxx bank, Republik Kroatien, gemäß Kreditvertrag 06001020388 zu verwenden, der mittels Hypothek am Hotelgebäude xxxxxxxxxxxxxxxx in Dubrovnik besichert ist:
Der Kreditnehmer ist verpflichtet, zwecks Kreditausnutzung bei der xxxxxxxxxxxxxxxxxx. Zagreb ein Konto zu eröffnen. Es wird vereinbart, dass die Bank keinerlei Verpflichtungen hat, die Kreditmittel auf irgendein anderes Konto als jenes bei xxxxxxxxxxxxxxxxxxx. Zagreb eröffnete, zu überweisen.
Die Vertragsparteien halten fest, dass die Bank das Recht hat, eine physische und/oder juristische Person/en zu benennen, welche die widmungsgemäße Mittel Verwendung aus diesem Kredit auf Kosten des Kreditnehmers überprüfen wird. Der Kreditnehmer ist verpflichtet, der von der Bank ernannten Person Einblick in alle, aus Sicht dieser Person oder der Bank für die Durchführung der Kontrolle notwendigen Dokumente zu ermöglichen (alle Verträge, die mit den Arbeitern und Lieferanten abgeschlossen wurden, alle Angebote und Rechungen der Arbeiter und Lieferanten, usw.). Es wird festgehalten, dass die Bank keine Verpflichtung zur Auszahlung einzelner Tranchen hat, sofern die von der Bank für die Kontrolle der widmungsgemäßen Mittelverwendung bestimmte Person bestätigt, dass die Auszahlung der betreffenden Tranche nicht gerechtfertigt ist.
Die Kreditmittel werden auf Antrag des Kreditnehmers einmalig zugezählt und zwar nach Nachweis der widmungsgemäßen Mittelverwendung.

Es wird festgehalten, dass die Bank keinerlei Verpflichtung zur Auszahlung irgendeines Teiles der Kreditmittel verpflichtet ist, bevor der Kreditnehmer nicht alle Bedingungen laut diesem Kreditvertrag erfüllt hat.
Die widmungsgemäße Mittelverwendung gilt als wichtige Bestimmung dieses Kreditvertrages im Sinne des Art. IV. Pkt. 7. vierter Fall, während die nicht widmungsgemäße Mittelverwendung seitens des Kreditnehmers einen Grund für die einseitige Vertragskündigung darstellt.
IV.
Erfüllung
Rückzahlung des Kredites, Zahlungstermine,
Kündigungs- und Fälligkeitsvorbehalt
1. Der Kreditbetrag von EUR 1.500.000,- (in Worten: einemillionfünfhunderttausend Euro) wird mit derzeit 7 % p.a. dekursiv variabel verzinst. Die Zinsanpassung erfolgt gem. Art. VI. dieses Vertrages.
2. Vereinbart wird, dass der Kreditnehmer allenfalls anfallende Kosten für Übersetzungen und Beglaubigungen zu bezahlen hat und diese von der zuzuzählenden Kreditsumme in Abzug gebracht oder separat eingezahlt werden.
3. Der Kreditnehmer nimmt auch zur Kenntnis, dass weitere allenfalls vor Kreditgewährung anfallende Nebenkosten vor Auszahlung des Kredites von der zuzuzählenden Kreditsumme in Abzug gebracht werden können.
4. Die Rückführung des Kapitals erfolgt endfällig am 01.02.2009.
5. Die Zinsen werden während der Kreditlaufzeit dem Konto vierteljährlich im Vorhinein angelastet, und zwar jeden 31.03., 30.06., 30.09. und 31.12., und jeden 01.04., 01.07., 01.10. und 01.01. zur Einzahlung gebracht.
6. Die Laufzeit wird bis 01.02.2009 festgelegt.
7. Nachstehende Kündigungsgründe vor Ablauf der ordentlichen Laufzeit gelten als vereinbart:
wenn der Kreditnehmer den gewährten Kredit nicht entsprechend dem vereinbarten Widmungszweck verwendet;
- wenn über das Vermögen des Kreditnehmers oder Pfandschuldners, oder über das Vermögen welches als Besicherung dieses Kredites dient, ein Konkurs-, Liquidations-oder Zwangsausgleichsverfahren eröffnet wird;
- wenn der Kreditnehmer mit der Bezahlung der Zinsen und/oder des Kapitals oder mit irgendeiner anderen Zahlungsverpflichtung aus diesem Vertrag trotz Mahnung und Nachfristsetzung mehr als 30 (dreißig) Tage in Verzug gerät;

- wenn der Kreditnehmer und/oder Pfandschuldner und Bürge Zahler gegen wichtige
Bestimmungen dieses Vertrages verstößt;
- wenn sich die Angaben in der vom Kreditnehmer oder Pfandschuldner und Bürge
Zahler erteilten Selbstauskunft als unwahr erweisen sollten;
- wenn der Kreditnehmer oder der Pfandschuldner und Bürge Zahler irgendeine dieser Vertragsverpflichtungen nicht einhält;
- wenn der Bank Umstände bekannt werden, die nach ihrer Ansicht die Einbringlichkeit der Kreditforderung gefährden könnten;
Das Kreditverhältnis gilt als mit dem Tag aufgehoben, an dem der Kreditnehmer von der Bank mit eingeschriebenem Brief von der Aufkündigung in Kenntnis gesetzt wurde.
V. Spesen
Es wird eine einmalige Bearbeitungsgebühr in Höhe von 1,0 % (in Worten: ein Prozent) der gesamten Kreditsumme bei Kreditzuzählung in Abzug gebracht.
Während der Kreditlaufzeit verrechnet die Bank quartalsmäßig eine Kontoführungsgebühr in Höhe von EUR 10,23 p.q., insgesamt EUR 40,90 p.a., die jeweils am Ende des Kalenderquartals verrechnet und dem Konto am gleichen Tag mit der vereinbarten Gebühr (EUR 10,23 p.q.) angelastet wird. Diese Kontoführungsgebühr ist variabel und abhängig vom bankinternen Beschluss über die Höhe der Kontoführungsgebühr.
VI. Anpassungsklausel der Kreditzinsen
Der Zinssatz ist gebunden an den 3Monats-EURIBOR zuzüglich einer Marge von 2,50 % p.a. (der 3Monats-EURIBOR beträgt per 22.01.2008 4,33 % p.a.).
Die Bank ist ermächtigt, bei Änderung der Marktsituation, d.h. des EURIBORs, bis zum Zuzählungszeitpunkt des Kredites eine Zinsanpassung vorzunehmen. Die Bank kann den Zinssatz bei oben genanntem Szenario jeweils 2 Valutatage vor den Zinsfälligkeitsterminen (vierteljährlich nach IV. Punkt 5. des Kreditvertrages) anpassen. Der Zinssatz wird immer auf das nächste Viertel aufgerundet.
VII. Wechsel der Währung
Ein Wechsel der Währung ist auf Wunsch des Kreditnehmers mit schriftlicher Zustimmung der Bank möglich, jedoch nur sofern eine einvernehmliche Abstimmung zwischen den Parteien zumindest einen Monat vor den jeweiligen Fälligkeitsterminen der Zinsen- bzw. Tilgungsraten erfolgt ist.

VIII. Verzug und Verzugsfolgen
Im Verzugsfall gelten Verzugszinsen von 6 % p.a. über dem vereinbarten Zinssatz, berechnet von den rückständigen Beträgen inkl. Zinsen, welche dem Konto vierteljährlich angelastet werden.
Weiters wird eine Fälligstellungsgebühr von EUR 220,- sowie Mahnspesen von EUR 77,-
IX.
Rücktritts recht des Kreditnehmers
Der Kreditnehmer kann vor Bereitstellung des Kredites vom Kreditvertrag zurücktreten, verpflichtet sich jedoch für diesen Fall, der Bank die anerlaufenen Kosten zu ersetzen.
Wird der Kredit vor Ende der vereinbarten Laufzeit zurückgezahlt, so hat der Kreditnehmer die Bank zumindest 90 Tage vor der Rückzahlung zu verständigen und wird die Bank unverzüglich eine Endabrechnung, welche dem Kreditnehmer zur Kenntnis gebracht wird, vornehmen.
Im Falle der teilweisen oder völligen vorzeitigen Rückzahlung des Kredites ist die Bank berechtigt, eine Gebühr in Höhe von 3,00 % für die vorzeitige Kreditrückführung vom aushaftenden Kreditsaldo zu berechnen.
Im Falle der vorzeitigen Rückzahlung eines Teilbetrages oder des gesamten Kredites aus Eigenmitteln des Kreditnehmers wird die Bank dem Kreditnehmer keinerlei Gebühr verrechnen.
X.
Sicherstellung
Zur Sicherstellung aller Forderungen und Ansprüche, die der Bank aus dem gewährten Kredit bereits entstanden sind oder in Zukunft entstehen werden, verpflichten sich der Kreditnehmer und Bürge Zahler und Pfandschuldner:
1. Eine Vereinbarung zur Besicherung sämtlicher Forderungen aus diesem Kreditvertrag abzuschließen, mit welcher ein Pfandrecht an den Geschäftsanteilen zugunsten der Bank begründet wird, und zwar ein Pfandrecht im I.Rang auf 100 % der Geschäftsanteile an der Gesellschaft xxxxxxxxxxxxxxx (der Gesellschaft des Kreditnehmers);
2. Zur Beibringung von 3 (drei) vom Kreditnehmer unterfertigten eigenen Biancowechseln der Republik Kroatien und der Republik Österreich mit der Klausel „ohne Protest" samt Vereinbarung und Wechselverpflichtungserklärung, unterfertigt;
3. Zur Beibringung von 7 (sieben) vom Kreditnehmer unterfertigten Bianco-Schuldscheinen (kroat. Zadužnica), jeweils in der Höhe von 1 Mio. kroatischen Kuna, mit welchen dieser

gemäß Art. 183 Abs.1 Zwangsvollstreckungsgesetz Kroatien alle seine Konten zur Besicherung der Geldforderung aus diesem Vertrag verpfändet;
4. Zur Beibringung eines einfachen vom Kreditnehmer unterfertigten Schuldscheines (kroat. Zadužnica) in der Höhe des gesamten Kredites, mit welchen dieser alle seine Konten zur Besicherung der Geldforderung aus diesem Vertrag verpfändet;
5. Zum Abschluss eines Solidarbürgschaftsvertrages mit der Bank, mittels welchem sich der Bürge Zahler und der Pfandschuldner zur Erfüllung sämtlicher Verbindlichkeiten gegenüber der Bank im Falle einer Aufforderung durch diese verpflichtet, zur Beibringung von je 3 (in Worten: drei) eigenen Biancowechseln auf Biancowechselformularen der Republik Österreich und Republik Kroatien, mit der Klausel „ohne Protest" samt Vereinbarung und Wechselverpflichtungserklärung, unterfertigt seitens des Pfandschuldners und Bürge Zahler, sowie 1 (einem) gewöhnlichen Schuldschein, lautend auf den gesamten Kreditbetrag, mit welchem dieser alle seine Konten zur Besicherung der Geldforderung aus diesem Vertrag verpfändet;
Die Vertragsparteien stimmen überein, dass das Pfandrecht an den Geschäftsanteilen, angeführt unter Punkt 1. in diesem Artikel spätestens innerhalb von 30 Tagen nach Vertragsabschluss rechtsmäßig zugunsten der Bank begründet werden müssen. Ansonsten ist die Bank befugt, das Vertragsverhältnis einseitig aufzulösen.
Der Kreditnehmer, der Bürge Zahler und der Pfandschuldner erklären sich ausdrücklich damit einverstanden, dass die Bank das Recht hat, die Forderungen und die Besicherungsinstrumente an dritte Personen zu übertragen, und den Kreditnehmer davon schriftlich in Kenntnis zu setzen.
Festgehalten wird, dass eine Verpflichtung der Bank zur Auszahlung des Kreditbetrages erst nach Vorliegen sämtlicher vom Kreditnehmer beizubringender Sicherungsmittel besteht und wenn alle Bedingungen aus diesem Ertrag erfüllt sind.
XI. Pflichten des Kreditnehmers
Der Kreditnehmer und der Pfandschuldner verpflichten sich, ihren gesamten Zahlungsverkehr (Inlands- und Auslandszahlungsverkehr) über die xxxxxxxxxxxxxx Zagreb abzuwickeln.
Der Kreditnehmer, der Bürge Zahler und der Pfandschuldner verpflichten sich, der Bank jede Änderung ihrer Verhältnisse, Adresse oder Arbeitsplatzes bekanntzugeben. Sämtliche Zustellungen an die letzte, der Bank bekannten Adresse des Kreditnehmers, Pfandschuldners und Bürge Zahlers sind rechtswirksam.
Auf Aufforderung durch die Bank haben der Kreditnehmer, der Bürge Zahler und der Pfandschuldner dieser Auskünfte über ihre persönlichen Vermögensverhältnisse zu gewähren und die Bilanzen unverzüglich nach deren Erstellung vorzulegen, widrigenfalls die Bank

berechtigt ist, Mahnspesen in Höhe EUR 77,- zu verrechnen. Sollten der Kreditnehmer, der Bürge Zahler und der Pfandschuldner die Bilanzen bzw. sonstige Auskünfte über ihre persönlichen Vermögensverhältnisse auch nach einer angemessenen Nachfristsetzung von 30 Tagen nicht vorlegen, so ist die Bank berechtigt, den Kreditvertrag gemäß Art. IV. Pkt. 7. unverzüglich aufzukündigen.
XII. Verarbeitung und Weitergabe von Daten
Der Kreditnehmer, der Bürge Zahler und der Pfandschuldner erklären sich damit einverstanden, dass alle ihn betreffenden im Rahmen dieser Geschäftsverbindung bekannt werdenden Daten (insbesondere Name, Anschrift, Geburtsdatum/Gründungsdatum, Beruf, Kontonummer, Kontodaten, Rückführungsmodalitäten, Schritte im Zusammenhang mit der Fälligstellung) in banküblicher Form verwendet und insbesondere an andere Kredit- und Finanzinstitute, den Kreditschutzverband von 1870, sonstige Gläubigerschutzeinrichtungen, Leasinggesellschaften, Kreditversicherer und Versicherungsunternehmen weitergegeben werden, insbesondere zur Abwicklung von Bankgeschäften, zum Rating, zum Zweck der Verwahrung, Verwaltung und Zusammenführung der Daten und zur Wahrung des Gläubigerschutzes.
Der Kreditnehmer, der Bürge Zahler und der Pfandschuldner erklären sich weiters damit einverstanden, dass die oben genannten Daten zur Abwicklung von Bankgeschäften an die Gesellschaften des xxxxxxxxxxxxxxxxxxxxxx und aus betrieblichen Gründen an jene Unternehmen, die für die Bank bankbezogene Hilfsdienste (insbesondere xxxxxxxxxxxxxxxx) übermittelt werden.
In diesen genannten Fällen entbinden der Kreditnehmer, der Bürge Zahler und der Pfandschuldner die Bank ausdrücklich vom Bankgeheimnis.
XIII. Clausula rebus sic stantibus
Die Parteien erklären, daß sie auf die Einrede der nach der Unterzeichnung dieses Vertrages eingetretenen geänderten Umstände nach Art. 372. des Schuldrechts verzichten. Dies bezieht sich insbesondere auf Demonstrationen, öffentliche Unruhen usw. (Clausula rebus sic stantibus).
XIV. Erfüllungsort, Gerichtsstand
Erfüllungsort für sämtliche Verpflichtungen aus diesem Vertrag ist Klagenfurt in der Republik Österreich. Für sämtliche Streitigkeiten aus diesem Vertrag gilt ohne Rücksicht auf die Höhe des Betrages, das jeweils sachlich zuständige Gericht in Zagreb als vereinbarter Gerichtsstand. Kroatisches Recht ist anzuwenden.

Alle Streitigkeiten, die sich aus diesem Vertrag ergeben oder auf dessen Verletzung, Auflösung oder Nichtigkeit beziehen, werden nach der Schieds- und Schlichtungsordnung des Internationalen Schiedsgerichtes der Bundeskammer der gewerblichen Wirtschaft in Wien nach den Wiener Regeln von einem oder mehreren gemäß diesen Regeln ernannten Schiedsrichter/n endgültig entschieden. Die Anzahl der Schiedsrichter beträgt 1. Es ist österreichisches materielles Recht anzuwenden. Die im Schiedsverfahren zu verwendenden Sprachen sind Deutsch und Englisch.
Die Parteien, die den Schiedsvertrag als Unternehmer abgeschlossen haben, verzichten auf die Anfechtung des Schiedsspruches aus den Gründen, aus denen in Österreich ein gerichtliches Urteil mittels Wiederaufnahmeklage angefochten werden kann (§§ 595 Abs. 1 Zif. 7 und 598 Abs. 2 ZPO).
XV.
Vertragsinhalt und -spräche
Der Kreditnehmer, der Bürge Zahler und der Pfandschuldner erklären durch ihre Unterschrift, diesen Vertrag genauestens durchgelesen und seine Bestimmungen verstanden zu haben und dass sie diesen zustimmen.
Gleichzeitig unterzeichnen die Vertragsparteien ebenfalls 2 (zwei) Ausfertigungen dieses Vertrages in deutscher Sprache.
Für den Fall von Einsprüchen und Widersprüchen, gilt der in kroatischer Sprache verfasste Text.
Dieser Vertrag ist in je 2 (zwei) gleich lautenden Ausführungen in deutscher und kroatischer Sprache ausgefertigt, von denen 1 (eine) für die Bank, und 1 (eine) für den öffentlichen Notar in bestimmt sind. Je eine vom öffentlichen Notar beglaubigte Kopie ist für die Bank, den Kreditnehmer, den Pfandschuldner und Bürge Zahler 1 und den Pfandschuldner und Bürge und Zahler 2 sowie das Grundbuchsamt des zuständigen Bezirksgerichtes des Republik Kroatien sowie die Finanzagentur (FINA) bestimmt.
Dem Kreditnehmer, dem Bürge Zahler und dem Pfandschuldner wurde vor Unterzeichnung eine Übersetzung der Allgemeinen Geschäftsbedingungen der xxxxxxxxxxxxxxxxxxxxx in kroatischer, englischer und deutscher Sprache ausgehändigt, deren Inhalt der Kreditnehmer vollständig zur Kenntnis genommen und akzeptiert hat.
XVI.
Verständigungspflicht
Der Kreditnehmer verpflichtet sich, die Kroatische Nationalbank von der Aufnahme des gegenständlichen Kredites, gem. Art. 53 des Devisengesetztes (Narodne novine Nr. 96/03) über Kreditgeschäfte mit dem Ausland zu verständigen.

Die Unterschrift des Kreditnehmers und des Pfandschuldners auf dem Vertrag rriuss durch einen öffentlichen Notar in der Republik Kroatien beglaubigt werden.
XVIII. Salvatorische Klausel
Sollte eine Bestimmung dieses Vertrages unwirksam werden, oder der Vertrag eine Lücke enthalten, so bleibt die Rechtswirksamkeit der übrigen Bestimmungen hievon unberührt. Anstelle der unwirksamen Bestimmung gilt eine wirksame Bestimmung als vereinbart, die der, von den Parteien gewollten, wirtschaftlichen Bestimmung, am nächsten kommt; das gleiche gilt im Falle einer Lücke.
XIX.
Rechtswirksamkeit
Der Vertrag entfaltet seine Rechtswirksamkeit für alle Parteien am Tage der jeweiligen Unterfertigung.

III
Contractual obligation, claim and the legal basis
The Bank grants the company

as Borrower a long term loan according to the regulations of the Republic of Austria and the Republic of Croatia in the amount of
EUR 1.500.000,00
(in words: onemillionandfivehundredthousand euro)
under the following conditions:
The Borrower covenants to use these funds exclusively for the settlement of his liabilities towards xxxxxxxxxxxxxxxx bank Austria d.d., , under the Loan Contract 06001020388, which is secured through mortgage on the hotel building “xxxxxxxxxxxx” in Dubrovnik.
In order to utilize the loan, the Borrower undertakes to open an account at xxxxxxxxxxxxxxx. It has been established that the Bank is not obliged to remit the borrowed funds to any other account except to the account that has been opened at xxxxxxxxxxxxxx. The contractual parties agree that the Bank has the right to appoint a natural or legal person at the Borrower's expense who shall prove that the loan funds are used according to the intended purpose. The Borrower is obliged to grant insight to the person designated by the Bank into all documents that this person or the Bank deems indispensable for such an examination (all contracts concluded with employees and suppliers, all employees' and suppliers' offers and invoices, etc.) It is established that the Bank has no obligation to disburse single loan tranches if the person designated by the Bank for the control of the purposeful use of the granted loan confirms that the disbursement of a respective tranche is not justified.
Upon the Borrower's request the loan can be disbursed in a single tranche but only after the proof of the use of the loan according to the agreed purpose.

It has been stipulated that the Bank is by no means obliged to pay out any portion of the loan amount before the Borrower has met all the conditions under this Loan Contract.
The use of the loan according to the agreed purpose is an important provision of this Loan Contract under Article IV. Item 7, fourth case, while deviation from the contractually agreed use of the loan by the Borrower represents a reason for a one-sided termination of the Contract.
IV
Realisation
loan repayment, payment due dates,
right to terminate and call in the loan
1. The loan in the amount of EUR 1.500.000,- (in words: onemillionand- fivehundredthousandeuro) shall be charged with the variable interest rate which currently amounts to 7 % p.a. (calculated retroactively). The interest rate is to be adjusted according to Article VI of this Contract.
2. It has been stipulated that the Borrower bears all the costs of translations and certifications which are to be deducted from the loan amount prior to disbursement or paid separately at some later date
3. Furthermore, the Borrower takes note of the fact that all other accompanying costs (if applicable) can be subtracted from the loan amount prior to disbursement.
4. The repayment of the principal shall take place at the end of the loan term on 1 February 2009.
5. During the loan term, the interests are calculated quarterly and retroactively and the loan account is debited for the amount of interests on each 31/03, 30/06, 30/09 and 31/12, and paid on each 01/04, 01/07, 01/10 and 01/01.
6. The stipulated loan term is until 1 February 2009.
7 The reasons for cancellation of this Contract before expiry of the regular loan term are listed below:
- if the Borrower does not use the granted loan for the contractually agreed purpose;
- in case of initiation of bankruptcy, liquidation or compulsory settlement proceedings over the Borrower’s or Pledgor's property or over the property which serves as security for this loan;
- in case the Borrower, despite the dunning letter and a granted prolongation, has been in delay with repayment of the interest and/or principal or any other payment obligation under this Contract for more than 30 (thirty) days;

- if the Borrower and/or Pledgor violates any of the significant provisions of this Contract;
- if it turns out that the Borrower or Pledgor have supplied untrue data about themselves;
- if the Borrower or the Pledgor disregard any of the obligations arising out of this Contract;
- if the Bank finds out circumstances which, according to its opinion, could endanger the settlement of loan receivables.
The loan relationship terminates on the day when the Borrower receives a letter from the Bank via registered post containing information on termination.
V Charges
A non-recurring loan processing fee in the amount of 1,0 % (in words: one percent) of the loan amount is deducted upon loan disbursement.
During the loan term, the Bank charges the account maintenance fee on the quarterly basis in the amount of EUR 10,23 p.q., i.e. EUR 40,90 p.a., which is calculated at the end of every calendar quarter and the account is debited for the agreed fee (EUR 10,23 p.q.) on the same day. This account maintenance fee is variable and it depends on the Bank's internal decisions governing the level of the account maintenance fee.
VI
Adjustment of the interest rate
The interest rate is tied to the 3-month EURIBOR with the additional margin of 2,50 % p.a. (on 22 January 2008, the 3-month EURIBOR amounted to 4,33 % p.a.).
In case of the changed market conditions, i.e. the change of EURIBOR, the Bank is authorised to adjust the interest rate before the loan disbursement date. In such a case, the interest rate can be adjusted 2 (two) value days before the respective interest due dates (quarterly, according to Article IV Item 5 of the Loan Contract). The interest rate is always rounded up to the next quarter.
VII
Change of the currency
Change of the currency of this loan is possible on the Borrower's request only upon the Bank's prior written consent, however, only if the contractual parties reach joint agreement in this respect at least one month before due dates for the repayment of the respective interest and principal amounts.

VIII
Delayed payments and the consequences
In case of delayed payments it has been agreed that interest of default shall be charged over the stipulated interest rate amounting to 6,00 % p.a., which is calculated on the outstanding amounts including the interests, for which the account is debited on a quarterly basis.
Furthermore, a premature termination fee in the amount of EUR 220,- is also charged as well as the dunning charges in the amount of EUR 77,-.
IX
Borrower's right of withdrawal
Prior to loan disbursement, the Borrower can withdraw from the Loan Contract. However, in such a case he is obliged to compensate the Bank for the incurred costs.
If the loan is repaid before the expiry of the contractually agreed loan term, the Borrower is obliged to notify the Bank thereof at least 90 days prior to the repayment. The Bank shall immediately carry out the final settlement and present it to the Borrower.
In case of a final or partial premature loan repayment, the Bank is authorised to charge the premature loan repayment fee in the amount of 3,00 % of the remaining credit balance.
In case of a premature repayment of a partial or the entire loan amount effected from the Borrower's own funds, the Bank shall charge no fee to the Borrower.
X
Security
In order to secure all the Bank's claims and rights arising in connection with the granted loan or that will arise in the future, the Borrower and the Guarantor and Pledgor undertake the following:
1. to conclude an Agreement in order to secure all claims under this Loan Contract by registering the first priority security interest ("right of lien") in the Bank's favour in 100% share of the company xxxxxxxxxxxxxx (Borrower's company);
2. to obtain 3 (three) blank bills of exchange of the Republic of Austria and the Republic of Croatia, containing the clause "without protest", beside the Agreement and the Statement on the obligation under the bill of exchange, all signed by the Borrower;
3. to deliver 7 (seven) blank promissory notes ("zadužnica") signed by the Borrower, each one made in the amount of one million Croatian kunas, by which the Borrower

pledges all his accounts in order to secure the Bank's pecuniary claim under this Contract pursuant to Article 183 Section 1 of the Foreclosure Act;
4. to obtain one common promissory note ("zadužnica") signed by the Borrower; made in the entire amount of the granted loan, by which he pledges all his accounts in order to secure the claim under this Contract;
5. to conclude a Joint Security Contract with the Bank by which the Guarantor and Pledgor undertakes to meet all his obligations towards the Bank if the Bank requests him to meet these obligations, to deliver to the Bank 3 (in words: three) pieces of blank bills of exchange of the Republic of Croatia and the Republic of Austria respectively, with the clause "without protest", along with the Agreement and the Statement on the obligation under the bill of exchange signed by the Guarantor and Pledgor as well as 1 (one) common promissory note made in the entire amount of the granted loan, by which he pledges all his accounts in order to secure the pecuniary claim under this Contract.
The contractual parties mutually agree that the security interest in business shares as indicated under Item 1 of this Article shall be rightfully registered in favour of the Bank 30 days after the Contract conclusion at the latest. Otherwise, the Bank is authorised to terminate the contractual relationship one-sidedly.
The Borrower and the Guarantor and Pledgor explicitly agree that the Bank has the right to transfer the claim and security instruments on third persons, and to inform the Borrower thereof in writing.
It has been established that the Bank is not obliged to disburse any portion of the loan before the Borrower has submitted the proof of perfection of securities for the respective loan transaction and before all conditions from this Contract have been met.
XI
Borrower's obligations
The Borrower and the Pledgor undertake to effect all their payment transactions (domestic and international) through xxxxxxxxxxxxxxxx in Zagreb.
The Borrower and the Guarantor and Pledgor undertake to notify the Bank on any changes to their financial standing, address or place of employment. All deliveries to the Borrower's, the Guranator's and Pledgor's most recently known addresses by the Bank are considered legally effective.
Upon the Bank's request, the Borrower and the Guarantor and Pledgor are obliged to provide the Bank with information on their financial standing and to submit their balance sheets to the Bank immediately after compilation thereof.

Otherwise the Bank is authorised to charge dunning costs in the amount of EUR 77,- . Should the Borrower and the Guarantor and Pledgor fail to submit their balance sheets and other information related to their financial standing also after expiry of a reasonable additional time period of 30 days, the Bank shall be authorised to terminate the Loan Contract immediately, in accordance with Article IV Item 7.
XII
Processing and forwarding of data
The Borrower and the Guarantor and Pledgor agree that all data pertaining to them that have been made known or those that will become known within the framework of this business relationship, (especially the name, address, year of birth/foundation, profession, account number, account data, loan repayment mode, steps to be taken in case of calling in the loan before maturity) can be used according to safe and sound banking practices, and especially that these data can be disclosed to other banks and financial institutions, to "Kreditschutzverband as of 1870", other institutions whose purpose is protection of creditors, leasing companies, loan insurers and insurance companies, especially with the purpose of execution of banking business, for rating purposes, for custody purposes, for data management and consolidation purposes as well as to ensure creditor protection.
In order to execute banking business, the Borrower and the Guarantor and Pledgor further agree that the above mentioned data can be delivered to the member companies of the xxxxxxxxx, and especially to xxxxxxxxxxxxxxxxxxxxxxxx and for business purposes also to those companies providing auxiliary services to the Bank (especially to "xxxxxxxxxxxxxxxxx").
In all the above mentioned cases, the Borrower and the Guarantor and Pledgor explicitly exempt the Bank from the bank secrecy obligation
XIII
Clausula rebus sic stantibus
The parties state that they waive their right of objection to changed circumstances which may arise after signing of this Contract, according to Article 372 of the General Obligation Act. This relates especially to demonstrations, riots, etc. (Clausula rebus sic stantibus).
XIV
Place of performance, competent court
The place of performance of all obligations under this Contract is xxxxxxxxx, the Republic of Austria. The court in Zagreb is competent for all disputes arising out of or in connection with this Contract irrespectively of the amount in question. The applicable law is the Croatian law.

All disputes arising out of or in connection with this Contract or relating to its violation, termination or invalidity shall be resolved by one or more arbitrators appointed according to the Regulations on Arbitration and Conciliation of the International Arbitration Tribunal of the Austrian Chamber of Commerce and Industry in Vienna, according to the Viennese regulations. The number of arbitrators is 1. Austrian property law shall be applied. Arbitration proceedings shall take place in the German and English languages.
The parties who have concluded a contract on arbitration as entrepreneurs waive their right of challenging the arbitrator's award on the grounds on which a judicial decision can be challenged in Austria by appeal for reconsideration of a case (§§ 595 Section 1, Item 7 and 598 Section 2 of the Code of Civil Procedure).
XV
Subject matter and language of the Contract
The Borrower and the Guarantor and Pledgor confirm by signing this Contract that they have carefully read it and understood its provisions as well as that their are in agreement with these provisions.
At the same time the contractual parties also sign 2 (two) counterparts of this Contract in the German language
In case of objections and contradictions arising out of or in connection with this Contract, the text composed in the Croatian language shall prevail.
This Contract has been compiled in 2 (two) identical counterparts in the German and Croatian languages, whereby the Bank retains 1 (one) counterpart and 1 (one) is intended for the needs of the public notary. The Bank, the Borrower, the Guarantor and Pledgor 1, the Guarantor and Pledgor 2, the land register department at the competent County Court in the Republic of Croatia as well as the Financial Agency (FINA) each receive one certified copy of the original of this Contract respectively.
Prior to signing of this Contract, the Borrower and the Guarantor and Pledgor were handed over the translation of the General Terms and Conditions of xxxxxxxxxxxxxxxxxxx in the Croatian, English and German languages, whose content the Borrower has completely taken note of and accepted.
XVI
Notification obligation
The Borrower undertakes to notify the Croatian National Bank of this loan transaction, according to Article 53 of the Foreign Exchange Act of the Republic of Croatia (National Gazette, No. 96/03) regulating international loan transactions.

The Borrower's and the Pledgor's signatures on this Contract shall be certified by a public notary in the Republic of Croatia.
XVIII
Severability clause
If any provision of this Contract shall be held to be invalid or should the Contract be found to have a contractual lacuna, the validity of the remaining provisions shall not in any way be affected or impaired thereby. The invalid provision shall be replaced by such provisions, which come closest to the intended purpose of the invalid provision. The same shall apply in case of a lacuna.
XIX
Validity
This Contract comes into effect when it has been duly signed by each contractual party.

OPĆE ODREDBE
Ovim Ugovorom regulira se obveza gospodina xxxxxxxxxxxxxxxx s prebivalištem u Zagrebu, xxxxxxxxxxxxxxxxxx, kao Jamca platca, prema Vjerovniku xxxxxxxxxxxxxxxxxxxxxxx, za obveze glavnog dužnika, društva xxxxxxxxxxxxxxxxxxxx, upisanog kod Trgovačkog suda u Dubrovniku pod MBS: xxxxxxxxxxxxxxxxxxx (u nastavku: Glavni dužnik), koje isti ima prema Vjerovniku temeljem Ugovora o kreditnom poslu s inozemstvom broj HR/1723 (u nastavku: «Ugovor o kreditnom poslu s inozemstvom").
Članak 2. OBVEZA GLAVNOG DUŽNIKA
Ugovorne strane suglasno utvrđuju redom kako slijedi:

Glavnom dužniku je odobren jednokratni povrat glavnice kredita na dan 01.02.2009. (prvi veljače dvijetisućedevete) godine.
Kamate se za vrijeme trajanja kreditnog odnosa obračunavaju tromjesečno, svakog 31.03 (tridesetprvog ožujka), 30.06. (tridesetog lipnja), 30.09. (tridesetog rujna) i 31.12. (tridesetprvog prosinca) u godini za proteklo tromjesečje, a plaćaju svakog 01.04. (kamate obračunate 31.03. iste godine), 01.07. (kamate obračunate 30.06. iste godine), 01.10. (kamate obračunate 30.09. iste godine) i 01.01. (kamate obračunate 31.12. prethodne godine) u godini.

Tražbina Vjerovnika utvrđena u ovom članku može dospjeti u cijelosti i prije redovnog roka dospijeća u slučaju otkaza predmetnog Ugovora o kreditnom poslu s inozemstvom. Razlozi za otkaz taksativno su navedeni u članku IV. pod točkom 7. Ugovora o kreditnom poslu s inozemstvom.
Otkazom Ugovora o kreditnom poslu s inozemstvom smatra se da je kredit, odnosno tražbina vjerovnika, zajedno sa pripadajućim kamatama, naknadama, porezom i ostalim troškovima, dospjela na naplatu.
Kreditni odnos prestaje sa danom kada je Vjerovnik otpremio preporučenim pismom Glavnom dužniku odluku o otkazu na posljednju adresu Glavnog dužnika koja je poznata Vjerovniku.
Glavni dužnik i Jamac platac dužni su o promjeni adrese promptno izvijestiti Vjerovnika. Svaku moguću štetu nastalu uslijed nepridržavanja ove obveze snose Glavni dužnik i Jamac platac.
Jamac platac, nadalje, izričito izjavljuje da je prije potpisivanja ovog Ugovora pažljivo pročitao Ugovor o kreditnom poslu s inozemstvom broj HR/1723, zaključen između Vjerovnika i Glavnog dužnika, da je razumio sve u njemu sadržane odredbe te da je dobro upoznat sa svim pravima i obvezama ugovornih strana koje iz njega proistječu, kao i pravnim posljedicama koje za njih proistječu.
Članak 3.
ODNOS VJEROVNIKA I JAMCA PLATCA
Ovim Ugovorom gospodin xxxxxxxxxxxxx iz Zagreba neopozivo se, kao Jamac platac, obvezuje prema Vjerovniku da će ispuniti obvezu Glavnog dužnika iz čl. 2. ovog Ugovora, ukoliko ga Vjerovnik na ispunjenje predmetne obveze iz čl. 2. bude pozvao.
Jamac platac odgovara Vjerovniku za ispunjenje cijele obveze Glavnog dužnika, i to solidarno sa Glavnim dužnikom, a Vjerovnik može zahtijevati njezino ispunjenje bilo od Glavnog dužnika, bilo od Jamca platca, ili od obojice u isto vrijeme.
Vjerovnik može tražiti ispunjenje od Jamca platca i bez da je prethodno na ispunjenje obveze pozvao Glavnog dužnika.
Jamac platac dužan je naknaditi potrebne troškove koje je Vjerovnik učinio radi naplate duga od Glavnog dužnika.
Jamac platac odgovara i za svako povećanje obveze koje bi nastalo zakašnjenjem Glavnog dužnika ili krivnjom Glavnog dužnika.
Smanjenje obveze Glavnog dužnika u stečajnom postupku ili u postupku prinudne nagodbe ne povlači sa sobom i odgovarajuće smanjenje obveze Jamca platca, te Jamac platac odgovara Vjerovniku za cijeli iznos svoje obveze.
Jamac platac odgovara za cijeli iznos obveze za koji je jamčio i u slučaju kad bi se od nasljednika Glavnog dužnika mogla zahtijevati isplata samo onog njezina dijela koji odgovara vrijednosti naslijeđene imovine.
Jamac platac je suglasan da Vjerovnik svoju tražbinu prema Glavnom dužniku iz Ugovora o kreditnom poslu s inozemstvom može prodajom, ustupom, Odnosno na bilo koji zakonom dopušteni način prenijeti na treće osobe. Gospodin xxxxxxxxxxxxxxxx je suglasan da njegovo jamstvo kao Jamca platca iz ovog ugovora dano Vjerovniku, u slučaju prenošenja tražbine iz Ugovora o kreditnom poslu s inozemstvom od strane Vjerovnika na treće osobe, vrijedi i prema osobama na koje se tražbina prenosi. Ugovara se da Jamac platac trećoj osobi, u slučaju prenošenja tražbine, odgovara na jednak način i u istom opsegu kao Vjerovniku.
Članak 4.
MJENICE i ZADUŽNICA
Jamac platac je dužan u svrhu osiguranja novčane tražbine Vjerovnika prema Glavnom dužniku, opisane u članku 2. ovog Ugovora, pribaviti i u trenutku sklapanja ovog Ugovora Banci predati po 3 (slovima: tri) komada bjanko vlastitih mjenica Republike Austrije i Republike Hrvatske, s klauzulom «bez protesta», uz Sporazum i izjavu o obvezi na temelju mjenice, sve potpisano od strane Jamca platca te jednu svoju običnu zadužnicu koja glasi na čitav iznos kredita iz članka 2., a kojom dopušta zapljenu svih svojih računa radi osiguranja predmetne novčane tražbine Vjerovnika prema Glavnom dužniku.
Članak 5.
TROŠKOVI
Troškove sastavljanja ovog Ugovora, kao i eventualne troškove vezane uz prijenos dokumentacije, te sve druge eventualne troškove, snosi Jamac platac.
Članak 6.
MJERODAVNO PRAVO, NADLEŽNOST SUDA
Za sve što ovim Ugovorom nije dogovoreno primjenjuju se odredbe Zakona o obveznim odnosima Republike Hrvatske, kao i drugih propisa Republike Hrvatske.
Za sve sporove iz ovog Ugovora smatra se ugovorenim nadležni sud u Zagrebu.
Članak 7.
Potpisom ovog Ugovora i ovjerom kod javnog bilježnika, ugovorne strane potvrđuju da su ga pročitale i razumjele, te da s obzirom da on predstavlja njihovu volju,
prihvaćaju sva prava i obveze koje iz njega proistječu, kao i pravne posljedice koje za njih proistječu, te se odriču prava pobijanja iz razloga nerazumijevanja Ugovora.
Članak 8.
Ovaj Ugovor sastavljen je u pet istovjetnih primjeraka od kojih 1 (jedan) zadržava javni bilježnik, 2 (dva) Vjerovnik, a 2 (dva) Jamac platac.

GUARANTEE AGREEMENT
Article 1
GENERAL PROVISIONS
This Agreement regulates the obligation of Mr xxxxxxxxxxxxxxxx, with residence in Zagreb, xxxxxxxxxxxxxxxxxxxxx, as Guarantor, towards the Creditor, xxxxxxxxxxxxxxxxxxxx from xxxxxxxxxxxxxxxx, for the obligations of the main debtor, company xxxxxxxxxxxxxxxxxxx, registered at the Commercial Court in Dubrovnik under MBS: xxxxxxxxxxxxxxxx (hereinafter: "Main Debtor"). This obligation of the Main Debtor towards the Creditor arises out of the International Loan Contract No. HRK/1723 (hereinafter: "International Loan Contract").
Article 2
OBLIGATION OF THE MAIN DEBTOR
The contractual parties mutually agree the following:
xxxxxxxxxxxxxxxxxxxxxxxxx, as Creditor, based on the International Loan Contract No. HR/1723 concluded with the Main Debtor, xxxxxxxxxxxxxxxxxxxxx, has a pecuniary claim towards the Main Debtor in the amount of EUR 1.500.000,00 (in words; onemillionfivehundredthousand euro), increased by the contractually agreed variable interest rate which, at the moment of the conclusion of this International Loan Contract, amounted to 7,00 % p.a. (in words; seven percent) which is calculated retroactively, by interest of default (if applicable), by all translation and certification costs, all taxes and fees as well as all other applicable costs.
The Debtor has been granted one-off repayment of the principal on 1 February 2009 (February the first twothousandandnine).
During the loan transaction the interests are calculated quarterly, on 31/03 (thirtyfirst of March), 30/06 (on the thirtieth of June), 30/9 (thirtieth of September) and 31/12 (thirtyfirst of December) of the respective year for the past quarter, and they are paid on every 1 April (interests calculated on 31 March of the same year), 1 July (interests calculated on 31 March of the same year), 1 October (interests calculated on 30 September of the same year) and 1 January (interests calculated on 31 December of the previous year) for the respective year.
The stipulated loan term is until 1 February 2009 (February the first twothousandandnine).
The Creditor's claim established in this Article can mature in its total amount also before its regular due date in case of termination of the respective International Loan Contract. The reasons for termination are enumerated in Article IV Item
7 of the International Loan Contract.
Upon the termination of the International Loan Contract, the loan, i.e. the creditor's claim, together with accompanying interests, fees, taxes and other costs, is considered due and payable.
The loan relationship expires on the day of the Creditor's sending the decision on termination via registered post to the Main Debtor's most recently known address.
The Main Debtor and the Guarantor are obliged to promptly notify the Creditor on any changes to their address. The Main Debtor and the Guarantor are responsible for any damage incurred due to disregarding of this obligation.
Furthermore, the Guarantor covenants that he had carefully read the International Loan Contract No. HR/1723 concluded between the Creditor and the Main Debtor prior to signing of this Agreement and that he understood all the provisions contained therein, that he is well familiar with all the rights and obligations of the contractual parties arising out of that Contract as well as with the legal consequences ensuing for the contractual parties therefrom.
Article 3
RELATINOSHIP BETWEEN THE CREDITOR AND THE GUARANTOR
Under this Agreement, Mr. xxxxxxxxxxxxxxxxx from Zagreb, as Guarantor, irrevocably undertakes towards the Creditor to fulfil the obligation of the Main Debtor under Article 2 of this Agreement, should the Creditor request of him to fulfil the obligation under Article 2.
The Guarantor hereby, jointly and severally with the Main Debtor, guarantees to the Creditor the settlement of the entire Main Debtor's obligation, while the Creditor can request its settlement either from the Main Debtor or from the Guarantor, or from both of them at the same time.
The Creditor can request the Guarantor to settle the obligation also without having it first requested from the Main Debtor.
The Guarantor is obliged to reimburse the Creditor for the costs that the Creditor may incur upon collection of the outstanding amount from the Main Debtor.
The Guarantor also answers for every increase of the obligation either due to the delay of the Main Debtor or due to the fault of the Main Debtor.
The decrease of the Main Debtor's obligation in the course of the bankruptcy proceedings or in the proceedings of the compulsory settlement does not result in corresponding decrease of the Guarantor's obligation, i.e. the Guarantor guarantees to the Creditor for the entire amount of his obligation.
The Guarantor is answerable for the entire amount of the obligation for which he guarantees even if payment of only one portion of the obligation were requested from the Main Debtor's inheritor, corresponding to the value of the inherited property.
The Guarantor agrees that the Creditor can transfer his claim towards the Main Debtor under the International Loan Contract to the third person by sale, by cession, i.e. in any legally foreseen way. In case of transferring the claim under this International Loan Contract to third persons by the Creditor, Mr xxxxxxxxxxxxxxxxx agrees that his guarantee granted by him as Guarantor to the Creditor under this Agreement remains valid also towards the third persons to whom the claim has been transferred. It has been stipulated that in case of the claim transfer, the Guarantor is liable in the same manner and to the same extent to the third person as to the Creditor.
Article 4
BILL OF EXCHANGE AND THE PROMISSORY NOTE
In order to secure the Creditor's pecuniary claim towards the Main Debtor under Article 2 of this Agreement, at the moment of conclusion of this Agreement the Guarantor shall obtain and deliver to the Bank 3 (three) blank bills of exchange of the Republic of Austria and the Republic of Croatia respectively, containing the clause "without protest", beside the Agreement also the Statement on the obligation under the bill of exchange, all signed by the Guarantor as well as one common promissory note made in the total loan amount under Article 2, by which he pledges all his accounts in order to secure the Creditor's pecuniary claim towards the Main Debtor.
Article 5
COSTS
The Guarantor bears the cost of composing this Agreement, the costs related to transfer of documents (if applicable), as well as all other applicable costs.
Article 6
APPLICABLE LAW, COMPETENT COURT
The provisions of the General Obligation Act of the Republic of Croatia as well as other regulations of the Republic Croatia apply in case of any other circumstances not covered by this Agreement.
The court in Zagreb is competent for all disputes arising out of or in connection with this Agreement.
Article 7
By signing this Agreement and its being certified by the public notary, the contractual parties confirm that they have read and understood its content and that they, since it represents their will, accept all the rights and obligation arising out of or in connection with it as well as the legal consequences ensuing therefrom. Furthermore, they waive the right to challenge the Agreement on the grounds of their non-understanding its content.
Article 8
This Agreement has been made out in five identical counterparts of which 1 (one) is retained by the notary public, 2 (two) by the Creditor and 2 (two) by the Guarantor.

SUBORDINATION AND SHARE RETENTION DEED
DEED dated 2009 among COMPANY 2 D.O.O. SARAJEVO, a limited liability company organised and existing under the laws of Bosnia and Herzegovina (the "Borrower"), COMPANY 1D.D., a joint stock company organised and existing under the laws of Croatia (the "Guarantor"), COMPANY 2 D.D. ZAGREB a joint stock company organised and existing under the laws of Croatia (the "Junior Creditor”), and BANK 1.1 (the "Bank").
PREAMBLE
WHEREAS, the Guarantor is majority owner of Company 2 d.d. which owns 100% of the issued and outstanding participatory interest in the capital of the Borrower;
WHEREAS, pursuant to a loan agreement dated 15 May 2009 (the "Loan Agreement") between the Borrower and the Bank, the Bank has agreed to lend to the Borrower an amount not to exceed EUR 50,000,000, subject to the terms and conditions set forth in the Loan Agreement;
WHEREAS, it is a condition precedent to the obligation of the Bank to make Disbursements to the Borrower under the Loan Agreement that the Guarantor enter into this Deed; and
WHEREAS, in order to induce the Bank to make disbursements to the Borrower under the Loan Agreement, the Guarantor is willing to enter into this Deed.
NOW, THEREFORE, the parties hereto agree as follows:
ARTICLE I - DEFINITIONS
Section 1.01. Definitions
Wherever used in this Deed (including the Preamble), unless stated otherwise or the context otherwise requires, the terms defined in the Preamble have the respective meanings given to them therein, the terms defined in the Loan Agreement have the respective meanings given to them therein and the following terms have the following meanings:
"Junior Indebtedness" means any and all of the Borrower's obligations, whether existing on the date hereof or arising after the date hereof, to make payments of whatever nature to the Guarantor, or any Affiliate of the Guarantor or Junior Creditor, including without limitation any and all of the Borrower's obligations to make payments to the Guarantor or any Junior Creditor:
(a) in respect of any funds provided by the Guarantor or any Junior Creditor to the Borrower by way of subordinated loans pursuant to Section 2.01 or 2.02;
(b) in respect of any other loan or advance of funds by the Guarantor or any Junior Creditor to the Borrower;
(c) in respect of dividends, return of capital, redemption or any other distribution to the Guarantor or any Junior Creditor; or
(d) in respect of any other liability of whatever nature that the Borrower has or may have to the Guarantor or any Junior Creditor whether by way of indemnity or reimbursement, as a result of subrogation, pursuant to the terms of any agreement between the Guarantor or any Junior Creditor and the Borrower or otherwise.
"Senior Indebtedness" means any and all of the Borrower's obligations, whether existing on the date hereof or arising after the date hereof, to make payments of principal, interest, fees, charges, commissions, indemnities and other amounts to the Bank under the Loan Agreement and the other Financing Agreements.
Section 1.02. Interpretation
(a) In this Deed, unless the context otherwise requires, words denoting the singular include the plural and vice versa, words denoting persons include corporations, partnerships and other legal persons and references to a person include its successors and permitted assigns.
(b) In this Deed, a reference to a specified Article or Section shall be construed as a reference to that specified Article or Section of this Deed.
(c) In this Deed, a reference to an agreement shall be construed as a reference to such agreement as it may be amended, varied, supplemented, novated or assigned from time to time.
(d) In this Deed, the headings and the Table of Contents are inserted for convenience of reference only and shall not affect the interpretation of this Deed.
ARTICLE II - PROJECT COMPLETION
Section 2.01. Guarantor's Obligations
Subject to the terms and conditions of this Deed, the Guarantor agrees:
(a) to cause the Borrower to fulfil all of its obligations under the Loan Agreement and other Financing Agreements;
(b) to provide funds to the Borrower, under the terms and conditions specified in this Deed, as and when needed by the Borrower to fulfil all of the Borrower's financial obligations in respect of the Project and to pay all of the Borrower's other financial obligations as they become due and payable, including, without limitation, the Borrower's financial obligations under the Loan Agreement and the other Financing Agreements; and
(c) to provide, or cause to be provided, management and technical assistance to the Borrower, as and when needed by the Borrower to fulfil all of the Borrower's obligations under the Loan Agreement and the other Financing Agreements.
Section 2.02. Advances by Guarantor
(a) If, from time to time, the Borrower, in the reasonable opinion of the Bank, has insufficient funds to the obligations referred to in Section 2.01(b), the Bank may, by notice to the Guarantor, require the Guarantor to advance the amount of such deficiency, or cause the amount of such deficiency to be advanced, to the Borrower. The Guarantor shall advance the amount of such deficiency, or cause the amount of such deficiency to be advanced, to the Borrower not later than 30 days after the date of such notice.
(b) Each advance of funds to the Borrower under Section 2.01 or 2.02(a) shall be made, at the Guarantor's option, in the form of an equity investment or a subordinated loan, except that such advance shall be deemed to be made in the form of a subordinated loan if the Guarantor has not secured any consent, approval or agreement needed to make such advance as an equity contribution. If such advance is made in the form of an equity investment, any shares issued by the Borrower in respect of such equity investment shall be issued at a price which is not less than the fair market value of such shares as determined by the Bank in its reasonable opinion.
(c) The Borrower and the Guarantor agree that the Bank may take or bring, in its own name or in the name of the Borrower, any steps, actions, suits or proceedings deemed necessary or desirable by the Bank to obtain the payments by the Guarantor which are contemplated hereunder.
Section 2.03. Nature of Obligations
(a) The obligations of the Guarantor and the Junior Creditor hereunder are direct and unconditional and may be enforced by the Bank without first having recourse to any other security or guarantee and without first taking any steps or proceedings against the Borrower.
(b) The obligations of the Guarantor hereunder shall not be affected or impaired by:
(1) any invalidity or irregularity in whole or in part of the Loan Agreement or any other Financing Agreement;
(2) any waiver by the Bank of the performance or observance by the Borrower of any of the agreements, covenants, terms or conditions contained in the Loan Agreement or any other Financing Agreement;
(3) any indulgence in or extension of the time for payment by the Borrower of any amounts payable under or in connection with the Loan, the Loan Agreement or any other Financing Agreement or of the time for performance by the Borrower of any other obligations under or arising from or out of the Loan, the Loan Agreement or any other Financing Agreement, or the extension or renewal thereof;
(4) the modification or amendment (whether material or otherwise) of any duty, agreement or obligation of the Borrower set forth in the Loan Agreement or any other Financing Agreement or the involuntary liquidation, sale or other disposition of all or substantially all of the assets of the Borrower;
(5) receivership, insolvency, bankruptcy, reorganisation or other similar proceedings affecting the Borrower or any of its assets;
(6) the release or discharge, without the consent of the Bank, of the Borrower from the performance or observance of agreement, covenant, term or condition contained in the Loan Agreement or any other Financing Agreement;
(7) the consolidation or merger of the Borrower; or
(8) any other cause or circumstance, whether similar or dissimilar to the foregoing, which might otherwise constitute a defence available to, or discharge of, the Borrower, the Guarantor or any Junior Creditor.
ARTICLE III - SUBORDINATION
Section 3.01. Subordination in Right of Payment
The payment of all or any part of the Junior Indebtedness shall be postponed and subordinated to the payment in full of the Senior Indebtedness and no payments or other distributions whatsoever shall be made in respect of any part of the Junior Indebtedness (including without limitation by way of set-off against amounts owed by the Guarantor or any Junior Creditor to the Borrower), and no property or assets of the Borrower shall be applied to the purchase or other acquisition or retirement of any part of the Junior Indebtedness, until the Senior Indebtedness has been paid in full.
Section 3.02. Subordination in Liquidation
In the event of any realisation or enforcement of the Security, any dissolution, winding up, liquidation, readjustment, reorganisation or other similar proceedings relating to the Borrower or its property (whether voluntary or involuntary, whether partial or complete, whether in bankruptcy, insolvency or receivership or upon an assignment for the benefit of creditors or any other marshalling of the assets and liabilities of the Borrower or otherwise) or any sale of all or substantially all of the assets of the Borrower, the Senior Indebtedness shall first be paid in full before the Guarantor or any Junior Creditor shall be entitled to receive or retain any payment or distribution in respect of the Junior Indebtedness. In order to implement the foregoing:
(1) all payments and distributions of any kind or character in respect of the Junior Indebtedness to which the Guarantor or any Junior Creditor would be entitled if the Junior Indebtedness were not subordinated, or subordinated and pledged or assigned, pursuant to this Deed shall be made directly to the Bank;
(2) the Guarantor and each Junior Creditor shall promptly file a claim or claims, in the form required in such proceedings, for the full outstanding amount of the Junior Indebtedness and shall take all steps required in such proceedings for such claim or claims to be approved and all payments and other distributions in respect thereof to be made directly to the Bank; and
(3) the Guarantor and each Junior Creditor hereby irrevocably agrees that, subject to prior notice to the Guarantor, any Junior Creditor or the Bank may, in its sole discretion, in the name of the Guarantor or otherwise, demand, sue for, collect, receive and give receipt for any and all such payments or distributions and file, prove and vote or consent in any such proceedings with respect to any and all claims of the Guarantor or any Junior Creditor relating to the Junior Indebtedness.
Section 3.03. Trust
In the event that the Guarantor or any Junior Creditor receives any payment or other distribution of any kind or character from the Borrower or from any other source whatsoever in respect of any part of the Junior Indebtedness, other than as expressly permitted by the terms of this Deed, such payment or other distribution shall be received in trust for the Bank and the Guarantor or any Junior Creditor shall promptly turn over such payment or other distribution to the Bank. Solely for the purpose of enforcement within the Republic of Croatia of any right and/or obligation for the parties pursuant this Deed and/or any Financing Agreement, as the case may be, the term "in trust for" used herein shall mean "for the benefit and in the name of".
Section 3.04. Application of Payments
All payments and distributions received by the Bank in respect of the Junior Indebtedness, to the extent received in or converted into cash, may be applied by the Bank first to the payment of any and all expenses (including legal fees and expenses) paid or incurred by the Bank in enforcing this Deed or in endeavouring to collect or realise upon any part of the Junior Indebtedness or any security therefor, and any balance thereof shall, solely as between the Guarantor or any Junior Creditor and the Bank, be applied by the Bank, in such order of application as the Bank may from time to time select, towards the payment of the Senior Indebtedness remaining unpaid; provided, however, that, as between the Borrower and its creditors, no such payments or distributions of any kind or character shall be deemed to be payments or distributions in respect of the Senior Indebtedness and, notwithstanding any such payments or distributions received by the Bank in respect of the Junior Indebtedness and so applied by the Bank toward the payment of the Senior Indebtedness, the Guarantor or such Junior Creditor shall be subrogated to the then existing rights of the Bank, if any, in respect of the Senior Indebtedness only at such time as this Deed shall have been terminated as provided for in Section 6.01.
Section 3.05. Guarantor's Affirmative Covenants
(a) The Guarantor shall, from time to time:
(1) promptly notify the Bank of the issuance of any promissory note or other instrument to evidence the Junior Indebtedness or any part thereof;
(2) upon request by the Bank, cause any part of the Junior Indebtedness which is not evidenced by a promissory note or other instrument of the Borrower to be so evidenced;
(3) to the extent permitted by applicable law, cause to be clearly inserted in any promissory note or other instrument which at any time evidences any part of the Junior Indebtedness a statement to the effect that the payment thereof is subordinated in accordance with the terms of this Deed;
(4) to the extent permitted by applicable law, mark its books and records, and cause each Junior Creditor and the Borrower to mark its books and records, so as to clearly indicate that the Junior Indebtedness is subordinated in accordance with the terms of this Deed; and
(5) execute such further documents or instruments and take such further action as the Bank may reasonably from time to time request to carry out the intent of this Deed.
(b) The Guarantor shall cause its Affiliates and Subsidiaries (other than the Junior Creditor) not to make any loans or advances or otherwise provide any funds to the Borrower without the prior written consent of the Bank.
Section 3.06. Guarantor's Negative Covenants
Neither the Guarantor not any Junior Creditor shall, without the prior written consent of the Bank:
(1) require or accept any prepayment or accelerated payment or repayment in respect of any part of the Junior Indebtedness, except as may be required under Section 3.02;
(2) cancel, waive, forgive, transfer or assign, or attempt to enforce or collect, or subordinate to any indebtedness other than the Senior Indebtedness, any part of the Junior Indebtedness or any rights in respect thereof;
(3) take any collateral security for any part of the Junior Indebtedness except for adequate collateral security required by mandatory Croatian regulations; or
(5) commence, or join with any other creditor in commencing, any bankruptcy, reorganisation or insolvency proceedings with respect to the Borrower.
Section 3.07. Waivers
Each of the Guarantor and the Junior Creditor hereby waives notice of the non-payment of all or any part of the Senior Indebtedness and all diligence in collection or protection of or realisation upon the Senior Indebtedness or any thereof or any security therefor.
Section 3.08. Actions by the Bank
The Bank may, from time to time, whether before or after any discontinuance of this Deed, with notice to the Guarantor or any Junior Creditor, take any or all of the following actions:
(1) retain or obtain a security interest in any property to secure any part of the Senior Indebtedness;
(2) retain or obtain the primary or secondary obligation of any obligor or obligors with respect to any part of the Senior Indebtedness;
(3) extend or renew for one or more periods (whether or not longer than the original period), alter or exchange any part of the Senior Indebtedness or release or compromise any obligation of any nature of any obligor with respect to any part of the Senior Indebtedness; and
(4) release its security interest in, or surrender, release or permit any substitution or exchange for, all or any part of any property securing any part of the Senior Indebtedness or extend or renew for one or more periods (whether or not longer than the original period), or release, compromise, alter or exchange, any obligations of any nature of any obligor with respect to any such property.
Section 3.09. Borrower's Obligations
The Borrower agrees to be bound by the terms and provisions of this Deed, to make no payments or distributions contrary to the terms and provisions hereof and to do every other act and thing necessary or appropriate to carry out such terms and provisions.
ARTICLE IV - REPRESENTATIONS AND WARRANTIES
Section 4.01. Representations by the Guarantor and the Junior Creditor
Each of the Guarantor and the Junior Creditor represents and warrants to the Bank that:
(a) It is a joint stock company, duly organised and validly existing under the laws of Croatia.
(b) It has the corporate power to enter into and perform this Deed. This Deed has been duly authorised and executed by it and constitutes a valid and legally binding obligation of it, enforceable in accordance with its terms.
(c) The making of this Deed and the compliance with the terms hereof:
(1) will not result in violation of its Charter or any provision contained in any law applicable to it;
(2) will not conflict with or result in the breach of any provision of, or require any consent under, or result in the imposition of any Lien under, any agreement or instrument to which it is a party or by which it or any of its assets is bound; and
(3) will not constitute a default or an event which, with the giving of notice, the passage of time or the making of any determination, or any combination thereof, would constitute a default under any such agreement or instrument.
(d) No governmental licenses, approvals, consents, filings or registrations are required for the due execution, delivery or performance by the Guarantor of this Deed, or the validity or enforceability hereof, except for the registration of each advance of funds to the Borrower pursuant to Section 2.01 or 2.02 with the Croatian National Bank, as may be required by the Croatian Foreign Currency Act or regulations of the Croatian National Bank.
Section 4.02. Representations by the Guarantor
(a) The consolidated balance sheet of the Guarantor as at 31 December 2008 and the related consolidated income statement and statement of changes in financial position of the Guarantor for the financial year of the Guarantor ending on that date, and the notes thereon, certified by the Guarantor's auditors, present a true and fair view of the consolidated financial condition of the Guarantor as of the date of such balance sheet and for the period covered by such income statement and statement of changes in financial position and were prepared in accordance with IFRS. The Guarantor had, as of the date of such balance sheet, no material contingent obligations, liabilities for taxes or unusual forward or long term commitments not disclosed by, or reserved against in, such balance sheet or the notes thereto. Since the date of such balance sheet, the Guarantor has not suffered any material adverse change in its business, operations or financial condition, incurred any substantial or unusual loss or liability or undertaken or agreed to undertake any substantial or unusual obligation except under this Deed.
(b) The representations and warranties made by the Borrower in the Loan Agreement are true and correct. The information submitted to the Bank by or on behalf of the Guarantor or the Borrower in connection with the Loan is true and correct, accurately and completely describes the business and financial prospects of the Borrower, contains no untrue or misleading statement and does not omit any material fact necessary to make the statements therein not untrue or misleading.
(c) No Default has occurred and is continuing or will occur upon the execution and delivery of this Deed. No event has occurred and is continuing that constitutes a default or, with the giving of notice, the passage of time or the making of any determination, or any combination thereof, would constitute a default under this Deed or under any agreement or instrument evidencing any indebtedness of the Guarantor which gives the holder thereof the right to accelerate payment of such indebtedness prior to its scheduled maturity, and no such event will occur upon the execution and delivery or performance of this Deed.
(d) The Guarantor is not engaged in, or, to the best of its knowledge, threatened by, any litigation, arbitration or administrative proceeding, the outcome of which might have a material adverse effect on the ability of the Guarantor to perform any of its obligations under this Deed or affect the validity or enforceability hereof.
Section 4.03. Representations by the Borrower
The Borrower represents and warrants to the Bank that:
(a) The Borrower has the corporate power to enter into and perform this Deed. This Deed has been duly authorised and executed by the Borrower and constitutes a valid and legally binding obligation of the Borrower, enforceable in accordance with its terms.
(b) The making of this Deed and the compliance with the terms hereof:
(1) will not result in violation of the Borrower's Charter or any provision contained in any law applicable to the Borrower;
(2) will not conflict with or result in the breach of any provision of, or require any consent under, or result in the imposition of any Lien under, any agreement or instrument to which the Borrower is a party or by which the Borrower or any of its assets is bound; and
(3) will not constitute a default or an event which, with the giving of notice, the passage of time or the making of any determination, or any combination thereof, would constitute a default under any such agreement or instrument.
(c) No governmental licenses, approvals, consents, filings or registrations are required for the due execution, delivery or performance by the Borrower of this Deed, or the validity or enforceability hereof.
ARTICLE V - COVENANTS OF THE GUARANTOR
Section 5.01. Share Retention
Unless the Bank otherwise agrees in writing, the Guarantor shall at all times retain, directly or indirectly, the legal and beneficial ownership of not less than 51% of the shares in the capital of the Borrower and shall at all times effectively control the Borrower. Notwithstanding the foregoing, and subject to Section 5.02(c) below, the Guarantor shall be entitled to transfer all or part of the shares owned by it to a Subsidiary, provided that such transfer shall become effective only upon signature by such Subsidiary of a written agreement in form and substance satisfactory to the Bank agreeing to be bound by the terms and conditions of this Deed. No such transfer shall release or discharge the Guarantor from any liability or obligation under this Deed.
Section 5.02. Participatory Interest Pledge
(a) In the event that the Borrower is required to ensure that the Shareholder enters into the Participatory Interest Pledge pursuant to Section 5.09(c) of the Loan Agreement, the Shareholder shall enter into such Participatory Interest Pledge in the form appended hereto as Schedule 1 by 2 January 2012.
(b) In the event that the Participatory Interest Pledge is required to be entered into by any new shareholder of the Borrower at the date of entry into such instrument pursuant to Section 5.09(c) of the Loan Agreement, the Guarantor shall procure that such new shareholder shall enter into the Participatory Interest Pledge in the form appended hereto as Schedule 1 by 2 January 2012.
(c) Upon the entry by the Shareholder (or any new shareholder of the Borrower at the date of entry into such instrument) into the Participatory Interest Pledge, neither the Guarantor nor the Shareholder (or any new shareholder of the Borrower at the date of entry into such instrument) shall be entitled to transfer all or part of the shares owned by it directly or indirectly to any party
Section 5.03.. Furnishing of Information
Unless the Bank otherwise agrees in writing, the Guarantor agrees that:
(a) The Guarantor shall promptly notify the Bank of any event that constitutes or, with the giving of notice, the passage of time or the making of any determination, or any combination thereof, would constitute a default hereunder and any event or condition (including, without limitation, any pending or threatened litigation, arbitration or administrative proceeding) that might have a material adverse effect on the ability of the Guarantor to perform any of its obligations under this Deed.
(b) The Guarantor shall furnish promptly to the Bank such other information as the Bank may from time to time reasonably request. The Guarantor shall permit representatives of the Bank (including, without limitation, any consultants engaged by the Bank) to visit any of the premises where the business of the Guarantor is conducted and to have access to the books of account and records of the Guarantor during regular business hours and subject to five days prior notice.
ARTICLE VI - MISCELLANEOUS
Section 6.01. Term of Agreement
This Deed shall continue in force until the date that the obligation of the Bank to make Disbursements under the Loan Agreement has terminated in accordance with the terms thereof or, if later, until all moneys payable under the Loan Agreement and the other Financing Agreements have been fully paid in accordance with the provisions thereof.
Section 6.02. Entire Agreement; Amendment and Waiver
This Deed and the documents referred to herein constitute the entire obligation of the parties hereto with respect to the subject matter hereof and shall supersede any prior expressions of intent or understandings with respect to this transaction. Any amendment to, waiver by the Bank of any of the terms or conditions of, or consent given by the Bank under, this Deed (including, without limitation, this Section 6.02) shall be in writing, signed by the Bank and, in the case of an amendment, by the Guarantor, each Junior Creditor and the Borrower.
Section 6.03. Notices
Any notice or other communication to be given or made under this Deed shall be in writing. Such notice or other communication shall be deemed to have been duly given or made when it is delivered by hand, airmail, telex or facsimile transmission to the party to which it is required or permitted to be given or made at such party's address specified below or at such other address as such party designates by notice to the party giving or making such notice, application or other communication.
IN WITNESS WHEREOF, the parties hereto, acting through their duly authorised representatives, have caused this Deed to be signed as a deed in their respective names as of the date first above written.

ISPRAVA O PODREĐIVANJU I ZADRŽAVANJU DIONICA
ISPRAVA od 2009 sklopljena između društva s ograničenom odgovornošću COMPANY 2 D.O.O. SARAJEVO koje je ustrojeno i djeluje u skladu sa zakonom Bosne i Hercegovine (“kreditoprimac"), dioničkog društva COMPANY 1D.D., koje je ustrojeno i djeluje u skladu sa zakonom Hrvatske (“jamac"), dioničkog društva COMPANY 2 D.D. ZAGREB koje je ustrojeno i djeluje u skladu sa zakonom Hrvatske ("drugi vjerovnik”), i BANK 1.1 (“Bank").
PREAMBULA
JAMAC je većinski vlasnik Company 2 d.d. koja posjeduje 100% izdanog i nepodmirenog sudjelujućeg interesa u kapitalu kreditoprimca.
BANK je, sukladno ugovoru o kreditu sklopljenom 15. svibnja 2009. (“ugovor o kreditu") između kreditoprimca i Bank, pristala kreditoprimcu pozajmiti iznos koji ne prelazi 50 milijuna eura, pod uvjetima koji su navedeni u ugovoru o kreditu.
JAMČEVO sklapanje ove isprave predstavlja suspenzivni uvjet za izvršenje obveze isplate kreditoprimcu od strane Bank temeljem ugovora o kreditu, i
JAMAC je voljan sklopiti ovu ispravu kako bi potakao Bank da izvrši isplatu kreditoprimcu temeljem ugovora o kreditu.
STOGA ugovorne strane pristaju na sljedeće:
ČLANAK I - DEFINICIJE
Odjeljak 1.01. Definicije
Kad god se koriste u ovoj ispravi (uključujući preambulu), osim ako nije drugačije određeno ili ako situacija ne zahtijeva drugačije, termini koji su definirani u preambuli imaju značenja koja su im dodijeljena u istoj, termini definirani u ugovoru o kreditu imaju svoja značenja koja su im dodijeljena u istome, dok sljedeći termini imaju sljedeća značenja
"tražbine nižih isplatnih redova“ označava bilo koju i sve kreditoprimčeve obveze plaćanja bilo koje prirode, bilo one koje već postoje na datum ove isprave ili koje će se pojaviti nakon datuma ove isprave, bilo jamcu, nekoj njegovoj povezanoj osobi ili drugom vjerovniku, uključujući bez ograničenja bilo koju i sve kreditoprimčeve obveze da izvrši plaćanja jamcu ili bilo kojem drugom vjerovniku
(a) u vezi s bilo kojim sredstvima koja jamac ili drugi vjerovnik stavljaju na raspolaganje kreditoprimcu putem podređenih dugova sukladno odjeljku 2.01 ili 2.02
(b) u vezi s bilo kojim drugim kreditom ili avansom sredstava od strane jamca ili nekog drugog vjerovnika ili kreditoprimca
(c) u vezi s dividendama, povratom kapitala, otkupa ili neke druge raspodjele sredstava jamcu ili drugom vjerovniku, ili
(d) u vezi s bilo kojom obvezom bilo kakve prirode koju kreditoprimac ima ili može imati prema jamcu ili drugom vjerovniku bilo putem odštete ili nadoknade sredstava, kao rezultat zamjene jedne osobe drugom, sukladno uvjetima bilo kojeg sporazuma između jamca, drugog vjerovnika i kreditoprimca ili drugačije
"tražbine viših isplatnih redova" označava bilo koju i sve kreditoprimčeve obveze, bilo one koje već postoje na datum ove isprave ili koje će se pojaviti nakon datuma ove isprave, da plati glavnicu, kamate, naknade, provizije, odštete i druge iznose Bank temeljem ugovora o kreditu i drugih financijskih sporazuma.
Odjeljak 1.02. Tumačenje
(a) U ovoj ispravi, osim ako kontekst drugačije ne zahtijeva, riječi koje označavaju jedninu uključuju i množinu, i obratno, riječi koje označavaju osobe uključuju korporacije, partnerstva i druge pravne osobe, a pozivanje na osobu uključuje njene pravne nasljednike i dopuštene nositelje prava.
(b) U ovoj ispravi pozivanje na određeni članak ili odjeljak tumači se kao pozivanje na taj određeni članak ili odjeljak ove isprave.
(c) U ovoj ispravi pozivanje na određeni sporazum tumači se kao pozivanje na sporazum koji se s vremena na vrijeme može doraditi, promijeniti, dopuniti, prenijeti ili dodijeliti.
(d) U ovoj ispravi naslovi i sadržaj uključeni su samo zbog praktičnosti pretraživanja te neće utjecati na interpretaciju ove isprave.
ČLANAK II – ZAVRŠETAK PROJEKTA
Odjeljak 2.01. Obveze jamca
Jamac pristaje na sljedeće, što podliježe uvjetima ove isprave:
(a) da potakne kreditoprimca na ispunjavanje svojih obveza temeljem ugovora o kreditu i drugih financijskih sporazuma
(b) da kreditoprimcu stavi na raspolaganje financijska sredstva specificirana u ovoj ispravi kako i kada ih kreditoprimac treba u cilju ispunjavanja svih svojih financijskih obveza u vezi s projektom te da plati sve svoje druge financijske obveze kako dospijevaju i dolaze na naplatu uključujući, bez ograničenja, svoje financijske obveze temeljem ugovora o kreditu i drugih financijskih sporazuma, i
(c) da pruži, ili organizira pružanje, upravne i tehničke pomoći kreditoprimcu, kako i kada ih kreditoprimac treba u cilju ispunjavanja svojih obveza temeljem ugovora o kreditu i drugih financijskih sporazuma.
Odjeljak 2.02. Jamčevi predujmovi
(a) Ako s vremena na vrijeme kreditoprimac, prema opravdanom mišljenju Bank, nema dovoljno sredstava za obveze spomenute u odjeljku 2.01(b), Bank može slanjem obavijesti jamcu zatražiti od jamca avansno plaćanje takvih pomanjkanja ili da organizira avansno plaćanje iznosa koji nedostaje kreditoprimcu. Jamac će dati predujam u iznosu koji nedostaje ili organizirati avansno plaćanje za takvo pomanjkanje najkasnije 30 dana nakon primitka takve obavijesti.
(b) Svaki predujam kreditoprimcu temeljem odjeljka 2.01 ili 2.02(a) plaća se, po izboru jamca, u obliku investicije u dionice ili podređenog duga, osim što će se takav predujam smatrati podređenim dugom ako jamac nije pribavio suglasnost, pristanak ili sporazum potreban za plaćanje takvog predujma u vidu doprinosa u dionicama. Ako je takav predujam ostvaren u vidu investicije u dionice, sve dionice koje kreditoprimac izdaje u vezi s takvom investicijom u dionice izdaju se po cijeni koja nije niža od fer tržišne vrijednosti takvih dionica prema opravdanoj odluci Bank.
(c) Kreditoprimac i jamac slažu se da Bank može poduzeti u svoje ime ili u ime kreditoprimca bilo kakve korake, parnice, podići tužbe i pokrenuti postupke koje smatra potrebnim ili poželjnim u svrhu ishođenja plaćanja od strane jamca kako je predviđeno ovom ispravom
Odjeljak 2.03. Priroda obveza
(a) Obveze jamca i drugog vjerovnika iz ovog dokumenta izravne su i bezuvjetne te Bank može tražiti njihovo izvršenje bez prethodnog regresa po nekom drugom instrumentu osiguranja ili garanciji i bez poduzimanja koraka ili pokretanja postupka protiv kreditoprimca.
(b) Na jamčeve obveze temeljem ove isprave neće utjecati sljedeće niti će se one zbog istoga umanjiti:
(1) bilo kave nesposobnosti ili nepravilnosti ugovora o kreditu ili nekog drugog financijskog sporazum bilo u cijelosti ili djelomično
(2) bilo kakvo Bančino odricanje od kreditoprimčevog izvršenja ili poštivanja nekog sporazuma, obećanja ili uvjeta sadržanih u ugovoru o kreditu ili nekom drugom financijskom sporazumu
(3) bilo kakvo kreditoprimčevo odlaganje ili produžetak roka plaćanja bilo kojih iznosa koji su plativi temeljem ili u vezi s kreditom, ugovorom o kreditu ili nekim drugim financijskim sporazumom ili vremenskog perioda za kreditoprimčevo izvršenje bilo kojih obveza temeljem kredita, ugovora o kreditu ili nekog drugog financijskog sporazuma, ili produžetak ili obnavljanje istoga
(4) modifikacija ili dopuna i izmjena (bilo znatna ili mala) neke dužnosti, sporazuma ili obveze kreditoprimca definirane u ugovoru o kreditu ili nekom financijskom sporazumu, neželjena likvidacija, prodaja ili neki drugi način raspolaganja cjelokupnom ili gotovo cjelokupnom imovinom kreditoprimca
(5) stečajna uprava, nesolventnost, stečaj, reorganizacija ili slični postupci koji utječu na kreditoprimca i bilo koju njegovu imovinu
(6) otpuštanje ili oslobađanje kreditoprimca, uz suglasnost Banke, od izvršenja ili poštivanja sporazuma, obećanja ili uvjeta sadržanih u ugovoru o kreditu ili nekom drugom financijskom sporazumu
(7) konsolidacija ili spajanje kreditoprimca, ili
(8) bilo koji drugi razlog ili okolnost, slična ili različita od gore navedenoga, koja bi mogla na neki drugi način predstavljati obranu na raspolaganju kreditoprimcu, jamcu ili drugom vjerovniku ili njihovo oslobađanje.
ČLANAK III - PODREĐIVANJE
Odjeljak 3.01. Podređivanje prava plaćanja
Plaćanje cjelokupnog ili samo dijela tražbine nižih isplatnih redova bit će odgođeno i podređeno plaćanju cjelokupne tražbine viših isplatnih redova te se neće provoditi nikakva plaćanja ili raspodjele u vezi s bilo kojim dijelom tražbine nižih isplatnih redova (uključujući bez ograničenja iznose koje jamac ili bilo koji drugi vjerovnik duguje kreditoprimcu putem kompenzacije), nikakvo kreditoprimčevo vlasništvo ili imovina neće se upotrijebiti za kupovinu, neku drugu vrstu akvizicije ili otplatu bilo kojeg dijela tražbine nižih isplatnih redova, dok god tražbine viših isplatnih redova nisu u potpunosti plaćene.
Odjeljak 3.02. Podređivanje u procesu likvidacije
U slučaju aktiviranja ili izvršenja instrumenta osiguranja, bilo kakav prestanak ili zatvaranje trgovačkog društva, likvidacija, samostalna sanacija tvrtke, reorganizacija ili neki slični postupci vezani uz kreditoprimca ili njegovu imovinu (bilo željeni ili neželjeni, djelomični ili kompletni, bilo tijekom stečaja, nesolventnosti ili stečajne upraveg, prilikom asignacije u korist vjerovnika ili bilo kojeg drugog pregrupiranja aktive i pasive kreditoprimca ili na neki drugi način), bilo kakve prodaje cjelokupne ili gotovo cjelokupne imovine kreditoprimca, prvo se u cijelosti plaća tražbina viših isplatnih redova prije nego što jamac ili neki drugi vjerovnik budu imali pravo primiti ili zadržati neko plaćanje ili raspodijeljena sredstava vezano uz tražbinu nižih isplatnih redova. Kako bi se gore navedeno provelo:
(1) sva plaćanja i raspodjele sredstava bilo koje vrste u vezi sa tražbinom nižih isplatnih redova na koje bi jamac ili drugi vjerovnik polagali pravo da tražbina nižih isplatnih redova nije podređena, ili podređena i založena ili prenesena sukladno ovoj ispravi, idu izravno Bank
(2) jamac i svaki drugi vjerovnik promptno će uložiti žalbu ili žalbe u obliku kako je traženo u takvom postupku vezano uz puni nepodmireni iznos tražbine nižih isplatnih redova te će poduzeti sve potrebne korake u tom postupku kako bi takva žalba ili žalbe bile prihvaćene pa da sva plaćanja i druga raspodijeljena sredstva vezano uz to mogu ići izravno Bank, i
(3) jamac i svaki drugi vjerovnik ovim se neopozivo slažu da, uz prethodnu obavijest jamcu, svaki drugi vjerovnik ili Bank može, po svom nahođenju, u ime jamca ili na drugi način, tražiti, tužiti, naplatiti, primiti i dati račun za svako takvo plaćanje ili raspodjelu te pokrenuti postupak, dokazati i glasati ili se usuglasiti sa svakim takvim postupkom u vezi svih zahtjeva jamca ili drugog vjerovnik u vezi s tražbinom nižih isplatnih redova.
Odjeljak 3.03. Fond
U slučaju da jamac ili neki drugi vjerovnik primi bilo kakvo plaćanje ili raspodjelu bilo koje vrste ili karaktera od kreditoprimca ili nekog drugog izvora u vezi s bilo kojim dijelom tražbine nižih isplatnih redova, osim kao što je eksplicitno dopušteno uvjetima ove isprave, takvo plaćanje ili druga vrsta raspodjele zaprimit će se u fond za Bank, a jamac ili neki drugi vjerovnik promptno će proslijediti takvo plaćanje ili druga raspodijeljena sredstva Bank. Isključivo u svrhu provedbe bilo kojeg prava i/ili obveze strana sukladno ovoj ispravi i/ili financijskom sporazumu u Republici Hrvatskoj, kako slučaj bude nalagao, termin „u fond za“ koji se ovdje koristi znači „u korist i u ime“.
Odjeljak 3.04. Primjena plaćanja
Sva plaćanja i raspodijeljena sredstva koja Bank prima u vezi s tražbinom nižih isplatnih redova, primljenom ili pretvorenom u gotovinu, Bank može upotrijebiti prvo za plaćanje bilo kojih ili svih troškova (uključujući pravne troškove i rashode) koje je Bank platila ili koji su joj prouzrokovani zbog izvršenja ove isprave ili u pokušaju naplate ili realizacije dijela tražbine nižih isplatnih redova ili nekog instrumenta osiguranja. Svaki preostali iznos Bank će primijeniti, isključivo između jamca ili nekog drugog vjerovnika i Bank, prema redoslijedu primjene koji Bank povremeno odabere, u svrhu plaćanja tražbine viših isplatnih redova koja je ostala nepodmirena, pod uvjetom da, budući da se između kreditoprimca i njegovih vjerovnika nijedno takvo plaćanje ili raspodjela bilo koje vrste ili karaktera ne smatra plaćanjem ili raspodjelom tražbine viših isplatnih redova te, bez obzira na bilo kakva takva plaćanja ili raspodjelu koju Bank prima u vezi s tražbinom nižih isplatnih redova i koje Bank koristi za plaćanje tražbine viših isplatnih redova, jamac ili drugi vjerovnik će naslijediti prava Bank koja (ako) su tada postojala vezi s tražbinom viših isplatnih redova samo u trenutku raskida ove isprave sukladno odjeljku 6.01.
Odjeljak 3.05. Afirmativna jamčeva obećanja
(a) S vremena na vrijeme jamac će:
(1) promptno obavijestiti Bank o izdavanju bilo kakvih zadužnica ili drugih instrumenata kao dokaznog sredstva tražbine nižih isplatnih redova ili nekog njegovog dijela
(2) po zahtjevu Bank, potaknuti dokazivanje bilo kojeg dijela tražbine nižih isplatnih redova koji nije dokazan zadužnicom ili nekim drugim kreditoprimčevim instrumentom
(3) u mjeri u kojoj primjenjivi zakon to dopušta, potaknuti jasno umetanje izjave o podređenosti u skladu s uvjetima isprave u bilo koju zadužnicu ili drugi instrument kojim se u bilo kojem trenutku dokazuje neki dio tražbine nižih isplatnih redova
(4) u mjeri u kojoj primjenjivi zakon to dopušta, označiti svoje knjige i registre i potaknuti svakog drugog vjerovnika i kreditoprimca da označe njihove knjige i registre kako bi jasno dali do znanja da je tražbina nižih isplatnih redova podređena sukladno uvjetima isprave, i
(5) potpisati takve dodatne dokumente ili instrumente i poduzeti daljnje korake koje Bank može opravdano s vremena na vrijeme zahtijevati kako bi se ispunila namjera ove isprave.
(b) Jamac će potaknuti svoje povezane osobe i društva-kćeri (osim drugog vjerovnika) da ne daje nikakve kredite ili predujmove niti da na neki drugi način stavlja kreditoprimcu sredstva na raspolaganje bez prethodnog pisanog pristanka Bank.
Odjeljak 3.06. Negativna jamčeva obećanja
Ni jamac niti jedan drugi vjerovnik neće, bez prethodnog pisanog pristanka Bank:
(1) tražiti ili primiti ikakvo plaćanje unaprijed ili ubrzano plaćanje ili otplatu vezano uz bilo koji dio tražbine nižih isplatnih redova, osim kako se traži u odjeljku 3.02
(2) poništiti, odreći se, oprostiti, prenijeti ili prepustiti, ili pokušati zahtijevati ili naplatiti, ili podrediti bilo koji dio tražbine nižih isplatnih redova ili bilo koja prava koja su s njom povezana bilo kojem drugom zaduženju osim tražbini viših isplatnih redova
(3) uzeti neko dopunsko osiguranje za neki dio tražbine nižih isplatnih redova osim primjerenog dopunskog osiguranja sukladno obvezujućim hrvatskim propisima, ili
(5) inicirati ili se priključiti nekom drugom vjerovniku koji je inicirao bankrot, reorganizaciju ili stečajni postupak u odnosu na kreditoprimca.
Odjeljak 3.07. Odricanja
I jamac i drugi vjerovnik ovim se odriču obavijesti o neplaćanju cijelog ili dijela iznosa tražbine viših isplatnih redova te svakog pljenidbenog naloga u vezi s naplatom, zaštitom ili realizacijom tražbine viših isplatnih redova ili bilo kojeg instrumenta osiguranja s njom u vezi.
Odjeljak 3.08. Koraci koje poduzima Bank
Uz obavijest jamcu ili drugom vjerovniku Bank može, s vremena na vrijeme, bilo prije ili poslije prestanka važenja ove isprave, poduzeti bilo koji od sljedećih koraka:
(1) zadržati ili ishoditi založno pravo na bilo koju imovinu u vidu osiguranja nekog dijela tražbine viših isplatnih redova
(2) zadržati ili ishoditi primarne i sekundarne obveze bilo kojeg ili bilo kojih dužnika u vezi s nekim dijelom tražbine viših isplatnih redova
(3) produžiti ili obnoviti za jedan ili više perioda (bili oni duži ili kraći od prvobitnog perioda), promijeniti ili zamijeniti bilo koji dio tražbine viših isplatnih redova ili osloboditi ili riješiti kompromisom neku obvezu bilo koje prirode bilo kojeg dužnika u vezi s nekim dijelom tražbine viših isplatnih redova, i
(4) osloboditi založno pravo, ustupiti, osloboditi ili dopustiti bilo kakvu supstituciju ili zamjenu cjelokupne ili nekih dijelova imovine koja služi kao osiguranje nekog dijela tražbine viših isplatnih redova, produžiti ili obnoviti za jedan ili više perioda (bili oni duži ili kraći od prvobitnog perioda), osloboditi, riješiti kompromisom, izmijeniti ili zamijeniti neku obvezu bilo koje prirode bilo kojeg dužnika u vezi s takvom imovinom.
Odjeljak 3.09. Obveze kreditoprimca
Kreditoprimac pristaje na to da bude obvezan uvjetima i odredbama ove isprave, da ne izvrši nikakvo plaćanje ili raspodjelu sredstava u suprotnosti s uvjetima i odredbama ove isprave te da poduzme sve druge radnje i stvari koje su potrebne i prikladne za ispunjavanje takvih uvjeta i odredbi.
ČLANAK IV – IZJAVE I JAMSTVA
Odjeljak 4.01. Izjave jamca i drugog vjerovnika
I jamac i drugi vjerovnik izjavljuju i jamče Bank sljedeće:
(a) Ovo je dioničko društvo, propisno ustrojenom koje valjano djeluje prema hrvatskim zakonima.
(b) Društvo ima korporativnu moć sklapanja i izvršenja ove isprave. Društvo je ovu ispravu propisno autoriziralo i primijenilo te ona za njega predstavlja valjanu i pravno obvezujuću obvezu koja se može provesti sukladno ovim uvjetima.
(c) Izrada ove isprave te poštivanje u njoj sadržanih uvjeta:
(1) neće rezultirati povredom njegovog isključivog prava ili neke druge odredbe sadržane u zakonu koji je na njega primjenjiv
(2) neće biti u konfliktu ili rezultirati povredom bilo kojih odredbi, ili zahtijevati bilo kakvu suglasnost temeljem bilo kojeg sporazuma ili instrumenta u kojima sudjeluje ili kojim je društvo ili neka njegova imovina obvezano, niti će iste rezultirati opterećenjem založnim pravom, i
(3) neće predstavljati neispunjavanje ugovornih obveza niti neki događaj koji bi, zbog otkazivanja, proteka vremena ili donošenja neke odluke ili kombinacije svega ovoga, predstavljao neispunjavanje ugovornih obveza temeljem bilo kojeg takvog sporazuma ili instrumenta.
(d) Nikakve državne licence, odobrenja, suglasnosti, podnesci ili registracije nisu potrebne za uredno izvršenje, isporuku ili provođenje ove isprave od strane jamca, ili za važenje i provedivost iste, osim za registraciju svakog predujma kreditoprimcu sukladno odjeljku 2.01 ili 2.02 pri Hrvatskoj narodnoj banci, kao što hrvatski Devizni zakon ili neki drugi propisi Hrvatske narodne banke mogu zahtijevati.
Odjeljak 4.02. Izjave jamca
(a) Konsolidirana jamčeva bilanca od 31. prosinca 2008. i s njom povezi račun dobiti i gubitka, izvješće o promjenama financijskog stanja jamca za jamčevu financijsku godinu koja je završila s tim datumom, te bilješke s tim u vezi, s potvrdom jamčeva revizora, predstavljaju istinit i fer prikaz konsolidiranog financijskog stanja jamca na datum bilance za period obuhvaćen računom dobiti i gubitka i izvješćem o promjenama financijskog stanja te su pripremljeni u skladu s MSFI-em. Jamac na dan bilance nije imao znatne potencijalne obveze, obveze za poreze ili neuobičajene terminske ili dugoročne obveze koje nisu bile objavljene ili za koje nije izvršio rezervaciju u bilanci ili bilješkama. Od datuma bilance jamac nije pretrpio nikakve znatne štetne promjene u poslovanju, transakcijama, financijskom stanju, nije znatne ili neuobičajene gubitke ili dugove, niti preuzeo ili se složio s preuzimanjem bilo kakvih znatnih ili neuobičajenih obveza osim iz ove isprave.
(b) Kreditoprimčeve izjave i jamstva u ugovoru o kreditu istinite su i točne. Informacije koje su jamac (ili netko u njegovo ime) ili kreditoprimac dali Bank u vezi s kreditom istinite su i točne, precizno i potpuno opisuju poslovanje i financijsku perspektivu kreditoprimca, ne sadrže neistinite ili obmanjujuće izjave te nisu ispuštene nikakve materijalne činjenice slijedom čega bi ove izjave postale neistinite ili obmanjujuće.
(c) Nije došlo do neispunjavanja ugovornih obveza, isto nije u tijeku niti će do istoga doći prilikom izvršenja i slanja ove isprave. Nije došlo ni do kakvog događaja niti je ikakav događaj sada u tijeku koji bi predstavljao neispunjavanje ugovornih obveza ili bi, zbog otkazivanja, proteka vremena ili donošenja neke odluke ili kombinacije svega ovoga, predstavljao neispunjavanje ugovornih obveza temeljem ove isprave ili temeljem bilo kojeg sporazuma ili instrumenta koji dokazuje jamčevu zaduženost, što nositelju ovog dokumenta daje pravo ubrzavanja plaćanja takvog dugovanja prije njegovog predviđenog dospijeća, te do takvog događaja neće ni doći prilikom izvršenja, slanja ili provođenja ove isprave.
(d) Jamac ne sudjeluje ni u kakvoj parnici, arbitraži ili upravnopravnom postupku čiji bi rezultat mogao imati znatne štetne posljedice po jamčevu sposobnost provođenja svojih obveza iz ove isprave ili utjecati na njenu valjanost i provedivost niti mu, prema njegovom saznanju, iste prijete.
Odjeljak 4.03. Izjave kreditoprimca
Kreditoprimac izjavljuje i jamči Bank da:
(a) Kreditoprimac ima korporativnu snagu sklapanja i izvršenja ove isprave. Kreditoprimac je ovu ispravu propisno autorizirao i primijenio te ona za njega predstavlja valjanu i pravno obvezujuću obvezu koja se može provesti sukladno ovim uvjetima
(b) Sastavljanje ove isprave i poštivanje njenih uvjeta:
(1) neće rezultirati povredom kreditoprimčevog isključivog prava ili neke druge odredbe sadržane u zakonu koji je primjenjiv na kreditoprimca
(2) neće biti u konfliktu ili rezultirati povredom bilo kojih odredbi, ili zahtijevati bilo kakvu suglasnost temeljem bilo kojeg sporazuma ili instrumenta u kojima kreditoprimac sudjeluje ili kojima je kreditoprimac ili neka njegova imovina obavezana, niti će iste rezultirati opterećenjem založnim pravom, i
(3) neće predstavljati neispunjavanje ugovornih obveza niti neki događaj koji bi, zbog otkaza, proteka vremena ili donošenja neke odluke ili kombinacije svega ovoga, predstavljao neispunjavanje ugovornih obveza temeljem bilo kojeg takvog sporazuma ili instrumenta.
(c) Nikakve državne licence, odobrenja, suglasnosti, podnesci ili registracije nisu potrebne za uredno izvršenje, isporuku ili provođenje ove isprave od strane jamca, ili za valjanost i provedivost iste.
ČLANAK V – JAMČEVA OBEĆANJA
Odjeljak 5.01. Zadržavanje dionica
Osim ako se Bank ne složi drugačije pisanim putem, Jamac će u svakom trenutku zadržati, izravno ili neizravno, zakonito i stvarno vlasništvo nad barem 51% dionica u kapitalu kreditoprimca te će u svakom trenutku učinkovito kontrolirati kreditoprimca. Bez obzira na gore navedeno te sukladno odjeljku 5.02(c) niže, jamac ima pravo prijenosa svih ili dijela dionica koje on ili njegovo društvo-kći posjeduje, pod uvjetom da takav prijenos stupi na snagu tek s potpisivanjem pisanog sporazuma od strane društva-kćeri koji je po obliku i sadržaju zadovoljavajući za Bank, u kojem izražava svoju suglasnost da bude obavezan uvjetima ove isprave. Nikakav takav prijenos neće lišiti ili osloboditi jamca dugova ili obveza po ovoj ispravi.
Odjeljak 5.02. Zalog sudjelujućeg interesa
(a) U slučaju da se od kreditoprimca zahtijeva da osigura sudjelovanje dioničara u zalogu sudjelujućeg interesa sukladno odjeljku 5.09(c) ugovora o kreditu, dioničar će sudjelovati u zalogu sudjelujućeg interesa u obliku kao u pregledu 1 priloženom ovom dokumentu do 2. siječnja 2012.
(b) U slučaju da se od bilo kojeg novog kreditoprimčeva dioničara traži da sudjeluje u zalogu sudjelujućeg interesa na dan ulaska u takav instrument sukladno odjeljku 5.09(c) ugovora o kreditu, jamac će se pobrinuti da takav novi dioničar sudjeluje u zalogu sudjelujućeg interesa u obliku kao u pregledu 1 priloženom ovom dokumentu do 2. siječnja 2012.
(c) Prilikom ulaska dioničara (ili nekog novog kreditoprimčeva dioničara na datum ulaska u takav instrument) u zalog sudjelujućeg interesa, ni jamac ni dioničar (niti neki novi kreditoprimčev dioničar na datum ulaska u takav instrument) neće polagati pravo na prijenos svih ili dijela dionica iz svog vlasništva na neku drugu stranu bilo izravno ili neizravno.
Odjeljak 5.03. Pružanje informacija
Osim ako se Bank drugačije ne izjasni pisanim putem, jamac se slaže sa sljedećim:
(a) Jamac će promptno obavijestiti Bank o bilo kakvom događaju koji predstavlja ili bi, zbog otkazivanja, proteka vremena ili donošenja neke odluke ili kombinacije svega ovoga, predstavljao neispunjavanje ugovornih obveza iz ove isprave te o bilo kakvom događaju ili uvjetu (uključujući, bez ograničenja, bilo kakvu parnicu koja je u tijeku ili parnicu koja prijeti, arbitražu ili upravnopravni postupak) koji bi mogao imati znatni štetni učinak na sposobnost jamca da izvrši svoje obveze iz ove isprave.
(b) Jamac će promptno dostaviti Bank sve druge informacije koje Bank s vremena na vrijeme opravdano zatraži. Jamac će dopustiti predstavnicima Bank (uključujući, bez ograničenja, sve konzultante koje Bank angažira) da posjete bilo koje prostore na kojima jamac posluje te joj omogućiti pristup svojim računovodstvenim knjigama i dokumentaciji u redovno radno vrijeme uz najavu pet dana unaprijed.
ČLANAK VI - RAZNO
Odjeljak 6.01. Uvjeti sporazuma
Ova isprava ostaje na snazi do datuma isteka obveze Bank da izvrši isplatu temeljem ugovora o kreditu sukladno uvjetima iz ugovora o kreditu, ili, ako je to kasnije, do izvršenja plaćanja svih novčanih sredstava plativih po ugovoru o kreditu i drugim financijskim sporazumima u punom iznosu, sukladno odredbama istih.
Odjeljak 6.02. Cijeli sporazum; izmjene i dopune, odustajanje
Ova isprava i dokumenti na koje se u njoj upućuje predstavljaju ukupnu obvezu strana ove isprave te zamjenjuje bilo kakve ranije izričaje namjere ili obveze u odnosu na ovu transakciju. Sve izmjene i dopune ove isprave, odustajanje od strane Bank od bilo kojih uvjeta, ili suglasnost koji Bank daje po ovoj ispravi (uključujući, bez ograničenja, odjeljak 6.02) vrše se pisanim putem te ih potpisuje Bank i, u slučaju izmjene i dopune, i jamac, svaki drugi vjerovnik i kreditoprimac.
Odjeljak 6.03. Obavijesti
Sve obavijesti ili bilo koja druga vrsta komunikacije koje se daju ili sastavljaju temeljem ove isprave moraju biti u pisanom obliku. Smatrat će se da se obavijesti ili drugi vidovi komunikacije daju ili sastavljaju na pravilan način ako se dostavljaju osobno, avionskom poštom, teleksom ili faksom strani koja može i treba primati obavijesti, i to na njenu adresu kao što je niže specificirano ispod njenog potpisa ili na bilo koju drugu adresu koju ta strana odredi slanjem obavijesti strani koja šalje ili sastavlja taku obavijest ili neku drugu vrstu komunikacije.

Odjeljak 6.04. Engleski jezik
Svi dokumenti koji se stavljaju na raspolaganje, ili komunikacije koje jamac, drugi vjerovnik ili kreditoprimaca daju ili sastavljaju po ovoj ispravi, bit će na engleskom jeziku ili, ako su na nekom drugom jeziku, popratit će se prijevodima na engleski jezik koje potvrđuje jamac, drugi vjerovnik ili kreditoprimac, već od slučaja do slučaja, i ti će se prijevodi smatrati mjerodavnom verzijom između jamca, svakog drugog vjerovnika, kreditoprimca i Bank.
Odjeljak 6.05. Prava, pravni lijekovi i odustajanja
(a) Prava i pravni lijekovi Bank u vezi s bilo kakvim iskrivljavanjem činjenica, povreda obveza iz jamstva od strane jamca, nekog drugog vjerovnika ili kreditoprimca neće se dovoditi u pitanje bilo kakvim istraživanjem poslovanja jamca, drugog vjerovnika ili kreditoprimca od strane ili u ime Bank, izvršenjem ili provedbom ove isprave ili bilo kakvim činom ili stvari koje se mogu izvršiti od strane ili u ime Bank u vezi s ovom ispravom te koje bi mogle, izvan ovog odjeljka, dovesti u pitanje takva prava ili pravne lijekove.
(b) Nikakvi uobičajeni postupci, nikakvo kašnjenje u ostvarenju prava, ovlasti ili pravnog lijeka koje je Bank stekla po ovoj ispravi ili bilo kojem drugom sporazumu neće oslabiti takvo pravo, ovlast ili pravni lijek ili se tumačiti kao odricanje od istih ili prešutno prihvaćanje istih. Ni pojedinačno ni djelomično ostvarenje bilo kojeg takvog prava, ovlasti ili pravnog lijeka neće onemogućiti neko njihovo dodatno ili daljnje ostvarenje kao ni ostvarenje bilo kojeg drugog prava, ovlasti ili pravnog lijeka. Nikakav čin Bank u vezi s bilo kakvim propustom ili njegovim prešutnim prihvaćanjem neće utjecati niti oslabiti bilo koje pravo, ovlast ili pravni lijek Bank u odnosu na neki drugi propust.
(c) Prava i pravni lijekovi koji su predviđeni u ovoj ispravi kumulativni su i ne isključuju nikakva druga prava ili pravne lijekove, bilo da su predviđeni primjenjivim zakonom ili na neki drugi način.
(d) Bank može zaštiti i provesti svoja prava temeljem ove isprave pri bilo kojem sudu ili nadležnom tijelu tužbom, parnicom ili nekim drugim prikladnim postupkom, bilo za nadoknadu štete, izvršenje u naturi bilo kojih uvjeta ove isprave ili na bilo koji način ili kako bi pomogao u provedbi bilo koje zakonom dodijeljene ovlasti. Jamac ovim izražava svoje slaganje da plati Bank na zahtjev i u valuti kredita iznos koji će biti dovoljan za nadoknadu Bank njenih troškova i rashoda svih takvih tužbi i pravnih lijekova ako su parnice usvojene i pravni lijekovi odobreni, uključujući, bez ograničenja, opravdane naknade i troškove pravnog savjetovanja.
Odjeljak 6.06. Mjerodavno pravo
Ova isprava uređuje se i tumači u skladu sa zakonima Engleske.
Odjeljak 6.07. Arbitraža i jurisdikcija
(a) Svi sporovi, nesuglasice ili potraživanja temeljem ove isprave, njeno kršenje, raskid ili ništavnost rješavat će se arbitražom sukladno arbitražnim pravilima UNCITRAL-a koja su trenutno na snazi uz postojanje jednog arbitražnog suca, dok se LCIA (Međunarodni arbitražni sud u Londonu) imenuje ovlaštenim tijelom. Sjedište i mjesto arbitraže je London, Engleska, a engleski jezik koristit će se za vrijeme procesa arbitraže. Ugovorne strane odriču se svih prava iz Zakona o arbitraži iz 1996. godine, žalbe na arbitražnu odluku kao i traženja sudskog rješenja od sudova u Engleskoj vezano uz prethodno pitanje. Arbitražni sud nije ovlašten za donošenje ili pružanje privremenih mjera zaštite ili olakšice prije proglašenja presude u odnosu na Bank, a jamac, drugi vjerovnik i kreditoprimac obvezuju se da iste neće zahtijevati ni od jednog sudskog tijela, bez obzira na odredbe UNCITRAL-ovih arbitražnih pravila. Arbitražni sud ovlašten je za razmatranje i uključivanje u bilo koji sudski proces, odluku ili presudu bilo kakvog dodatnog spora koji Bank (ali ne i neka druga strana) iznese pred sud na ispravan način ukoliko se takav spor temelji na financijskim sporazumima, ali, sukladno ranije spomenutom, nijedna druga strana ili spor neće se uključiti niti konsolidirati u arbitražni postupak.
(b) Neovisno o odjeljku 6.07(a), Bank može aktivirati ovu ispravu i bilo koja druga prava Bank temeljem ili u vezi s ovom ispravom, ako Bank tako odluči, na sudovima u Hrvatskoj ili Bosni i Hercegovini ili bilo kojim drugim sudovima koji imaju jurisdikciju. U korist Bank, i jamac, drugi vjerovnik i kreditoprimac ovim se neopozivo podvrgavaju neisključivoj jurisdikciji sudova Engleske u vezi s bilo kakvim sporom, prijepornim pitanjem ili zahtjevom temeljem ili u vezi s ovom ispravom, njenim kršenjem, raskidom ili pravnom neosnovanošću. I jamac, drugi vjerovnik i kreditoprimac ovim neopozivo određuju, imenuju i ovlašćuju Law Debenture u njegovom službenom sjedištu da djeluje kao ovlašteni posrednik koji zaprima sudske naloge ili bilo kakve druge sudske pozive u Engleskoj u cilju pokretanja pravnih radnji ili postupaka na inicijativu Bank vezano uz ovu ispravu. I jamac, drugi vjerovnik i kreditoprimac ovim neopozivo daju suglasnost za primanje sudskih naloga i bilo kakvih drugih sudskih poziva od strane takvih sudova slanjem kopija istih preporučeno unaprijed plaćenom avionskom poštom na njihovu adresu koja je specificirana u ovom dokumentu. I jamac, drugi vjerovnik i kreditoprimac obvezuju se pisanim putem i slažu da će, dokle god podliježu bilo kakvoj obvezi vezano uz ovu ispravu, angažirati posrednika koji će primati sudske naloge ili bilo kakve druge sudske pozive u Engleskoj u svrhu pokretanja pravnih radnji ili postupaka na inicijativu Bank vezano uz ovu ispravu te će kontinuirano izvještavati Bank o identitetu i adresi takvog posrednika. Ništa u ovom dokumentu neće utjecati na pravo Bank da pokrene pravne radnje ili sudske postupke protiv jamca, drugog vjerovnika i kreditoprimca na način koji predviđa zakon svake relevantne jurisdikcije. Pokretanje pravnih radnji ili sudskih postupaka od strane Bank u jednoj ili više jurisdikcija neće spriječiti Bank da pokrene pravne radnje ili sudske postupke u bilo kojoj drugoj jurisdikciji, bilo to istovremeno ili ne. I jamac, drugi vjerovnik i kreditoprimac neopozivo se odriču svakog prigovora koji bi mogli imati sada ili poslije iz bilo kojih razloga u vezi s određivanjem mjesta pravne radnje ili postupka ili bilo kakve tvrdnje sada ili poslije da se neka takva pravna radnja ili sudski postupak iznosi pred neodgovarajući sud.
Odjeljak 6.08. Povlastice i imunitet Bank
Ništa se u ovoj ispravi neće tumačiti kao odustajanje, odricanje ili neka druga izmjena imuniteta, povlastica ili izuzeća Bank koji su joj priznati sporazumom o osnivanju Bank 1.1, međunarodnom konvencijom ili bilo kojim primjenjivim pravom.
Odjeljak 6.09. Odustajanje od suverenog imuniteta
I jamac, drugi vjerovnik i kreditoprimac izjavljuju i jamče da je ova isprava akt više komercijalne, nego javne ili državne prirode te da ni jamac, ni drugi vjerovnik ni kreditoprimac nemaju pravo zahtijevati imunitet protiv sudskog procesa ni za sebe, ni za neku svoju imovinu temeljem suvereniteta ili na neki drugi zakonski način ili u bilo kojoj jurisdikciji gdje se može pokrenuti sudski postupak za prisilnu provedbu bilo kojih obveza temeljem ove isprave ili u vezi s ovom ispravom. U mjeri u kojoj je jamac, bilo koji drugi vjerovnik ili kreditoprimac ili bilo koja njihova imovina stekla ili će možda steći pravo imuniteta protiv kompenzacije, pravnog postupka, ovrhe prije presude, drugih zapljena ili provedbe presude temeljem suverenosti ili na neki drugi način, i jamac, drugi vjerovnik i kreditoprimac ovim neopozivo odustaju od takvih prava na imunitet u odnosu na svoje obveze temeljem ove isprave ili u vezi s ovom ispravom.
POTVRĐUJUĆI GORE NAVEDENO, ovlašteni zastupnici strana ove isprave potpisuju ovu ispravu u njihovo ime u obliku isprave na dan kako je prvotno gore naznačeno.

protiv Rješenja Porezne uprave, područnog ureda Zagreb, odjela za nadzor Zagreb, Avenija Dubrovnik 32, klasa: xxxxxxxxxxxxxxx od 17. studenoga 2008. godine.

PRILOZI
Porezna uprava provela je inspekcijski nadzor obračunavanja, prijavljivanja i plaćanja poreza na dodanu vrijednost za razdoblje 01.01.2006. do 31.12.2007. godine te porez na dobit za 2007. godinu kod poreznog obveznika xxxxxxxxxxxxxx d.o.o., xxxxxxxxxxxx o čemu je sastavljen zapisnik i doneseno navedeno rješenje. Protiv narečenog rješenja podnosimo žalbu zbog:
- bitne povrede postupka,
- netočno i nepotpuno utvrđenog činjeničnog stanja i
- nepravilne primjene materijalnog prava.
Osporenim rješenjem utvrđen je u točci I.a) manje obračunan porez na dodanu vrijednost za 2006. godinu u iznosu od 239.372,25 kn te kamata zbog nepravodobno plaćenog poreza do dana 03. rujna 2008. godine u iznosu od 55.472,40 kn. U točci I.b) manje obračunan porez na dodanu vrijednost za 2007. godinu u iznosu od 1.226.719,00 kn te kamata zbog nepravodobno plaćenog poreza do dana 03. rujna 2008. godine u iznosu od 239.320,49 kn. U točci I.c) manje obračunan porez na dobit za 2007. godinu u iznosu od 889.764,54 kn te kamata zbog nepravodobno plaćenog poreza do dana 03. rujna 2008. godine u iznosu od 42.543,39 kn. U točci I.d) zatezne kamate za nepravodobno plaćen porez na dodanu vrijednost za 2007. godinu u iznosu od 524.870,85.
U točci II. naloženo je plaćanje obveze poreza na dodanu vrijednost, poreza na dobit i kamata obračunatih do 03. rujna 2008. godine utvrđenih u točci I. te obračun i plaćanje zateznih kamata na porez na dodanu vrijednost od dana 03. rujna 2008. godine do dana uplate na račune proračuna.
Smatramo da je Rješenjem između ostaloga netočno utvrđeno činjenično stanje, a pored toga je netočno primijenjeno materijalno i procesno pravo. U većem dijelu osporavanog Rješenja porezno tijelo ne daje razumljivo i na zakonu utemeljeno obrazloženje utvrđivanja poreznih obveza, ne navodi stvarne dokaze koji su utjecali na odluku poreznog tijela, a pojedine zakonske odredbe potpuno su pogrešno primijenjene ili interpretirane. Iz tog razloga, pokušat ćemo kroz nekoliko točaka izložiti činjenice koje bitno utječu na stvaranje cjelovite slike o našem poslovanju, a time i na utvrđivanje stvarne obveze poreza na dodanu vrijednost i poreza na dobit.
Također smatramo da je porezni nadzor u potpunosti ignorirao članak 9. Općeg poreznog zakona, odnosno dužnost postupanja u dobroj vjeri, a što je razvidno iz navedenog u nastavku ove žalbe.
a) Usluge inozemnih poduzetnika xxxxxxxxxx - 2006
Porezno tijelo osporilo je odbitak pretporeza koji se odnosi na PDV po fakturama inozemnog društva xxxxxxxxxxxx, a koji je porezni obveznik sam zaračunao i uplatio. U rješenju je navedeno postupanje obrazloženo na način da porezni obveznik nije dostavio vjerodostojnu dokumentaciju uz primljene ulazne račune, a sve u smislu čl. 55. stavak 2. i 3. Općeg poreznog zakona te sukladno čl. 20. stavak 1. Zakona o PDV-u i članka 104. stavak 1. točka 4. Pravilnika o PDV-u.
Stvarno stanje
Porezni obveznik sklopio je Ugovor sa društvom xxxxxxxxxxxxxxxxx 30. studenog 2005. godine sa ciljem pomoći u izgradnji, organizaciji i vođenju kongresnog centra koji se nalazi u sklopu danas izgrađene nekretnine na uglu xxxxxxxxxxx i xxxxxxxxxxxxxx u Zagrebu.
Naglašavamo da se radi o poslovnom odnosu između nepovezanih pravnih osoba, multinacionalnih kompanija.
Člankom 5. Ugovora od 30. studenog 2005. godine ugovoren je ekskluzivitet kojim društvo xxxxxxxxxxxxxxxxxxxx nije smjelo obavljati sličnu djelatnost na području grada Zagreba bez prethodne suglasnosti druge ugovorne strane. Drugi element koji je potaknuo poreznog obveznika da uloži sredstva u kongresni centar je puno veća cijena koja se može postići za najam vrhunskog kongresnog centra u usporedbi s ostalima.
Porezni obveznik, kao ni ostala društva unutar međunarodne grupe kojoj on pripada, ne raspolažu sa stručnjacima koji bi mogli biti nadležni za kongresni centar, a koji je sastavni dio nekretnine kontroliranog rezidenta, od njegovog projektiranja, gradnje, izgleda, rasporeda prostorija, funkcionalnosti, logističkoj organizaciji do samog vođenja, i njegove promocije među svojim klijentima u Europi.
Porezni obveznik sklopio je gore navedeni ugovor upravo zato jer mu je bilo nužno koristiti sve usluge navedenog pružatelja usluga kako bi uspio poboljšati i promicati svoje poslovanje te ostvariti gospodarske interese što je ujedno i sam cilj cijelog poslovanja i obavljanja njegovih djelatnosti te ni jednim svojim plaćanjem nije postupao protivno zakonu. Porezni obveznik bez navedenih usluga ne bi mogao osposobiti kongresni centar niti bi on danas bio u funkciji. Porezno tijelo nije ovlašteno subjektivno osporavati primljene usluge za koje postoji puna pravna i ekonomska osnova te svojim postupanjima ograničavati i utjecati na aktivnosti i izbor dobavljača kod poreznih obveznika.
Treba istaknuti da je porezni obveznik sam obračunao i uplatio PDV na usluge inozemnih poduzetnika sukladno Zakonu te niti jednim svojim postupkom nije oštetio Poreznu upravu niti državni fiskus.
Smatramo da je poreznom obvezniku bez razloga osporeno pravo na pretporez koji je nastao iz gore opisanog poslovnog odnosa. Tim više što se porezno tijelo subjektivno poziva na vjerodostojnost dokumentacije. Porezno tijelo bilo je dužno uzeti u obzir sve činjenice koje idu u korist poreznom obvezniku. Pa tako, osim dokumentacije koju je dostavio porezni obveznik a koja po mišljenu poreznog tijela „nije bila vjerodostojna“, poreznom tijelu su bile dostupne i sljedeće javne informacije koje nije uzelo u obzir.
Na primjer, u vezi kongresnog centra u xxxxxxxxxxxxxxxxxxxxxx inicirao je više članaka u svjetskim medijima uključujući i Financial Times. Također, kada se putem interneta pokuša dobiti informacija o mogućnostima organiziranja kongresa ili kongresnog turizma u xxxxxxx općenito informacije o ovdje predmetnom kongresnom centru su vrlo pristupačne i među prvima u izboru. Također, informacija o predmetnom kongresnom centru nalaze se istaknute na zajedničkim stranicama xxxxxxxxxxxgrupe, a kongresni centar svakodnevno koristi xxxxxxxxxxxxxxxx. To su javno dostupne informacije.
Neke dokaze porezno tijelo i samo spominje u predmetnom zapisniku (str. 16.), ali ih kasnije ignorira (str. 17.) te poreznom obvezniku osporava pravo na pretporez. Navedeno upućuje da je porezno tijelo postupalo subjektivno te nije uzelo u odredbe Općeg poreznog zakona koji zahtjeva od poreznog tijela da prilikom utvrđivanja činjeničnog stanja s jednakom pažnjom utvrdi i one dokaze koji idu u prilog poreznom obvezniku.
Stoga smatramo da je došlo do povrede poreznog postupka odnosno da je pogrešno utvrđeno činjenično stanje te da je prekršen čl. 6., st. 1. i 2. Općeg poreznog zakona.
b) Obračun najma poslovnog prostora – 2006. i 2007. godina
Porezno tijelo u rješenju o inspekcijskom nadzoru tvrdi da porezni obveznik nije obračunavao uslugu najma uredskog prostora veličine 491,31 m2 i 2 parkirna mjesta za 2006. godinu te za razdoblje od 01.01. do 28.02.2007. godine društvu xxxxxxxxxxxxxxx d.o.o. te da nije niti zaračunavalo PDV na tu uslugu. Porezno tijelo smatra da je porezni obveznik bio dužan platiti porez na dodanu vrijednost na obavljene usluge. Porezno tijelo izračunalo je visinu najma za predmetno razdoblje koristeći jediničnu cijenu od EUR 14/m2.
Stvarno stanje
Porezno tijelo razrezalo je dodatnu obvezu poreza na dodanu vrijednost poreznom obvezniku zato jer u 2006. godini nije obračunavao uslugu najma uredskog prostora društvu xxxxxxxxxxxxxxx d.o.o. za objekt koji je tada bio u izgradnji. Tržišna cijena je ona cijena koju je kupac spreman platiti za određeno dobro ili uslugu, a sve sukladno ponudi i potražnji na tržištu. Niti jedan zakupoprimac neće plaćati najam prostora u izgradnji, koji ne može koristiti jer ga zakupodavac još nije osposobio za uporabu.
Naime, porezno tijelo obračunalo je porez na dodanu vrijednost koristeći se procijenjenom osnovicom za razdoblje od pet mjeseci u 2006. godini ignorirajući činjenicu da zgrada u to vrijeme nije bila niti u uporabi.
Sporazum o budućem najmu prostora između xxxxxxxxxxxxxx d.o.o. i xxxxxxxxxxxxxxxxx d.o.o,. sklopljen je tek dana 18.12.2006. godine. Također, iz samog Sporazuma je razvidno da zgrada još nije osposobljena za funkcioniranje i obavljanje djelatnosti, da nema uporabnu dozvolu te se Sporazumom daje rok od 3 mjeseca da zakupodavca dovede objekt u funkcionalno stanje.
Nadalje, Ugovor o zakupu poslovnog prostora zaključen je dana 01.08.2007. U čl. 5 Ugovora obje stranke su suglasno utvrdile da je zakupnik stupio u posjed poslovnog prostora 01.03.2007. godine.
Prema tome, subjektivne procjene poreznog tijela i donošenje rješenja koje nema uporište u zakonu grubo krši osnovna načela hrvatskog poreznog sustava kao i sam Ustav kojim je zajamčena jednakost i pravednost u oporezivanju (čl. 51 Ustava Republike Hrvatske NN 41/01) te dovodi poreznog obveznika u neravnopravan položaj prema drugim obveznicima.
Zakon o porezu na dodanu vrijednost propisuje da se PDV plaća na isporuke dobara i usluga. Ovdje je vrlo bitno naglasiti da se u ovom slučaju ne radi o isporukama bez naknade kod kojih se procjenom može odrediti porezna obaveza već do isporuke/pružanja usluge nije niti došlo. Drugim riječima, porezno tijelo razrezuje poreznu obavezu iako nije došlo do isporuke, a što je temelj oporezivanja porezom na dodanu vrijednost.
Također, kod procjene osnovice porezno tijelo služilo se cijenama koje su prema Ugovoru o zakupu poslovnog prostora dogovorene za 2007. godinu te je odredilo da je tržišna cijena poslovnog prostora u izgradnji za 2006. godinu xxxxxx EUR/m2.
Porezno tijelo primijenilo je navedenu cijenu za izračun obveze PDV-a kao da se radi o prostoru potpuno spremnom za korištenje koji je dan u najam godinu dana kasnije. Kod procjene porezne osnovice porezno tijelo trebalo je koristiti cijenu za slični poslovni prostor u istom vremenskom razdoblju. Međutim, porezno tijelo primijenilo je neadekvatne parametre služeći se cijenom najma za krivo razdoblje i za sasvim drugačije stanje objekta.
Potpuno je zanemarena činjenica da se ovdje radilo o objektu u izgradnji, dakle gdje se čula buka građevinskih strojeva, gdje su bili česti prekidi u dovodu električne energije, zbog čega je dolazilo do zastoja u radu dizala i drugih sistema (npr. klimatizacija) za koje je potrebna električna energija. Također, cijene poslovnog najma u 2006. i 2007. godini nisu bile iste.
Ako je porezno tijelo po slobodnoj ocjeni utvrdilo poreznu osnovicu, trebalo je uzeti u obzir i sve činjenice koje idu u korist poreznom obvezniku. S obzirom da se radilo o objektu u izgradnji, ne možemo niti govoriti o najmu poslovnog prostora jer u tom trenutku zgrada nije bila useljiva. Također, tržišna vrijednost najma u tom trenutku ne može biti niti približno jednaka vrijednosti koju je koristilo porezno tijelo (xxxxxx EUR). S obzirom na nemogućnost rada u poslovnom prostoru u 2006. godini, tržišna cijena jednaka je nuli.
Smatramo da nitko u Republici Hrvatskoj ne bi platio cijenu koju je koristilo porezno tijelo za objekt u stanju u kakvom je bio predmetni objekt u 2006. godini. Stoga smatramo da porezno tijelo nije uzelo u obzir sve činjenice bitne za donošenje zakonite i pravilne odluke te je članak 6. stavak 2. Općeg poreznog zakona.
Najam za siječanj i veljaču 2007. godine nije naplaćivan iz istog razloga. Poslovni prostori nisu bili spremni za redovno korištenje iz razloga što su trajali građevinski radovi koji su proizvodili buku i probleme u opskrbi kako je to gore opisano.
U tom razdoblju na objektu su trajali građevinski radovi, montiran je namještaj koji je dolazio te je ugrađivan u tijeku i siječnja i veljače. Te činjenice poznate su poreznom nadzoru, a mogu se lako provjeriti u financijskim evidencijama te građevinskim dnevnicima. Kao ilustraciju u prilogu ovoj žalbi dostavljamo nekoliko fotografija stanja objekta u siječnju 2007. godine.
Porezno tijelo poziva se na vezani nadzor u povezanoj osobi poreznog obveznika, u društvu xxxxxxxxxxxxxx d.o.o. te navodi da ugovori s najvećim najmoprimcima, xxxxxxxxxxxxxx i xxxxxxxxxxxxxx d.o.o. sadrže odredbe kojima se odgađa plaćanje najamnine. Ugovorno su dakle, ta društva oslobođena plaćanja najamnine za predmetne mjesece siječanj i veljaču 2007. godine, a to je mahom slučaj i sa ostalim najmoprimcima spomenutog povezanog društva poreznog obveznika.
Članak 10. Općeg poreznog zakona propisuje da se porezne činjenice utvrđuju prema njihovoj gospodarstvenoj biti. Za dobra i usluge vrijedi isti propis za nastanak porezne obveze, a to je, istekom razdoblja kada je obavljena isporuka ili usluga.
Sklopljeni ugovori o najmu najviše su služili rezerviranju potrebnog prostora. Niti je zakupodavac u razdoblju od siječnja do veljače 2007. godine izvršio uslugu niti su je zakupoprimci primili. Jednoznačno čitajući odredbe Ugovora i nepotpunim utvrđivanjem činjeničnog stanja, porezno tijelo je nezakonito razrezalo obvezu poreza na dodanu vrijednost bez da je utvrdilo gospodarstvenu bit dokumenta na kojima temelji svoje postupanje.
Na temelju gore navedenog smatramo da je porezno tijelo prekršilo čl. 6., st. 1. i 2. Općeg poreznog zakona. Smatramo da porezno tijelo nije s jednakom pažnjom primijenilo propise te utvrdilo činjenice koje idu u prilog poreznom obvezniku. Smatramo da je stoga porezni obveznik oštećen, da mu se nanosi velika financijska šteta te da je porezno tijelo postupilo suprotno gore navedenim odredbama Općeg poreznog zakona.
Porezni obveznik postupao je sukladno tržišnim uvjetima, odnosno konkurenciji na tržištu kada najmoprimci mogu birati prostore u velikoj ponudi sličnih prostora u gradu xxxxxxxxxxxx. Međutim, predmetni prostori nisu mogli u predmetnim mjesecima biti iznajmljeni na tržištu na način da bi bili naplaćeni u vrijednostima koje porezno tijelo koristi kako bi izračunalo obvezu poreza na dodanu vrijednost. Smatramo da je razvidno da vrijednost najma u predmetnom periodu ne može biti mjerena tim vrijednostima.
Smatramo da je porezno tijelo trebalo obavljati inspekcijski nadzor jednakom pozornošću u pogledu svih činjenica bitnih za oporezivanje kako je propisano u čl. 107 Općeg poreznog zakona. Međutim, porezno tijelo je zanemarilo činjenicu da su navedene cijene koje društvo xxxxxxxxxxxxxx d.o.o. koristi u ugovorima sa svojim najmoprimcima, cijene za prostore sa svim potrebnim dozvolama i uređene u skladu s ugovorima. S obzirom da predmetni prostori nisu zadovoljavali sve uvjete, nisu postojale sve dozvole niti je prostor uređen prema ugovorima, navedene cijene se ne mogu primijeniti za period mjeseci siječnja i veljače 2007. godine. Smatramo da je imajući u vidu sve okolnosti tržišna vrijednost najma u danom periodu, iz navedenih razloga, bila blizu nuli.

Aufgrund des Artikels 157. Paragraph 1 und des Artikels 159 des Allgemeinen Steuergesetzes (Amtsblatt 127/00, 86/01, 150/02) erhebt xxxxxxxxxxxx d.o.o. (im weiteren Text auch: „Gesellschaft“ oder Steuerpflichtiger), xxxxxxxxxxxxx
EINSPRUCH
gegen den Steuerbescheid des Steueramtes, Bezirksamt Zagreb, Aufsichtsabteilung, Zagreb, Avenija Dubrovnik 32, Klasse: UP/I-471-02/08-01/675, Eingabenummer: 513-07-01-08-05 vom 17. November 2008.

Das Steueramt übte eine Inspektionsaufsicht beim Steuerpflichtigen xxxxxxxxxxx in Bezug auf Berechnung, Anmeldung and Bezahlung der MwSt für den Zeitraum vom 01.01.2006 bis 31.12.2007 sowie auf die Gewinnsteuer für 2007 aus, worüber ein Protokoll verfasst und der gegenständige Steuerbescheid erlassen wurde. Gegen den gegenständigen Steuerbescheid erheben wir Einspruch wegen der:
- wesentlichen Verletzung des Verfahrens,
- ungenauen und unvollständigen Darstellung des Tatbestandes und
- nicht rechtmäßiger Anwendung des Sachrechtes.
Durch den umstrittenen Steuerbescheid wurde im Punkt I.a) die zu niedrig berechnete MwSt. für 2006 in Höhe von HRK 239.372,25 sowie der Zinsbetrag wegen der nicht rechtzeitig entrichteten Steuer bis 03.09.2008 in Höhe von HRK 55.472, 40 festgestellt. Im Punkt I.b) wurden die zu niedrig berechnete MwSt. für 2008 in Höhe von HRK 1.226.719,00 und der Zinsbetrag wegen der nicht rechtzeitig entrichteten Steuer bis 03.09.2008 in Höhe von HR 239.320,49 sowie im Punkt I.c) die zu niedrig berechnete Gewinnsteuer für 2007 in Höhe von HRK 889.764,54 und der Zinsbetrag wegen der nicht rechtzeitig entrichteten Steuer bis 03. September 2008 in Höhe von HRK 42.543,39 festgestellt. Im Punkt I.d) wurden Verzugszinsen wegen der nicht rechtzeitig entrichteten MwSt. für 2007 in Höhe von HRK 524.870,85 festgestellt.
Im Punkt II wurde man zur Leistung von der MwSt.-Pflicht, Gewinnsteuer und der bis 03. September 2008 berechneten und im Punkt I festgestellte Zinsen sowie zur Leistung der Verzugszinsen auf die MwSt. vom 03. September 2008 bis zum Tag der Einzahlung auf das Konto des Staatshaushalts aufgefordert.
Unter anderem glauben wir, dass durch den Steuerbescheid der Tatbestand nicht rechtmäßig aufgefasst wurde, darüber hinaus wurden Sach- und Prozessrecht unkorrekt angewandt. Im Großteil des umstrittenen Steuerbescheides liefert das Steueramt keine verständliche und rechtlich begründete Erläuterung der Feststellungsweise der Steuerpflichten, führt keine tatsächlichen Beweise an, welche die Beschlussfassung der Steuerbehörde beeinflusst haben, und einzelne Gesetzesbestimmungen wurden vollkommen unkorrekt angewandt oder ausgelegt. Aus diesem Grund werden wir es versuchen, durch einige Punkte die Tatsachen darzulegen, welche das Gesamtbild bezüglich unserer Geschäftstätigkeit somit auch die Feststellung der tatsächlichen MwSt.- und Gewinnsteuerpflicht beeinflussen.
Darüber hinaus sind wir der Meinung, dass das Steueraufsichtsorgan den Artikel 9 des Allgemeinen Steuergesetzes, bzw. die Pflicht, in gutem Glauben zu handeln, überhaupt nicht berücksichtigt, was wir im weiteren Verlauf dieses Einspruchs belegt haben.
a) Dienstleistungen der ausländischen Unternehmen – xxxxxxxxx - 2006
Das Steueramt hat das MwSt.-Abzugsrecht nach Eingangsrechnungen von ausländischen Lieferanten xxxxxxxxx angefochten, die der Steuerpflichtige selbst berechnet und bezahlt hat. Im Steuerbescheid wurde solches Verfahren dadurch gerechtfertigt, dass der Steuerpflichtige keine glaubwürdigen Unterlagen zu den zugestellten Rechnung zur Verfügung gestellt hat, im Sinne des Artikels 55, Paragraphen 2 und 3 des Allgemeinen Steuergesetzes sowie im Einklang mit dem Artikel 20, Paragraph 1 des MwSt.-Gesetzes und dem Artikel 104, Paragraph 1, Punkt 4 der MwSt.-Geschäftsordnung.
Tatbestand
Der Steuerpflichtige hat am 30. September 2005 einen Vertrag mit der Gesellschaft xxxxxxxxxxxxxxxx abgeschlossen, zwecks Unterstützung bei den Bauarbeiten, Organisation und Leitung des Kongresszentrums, das sich im Rahmen der neulich gebauten Liegenschaft an der Ecke von xxxxxxxxxxxxxxx befindet.
Wir betonen, dass es sich hier um ein Geschäftsverhältnis zwischen den nicht- verbundenen Rechtpersonen der multinationalen Konzerne handelt.
Der Zweck des Vertrages mit der Gesellschaft xxxxxxxxxxxxxxx ist Ausstattung des für Zagreb und Kroatien einmaligen Kongresszentrums das höchsten Ansprüchen gerecht wird, um es zu vermieten und daraus Erträge und Gewinne erzielen zu können.
Im Artikel 5 des Vertrages vom 30. September 2005 wurde Exklusivitätsklausel eingeführt, wonach der Gesellschaft xxxxxxxxxxxxxxxxx keine Durchführung ähnlicher Tätigkeiten im Stadtgebiet von Zagreb, ohne vorherige Zustimmung der anderen Vertragspartei, zugelassen ist. Der andere Grund für die Investition in das Kongresszentrum ist der viel höhere Mietpreis für die Vermietung eines solchen Spitzen-Kongresszentrums.
Weder der Steuerpflichtige, noch die anderen Gesellschaften innerhalb derselben internationalen Gruppe, haben Experten angestellt, die für das Kongresszentrum, das Bestandteil einer Liegenschaft des kontrollierten Residenten darstellt, zuständig wären, und zwar ab seinem Entwurf, Bau, Gestaltung der Äußeren, der räumlichen Verteilung, Funktionalität, logistischer Organisation, bis zur seinen Leitung und Werbung unter ihrer europäischen Kundschaft.
Der Steuerpflichtige hat den oben genannten Vertrag aus dem Grund abgeschlossen, um alle Services dieses Dienstleisters in Anspruch zu nehmen, um seine Geschäfte zu verbessern und fördern und wirtschaftliche Interessen zu erzielen, was gleichzeitig dem Zweck seiner Geschäftstätigkeit und betrieblichen Aktivitäten entspricht. Durch keine seiner Zahlungen hat der Steuerpflichtige gesetzwidrig gehandelt. Ohne die genannten Dienstleistungen wäre der Steuerpflichtige nicht in der Lage gewesen, das Kongresszentrum in Betrieb zu setzen. Das Steueramt ist nicht berechtigt, die beanspruchten Dienstleistungen, für welche volle rechtliche und wirtschaftliche Grundlage besteht, subjektiv anzufechten und mit seinen Handlungen Einfluss auf Aktivitäten und Auswahl der Lieferanten seitens des Steuerpflichtigen auszuüben und dieselben einzuschränken.
Es ist hervorzuheben, dass der Steuerpflichtige die MwSt. auf die ausländischen Dienstleistungen selbst rechtsgemäß berechnet und bezahlt hat und dass er durch keine seiner Handlungen dem Steueramt oder dem Staatshaushalt Schaden zugefügt hat.
Meiner Meinung nach wurde das Vorsteuerabzugsrecht dem Steuerpflichtigen aufgrund des oben beschriebenen Geschäftsverhältnisses unbegründet angefochten. Umso mehr da sich das Steueramt voreingenommen auf die Glaubwürdigkeit der Unterlagen beruft. Das Steueramt war verpflichtet, alle Tatsachen zugunsten des Steuerpflichtigen in Betracht zu nehmen. Neben den seitens des Steuerpflichtigen zur Verfügung gestellten Unterlagen, die, laut dem Steueramt, nicht „glaubwürdig“ seien, waren dem Steueramt weitere öffentliche Informationen zugänglich, die nicht berücksichtigt wurden.
Beispielsweise hat xxxxxxxxxxxx bezüglich des Kongresszentrums in Zagreb xxxxxxxxxx Veröffentlichung mehrerer Artikeln in den Medien weltweit, inbegriffen Financial Times, veranlasst. Gleichfalls, wenn man im Internet Informationen über die Möglichkeiten der Kongressorganisation oder über Kongresstourismus in Zagreb sucht, die Informationen über das gegenständige Kongresszentrum sind sehr zugänglich und unter den Suchergebnissen unter den ersten zu finden. Darüber hinaus findet man Informationen über das gegenständige Kongresszentrum auf den gemeinsamen Webseiten der xxxxxxx, und das Kongresszentrum benützt täglich die xxxxxxxxx Marke. Diese Informationen sind zugänglich für die Öffentlichkeit.
Das Steueramt erwähnt selbst einige Beweise im gegenständigen Protokoll (Seite 16), um später dieselben unberücksichtigt zu lassen (Seite 17) und bestreitet das Vorsteuerabzugsrecht für den Steuerpflichtigen. Das Angeführte weist darauf hin, dass das Steueramt voreingenommen gehandelt hat, ohne die Bestimmungen des Allgemeinen Steuergesetzes, laut welchen das Steueramt bei der Feststellung des Tatbestandes gleiches Augenmerk auf die Beweise zugunsten des Steuerpflichtigen legen soll, in Betracht zu nehmen.
Aus diesen Gründen sind wir der Meinung, dass es zur Verletzung des Steuerverfahrens gekommen ist, bzw. dass der Tatbestand unkorrekt festgestellt wurde, wodurch man gegen den Artikel 6, Paragraphen 1 und 2 des Allgemeinen Steuergesetzes verstoßen hat.
b) Mietzinsberechnung für 2006 und 2007
Im Steuerbescheid über die Inspektionsaufsicht behauptet das Steueramt, dass der Steuerpflichtige die Dienstleistung der Vermietung der Büroräumlichkeit der Größe 491,31 m2 sowie der zwei Parkplätze im Jahr 2006 sowie während des Zeitraums vom 01.01. bis 28.02.2007 der Gesellschaft xxxxxxxxxxx d.o.o. nicht in Rechnung gestellt hat und dass er MwSt. auf diese Dienstleistung nicht berechnet hat. Das Steueramt behauptet, dass der Steuerpflichtige verpflichtet war, die MwSt. auf die geleisteten Services zu bezahlen. Die Steuerbehörde hat den Mietzinsbetrag für den gegenständigen Zeitraum ausgerechnet, wobei sie den einheitlichen Preis von EUR xxxxxxxx angewendet hat.
Tatbestand
Das Steueramt hat die zusätzliche MwSt.-Pflicht dem Steuerpflichtigen veranlagt, da er im Jahr 2006 keine zusätzliche MwSt.-Pflicht der Gesellschaft xxxxxxxxxxxxxx d.o.o. für die Vermietung des Gebäudes, das damals im Bau war, in Rechnung gestellt hat. Der Marktpreis ist derjenige Preis, den der Käufer für die bestimmte Ware oder Dienstleistung nach dem Gesetz von Angebot und Nachfrage bezahlen würde. Kein Mieter würde für die Vermietung einer im Bau befindlichen Räumlichkeit bezahlen, die er nicht benützen kann, da sie noch nicht funktionsfähig ist.
Die Steuerbehörde nämlich hat die MwSt. aufgrund der bewerteten Besteuerungsgrundlage für einen 5-monatigen Zeitraum im Jahr 2006 berechnet, wobei sie die Tatsache nicht berücksichtigte, dass das Gebäude damals nicht im Betrieb war.
Der Vertrag zwischen xxxxxxxxxxxxxxxxx. und xxxxxxxxxxxxxxxxxxxxx d.o.o über die zukünftige Miete der Räumlichkeit wurde erst am 18.12.2006 abgeschlossen. Ferner geht aus dem Vertrag hervor, dass das Gebäude noch nicht funktionsfähig war, dass es über keine Benützungsgenehmigung verfügte und dass dem Vermieter durch den Vertrag eine 3-monatige Frist für die Inbetriebsetzung des Gebäudes eingeräumt wurde.
Ferner wurde am 01.08.2007 der Vertrag über die Vermietung der Geschäftsräumlichkeit abgeschlossen. Im Artikel 5 des Vertrages legen beide Parteien einvernehmlich fest, dass der Mieter am 01.03.2007 Besitz über die Geschäftsräumlichkeit erlangt hat.
Dementsprechend verstießt die Steuerbehörde durch ihre subjektive Einschätzung und durch Erlass vom Steuerbescheid, das auf keiner gesetzlichen Grundlage beruht, gegen die Hauptprinzipien des kroatischen Steuersystems sowie gegen die Verfassung selbst, durch welche Gleichheit und Gerechtigkeit bei Besteuerung garantiert werden (Artikel 51 der Verfassung der Republik Kroatien, Amtsblatt 41/01), womit der Steuerpflichtige gegenüber anderen Steuerpflichtigen ungleichberechtigt behandelt wurde.
Das MwSt.-Gesetz verschreibt, dass MwSt. auf Waren- oder Dienstleistungslieferungen entrichtet wird. Hier ist wichtig zu betonen, dass es in diesem Fall nicht um gebührenfreie Lieferungen handelt, bei welchen man die MwSt.-Pflicht durch die Einschätzung leicht feststellen kann, sondern es ist zur Lieferung/Erbringung von Dienstleistungen gar nicht gekommen. In anderen Worten wird die Steuerpflicht seitens der Steuerbehörde veranlagt, obwohl die Lieferung, die die Grundlage der MwSt.-Besteuerung darstellt, gar nicht stattgefunden hat.
Darüber hinaus hat die Steuerbehörde bei der Bewertung der Besteuerungsgrundlage die Preise verwendet, die nach dem Mietvertrag für das Jahr 2007 festgelegt wurden. Sie hat den Mietmarktpreis für die in der Bauphase befundene Geschäftsräumlichkeit für das Jahr 2006 auf xxxxx EUR/m2 angesetzt.
Die Steuerbehörde hat einen Preis für die Berechnung der MwSt.-Pflicht verwendet, der sich für einen ganz funktionsfähigen Raum eignen würde, der ein Jahr später vermietet wurde. Bei der Bewertung der Besteuerungsgrundlage hätte die Steuerbehörde einen für eine ähnliche Geschäftsräumlichkeit damals üblichen Preis verwenden sollen. Die Steuerbehörde hat also unangemessene Parameter angewendet, d.h. den Mietpreis für eine falsche Periode sowie für einen ganz anderen Zustand des Bauobjektes.
Die Tatsache, dass es sich hier um ein Gebäude im Bau handelte, wurde völlich vernachlässigt; um ein Gebäude, also, in welchem man Lärm der Baumaschinen vernehmen konnte, in welchem Stromausfälle an der Tagesordnung waren, was Unterbrechungen des Aufzugsverkehrs sowie des Betriebs anderer Anlagen (z.B. Lüftung) verursachte. Auch die Mietpreise haben sich in Jahren 2006 und 2007 von einander unterschieden.
Als die Steuerbehörde nach ihrer subjektiven Einschätzung die Besteuerungsgrundlage festgelegt hat, hätte sie auch alle Tatsachen zugunsten des Steuerpflichtigen berücksichtigen sollen. Da es sich hier um ein nicht bewohnbares Gebäude im Bau handelte, konnte über die Miete der Geschäftsräumlichkeiten gar keine Rede sein. Ferner konnte sich zum damaligen Zeitpunkt der Marktpreis keines Falls auf EUR xxx belaufen (der Wert, den die Steuerbehörde verwendete). In Anbetracht der Tatsache, dass man in diesen Geschäftsräumlichkeiten im Jahr 2006 nicht arbeiten konnte, belief sich dementsprechend der Marktpreis auf Null.
Unserem Erachten nach würde kein Mensch in der Republik Kroatien den Preis, den die Steuerbehörde verwendete, für ein Bauobjekt in solchem Zustand, in welchem sich das betreffende Gebäude im Jahr 2006 befand, bezahlen. Deshalb sind wir der Meinung, dass die Steuerbehörde nicht alle für die Fassung eines rechtskräftigen und korrekten Beschlusses maßgebende Tatsachen berücksichtigt hat, bzw. dass der Artikel 6 des Allgemeinen Steuerrechtes nicht eingehalten wurde.
Der Mietzins für Januar und Februar 2007 wurde aus dem gleichen Grund nicht in Rechnung gestellt. Die Geschäftsräumlichkeiten waren wegen der laufenden Bauarbeiten, der Lärm und den Lieferproblemen - wie im oberen Text bereits erläutert - für den regelmäßigen Gebrauch nicht geeignet.
In diesem Zeitraum liefen Bauarbeiten am Gebäude. Das eingetroffene Möbel wurde im Laufe von Januar und Februar eingebaut. Das Steueraufsichtsorgan ist mit diesen Tatsachen vertraut, die anhand der Finanzunterlagen sowie Bautagesberichte leicht nachgeprüft werden können. Als Beweis legen wir diesem Einspruch einige Photos des Bauobjektes vom Januar 2007 bei.
Die Steuerbehörde beruft sich auf die Aufsicht beim verbundenen Unternehmen des Steuerpflichtigen, bei der Gesellschaft xxxxxxxx d.o.o. und führt an, dass die Verträge mit den größten Mietern xxxxxxxxxxxx d.d. und xxxxxxxxxxxx d.o.o. Bestimmungen beinhalten, durch welche diese Gesellschaften von Bezahlung des Mietzinses für die Monate Januar und Februar 2007 befreit wurden, was mehr oder weniger auch für die anderen Mieter des genannten verbundenen Unternehmens des Steuerpflichtigen gilt.
Der Artikel 10 des Allgemeinen Steuergesetzes schreibt vor, dass die Steuergegebenheiten aufgrund ihres wirtschaftlichen Wesens festgestellt werden. Für Waren und Dienstleistungen gilt die gleiche Vorschrift in Bezug auf die Entstehung der Steuerpflicht, d.h. die Steuerpflicht entsteht nach Ablauf des Zeitraums in welchem Waren geliefert oder Dienstleistungen erbracht wurden.
Der abgeschlossene Mietvertrag dient überwiegend der Reservierung der Geschäftsräumlichkeiten. Weder hat der Vermieter im Zeitraum von Januar bis Februar 2007 eine Dienstleistung erbracht, noch wurde diese Dienstleistung seitens von Mietern in Anspruch genommen. Durch die einseitige Deutung der Vertragsbestimmungen sowie durch die unvollständige Festlegung des Tatbestandes, veranlagte die Steuerbehörde die MwSt.-Pflicht ohne das wirtschaftliche Wesen der als Grundlage dienenden Unterlagen festzustellen.
Aufgrund des oben genanntes sind wir der Meinung, dass die Steuerbehörde gegen den Artikel 6, Paragraphen 1 und 2 des Allgemeinen Steuergesetzes verstoßen hat. Unserer Meinung nach schenkte die Steuerbehörde keine zureichende Aufmerksamkeit weder der Anwendung von Vorschriften noch der Anerkennung von Tatsachen zugunsten des Steuerpflichtigen. Dementsprechend ist unsere Meinung, dass dem Steuerpflichtigen großer finanzieller Schaden zugefügt wurde und dass die Steuerbehörde gegen die oben genannten Bestimmungen des Allgemeinen Steuergesetzes verstoßen hat.
Der Steuerpflichtige ist nach Marktbedingungen verfahren, d.h. im Einklang mit anderen Konkurrenten, zu den Zeiten eines großen Angebots ähnlicher Geschäftsräumlichkeiten in der Stadt Zagreb. Die gegenständigen Räumlichkeiten jedoch konnten in den betreffenden Monaten nicht nach den seitens der Steuerbehörde für die MwSt.-Berechnung verwendeten Werten vermietet werden. Unserer Meinung nach ist es ersichtlich, dass der Mietpreis in dem betreffenden Zeitraum solchen Werten nicht entsprechen konnte.
Unserer Meinung nach hätte die Steuerbehörde während der Inspektionsaufsicht gleiche Sorgfalt allen für die Besteuerung wichtigen Tatsachen, wie im Artikel 107 des Allgemeinen Steuergesetzes festgehalten, widmen sollen. Die Steuerbehörde vernachlässigte jedoch die Tatsache, dass die seitens der Gesellschaft xxxxxxxxxxx d.o.o. in den Mietverträgen angegebenen Preise, Preise für Räumlichkeiten, die über alle notwendigen Genehmigungen sowie über vertraglich vereinbarte Ausstattung verfügen, darstellen. Da die gegenständigen Räumlichkeiten nicht alle Bedingungen erfüllt haben, da einige Genehmigungen nicht eingeholt und da die Räumlichkeiten nicht vertragsgemäß eingerichtet waren, konnten die angegebenen Preise für Januar und Februar 2007 nicht gelten. Aus oben genannten Gründen und alle Marktbedingungen berücksichtigend glauben wir, dass sich der Mietwert im gegebenen Zeitraum beinahe auf Null belaufen hat.
