С предложением выкупить контрольный пакет акций «Сибур-холдинга» Конов обратился вчера к совету директоров. «С учетом неоднократных заявлений банка о готовности продать “Сибур” мы решили сделать такое предложение», — рассказал он «Ведомостям». Помимо Конова в сделке намерены участвовать старший исполнительный вице-президент Владимир Разумов, а также вице-президенты Виталий Баранов, Алексей Филипповский и Михаил Карисалов, рассказал топ-менеджер. Какую цену предлагают партнеры, он говорить не стал. В конце прошлого года для опционной программы «Сибур» был оценен в $3,8 млрд. Сам Конов ранее говорил, что такая оценка кажется ему «справедливой».
На вчерашнем заседании совет директоров принял предложение менеджмента к сведению, но никаких конкретных решений принято не было, говорит Конов. Он добавляет, что на месяц все менеджеры, планирующие участвовать в сделке, уходят в отпуск. Во время их отсутствия руководить компанией будет вице-президент по безопасности и связям с госорганами Анатолий Ежковский, говорит представитель Конова.
Специально для выкупа акций «Сибура» пять менеджеров сейчас создают компанию, которая будет привлекать финансирование под залог акций, сказал Конов. Какой пакет каждый из них может получить в результате и с какими банками идут переговоры, он не уточняет.
По словам главы «Сибура», финансовым спонсором выбрана United Capital Partners (UCP), которая будет отвечать за привлечение финансирования и координацию работы всех консультантов. С ними уже подписано соглашение. Проводить оценку бизнеса, возможно, будет Deutsche Bank, а представлять интересы менеджеров — международная юридическая компания Salans. Представители UCP и Deutsche Bank от комментариев отказались, c Salans связаться не удалось.
Менеджеры с формально юридической точки зрения могли бы и не информировать совет директоров о своем предложении, говорит член совета директоров «Сибура» и управляющий директор группы «Спутник» Дмитрий Бакатин. Но чтобы исключить предположения о конфликте интересов, они проинформировали совет о желании на время переговоров с акционерами «Сибура» уйти в отпуск, поясняет Бакатин. По его словам, детали сделки на совете не обсуждались.
Конов стал первым претендентом, выразившим интерес к покупке бумаг «Сибура» с того момента, как Газпромбанк два года назад сообщил о готовности расстаться с контрольным пакетом. Но, по его мнению, «Сибур» стоит дороже $3,8 млрд.
Управляющий директор Prosperity Capital Management Иван Мазалов оценивает холдинг в $6,5 млрд. А по цене $3,8 млрд мы бы и сами купили акции «Сибура», говорит Мазалов. По самому консервативному прогнозу, «Сибур-холдинг» стоит не дешевле $6,5 млрд, согласен аналитик Альфа-банка Андрей Федоров. Предложение Конова свидетельствует о том, что менеджеры компании не заинтересованы в ее продаже стороннему инвестору. И, возможно, эта сделка будет первым шагом по выводу акций компании на биржу, предполагает Федоров.

Konov approached the Board of Directors yesterday with his proposal for the buyout of a controlling block of shares in Sibur-Holding. “In view of the bank’s numerous statements to the effect that it is prepared to sell Sibur, we’ve decided to make them such an offer,” he told Vedomosti. The top manager indicated that Senior Executive Vice President Vladimir Razumov and Vice Presidents Vitaly Baranov, Alexei Filippovsky and Mikhail Karisalov also intend to participate in the deal. He declined to discuss what price the partners were offering. Sibur was valued at 3.8 bln. USD under the option program late last year. Konov has previously noted that he finds that valuation “fair.”
Konov says that at yesterday’s meeting, the Board of Directors took management’s offer under advisement, but declined to make any specific decisions. He adds that all of the managers planning to participate in the deal are heading on month-long vacation. During their absence, Vice President for Security and Government Relations Anatoly Yezhkovsky will be managing the company’s affairs, said Konov’s rep.
For the specific purpose of buying-out the Sibur shares, the five managers are currently in the process of creating a company to attract financing under share pledge, explains Konov. He declined to specify just what block of shares each stands to gain and with which banks talks are underway.
According to Sibur’s head, United Capital Partners (UCP) has been selected as the plan’s financial sponsor, which will be responsible for attracting financing and coordinating all work done by consultants. An agreement with them has already been signed. Deutsche Bank may conduct a valuation of the business, with the international law firm Salans possibly representing the managers’ interests. Reps from UCP and Deutsche Bank declined to comment, and Salans could not be reached.
From a strictly legal point of view, says a member of Sibur’s Board of Directors and Managing Director of the Sputnik Group, Dmitri Bakatin, the managers were not under obligation to notify the BOD of their bid. In a move to avoid even the appearance of a conflict of interest, however, they notified the Board of their desire to go on vacation while talks with Sibur’s shareholders are underway, Bakatin explains. He added that details of the deal were not discussed at the meeting.
Konov became the first contender to express an interest in buying Sibur securities when Gazprombank first announced its readiness to part with the controlling block two years ago. The bank is prepared to hold talks with the managers, noted Alexei Matveev, Gazprombank’s Deputy Chairman. What is really at issue, he added, is the structure and price of the deal – as well as payment security. In his opinion, however, Sibur is worth more than 3.8 bln. USD.
The Managing Director of Prosperity Capital Management, Ivan Mazalov, puts the holding’s value at 6.5 bln. USD, adding that “at 3.8 bln. USD, we’d buy Sibur’s shares ourselves”. By the most conservative estimates, Sibur-Holding is worth at least 6.5 bln. USD, says Andrei Fedorov, an analyst at Alfa-Bank. Konov’s bid underscores the manager’s unwillingness to see the company sold to an outsider. Fedorov believes that the deal may signal the first step in eventually having the company’s shares listed on the stock exchange.

Постольку Стороны заключили настоящий договор о нижеследующем:
1. Предмет договора
1.1. В порядке и на условиях, предусмотренных настоящим Договором, Исполнитель оказывает Заказчику указанные в п.п. 1.1.1. – 1.1.3. настоящего Договора услуги, а Заказчик обязуется принять и оплатить указанные услуги.
1.1.1. Услуги по размещению (установке) болида F1 на территории торгового центра [●], находящегося по адресу: _________________, (далее – «ТЦ») для демонстрации болида F1 посетителям ТЦ при проведении Заказчиком рекламных мероприятий;
1.1.2. Услуги по обеспечению охраны и страхования болида F1 на время нахождения болида F1 в пути (перевозка) и на временных складах/стоянках (в том числе транзитных и таможенных складах/стоянках) течение всего срока оказания услуг;
1.1.3. Услуги по обеспечению транспортировки болида F1 из Великобритании на территорию России и обратно по истечении срока оказания услуг (включая прохождение всех необходимых таможенных формальностей).
1.2. Услуги оказываются по местонахождению Заказчика.
1.3. Исполнитель вправе привлекать третьих лиц для оказания услуг по настоящему Договору.
2. Срок оказания услуг
2.1. Исполнитель обязуется оказать услуги Заказчику по настоящему Договору в период с «__» ___________ 2008 г. по «__» _____________ 2008 г.
3.1.2. Оказывать услуги Заказчику по настоящему Договору в соответствии настоящим Договором, а также в соответствии с требованиями Заказчика, представленными как в письменной, так и в устной форме;
3.1.3. Оказывать услуги Заказчику по настоящему Договору с надлежащим качеством;
3.1.4. Принимать все меры к обеспечению сохранности вверенной ему Заказчиком информации, документов и иных материалов и своевременно сообщать обо всех проблемах, возникших при оказании услуг;
3.1.5. По требованию Заказчика, в том числе в устной форме, предоставлять все сведения о ходе оказания услуг по настоящему Договору, в том числе соответствующие документы, видеоматериалы и/или другие материалы, свидетельствующие об оказании услуг;
3.1.6. Не позднее «__» ____________ 2008 г. доставить болид F1 в ТЦ и разместить (установить) его на территории ТЦ в соответствии с указаниями Заказчика;
3.1.7. Обеспечивать сохранность болида F1 при его транспортировке и во время нахождения болида F1 на временных складах/стоянках;
3.1.8. Не позднее «__» __________ 2008 г. обеспечить вывоз болида F1 с территории ТЦ, осуществить его транспортировку на территорию Великобритании, в том числе обеспечить (в случае необходимости) хранение и охрану болида F1;
3.1.9. Нести ответственность за действия третьих лиц, привлеченных Исполнителем для оказания услуг.
3.1.10. По результатам оказания услуг предоставить Заказчику Акт об оказании услуг и Отчет, подтверждающие оказание Исполнителем услуг по настоящему Договору.
С момента подписания Заказчиком Акта об оказании услуг и Отчета услуги считаются надлежаще оказанными и принятыми Заказчиком.
3.2. Заказчик обязуется:
3.2.1. Оплатить стоимость услуг Исполнителя в размере и в порядке, определенном в настоящем Договоре.
3.2.2. Предоставлять Исполнителю информацию, необходимую для оказания услуг по настоящему Договору.
4. Стоимость услуг Исполнителя
4.1. Стоимость услуг Исполнителя составляет €[●] ([●] Евро).
4.2. Дополнительно к стоимости услуг Исполнителя, указанной в п. 4.1. настоящего Договора, уплачивается сумма налога на добавленную стоимость в размере, установленном действующим законодательством РФ. В соответствии с законодательством о налогах и сборах РФ Заказчик исчисляет, удерживает у Исполнителя и перечисляет в бюджет соответствующую сумму налога на добавленную стоимость.
4.3. Заказчик исчисляет, удерживает и перечисляет в бюджет сумму налога на прибыль, выплачиваемую Исполнителю за исключением:
4.3.1. Случаев, когда Исполнитель до наступления срока платежа уведомит Заказчика о том, что выплачиваемый доход относится к постоянному представительству получателя дохода в РФ и представит нотариально заверенную копию свидетельства о постановке получателя дохода на учет в налоговых органах РФ, оформленную не ранее чем в текущем налоговом периоде;
4.3.2. Случаев выплаты доходов, которые в соответствии с Конвенцией между Правительством Российской Федерации и Правительством Соединенного Королевства Великобритании и Северной Ирландии от 15.02.1994 г. “Об избежании двойного налогообложения и предотвращении уклонения от налогообложения в отношении налогов на доходы и прирост стоимости имущества” не облагаются налогом в РФ, при условии предъявления Исполнителем Заказчику до наступления срока платежа оригинала подтверждения того, что Исполнитель на момент выплаты дохода имеет постоянное местонахождение в Соединенном Королевстве Великобритании и Северной Ирландии, выданное компетентным органом. Подтверждение должно быть апостилировано.
4.4. Оплата стоимости услуг, указанной в п.4.1. настоящего Договора, производится Заказчиком в течение 14 (Четырнадцати) дней после получения Заказчиком оригинала счета Исполнителя и подписания обеими Сторонами Отчета и Акта об оказании услуг, указанных в п. 3.1.10 настоящего Договора.
4.5. Стоимость услуг, указанная в п. 4.1. настоящего Договора, включает в себя все расходы Исполнителя на оказание услуг по настоящему Договору.
5. Ответственность сторон
5.1. За неисполнение или ненадлежащее исполнение обязанностей по настоящему Договору стороны несут ответственность в соответствии с действующим законодательством Российской Федерации.
6. Конфиденциальность
6.1. Стороны обязуются сохранять конфиденциальность информации, относящейся к условиям настоящего Договора, ходу его исполнения и полученным результатам.
6.2. Разглашение Исполнителем полученной в связи с оказанием услуг по настоящему Договору информации (полное или частичное), а также ознакомление с ней третьих лиц осуществляется с предварительного письменного согласия Заказчика. В противном случае Исполнитель обязуется возместить Заказчику понесенные последним убытки в связи с таким разглашением.
7. Срок действия Договора
7.1. Договор вступает в силу с даты подписания его Сторонами, действует до «__» __________ 2008 г. и распространяет свое действие на отношения Сторон, возникшие с «__» _______ 2008 г.
8. Прочие положения
8.1. Каждая из сторон согласилась считать текст Договора, а также весь объем информации, переданной сторонами друг другу при заключении настоящего Договора и в ходе выполнения обязательств, возникающих из настоящего Договора, конфиденциальной информацией (а в пределах, допускаемых действующим законодательством, - коммерческой тайной).
8.2. Ни одна из сторон не имеет права передавать свои права или обязательства по Договору частично или полностью другому лицу без предварительного письменного согласия другой стороны.
8.3. Положения настоящего Договора, а также все вытекающие из него права, обязанности и обязательства регулируются и толкуются в соответствии с законодательством Российской Федерации.
8.4. Настоящий Договор составлен в двух экземплярах на русском и английском языках для каждой из сторон. В случае какого-либо несоответствия между английской и русской версиями, русская версия является преобладающей.
9. Адреса и банковские реквизиты сторон:
Все уведомления и иные сообщения, которые должны или могут направляться в соответствии с настоящим Договором, считаются полученными надлежащим образом, если они доставлены по указанным ниже адресам почтой или переданы с курьером.

The present Services Agreement is entered into by and between [●], a legal entity incorporated under the laws of the Russian Federation, represented by ________________________, acting on the basis of ________________________, hereinafter referred to as the “Client”, as the party of the first part, and [●], a legal entity incorporated under the laws of the United Kingdom of Great Britain and Northern Ireland, represented by ______________________, acting on the basis of ________________________, hereinafter referred to as the “Provider”, as the party of the second part, hereinafter referred to jointly as the Parties.
WHEREAS the Client is a supplier of alcoholic beverages labeled under the [●] trademark (hereinafter referred to as the “Products”),
WHEREAS the Client conducts activities aimed at heightening consumer awareness of the Products via advertising campaigns and other promotional events designed to increase the sales volume of the Products within the Russian Federation,
WHEREAS the holding of promotional events, including the display of an F1 racing car (hereinafter referred to as the “F1 racecar”), is an effective means of increasing the number of individuals wishing to participate in the promotional event and heightening consumer awareness of the Products,
WHEREAS the Provider has concluded an agreement on the temporary posession and use of the F1 racecar (provided its engine is removed) with [●], a legal entity incorporated under the laws of the United Kingdom of Great Britain and Northern Ireland, the owner of the F1 racecar,
NOW, THEREFORE, the Parties have concluded the present Agreement as follows:
1. Subject Matter
1.1. In the manner and on the terms envisaged by the present Agreement, the Provider shall render to the Client the services set forth in Clauses 1.1.1 – 1.1.3. hereof, and the Client undertakes to accept and pay for the services rendered thereby.
1.1.1. Services related to the stationing (display setup) of the F1 racecar on the premises of the [●] Shopping Center, located at: _______________ (hereinafter referred to as the “SC”), for the purposes of dispaying the F1 racecar to SC shoppers at those times when the Client conducts related promotional events;
1.1.2. Services related to providing security and insurance coverage for the F1 racecar at those times when the F1 racecar is en route (in transport) and stored at temporary warehouses/lots (including transit and customs warehouses/lots) throughout the entire service period;
1.1.3. Services related to providing transportation for the F1 racecar from the U.K. to Russia, and back again upon termination of the service period (including clearance of all required customs formalities).
1.2. Services shall be rendered at the Client’s place of business.
1.3. The Provider shall be entitled to engage third parties for the rendering of services hereunder.
2. Service Period
2.1. The Provider undertakes to render services to the Client hereunder for the period starting on “___” __________, 2008 and ending on “___” _____________, 2008.
3. Obligations of the Parties
3.1. The Provider undertakes:
3.1.1. To observe the service period established herein;
3.1.2. To render services to the Client hereunder in accordance with the terms hereof, as well as in compliance with the Client’s written and verbal instructions;
3.1.3. To render services of proper quality to the Client hereunder;
3.1.4. To take all appropriate steps to ensure the safe keeping of the information, documents and other material entrusted thereto by the Client, and to notify the Client in a timely manner of all problems arising in relation to the rendering of the services;
3.1.5. At the request of the Client, whether submitted in written or verbal form, to submit all available information on the progress of the services rendered hereunder, including the appropriate documents, video material and/or other material evidencing services rendered hereunder;
3.1.6. No later than “___” ____________, 2008, to transport the F1 racecar to the SC and station it (set up its display) on the premises of the SC in accordance with the Client’s instructions;
3.1.7. To ensure the safe keeping of the F1 racecar during its transportation, and at all times when the F1 racecar is stationed at temporary warehouses/lots;
3.1.8. No later than “___” ____________, 2008, to arrange for the removal of the F1 racecar from the premises of the SC, effect its shipment back to the U.K., and (where necessary) arrange for the storage and safeguard of the F1 racecar;
3.1.9. To bear liability for the actions of third parties engaged by the Provider for the rendering of services hereunder.
3.1.10. Once the services have been fully rendered, to provide the Client with a Certificate of Services Rendered and Report evidencing the rendering by the Provider of services hereunder.
Once the Client has executed the Certificate of Services Rendered and the Report, the services shall be deemed properly rendered and accepted by the Client.
3.2. The Client undertakes:
3.2.1. To pay the cost of services rendered by the Provider in the manner and amount set forth herein.
3.2.2. To submit to the Provider all information required for the rendering of services hereunder.
4. Cost of the Provider’s Services
4.1. The cost of the Provider’s services hereunder shall total €[●] ([●] Euros).
4.2. In addition to the cost of the Provider’s services indicated in Clause 4.1. hereof, value added tax shall be payable in the amount established by applicable RF law. Pursuant to applicable RF tax and revenue law, the Client shall calculate, withhold from the Provider and transfer to the state budget the respective amount of value added tax.
4.3. The Client shall calculate, withhold and transfer to the state budget the amount of value added tax payable to the Provider with the following exceptions:
4.3.1. Cases in which the Provider, prior to the payment date, notifies the Client to the effect that the payable income relates to the Provider’s permanently-established income recipient in the Russian Federation, and furnishes the Client with a notarized copy of the income recipient’s registration certificate with the RF tax authorities, which shall not have been issued earlier than the current tax period;
4.3.2. Cases in which the payment of income, in accordance with the Convention between the Government of the Russian Federation and the Government of the United Kingdom of Great Britain and Northern Ireland dated 15.02.1994 “On the Avoidance of Double Taxation and Prevention of Tax Evasion with Respect to Income Tax and Capital Gains Tax”, is exempt from RF taxation, provided the Provider furnishes the Client, prior to the payment date, with an original verification – issued by the competent agency – of the fact that at the time of income payment, the Provider’s permanent place of business is located within the United Kingdom of Great Britain and Northern Ireland. Said verification must be apostilled.
4.4. Payment of the cost of services indicated in Clause 4.1. hereof shall be effected by the Client within 14 (fourteen) days of the receipt by the Client of the Provider’s original invoice and the execution by both Parties of the Report and Certificate of Services Rendered cited in Clause 3.1.10 hereof.
4.5. The cost of services indicated in Clause 4.1. hereof includes all of the Provider’s expenses related to the rendering of services hereunder.
5. Liability of the Parties
5.1. The Parties shall bear liability for the improper performance or non-performance of their respective obligations hereunder in accordance with applicable RF law.
6. Confidentiality
6.1. The Parties undertake to maintain the confidentiality of information related to the terms of the present Agreement, the progress of its performance and results acheived hereunder.
6.2. The disclosure by the Provider of information obtained thereby in connection with the rendering of services hereunder (in full or in part), as well as the familiarization of third parties with said information, shall only be undertaken with the Client’s prior written consent. Otherwise, the Provider undertakes to compensate the Client for all losses incurred by the latter in connection with such disclosure.
7. Effective Term
7.1. The present Agreement shall enter into effect on the date of its execution by the Parties, remain in effect through “___” ____________, 2008, and cover Party relations arising as of “___” ____________, 2008.
8. Miscellaneous
8.1. Each Party has agreed to treat the text of the present Agreement, as well as the full scope of information transferred by the Parties to one another at the time of conclusion of the present Agreement and during the performance of obligations arising herefrom as confidential information (and within the limits allowable under applicable law – as a commercial secret).
8.2. Neither Party is entitled to assign its rights and/or obligations hereunder – whether in full or in part – to a third party without the prior written consent of the other Party.
8.3. The provisions of the present Agreement, as well as all rights, obligations and liabilities arising herefrom, shall be governed and construed in accordance with RF law.
8.4. The present Agreement has been compiled in two original counterparts – each in the Russian and English languages – one for each of the Parties. In the event of a discrepancy between the Russian- and English-language versions, the Russian-language version shall prevail.
9. Addresses and Banking Details of the Parties:
All notices and correspondence which shall or may be forwarded under the present Agreement shall be deemed duly received when sent by mail to the addresses given below or delivered by courier to same.

Стороны договариваются о нижеследующем:
СТАТЬЯ 1. ПРОДАЖА ПРОДУКЦИИ
1.1 Продажа Продукции. При условии выполнения Дистрибьютором всех прочих условий и положений настоящего Соглашения, Поставщик соглашается продавать свою продукцию Дистрибьютору в соответствии с заказами на поставку, периодически получаемыми от Дистрибьютора (“Продукцию”).
1.2 Территория. В соответствии с настоящим Соглашением, Поставщик поручает Дистрибьютору, а Дистрибьютор обязуется осуществлять, продажу Продукции и вести сопутствующую деятельность (маркетинг, продвижение, реклама и т.п.) на территории [●], [●] и [●] (“Территория”). Дистрибьютор имеет право продавать и рекламировать Продукцию только на Территории. Дистрибьютор имеет право с предварительного письменного согласия Поставщика продавать Продукцию клиентам, находящимся на Территории и вывозящим Продукцию для использования за пределами Территории.
1.3 Неисключительность Статуса Дистрибьютора. Дистрибьютор признает и соглашается с тем, что его права по продаже Продукции не являются исключительными, и что Поставщик, исключительно по своему усмотрению, имеет право продавать Продукцию и вести сопутствующую деятельность (маркетинг, продвижение, реклама и т.п.) либо уполномочивать других лиц продавать Продукцию и вести сопутствующую деятельность (маркетинг, продвижение, реклама и т.п.) на любых условиях, которые Поставщик сочтет необходимыми. Поставщик оставляет за собой право самостоятельно продавать и уполномочивать любых других дилеров продавать Продукцию на Территории.
1.4 Поставка. Дистрибьютор до [●] числа последнего месяца текущего квартала должен подавать Поставщику письменные заказы на Продукцию на следующий квартал. Поставка Продукции Поставщиком Дистрибьютору осуществляется по отдельным заключаемым Сторонами на основании заказа Дистрибьютора договорам купли-продажи (поставки), в которых будет определено наименование, ассортимент, количество, цена за единицу, график (сроки поставки) и иные условия поставки Продукции. Переход права собственности и риска потери осуществляется в соответствии с условиями поставки. Дистрибьютор организует безопасную транспортировку и надлежащее страхование Продукции, в той степени, в которой это является необходимым для обеспечения надлежащего качества Продукции вплоть до момента ее доставки клиентам Дистрибьютора. Данное обязательство включает в себя заключение Дистрибьютором надлежащих и законных договоров с перевозчиками и страховщиками Продукции. Дистрибьютор несет ответственность за выполнение всех таможенных формальностей (если применимо), а также за уплату всех действующих тарифов, налогов, сборов, пошлин и прочих платежей.
1.5 Цена и порядок расчетов. Если Сторонами в письменной форме не оговорено иное, Продукция поставляется на условиях [FCA – завод Поставщика в [●], Россия] (Incoterms, 2000). Поставщик самостоятельно устанавливает цену Продукции и информирует о ней Дистрибьютора не позднее [●] дней до даты введения ее в действие. Дистрибьютор приобретает партии Продукции у Поставщика со скидкой, величина которой зависит от размера приобретаемой партии Продукции, как указано в Приложении [●]. После получения заказа Поставщик выставляет Дистрибьютору счет на оплату Продукции, готовой к отгрузке. Если Сторонами в письменной форме не оговорено иное, оплата партии Продукции Дистрибьютором осуществляется [единовременно в полном объеме в течение [●] дней с даты отгрузки] [(полной) (частичной) предоплаты в течение [●] дней с даты получения счета]. В случае просрочки платежа Поставщик имеет право взыскать с Дистрибьютора пени, начисляемые на просроченную сумму по ставке [●]% годовых за каждый день просрочки.
1.6 Предъявление претензий по количеству.
1.6.1 Недостача Продукции. Дистрибьютор вправе предъявить к Поставщику претензии по недостаче Продукции только через своего уполномоченного представителя при ее отгрузке в месте поставки. Документами, принимаемыми в подтверждение претензии, являются официальное уведомление в отношении международной товарно-транспортной накладной, составляемой в соответствии с требованиями Конвенции ООН о договоре международной перевозки грузов по дорогам (CMR).
СТАТЬЯ 2. ИНТЕЛЛЕКТУАЛЬНАЯ СОБСТВЕННОСТЬ
2.1 Требование получения предварительного одобрения. Дистрибьютор не будет использовать никакие существующие или будущие товарные знаки, знаки обслуживания, иную интеллектуальную собственность Поставщика или его аффилированных компаний (“Интеллектуальная собственность”) или существующие или будущие фирменные наименование Поставщика или любой из его аффилированных компаний (“Фирменные наименования”) без предварительного письменного одобрения Поставщика.
2.1 Условия Использования. Поставщик, исключительно по своему усмотрению, имеет право одобрять или устанавливать условий предполагаемого использования Интеллектуальной собственности или Фирменных наименований. Дистрибьютор в любое время будет соблюдать предписанный Поставщиком, включая, без ограничений, использование всех соответствующих обозначений факта регистрации товарного знака. Несоблюдение указанных требований представляет собой основание для прекращения действия настоящего Соглашения по инициативе Поставщика.
2.2 Нарушения со стороны третьих лиц. В случае, когда Дистрибьютору становится известно о любом противозаконном использовании Интеллектуальной собственности или Фирменных наименований, Дистрибьютор должен немедленно сообщить о таком факте Поставщику и совместно с Поставщиком предпринять все необходимые действия для прекращения подобного противозаконного использования. Дистрибьютор должен немедленно уведомить Поставщика о любом иске, претензии или судебном деле, основанном или связанном с любой попыткой или вытекающем из любой попытки любого другого лица, фирмы или корпорации использовать Интеллектуальную собственность или Фирменное наименование или любой товарный знак, знак обслуживания, символ, торговое наименование, авторское право на них или разновидность вышеперечисленного, на которые распространяется интерес Поставщика как их собственника.
СТАТЬЯ 3. ОБЯЗАТЕЛЬСТВА ПОСТАВЩИКА
3.1 В течение Срока действия настоящего Соглашения Поставщик обязан:
3.1.1 поставлять Дистрибьютору Продукцию в соответствии с заявками и заключаемыми на их основе договорами купли-продажи (поставки);
3.1.2 уведомлять Дистрибьютора об изменениях в цене Продукции за [●] дней до даты выступления в силу такого изменения;
3.1.3 по возможности предоставлять Дистрибьютору рекламные и иные информационные материалы, образцы Продукции и иную информацию, обоснованно необходимую Дистрибьютору. [Расходы, связанные с таможенным оформлением, доставкой рекламных материалов и образцов Продукции, несет Поставщик.]
СТАТЬЯ 4. ОБЯЗАТЕЛЬСТВА ДИСТРИБЬЮТОРА
4.1 В течение Срока действия настоящего Соглашения Дистрибьютор обязан:
4.1.1 продавать Продукцию на Территории от своего имени и за cвой счет [в объеме не менее [●] в квартал] [по ценам, не превышающим устанавливаемые в договорах поставки отпускные цены];
4.1.2 своими силами и за свой счет обеспечить рекламу и продвижение Продукции на Территории в соответствии с годовым планом маркетинга, разрабатываемым Дистрибьютором и согласовываемым Поставщиком;
4.1.3 своими силами и за свой счет анализировать потребительский рынок и предоставлять Поставщику информацию о развитии рынка на [ежемесячной] [ежеквартальной] [ежегодной] основе [в виде отчетов, форма которых утверждается Поставщиком];
4.1.4 за свой счет и своими силами создать и содержать организацию для осуществления продаж со всеми средствами и персоналом, которые необходимы для обеспечения исполнения его обязательств по настоящему Соглашению [в том числе обеспечить функционирование так называемой горячей линии для клиентов];
4.1.5 немедленно уведомлять Поставщика о любом судебном процессе, возбуждаемом Дистрибьютором, или любым лицом, фирмой, корпорацией или государственным органом против Дистрибьютора. Поставщик следит за ходом обвинения или защиты в любом административном или судебном разбирательстве, в которых затрагиваются Интеллектуальная собственность или Фирменные наименования. В случае, если Поставщик принимает на себя обвинение или защиту в любом судебном процессе, Дистрибьютор соглашается подписывать любые и все документы и предпринимать такие действия, которые, по мнению или защиты от имени Поставщика, необходимые для осуществления такого обвинения или защиты от имени Поставщика либо от имени Дистрибьютора, по выбора Поставщика.
СТАТЬЯ 5. СРОК ДЕЙСТВИЯ СОГЛАШЕНИЯ И ИСТЕЧЕНИЕ СРОКА
5.1 Срок действия. Настоящее Соглашение вступает в силу и приобретает обязательный для исполнения характер с даты его подписания, и срок его действия охватывает начальный период в один (1) год (“Срок действия”). Впоследствии Соглашение может быть продлено на дополнительные одногодичные сроки при условии, что Поставщик уведомит Дистрибьютора не позднее, чем за [●] месяца до истечения начального Срока и каждого последующего годичного срока о своем желании продлить действие настоящего Соглашение.
5.2 Невыполнение Соглашения и прекращение действия Соглашения вследствие невыполнения. Если какая-либо из Сторон не выполняет условий настоящего Соглашения, и если такое нарушение не устраняется в течение [●] дней после получения не выполняющей обязательства Стороной письменного уведомления об устранении такого нарушения от ненарушающей Стороны (“Уведомление об устранении”), то ненарушающая Сторона имеет право немедленно прекратить действие настоящего Соглашения путем письменного уведомления о прекращении действия Соглашения, не обращаясь в суд или арбитражный суд.
Дистрибьютор, без ограничения, считается не выполняющим условия Соглашения, если он:
5.2.1 не заказывает и/или не принимает партию Продукции в течение в течение более чем [●] месяцев с даты заказа и/или приемки последней партии Продукции, в зависимости от обстоятельств, либо заказывает партию Продукции в объеме менее установленного в ст. 4.1.1;
5.2.2 не оплачивает, отказывается платить, или пренебрегает своевременной оплатой любых денежных сумм, причитающихся к оплату в пользу Поставщика на определенную дату за любой из акцептованных Поставщиком Заказов, в соответствии с условиями платежа, согласованными между Сторонами;
5.2.3 не выполняет любое из требований, налагаемых на него настоящим Соглашением, включая, без ограничений, его обязательства согласно ст. 4, а также его обязательства приложения максимальных усилий, или же если Дистрибьютор выполняет условия настоящего Соглашения недобросовестно; или
5.2.4 становится неплатежеспособным или становится объектом разбирательства по заявлению о признании его банкротом в любой юрисдикции, и такое положение не исправляется или заявление не отзывается в течение [●] дней.
5.3 Положения, сохраняющие свою силу по истечении срока действия или по прекращении действия Соглашения. Несмотря на прекращение действия или истечение срока действия настоящего Соглашения в целом, те положения Соглашения, которые явно рассчитаны на сохранение их действия в момент и/или после истечения Срока действия или прекращения действия Соглашения, останутся в силе в течение предусмотренного в настоящем Соглашении периода.
СТАТЬЯ 6. ПРАВА И ОБЯЗАННОСТИ СТОРОН ПО ИСТЕЧЕНИИ СРОКА ДЕЙСТВИЯ СОГЛАШЕНИЯ ИЛИ ПРИ ПРЕКРАЩЕНИИ ДЕЙСТВИЯ СОГЛАШЕНИЯ
6.1 По истечении срока действия настоящего Соглашения Дистрибьютор за свой счет (если иное не предусмотрено настоящим Соглашением) должен:
6.1.1 выплатить в течение [●] дней все денежные суммы, причитающиеся в пользу Поставщика в соответствии с настоящим Соглашением и/или любым другим договором, заключенным между Сторонами;
6.1.2 в течение [●] рабочих дней уведомить Поставщика в письменной форме обо всех имеющихся запасах Продукции на складе на дату прекращения действия настоящего Соглашения или истечения его срока действия;
6.1.3 немедленно прекратить использование любой и всей Интеллектуальной Собственности и Фирменных Наименований, а также всех вывесок, наклеек или прочих предметов, на которых изображены или нанесены Интеллектуальная Собственность и Фирменные Наименования.
6.1.4 Несмотря на вышесказанное, Дистрибьютор имеет право продать свою Продукцию любому другому лицу, имеющему официальное соответствующее соглашение с Поставщиком и реализующему Продукцию Поставщика на Территории, или вернуть такую Продукцию продавцу (либо Поставщику, либо его аффилированной компании) на взаимоприемлемых для них условиях, одобренных Поставщиком. По просьбе Дистрибьютора, Поставщик предоставит ему текущий список его уполномоченных дистрибьюторов, действующих на Территории.
СТАТЬЯ 7. РАЗНОЕ
7.1 Отсутствие отказа от прав. Неспособность Поставщика реализовать любое из предоставленных ему прав по настоящему Соглашению или следовать любому обычаю или практике Сторон, отличающимся от условий настоящего Соглашения, не составляют отказа от прав или изменение прав Поставщика по настоящему Соглашению. Настоящее Соглашение может быть изменено только четко выраженным письменным согласием Сторон.
7.2 Переуступка. Дистрибьютор не может прямо или косвенно переуступать данное Соглашение или любое из своих прав в соответствии с настоящим Соглашением без предварительного письменного согласия Поставщика. Поставщик может, без согласия Дистрибьютора, переуступать данное Соглашение или любое из своих прав: (1) любому юридическому лицу, с которым Поставщик может сливаться или объединяться, или же которое приобретает все или по существу все активы Поставщика при условии, что такое юридическое лицо, с которым Поставщик может слиться или объединиться, или же которое приобретает все или практически все активы Поставщика, письменно согласится принять на себя все обязательства Поставщика по настоящему Соглашению; или (2) любой материнской компании, дочерней компании или аффилированной компании Поставщика при условии, что такая компания письменно согласится принять на себя все или по существу все обязательства Поставщика по настоящему Соглашению.
7.3 Уведомление. Любое уведомление или согласие, требуемое в соответствии с настоящим Соглашением, составляется в письменном виде и доставляется лично, курьерской почтой или по телефаксу по указанным ниже адресам и номерам телефаксимильной связи. Все уведомления считаются доставленными и вступившими в силу на [●] рабочий день после (i) доставки по адресу соответствующего адресата, если уведомление доставляется лично, (ii) подписания транспортной накладной адресатом или его представителем, если уведомление доставляется курьерской почтой, или (iii) электронного подтверждения получения передаваемого сообщения адресатом, если уведомление передается по телефаксу.

7.3.3 Несмотря на вышесказанное, уведомление об изменении почтового адреса Стороны считается вырученным только после фактического получения такого уведомления другой Стороной.
7.4 Возмещение убытков. Дистрибьютор гарантирует Поставщику освобождение от ответственности и возмещение любых и всех убытков от всех претензий, действий, судебных процессов, расходов, ответственности, судебных решений, обязательств, потерь, штрафов или денежных возмещений третьим лицам (включая, но не ограничиваясь, обоснованные гонорары адвокатов и юридические издержки) любого рода или характера, предъявляемых или налагаемых на Поставщика и вытекающих прямо или косвенно из деятельности Дистрибьютора или связанных с деятельностью Дистрибьютора, а также вытекающих из обязательств Дистрибьютора или связанных с обязательствами Дистрибьютора в соответствии с настоящим Соглашением.
7.5 Цельность Соглашения. Настоящее Соглашение и Приложение к нему рассматриваются и толкуются совместно и составляют единое целое соглашение между Сторонами, занимающее собой все предыдущие соглашения и договоренности. Стороны согласны с тем, что настоящее Соглашение и Приложение к нему представляют собой международной торговый контракт.
7.6 Делимость. Недействительность или невозможность исполнения одного из положений настоящего Соглашения не влияет на действительность или возможность исполнения любого другого положения.
7.7 Применимое право. Настоящее Соглашение подчиняется и толкуется в соответствии с положениями материального права Российской Федерации, за исключением коллизионных норм права.
7.8 Разрешение споров. Все споры, возникшие в ходе исполнения настоящего Соглашения или в связи с ним, либо вытекающее из него, подлежат окончательному разрешению в Третейском суде при Санкт-Петербургской торгово-промышленной палате в соответствии с Регламентом указанного суда.
7.8.1 Местом проведения арбитражного разбирательства является Санкт-Петербург, Россия. Языком арбитражного разбирательства является русский язык.
7.8.2 Арбитры имеют полномочия выносить решения о признании права и налагать судебные запреты, а также присуждать денежные возмещения, и выносят решение о возмещении обоснованных гонораров и юридических расходов в пользу Стороны, выигравшей дело.
7.8.3 Несмотря на вышесказанное, Поставщик имеет право обращаться за вынесением судебного определения о совершении или запрете совершения определенных действий в любой суд без ущерба в отношении остальных своих прав в соответствии с настоящей статьей 9.
7.9 Правоспособность и полномочия. Стороны гарантируют, что они правоспособны, заключить настоящее Соглашение и выполнить соответствующие обязательства в соответствии с настоящим Соглашением, а также, что представители Сторон, подписывающие настоящее Соглашение, наделены соответствующими Сторонами полномочиями по подписанию настоящего Соглашения.

BETWEEN:
Closed Joint Stock Company [●], a legal entity under the laws of the Russian Federation, located at: [●] (the “Supplier”)
AND
Closed Joint Stock Company [●], a legal entity under the laws of [●], located at: [●] (the “Distributor”), hereinafter referred to jointly as the “Parties” and separately as a “Party”.
The Parties have agreed as follows:
ARTICLE 1. PRODUCT SALES
1.1 Product Sales. Provided that the Distributor fulfills all other terms and conditions hereof, the Supplier agrees to sell its products to the Distributor based on purchase orders received on an intermittent basis from the latter (the “Products”).
1.2 Sales Area. In accordance with the present Agreement, the Supplier authorizes the Distributor, and the Distributor undertakes, to effect the sale of the Products and conduct related activities (marketing, promotions, advertising etc.) within the countries of [●],[●] and [●] (the “Sales Area”). The Distributor shall be entitled to sell and advertise the Products solely within the Sales Area. The Distributor shall be entitled, with the prior written authorization of the Supplier, to sell the Products to clients located within the Sales Area for export and use beyond the Sales Area.
1.3 Non-exclusive status of the Distributor. The Distributor acknowledges and agrees to the fact that its right to sell the Products is not exclusive, and that the Supplier, at its sole discretion, shall be entitled to sell the Products and conduct related activity (marketing, promotions, advertising etc.) and/or authorize other parties to sell the Products and conduct related activity (marketing, promotions, advertising etc.) on any terms which the Supplier deems necessary. In particular, the Supplier reserves the right to independently sell and/or authorize any other dealers to sell the Products within the Sales Area.
1.4 Deliveries. Prior to the [●] of the last month of the current quarter, the Distributor shall submit written Product orders to the Supplier for the upcoming quarter. Delivery of the Products by the Supplier to the Distributor shall be effected based on separate sale-purchase (delivery) agreements executed by the Parties on the basis of the Distributor’s orders, in which the items, product line, quantity, price per item, timetable (delivery schedule) and other delivery terms for the Products shall be determined. Title transfer and risk of loss shall be effected in accordance with delivery terms. The Distributor shall arrange for the secure transportation and appropriate insurance of the Products to the extent required to ensure the proper condition of the Products up until the time of their ultimate delivery to the Distributor’s clients. This obligation shall include the execution by the Distributor of appropriate and lawful agreements with the shippers and insurers of the Products. The Distributor shall bear responsibility for the performance of all customs formalities (as applicable) as well as for the payment of all applicable tariffs, taxes, duties, levies and other fees.
1.5 Price and settlement procedure. Unless otherwise agreed by the Parties in writing, the Products shall be delivered on [FCA – the Supplier’s plant in [●], Russia] (Incoterms, 2000) terms. The Supplier shall independently set the Product price and notify the Distributor of such no later than [●] days prior to its entry into effect. The Distributor shall acquire shipments of the Products from the Supplier at a discount, the size of which shall depend on the overall value of the respective Product shipment, as indicated in Annex [●]. Following receipt of each order, the Supplier shall issue the Distributor an invoice for the Products ready to be shipped. Unless the Parties agree otherwise in writing, payment by the Distributor for Product shipments shall be effected [as a lump-sum, in full, within [●] days of the date of shipment] [via (full) (partial) prepayment within [●] days of the date of shipment] [via (full) (partial) prepayment within [●] days of the date of receipt of the corresponding invoice]. In the event of late payment, the Supplier shall be entitled to charge the Distributor a late fee in addition to the outstanding amount at an annual rate of [●]% for each day of delay.
1.6 Lodging claims with respect to quantity.
1.6.1 Product shortfall. The Distributor shall only be entitled to lodge claims against the Supplier with respect to Product shortfalls through its authorized representative at the time of unloading at the delivery destination. Official notifications with respect to international waybills drafted in accordance with the requirements of the U.N. Convention on International Surface Shipping Agreements (CMR) shall constitute the only acceptable documents confirming claims.
ARTICLE 2. INTELLECTUAL PROPERTY
2.1 Requirement to obtain prior approval. The Distributor shall refrain from using any existing and/or future trademarks, service marks and/or other intellectual property of the Supplier and/or its affiliates (the “Intellectual Property”) and/or any existing and/or future brand names of the Supplier and/or any of its affiliates (the “Brand Names’) without the prior written approval of the Supplier.
2.2 Usage terms. The Supplier, at its sole discretion, shall be entitled to approve, prohibit and/or set the terms of the anticipated use of the Intellectual Property and/or Brand Names. The Distributor shall at all times observe the prescribed manner of use approved by the Supplier, including, without limitation, the use of all respective symbols of the fact of registration of such trademarks. Non-observance of the foregoing requirements shall constitute grounds for termination of the present Agreement at the initiative of the Supplier.
2.3 Third party violations. In the event that it becomes aware of any illegal use of the Intellectual Property and/or Brand Names, the Distributor shall immediately notify the Supplier of such and take all requisite action, together with the Supplier, to halt such illegal use. The Distributor shall immediately notify the Supplier of any suit, claim and/or court action based on and/or associated with any attempt or resulting from any attempt by any other individual, firm and/or corporation to use the Intellectual Property and/or Brand Names and/or any trademark, service mark, symbol, brand name, copyrights thereto and/or the breadth of the aforementioned, to which the interests of the Supplier extend as their owner.
ARTICLE 3. OBLIGATIONS OF THE SUPPLIER
3.1 Throughout the effective term of the present Agreement, the Supplier shall be obliged to:
3.1.1 supply the Distributor with Products in accordance with the orders and the sale-purchase (delivery) agreements based thereon;
3.1.2 notify the Distributor of any adjustment to the Product price [●] days prior to the date such adjustment becomes effective;
3.1.3 where possible, supply the Distributor with advertising and other promotional materials, Product samples and other information reasonably required by the Distributor. [Expenses associated with the customs clearance and delivery of advertising materials and Product samples shall be borne by the Supplier];
ARTICLE 4. OBLIGATIONS OF THE DISTRIBUTOR
4.1 Throughout the effective term of the present Agreement, the Distributor shall be obliged to:
4.1.1 sell the Products within the Sales Area on its own behalf and at its own expense [in volumes of no less than [●] per quarter] [at prices not to exceed the manufacturer’s prices set in the delivery agreements];
4.1.2 through its own efforts and at its own expense, arrange for the advertisement and promotion of the Products within the Sales Area in accordance with the annual marketing plan developed by the Distributor and approved by the Supplier;
4.1.3 through its own efforts and at its own expense, analyze the consumer market and provide the Supplier with information concerning market growth on a [monthly] [quarterly] [annual] basis [in the form of reports, the structure of which shall be approved by the Supplier];
4.1.4 through its own efforts and at its own expense, create and maintain an organizational structure for the implementation of sales involving all the resources and staff required to ensure the performance of its obligations hereunder [inter alia, to ensure the proper functioning of a customer “hotline”];
4.1.5 immediately notify the Supplier of any court action initiated by the Distributor or by any individual, firm, corporation and/or government agency against the Distributor. The Supplier shall monitor the progress of the prosecution or defense in any administrative or court proceedings involving the Intellectual Property and/or Brand Names. In the event that the Supplier assumes the prosecution or defense in any court action, the Distributor hereby agrees to execute any and all documents and take such action as required, in the opinion of the Supplier’s attorneys, to effect such prosecution or defense on behalf of the Supplier – or on behalf of the Distributor – as the Supplier sees fit.
ARTICLE 5. EFFECTIVE TERM AND EXPIRATION
5.1 Effective term. The present Agreement shall enter into force and become binding as of the date of its execution, and its effective term shall encompass an initial term of one (1) year (the “Effective Term”). This Agreement may be subsequently extended for additional terms of one (1) year, provided that the Supplier notifies the Distributor no later than [●] months in advance of the expiration of the initial Effective Term and each subsequent yearly period of its desire to extend the term hereof.
5.2 Non-performance and resulting termination of the Agreement. If either Party fails to perform the conditions hereof, and if such breach remains uncured for a period of [●] days following the receipt by the Party in breach of notice calling for the cure of said breach (“Corrective Action Notice”) from the Party in compliance, the Party in compliance shall be entitled to terminate the present Agreement effective immediately by sending written notice of termination without recourse to court or arbitration tribunal.
The Distributor, without limitation, shall be deemed to be in breach hereof in the event that it:
5.2.1 fails to order and/or accept Product shipments for a period exceeding [●] months from the date the respective order was placed and/or the date of the most recent Product shipment, depending on the circumstances, or places an order for a Product shipment at a volume less than that established in Clause 4.1.1;
5.2.2 fails to pay, refuses to pay, or neglects to make timely payment of any monetary amounts payable to the Supplier on a specified date for any of the orders accepted by the Supplier in accordance with the payment terms agreed upon by the Parties;
5.2.3 fails to perform any of the requirements imposed thereon by the present Agreement, including, without limitation, its obligations pursuant to Article 4 hereof and obligation to exert maximum effort, and/or in the event that the Distributor performs the conditions hereof in bad faith; or
5.2.4 becomes insolvent and/or the subject of bankruptcy proceedings at any court of competent jurisdiction and such condition is not corrected and/or the respective application is not withdrawn for a period of [●] days.
5.3 Provisions retaining force upon expiration or termination of the Agreement. Notwithstanding the termination or expiration of the present Agreement as a whole, those provisions hereof which have been clearly designed to remain in force at the time of and/or following expiration and/or termination hereof shall remain in force for the period of time envisaged herein.
ARTICLE 6. RIGHTS AND OBLIGATIONS OF THE PARTIES UPON EXPIRATION OR TERMINATION
6.1 Upon the expiration or termination hereof, the Distributor (unless otherwise envisaged by the present Agreement) shall, at its own expense:
6.1.1 make payment within [●] days for all monetary amounts payable to the Supplier in accordance with the present Agreement and/or any other agreement executed between the Parties;
6.1.2 notify the Supplier in writing within [●] business days of all reserves of the Products remaining in storage as of the date of termination or expiration hereof;
6.1.3 immediately cease the use of any and all Intellectual Property and/or Brand Names, as well as the use of any and all signs, labels and/or similar items on which the Intellectual Property and/or Brand Names are reflected and/or depicted.
6.1.4 Notwithstanding the foregoing, the Distributor shall be entitled to sell its Products to any third party holding a corresponding, official agreement with the Supplier and selling the Supplier’s Products within the Sales Area or return said Products to the seller (either the Supplier or its affiliate) on mutually acceptable terms approved by the Supplier. At the request of the Distributor, the Supplier shall provide the former with a current list of its authorized distributors operating within the Sales Area.
ARTICLE 7. MISCELLANEOUS
7.1 No waiver. The inability of the Supplier to exercise any of the rights accorded thereto hereunder and/or to monitor any custom and/or practice of the Parties differing from the conditions of the present Agreement shall not constitute a waiver and/or modification of the Supplier’s rights hereunder. The present Agreement may only be amended by explicit written agreement of the Parties.
7.2 Assignment. The Distributor shall not directly or indirectly assign the present Agreement or any of its rights hereunder without the prior written consent of the Supplier. The Supplier may, without the consent of the Distributor, assign the present Agreement or any of its rights hereunder: (1) to any legal entity with which the Supplier may merge or incorporate, or which may acquire, or for all practical purposes acquire, all of the Supplier’s assets, provided that said legal entity with which the Supplier may merge or incorporate, or which may acquire, or for all practical purposes acquire, all of the Supplier’s assets, agrees in writing to assume all of the Supplier’s obligations hereunder; or (2) any parent company, subsidiary or affiliate of the Supplier, provided that said company agrees in writing to assume all, or for all practical purposes all, of the Supplier’s obligations hereunder.
7.3 Notices. All notices and/or consents required in accordance with the present Agreement shall be executed in writing and delivered in person, by courier or facsimile, to the addresses and fax numbers given below. All notices shall be deemed delivered and effective on the [●] business day following (i) delivery at the address of the respective addressee, if delivered in person, (ii) signing of the respective waybill by the addressee or its representative, if sent by courier, or (iii) electronic confirmation of receipt of the notice by the addressee, if sent by facsimile.
7.3.3 Notwithstanding the foregoing, notice of change of a Party’s mailing address shall only be deemed delivered following the actual receipt of such notice by the other Party.
7.4 Indemnity. The Distributor shall hold harmless and indemnify the Supplier against any and all losses resulting from all claims, actions, court proceedings, expenses, liability, court rulings, obligations, losses, fines and/or financial compensation of third parties (including, but not limited to, reasonable attorney fees and legal disbursements) of any kind whatsoever, submitted to or against the Supplier and resulting directly or indirectly from the activity of the Distributor and/or arising from or in connection with the obligations of the Distributor hereunder.
7.5 Integrity. The present Agreement and Annex hereto shall be regarded and construed together and constitute the integrated agreement of the Parties with respect to its subject matter, and shall replace all previous agreements and understandings of the Parties in this regard. The Parties hereby agree that the present Agreement and Annex hereto constitute an international commercial contract.
7.6 Severability. The invalidity and/or impossibility of performance of any of the provisions hereof shall not affect the validity and/or possibility of performance of any other provisions hereof.
7.7 Applicable law. The present Agreement shall be governed by and construed in accordance with the provisions of the substantive law of the Russian Federation, with the exception of conflict of laws rules.
7.8 Dispute resolution. All disputes arising from and/or in connection with the present Agreement and/or performance hereof shall be subject to final resolution by the arbitral tribunal of the St. Petersburg Chamber of Commerce and Industry in accordance with its Rules.
7.8.1 Arbitration proceedings shall be held in St. Petersburg, Russia. The language of such arbitration proceedings shall be Russian.
7.8.2 The arbitrators shall have full power to render judgments on the recognition of rights, impose injunctions, award monetary compensation and issue rulings on the compensation of reasonable fees and legal expenses in favor of the Party securing judgment.
7.8.3 Notwithstanding the foregoing, the Supplier shall be entitled to apply to any court seeking judgment on the commission of, or prohibition against committing, certain acts, without infringing upon its remaining rights pursuant to this Article 9.
7.9 Legal capacity and authority. The Parties hereby warrant that each has the legal capacity to conclude the present Agreement and perform its respective obligations hereunder, and that the representatives of the Parties executing the present Agreement have been duly authorized by the respective Party to do so.
EXECUTED in _________, this ___ day of ________, 200_ in 2 (two) original copies, each in the Russian and English languages. In the event of a discrepancy between the two versions, the Russian-language text shall prevail.
