Gli interventi di personale XXXX verranno garantiti entro 10 giorni lavorativi dal ricevimento dell’ordine.
Eventuali interventi urgenti a seguito di gravi malfunzionamenti dell’installato, verranno gestiti al meglio delle possibilità di XXXX.
OGGETTO DELLA PRESTAZIONE
XXXX Italia S.r.l (di seguito XXXX) s’impegna a fornire al cliente delle prestazioni di servizi con l’obiettivo di assistere e di consigliare il cliente nell’utilizzo del software fornito da XXXX, o di sviluppare del software personalizzato secondo le specifiche fornite dal cliente.
Le condizioni di garanzia e di manutenzione del software personalizzato di cui al precedente punto saranno disciplinate dalle “condizioni generali della licenza d’uso del software” e dalle “condizioni generali della manutenzione del software”
DEFINIZIONE DELLA PRESTAZIONE
XXXX fornirà e/o provvederà alla fornitura, al cliente dei servizi descritti in allegato. XXXX fornirà tali servizi in qualità di appaltatore.
STATO DI AVANZAMENTO DEI SERVIZI
Verranno periodicamente organizzati degli incontri tra le parti per valutare le modalità di svolgimento e lo stato di avanzamento delle prestazioni di servizi.
La forma e la periodicità di questi incontri saranno definiti di comune accordo. Questi incontri potranno essere oggetto di un rendiconto scritto da parte di XXXX. In questo caso, qualora il cliente non muova alcuna contestazione entro un termine di 5 giorni dall’invio di detto rapporto, l’operato di XXXX sarà considerato come accettato senza alcuna riserva dal cliente stesso. Il resoconto potrà precisare: a) lo stato di avanzamento delle prestazioni di servizi; b) le eventuali modifiche al piano lavori richieste dal cliente; c) le eventuali risorse supplementari messe a disposizione del cliente; d) tutte le informazioni utili alla corretta esecuzione delle prestazioni.
MODALITA D’ESECUZIONE DEI SERVIZI
Luogo di svolgimento delle attività. Le prestazioni potranno essere effettuate presso il cliente oppure presso XXXX. La scelta in merito al luogo dove verranno effettuate le prestazioni si potrà effettuare sia all’inizio dell’esecuzione del contratto sia in corso d’opera, in base alla natura dei servizi da svolgere e tenuto conto dello stato di avanzamento dei lavori. Qualora venisse deciso che le prestazioni debbano essere effettuate presso il cliente oppure presso XXXX, non si potrà modificare in seguito il luogo di svolgimento delle attività senza espresso accordo da parte di XXXX. Fermo restando quanto sopra, il personale di XXXX potrebbe essere chiamato ad eseguire operazioni particolari presso la sede del cliente. Tali prestazioni non modificheranno il luogo prefissato per l’esecuzione delle prestazioni. Le eventuali spese di trasferta potranno essere oggetto di una separata fatturazione a carico del cliente.
Modalità di erogazione delle prestazioni. Salvo diverso accordo il tempo minimo tra la conferma d’ordine e l’inizio effettivo delle attività è stabilito essere di 30 giorni. Entrambe le parti si obbligano a ricevere i membri dello staff tecnico ed a fornirgli le infrastrutture adeguate a garantire la possibilità di erogazione delle prestazioni. Resta a carico del cliente l’obbligo di stipula di apposita assicurazione contro rischi per danni diretti o indiretti sull’insieme dei materiali e delle procedure oggetto della prestazione da parte di XXXX. Di conseguenza, XXXX è svincolata da ogni responsabilità relativa ad eventuali danni che i suoi collaboratori potrebbero causare nel corso dell’esecuzione delle prestazioni, fatto salvo il caso in cui il cliente riesca a provare che il danno è stato recato in maniera intenzionale.
SCAMBIO DI INFORMAZIONI
Considerato l’oggetto delle prestazioni e per permettere a XXXX di condurre a buon termine i lavori assegnati, il cliente provvederà a: a) mettere a disposizione dei collaboratori di XXXX tutti gli elementi che si riterranno utili alla buona conoscenza delle tematiche da risolvere, b) mettere in contatto i collaboratori di XXXX con tutto il personale interessato dalle tematiche allo studio; c) designare un responsabile tecnico investito di potere decisionale per quanto attiene alle soluzioni proposte da XXXX.
DIVIETO DI ASSUNZIONE O DI UTILIZZO DI PERSONALE XXXX
Il cliente si impegna a non assumere o attribuire incarichi direttamente o attraverso l’interposizione di terzi ai collaboratori di XXXX, qualunque siano le loro specializzazioni, anche qualora siano i collaboratori stessi a farne richiesta, né a corrispondere ad essi qualsiasi tipo di compenso.
Salvo diversi accordi, l’impegno descritto sopra sarà valido per tutta la durata del contratto e si estenderà per un periodo minimo di dodici mesi successivi al termine dello stesso.
Il cliente concorda che in caso di violazione dell’obbligo di cui al punto 1, dovrà corrispondere a XXXX, a titolo di indennizzo, un importo pari a tre volte il compenso annuale lordo del collaboratore coinvolto nella violazione contrattuale.
SUBAPPALTO
XXXX potrà subappaltare in tutto o in parte la fornitura di servizi richiesti dal cliente fermo restando, tuttavia, che tale subappalto non libererà XXXX dagli obblighi assunti con il presente accordo.
CONFIDENZIALITA’
Le parti si impegnano a prendere le seguenti misure a tutela delle informazioni confidenziali che potrebbero essere scambiate durante l’esecuzione del presente contratto: a) non comunicare in alcun modo a dei terzi tutto o parte delle informazioni di natura confidenziale delle quali ciascuna delle parti è venuta in possesso; b) prendere tutte le misure necessarie affinchè i propri collaboratori si impegnino a rispettare le stesse obbligazioni.
Tale obbligo di confidenzialità resterà in essere per i due anni successivi alla conclusione del contratto.
RESPONSABILITA’
La responsabilità di XXXX in merito alle prestazioni di servizi oggetto del presente contratto è valida solo se il cliente ottempera alle seguenti disposizioni: a) mette a disposizione dei collaboratori di XXXX tutti gli elementi che si ritengono utili alla buona conoscenza delle tematiche da risolvere; b) mette in contatto i collaboratori di XXXX con tutto il personale interessato dalle tematiche allo studio; c) non modifica senza preventivo consenso scritto di XXXX le specifiche previste dall’attività ordinata; d) controlla periodicamente lo stato di avanzamento dei lavori.
Il cliente rinuncia a considerare resposabile XXXX in caso di danni ai files, memorie di computer o qualsiasi altro documento consegnato al collaboratore di XXXX per elaborazione e per esame. Si premunirà da questi rischi facendo una copia dell’insieme dei files, documenti o programmi di volta in volta consegnati.
XXXX non è responsabile per danni materiali che possano colpire l’immobile, l’installazione, e qualsiasi altro bene immobile, tangibile o intangibile, causato dai suoi collaboratori durante l’esecuzione del presente contratto, fatto salvo il caso in cui il cliente riesca a provare che il danno è stato recato in maniera intenzionale.
In ogni caso, il danno complessivo risarcibile da XXXX nell’ambito del presente accordo non potrà superare l’importo del prezzo massimo pagato per la prestazione di servizio pattuita (“Indennizzo Massimo”). L’indennizzo Massimo comprenderà qualsiasi penale, restituzione del prezzo e costo che il cliente abbia sostenuto o subito.
Termine di Decadenza. Nessuna azione potrà essere iniziata da alcuna delle parti decorsi 3 (tre) mesi dalla data in cui i fatti sono stati individuati o, se antecedente, dalla data in cui avrebbero dovuto essere individuati.
Altri Danni. Il cliente si obbliga a garantire e tenere indenne XXXX da qualsiasi perdita, danno spesa, costo o altro onere che questa possa sopportare in conseguenza di azioni o pretese avanzate da terzi in relazione all’esecuzione del presente contratto.
Quotazione servizi di implementazione di progetto
Rilasci 1-6
Si fa riferimento al documento “Proposta Implementazione Teamcenter PLM - Allegato Tecnico Soluzione XXXX”. In particolare i servizi relativi ai Rilasci da 1 a 6 sono descritti nel Capitolo 5.2.1. “Piano Generale di Progetto”, e sono così riassumibili in termini di giornate:

Fatturazione
Fatturazione licenze software
La fatturazione delle licenze software acquistate avverrà al momento della consegna delle stesse. Si potranno concordare le scadenze dei rilasci delle licenze necessarie a secondo della copertura richiesta secondo le varie fasi di progetto previste.
In ogni caso si dovrà preventivamente indicare l’esatta quantità delle licenze richieste e le date di rilascio con un anticipo di almeno 10 giorni.
Fatturazione servizi
Al raggiungimento di ciascuna Milestone, come tale identificata nel Piano Generale di Progetto e subordinatamente all’accettazione della stessa, verrà fatturato un importo pari al 90% del prezzo attribuito alla Milestone, mentre la quota residua del 10% verrà fatturata, senza aggiunta di interessi, trascorsi 120 gg dalla data di completamento della Milestone, a titolo di garanzia del buon esito della Milestone stessa.
Fatturazione manutenzione annuale
La fatturazione della manutenzione annuale sarà trimestrale anticipata a partire dal mese di gennaio di ogni anno per facilitare le pratiche burocratiche di gestione del contratto di manutenzione.
Pagamenti
Pagamenti licenze software
Il pagamento delle licenze Software sarà a 60 giorni d.f.f.m., B.B.
Pagamenti servizi
Il pagamento dei Servizi sarà a 30 giorni d.f.f.m., B.B.,
Pagamenti manutenzione annuale
Il pagamento della Manutenzione sarà a 60 giorni d.f.f.m., B.B.
Accordi Commerciali Finmeccanica
Vi segnaliamo che XXXX è in attesa di poter ufficializzare un Accordo Quadro con Finmeccanica, tramite MECFIN, sede Centrale di Roma.
L’Accordo proposto prevederà una ufficializzazione delle condizioni di fornitura e delle scontistiche relative all’acquisto di tutte le tipologie di licenze software di proprietà di XXXX e i relativi contratti di Assistenza e Manutenzione.
Al momento MECFIN non ha previsto i servizi come parte integrante dell’Accordo Quadro.
Condizioni Generali Contrattuali
Penalità per ritardata consegna
Come da Vostra richiesta Vi confermiamo quanto segue:
In caso di mancato rispetto dei termini di consegna delle singole milestones che verranno concordate, Alenia potrà applicare le seguenti penali, calcolate sul prezzo contrattuale della milestones in ritardo:
- 1% per la prima settimana di ritardo
- 3% per la seconda settimana di ritardo
- 5% per la terza settimana di ritardo
Inoltre l'ammontare massimo delle penali non potrà essere superiore al 10% del prezzo totale della Milestone, limite oltre il quale Alenia ed XXXX dovranno accordarsi per la risoluzione delle problematiche relative ai rilasci delle Milestones stesse.
Danni
Oltre a quanto previsto al precedente punto 5, si precisa che XXXX risponderà di danni derivanti o connessi alla mancata o parziale realizzazione del Progetto, esclusivamente in casi di riscontrata inadempienza della Scrittura, omissione della normale diligenza nella esecuzione delle attività proprie del Progetto stesso, dolo o colpa grave, ad essa imputabili.
Il riconoscimento del danno ad Alenia non potrà comunque eccedere il 20% dell'importo Software totale.
Sub appalto
XXXX non avrà facoltà, senza autorizzazione scritta di Alenia di cedere a terzi, neppure parzialmente, l'esecuzione del lavoro affidatogli, sotto pena di risoluzione immediata della Scrittura relativa al presente Progetto ed al risarcimento dei danni.
Responsabilità
Nell’elaborazione del presente piano di progetto, XXXX ha reso visibili le attività di responsabilità Alenia rispetto a quelle proprie.
XXXX si impegnerà a designare un proprio Capo Progetto al quale i componenti del Team di lavoro faranno riferimento per qualsiasi indicazione/informazione inerente le attività in corso. Il Capo Progetto designato da XXXX rappresenterà, inoltre, il referente principale di Alenia per la parte tecnico/organizzativa e si assumerà le seguenti responsabilità:
- Coordinamento delle attività comuni;
- Rispetto degli obiettivi e dei requisiti del progetto (anche temporali);
- Garanzia della qualità del servizio.
Sarà compito del Capo Progetto convocare e condurre le riunioni, sia operative che di coordinamento, nel corso delle quali analizzare e risolvere eventuali criticità e impedimenti alla buona prosecuzione del progetto.
Collaudi e controlli
Il controllo avanzamento lavori verrà effettuato su base mensile congiuntamente da Alenia e da XXXX con emissione di opportuno verbale.
Al raggiungimento delle Milestones, come tali identificate nel Piano Generale di Progetto, verrà redatto da Alenia il verbale di accettazione.
Modifiche
Eventuali modifiche generate da attività iterative/incrementali di prototipazione/simulazione dei processi che impattano su milestone già accettate da Alenia, saranno introdotte nel sistema a cura di XXXX a “NO COST” per Alenia, qualora non siano intervenute variazioni ai requisiti Alenia.
Eventuali richieste di variazione al requisito da parte Alenia, saranno riconosciute economicamente a XXXX ed attuate soltanto a seguito di opportuna modifica della Scrittura o dell’ordine emesso da Alenia.
Garanzie
XXXX si assumerà la responsabilità delle caratteristiche di qualità e funzionalità del Progetto, e del rispetto delle Milestones, come tali identificate nel Piano Generale di Progetto.
Relativamente ai “Prodotti Finiti (deliverables)”, come meglio definiti nella documentazione tecnica fornita da Alenia, a decorrere dalla data di completamento del Progetto, per la durata di tre mesi XXXX si impegnerà ad eseguire gratuitamente tutti gli interventi necessari a correggere gli eventuali inconvenienti dovuti ad imperfetta od incompleta applicazione di quanto concordato formalmente con Alenia che non sia stato possibile rilevare durante le fasi di accettazione.
Per tutti i dettagli relativi alle forma di garanzia offerta nei 3 mesi suddetti relativamente a consistenza, termini e modalità di erogazione del servizio, Alenia potrà fare riferimento ai singoli paragrafi esposti appositamente nella presente.
Proprietà del prodotto
Tutto il materiale, ancorché in bozza, relativo alle attività di sviluppo del Progetto ed ai prodotti finiti (deliverables) prodotti da XXXX, sarà di esclusiva proprietà di Alenia.
XXXX non dovrà introdurre protezioni Hardware e/o Software che impediscano il funzionamento sul prodotto rilasciato.
Clausola di risoluzione
Qualora ci siano ritardi nel raggiungimento delle milestone superiori a 3 (tre) settimane o non ci sia la possibilità di concludere il Progetto entro la data fissata da Alenia, Alenia ed XXXX dovranno accordarsi per la risoluzione delle problematiche relative ai rilasci delle Milestones stesse o per ridiscutere la data di conclusione del Progetto.
Recesso
Alenia si riserverà il diritto di recedere in qualsiasi momento dall’eventuale Ordine di Acquisto per qualsiasi motivo, dando un preavviso per iscritto al XXXX di 1 (uno) mese con lettera raccomandata R.R.
Alenia si impegnerà a pagare a XXXX il corrispettivo pattuito per le operazioni o le attività svolte fino al momento del recesso,.
Riduzione e sospensione del servizio
Alenia si riserverà il diritto di richiedere, per periodi determinati e/o in conseguenza di motivi interni aziendali, una riduzione o una sospensione del servizio. Tale richiesta dovrà avvenire con 4 settimane di anticipo sulle attività in essere; viceversa XXXX fatturerà il corrispettivo delle 4 settimane.
Continuità di prestazione del Servizio
La continuità e l’efficienza del servizio sarà da ritenersi essenziale salvo i casi di sospensione o riduzione previsti. L’inadempienza alla presente clausola potrà essere ad insindacabile giudizio Alenia causa di rescissione dell’eventuale Ordine di Acquisto.
Legge Applicabile
La Scrittura sarà sottoposta alla legge italiana.
Arbitrato
In caso di controversia concernente l’interpretazione, esecuzione, efficacia e /o validità della presente Scrittura, le Parti dovranno tentare una composizione amichevole che dovrà concludersi entro il termine massimo di 30 (trenta) giorni dalla data in cui la parte che vi abbia interesse abbia notificato all’altra l’insorgere della controversia stessa e la necessità di risolverla ai sensi del presente articolo.
In caso di mancato raggiungimento di tale composizione amichevole la controversia sarà deferita ad un arbitro che verrà designato dal Presidente del Tribunale di Roma.
L’arbitrato si svolgerà a Roma e sarà rituale. Il lodo arbitrale dovrà essere pronunciato nel termine di 60 (sessanta) giorni decorrenti dalla nomina dell’arbitro.
Per tutto quanto non espressamente previsto si applicheranno le norme di cui agli artt. 806 e seguenti del codice di procedura civile.
Qualsiasi controversia o vertenza che non possa essere affidata alla competenza arbitrale, sarà sottoposta alla competenza esclusiva del Foro di Roma.
Translation - English Allocation of Services
The presence of UGS personnel will be guaranteed within 10 working days of the receipt of the order.
Any urgent interventions following the serious malfunctioning of installed elements will be managed by UGS to the best of their ability.
SERVICE FEATURES
UGS Italia S.r.l (UGS) commits itself to providing services to the client, with the objective to assist and advise the client in the use of the software supplied by UGS, or to develop personalised software according to the specifications supplied by the client.
The terms and conditions of the maintenance and security of the personalised software will be regulated according to the “general terms and conditions of the software use licence” and the “general terms and conditions of software maintenance”
SERVICE DEFINITION
UGS will supply and/or provide for the supplying of the services as outlined in the attached document. UGS will provide these services as a contractor.
STATE OF THE SERVICES
Periodically meetings between the the parties will be organised to evaluate the work being undertaken and the progress of the services provided.
The form and the recurrence of these meetings will be decided by mutual consent. These meetings could be the subject of a written report by UGS. In this case, if the client does not make any objections within 5 days of the sending of this report, UGS’s action will be considered as being accepted without reservations by the client. The report will be able to specify: a) the state of progress of the services provided; b) any modifications to the original program requested by the client; c) any supplementary resources made available to the client; d) all information that is important to the correct execution of the services provided.
WAYS OF IMPLEMENTING THE SERVICES
Where to implement the activities. It will be possible to carry out the services at either the client’s or UGS’s premises. It will be possible to make the choice with regards to where the work should be undertaken either at the initiation of the contract or when the contract is already underway, on the basis of the nature of the services to be provided, and taking into consideration the state of the work. Once it is decided that the services provided have to be undertaken at the client’s premises or UGS’s, it will not be possible to change the location without the express agreement of UGS. Further to what was agreed upon above, UGS personnel may be called upon to carry out specific business operations at the client’s premises. These services will not change the pre-determined location for implementation of the main services. The related transfer costs could be subject to separate invoices to be charged to the client.
Ways of allocating the services. Aside from where it has been agreed upon diversely, the minimum time from the confirmation of an order to the actual start of the activity is 30 days. Both parties will be required to meet with the technical members of staff and to supply them with the adequate infrastructure to guarantee the possibility of allocating the services. It will be the clients responsablity to prepare the appropriate risk insurance against direct or indirect damage of all the materials and procedures that are subject to UGS services. Consequently, UGS is free from any related responsibility or possible damages that its collaborators could cause throughout the course of the implementation of services, except for cases in which the client is able to prove that damage was caused intentionally.
EXCHANGE OF INFORMATION
Considering the subject of the services provided and to allow UGS to carry out the work assigned in good terms, the client will arrange to a) make all information deemed as important to UGS collaborators and their work available to them b) put UGS collaborators in contact with all personnel involved with the program c) designate a technician who will be in charge, and who will have power to make decisions with regards solutions proposed by UGS.
PROHIBITION OF THE EMPLOYMENT OR USE OF UGS PERSONNEL
The client pledges not employ or hire, either directly or through third parties, any UGS collaborators, regardless of their specialisations, even if the collaborators make the request themselves, or to corrispond with them about any type of payment.
Aside from different agreements, the above commitment will be valid for the whole duration of the contract and will extend for a minimum of 12 months after the termination of the contract.
The client agrees that in the case of violation of the obligations as outlined in paragraph 1, it will have to pay compensation to UGS to the approximate value of three times the annual pre-tax payment of the collaborator involved in the contract violation.
SUBCONTRACTING
UGS will be able to subcontract all or some of the services that it provides to the client, agreed that above all, this subcontracting will not free UGS from the responsabilities it has assumed with this current agreement.
CONFIDENTIALITY
The parties commit themselves to taking the following measures with regards to the protection and confidentality of information that may be exchanged throughout the execution of this contract: a) not to communicate to third parties in any way, any confidential information that has come into their possession; b) to take all necessary measures to ensure that the collaborators commit themselves to abide by these obligations.
This obligation of confidentiality will stay in place for a further two years at the conclusion of the contract.
RESPONSABILITY
UGS’s responsibility with relation to the services outlined in the present contract are only valid if the client complies with the following arrangements: a) to make all information deemed as important to UGS collaborators and their work available to them; b) to put UGS collaborators in contact with all personnel involved with the program; c) not to modify the specifications provided for the requested activity without prior written consent by UGS; d) to periodically check the the state of the work.
The client will not hold UGS responsible for damage to any files, computer memory of any other document given to a UGS collaborator for processing or for examination. The client will prepare for these risks by making copies of any files, documents or programs that will be delivered from time to time.
UGS will not be held responsible for any material damage that may happen to the building, the facilities, or any other real estate, tangible or intangible, caused by its collaborators throughout the implementation of this contract, except for cases in which the client is able to prove that the damage was caused intentionally.
In any case, the total damage repayable by UGS within this agreement can not exceed the maxiumum amount paid for the agreed services (“Maximum Compensation”). The maximum compensation includes any penalty, repayment of the price, and the costs that the client has borne or endured.
Terms of Expiration. It will not be possible for either party to initiate any legal action 3 (three) months after the incident has been identified, or prior to this, from the date in which the incident should have been identified.
Other damages. The client is obligated to guarantee that UGS will be unharmed by any losses, damage expensives, costs, or any other charges that may result as a consequence of legal action or demands made by third parties with relation to the execution of this contract.

Invoicing
Invoicing of Software Licences
The invoicing of the purchased software licences will take place when they are delivered. It will be possible to agree upon the expiry of the release of the necessary licences depending on the number of requests that are made and depending on the various phases of the project provided for.
In any case the exact quantity of licences requested and their release dates must be indicated at least ten days beforehand.
Invoicing of Services
On reaching any Milestone, such as those identified in the General Project Plan and subsequently on its acceptance, an amount equal to 90% of the price attributed to the Milestone will be invoiced, while the remaining 10% will be invoiced, without added interest, 120 days after the completion of the Milestone, as a guarantee of success of the Milestone itself.
Invoicing of annual maintenance
The invoicing of the annual maintenance will happen quarterly in advance starting from the month of January every year to facilitate the beaurocratic management procedures of the maintenance contract.

We would like to point out to you that UGS is waiting to officialise a management agreement with Finmeccanica, through MECFIN, Rome head office.
The proposed agreement will provide for the officialising of the supply terms and conditions and the discounts related to the purchasing of all types of UGS software licences and the related Assistance and Maintenance contracts.
At the moment MECFIN has not provided for any services as an integral part of its management agreement.
General Contract Terms and Conditions
Penalties for late delivery
As outlined in your request, we confirm the following:
In cases where the terms of the delivery of the individual milestones that will be agreed upon are not met, Alenia may apply the following penalties, calculated on the contract price of late milestones:
- 1% for the first week’s delay
- 3% for the second week’s delay
- 5% for the third week’s delay
Furthermore it will not be possible for the total maximum penalty to be more than 10% of the total price of the Milestone, the limits of which will need to be agreed upon by Alenia and UGS in order to risolve the problems related to the release of the Milestones themselves.
Damages
Apart from those provided for in the previous paragraph 5, it should be specified that UGS will respond to any damages deriving from or connected to the incomplete of partially incomplete fulfillment of the project, exlusively in cases of noticed inadequacies in the contract, lack of the normal diligence in the implementation of activities directly related to the project itself, fraud or serious negligence, than can be directly linked to UGS,
However, the recognition of damages will not be able to ecceed 20% of the total Software amount.
Subcontracting
UGS will not have the right, without written authorisation by Alenia, to pass on work to third parties that has been entrusted to UGS, under punishment of immediate cancellation of the agreement related to the current project and compensation for damages.
Responsability
In the processing of the project plan, UGS has made visible the activities that are the responsibility of Alenia, and those that are the responsibility of UGS.
UGS will commit itself to designating a specific Project Manager that the work team will be able to go to for any type of information/instruction concerning the activities that are underway. The Project Manager designated by UGS will furthermore represent, the principal contact for Alenia with relation to anything technical/organisational and will assume the following responsabilities:
- Coordination of combined activities;
- Adherence to the objectives and the requirements of the program (also timeframes);
- Quality of service guarantee.
The Project Manager will be responsible for calling and running the meetings, both in terms of the operation and organisation, throughout which he/she will analyse and resolve any critical situations or possible impeadments to the smooth running of the project.
Checks and controls
Work progress checks will be undertaken jointly by Alenia and UGS on a monthly basis with the timely issuing of minutes.
On the reaching of Milestones, as indicated in the General Project Plan, Alenia will give verbal acceptance.
Modifications
Any modifications generated by iterative/increased activity of prototyping/simulating of the processes that impact the Milestones previously accepted by Alenia, will be introduced into the system looked after by UGS at “NO COST” for Alenia, if the variations were not made at Alenia’s request.
Any requested variations by Alenia will be documented financially by UGS and undertaken only after modifications have been made to the contract or the order issued by Alenia.
Guarantees
UGS will assume all responsibility for the qualitative and functional characteristics of the project, and for the observance of the Milestones as outlined in the General Project Plan.
With regard to the “Finished Products (deliverables)”, as best outlined in the technical documentation supplied by Alenia, starting from date of the completion of the project, and for a duration of three months, UGS will commit itself to undertake all work necessary, at no cost, to correct any difficulties related to imperfect or incomplete work with relation to that which was formally agreed to with Alenia and was unable to be completed in the acceptance phase.
For all details related to the above-mentioned three month guarantee with regard to the consistency, terms and conditions, and the allocation of services, Alenia can refer to the individual paragraphs that are specifically explained in this document.
Product Propriety
All of the material, even if in draft form, related to the development activities of the project and the finished products (deliverables) produced by UGS, will be the exclusive property of Alenia.
UGS must not introduce Hardware and/or Software protection that impeads the working of the issued product.
Resolution Clause
If the delays in reaching the milestones are greater than 3 (three) weeks, or it is not possible to finish the project by the date determined by Alenia, Alenia and UGS will have to come to an agreement with regards to resolving the problems related to the release of the Milestones themselves, or to rediscuss the finish date of the product.
Withdrawel
Alenia reserves the right to withdraw from any purchase order at any time and for any reason, giving at least 1 (one) months written notice with a registered letter.
Alenia will commit itself to paying UGS the amount agreed upon for the operations or the activities undertaken up until the withdrawel.
Reduction and suspension of service
Alenia reserves the right to request, for fixed periods and/or as a consequence of internal company matters, a reduction or suspension of the service. Such a request must be made with 4 weeks notice in relation to all existing activities; vice versa, UGS will invoice for the corresponding 4 weeks.
Continuity of services
The continuity and the efficiency of the service provided will be deemed as essential, except for cases of suspension and reduction that will have been provided for. The non-fulfilment of this clause may result in the unquestionable decision of Alenia to rescind a purchase order.
Applicable Law
The contract will be subject to Italian law.
Arbitration
In cases of problems concerning interpretazione, implementation, effectiveness and/or validity of this contract, the parties must attempt a friendly settlement that should be concluded no later than 30 (thirty) days after the date in which the interested party notified the other party with regards to the source of the problem and the need to risolve the problem according to guidelines outlined in this document.
In cases in which a friendly settlement is unable to be reached, the problem will be referred to a judge who will be designated by the President of the Court of Rome.
The judgement will take place in Rome and will be customary. The Arbitration verdict must be announced within 60 (sixty) days of the nomination of the judge.
With relation to everything that is not expressly provided for the article 806 will be enforced following the code of civil procedure.
Any problem or dispute that can not be entrusted to an arbitrary authority will be subject to the exclusive authority of the Roman Court of Justice.
