Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für den gesamten Geschäftsverkehr zwischen HERZOtranslations – Sandra Kainbacher (Übersetzer) und dem Kunden (Auftraggeber). Die Allgemeinen Geschäftsbedingungen werden vom Auftraggeber mit Erteilung des Auftrages anerkannt.
§ 2 Abweichende Vereinbarungen
Abweichungen, Änderungen oder Nebenvereinbarungen bedürfen der schriftlichen Bestätigung durch den Übersetzer. Dies gilt ebenfalls für Allgemeine Geschäftsbedingungen des Auftraggebers.
§ 3 Auftragserteilung, Mitwirkungspflichten des Auftraggebers
(1) Die Auftragserteilung durch den Auftraggeber erfolgt per E-Mail, Fax, Postversand oder telefonisch. Bei telefonischer Auftragserteilung stellt der Übersetzer dem Auftraggeber unverzüglich die AGBs zur Verfügung. Ausführungsmängel oder Verzögerungen, die sich aus einer unklaren, unrichtigen oder unvollständigen Auftragserteilung ergeben, gehen zulasten des Auftraggebers.
(2) Bei der Auftragserteilung sind vom Auftraggeber Zielsprache, Fachgebiet und Verwendungszweck des Textes, besondere Terminologiewünsche sowie besondere Wünsche hinsichtlich der Ausführungsform (äußeres Erscheinungsbild der Übersetzung, Speicherung auf bestimmten Speichermedien, etc.) anzugeben. Ist die Übersetzung für den Druck bestimmt, hat der Auftraggeber dem Übersetzer vor Anfertigung der Druckversion einen Abzug zu Korrekturzwecken zukommen zu lassen.
(3) Begleitendes Informationsmaterial und Unterlagen, die zur Anfertigung der Übersetzung erforderlich sind, bzw. die Kontaktdaten zu dem entsprechenden Ansprechpartner für inhaltliche Rückfragen sind dem Übersetzer vom Auftraggeber unaufgefordert bei Auftragserteilung zu übergeben. Sollte das übergebene Informationsmaterial nicht ausreichend sein, kann der Übersetzer weiteres themenspezifisches Informationsmaterial beim Auftraggeber anfordern.
(4) Fehler und Verzögerungen, die sich aus der Nichtbeachtung dieser Pflichten ergeben, gehen zulasten des Auftraggebers.
Translation - English § 1 Scope of Application
These General Terms and Conditions (GTC) apply to all business transactions between HERZOtranslations – Sandra Kainbacher (the Translator) and the contracting party (the Client). The Client accepts these General Terms and Conditions by placing the order.
§ 2 Divergent Terms
Any variations, changes or covenants have to be acknowledged in writing by the Translator. This also applies to the Client's General Terms and Conditions.
§ 3 Placing of Order, Client's Obligation to Cooperate
(1) The order can be placed by the Client either via e-mail, fax, mail or telephone. If the order is placed via telephone, the Translator provides the Client with these GTC without delay. Any delay or defect in performance resulting from an unclear, false or incomplete placing of the order are at the expense of the Client.
(2) The placing of the order by the Client shall specify the target language, the area of expertise and the purpose of use of the text as well as particular terminology demands or requirements with regard to style (appereance of the translation, storage on a particular memory medium etc.). If the translation is intended for print, the Client has to submit a copy for proof-reading purposes to the Translator before generating the print version.
(3) Accompanying information material and documents required for the completion of the translation as well as contact details of the relevant contact person for enquiries with regard to contents shall be submitted to the Translator by the Client unsolicitedly at the placing of the order. If the submitted information material does not suffice, the Translator may request additional topic-specific information material from the Client.
(4) Errors and delays resulting from non-compliance with these obligations are at the expense of the Client.

1.1 DEFINITIONS
All capitalized terms used without definition in this Agreement shall have the meanings assigned to such terms under this section, and if not defined below, shall have the meanings assign to such terms in the Management Agreement for the Hotel.
The Contract
Deed which commits each of the Contracting Parties and which comprises several inseparable parts: Contract and particular conditions, general conditions and any annexes.
Amendment to the Contract: Written document dated and signed by the Contracting Parties, which modifies the original requirements of the Contract.
The Contracting Parties
The Owner and the Hotel Consultant
The Owner
Person or company, designated as such in the contract, and on behalf of whom the services or work are carried out.
The Owner's Representative (Rep): Person appointed by the Owner as his single representative and correspondent of the Hotel Consultant.
The Hotel Consultant
The Technical Services Department or any other department or company in the Consultant Group which may act on their behalf to carry out the appointment defined in the Hotel Consultancy Services Agreement (HCSA).
Hotel Consultant Representative: Person appointed by the Hotel Consultant as the Owner's single point of contact and correspondent, responsible for carrying out the services as defined in the present Contract.
The Contractors
These are such persons or companies, appointed by the Owner to design, construct, monitor and check the project works, etc ....
The Group's Specifications or Brand Standards
These are the documents laid down by the Group (Specifications - Standard documents -Product reference sheets - Drawings, diagrams and details - Construction standards) which comprise the hotel requirements of the Brand and which define the criteria for the construction of projects for each of the Group's brands as defined in Exhibit IV of the Management Agreement for the Hotel. These documents will differ, depending on the brand, and on the type of construction.
The Construction Regulations
These shall be the regulations, standards and local practices applicable to the design, calculations and execution of the works. The Construction Regulations shall be those of the country, region or locality. They shall apply in addition to the Group's Specifications. Their application and compliance with them shall be the responsibility of the Owner.

Stellvertreter des Eigentümers (Stellv.): Eine vom Eigentümer zu dessen einzigem Vertreter und Korrespondenten des Hotel Consultant ernannte Person
Der Hotel Consultant
Die Abteilung für technische Dienstleistungen des Unternehmens (Technical Services Department) oder jede andere Abteilung oder Gesellschaft der Unternehmensgruppe, die im Namen der Gruppe handelt um den im Dienstleistungsvertrag für Hotelberatung (Hotel Consultancy Services Agreement) festgelegten Auftrag zu erfüllen.
Stellvertreter des Hotel Consultant: Eine Person, die vom Hotel Consultant zu dessen Korrespondenten und einziger Kontaktperson für den Eigentümer ernannt wurde und verantwortlich ist für die Ausführung der im vorliegenden Vertrag festgelegten Dienstleistungen.
Die Auftragnehmer
Alle Personen oder Gesellschaften, die vom Eigentümer beauftragt wurden, die Arbeiten am Projekt zu planen, durchzuführen, zu überwachen, zu überprüfen usw.
Die Anweisungen oder markenübliche Standards der Unternehmensgruppe
Alle Dokumente, die von der Unternehmensgruppe erstellt wurden (Anleitungen, Standarddokumente, Produktreferenzblätter, Zeichnungen, Diagramme und Einzelinformationen, Konstruktionsstandards), die die Anforderungen der Marke an ein Hotel berücksichtigen und die Kriterien für die Durchführung von Projekten für jede einzelne Hausmarke, wie in Anlage IV des Managementvertrags beschrieben, darlegen. Diese Dokumente unterscheiden sich, je nach Marke und Art des Bauprojekts.

Alle Vorschriften, Normen und lokalen Gewohnheiten, die bei der Planung, den Berechnungen und der Ausführung der Arbeiten zur Anwendung kommen. Dies sind immer die Bauvorschriften des jeweiligen Landes, der Region oder des Ortes. Sie gelten zusätzlich zu den Anweisungen der Unternehmensgruppe. Der Eigentümer ist verantwortlich für die Anwendung und Einhaltung dieser Vorschriften.
