Классификация условий договора
1. Conditions: breach always gives innocent party right to terminate contract and claim damages.
Существенные условия договора.
Нарушение таких условий автоматически предоставляет право невиновной стороне расторгнуть договор и требовать погашение убытки.

2. Warranties: breach never gives innocent party right to terminate contract; he can only claim damages

Несущественные условия.
Их нарушение никогда не влечет расторжения договора, но дает право требовать убытки.

3. Innominate term (intermidiate term): innocent party can always claim damages but can only terminate contract if effect of breach is serious enough.

Промежуточная категория условий.
Невиновная сторона всегда может требовать погашение убытков, однако расторжение договора возможно только в случае существенного нарушения такого условия.
