What does this term actually mean " 代表取締役 "? is it "Representational Director" or is it "CEO"?

I have searched it in many places, but still have not a clear understanding of the meaning of the term.
Please help me to understand the term and how to use it.

代表取締役は、取締役会を代表する人間であり、取締役会の構成メンバーが、自分達のメンバーの中から選出します。

一方、CEOは最高経営責任者という意味であり、取締役会がこれを任命します。
しかし、必ずしも、取締役会のメンバーの中から任命する必要はありません。
取締役会が決めた方針に従って、実際の経営を行う最高責任者がCEOです。

Representative Director shall represent the Board of Directors and shall be elected by the members of the Board from among themselves.

CEO, on the other hand, does not necessarily have to be appointed from among board members.

The CEO is the person who carries out actual management according to the policies decided by the Board of Directors.

What's confusing is that a Representative Director, in many cases in Japan, doubles as a CEO (社長).

agree  Lucy Galbraith: I think some confusion arises because this is an official position under Japanese law, the responsibilities of which are sometimes fulfilled by the CEO position in, e.g., America.
