This is related to the "Wiedereinbringung" question I asked yesterday. In another section of the Annual Report, the funds transferred in the capital contribution agreement are described as a "Wiedereinbringung". In this section it's differrent:

X verplichtet sich – zur Verbesserung der Kapitalausstattung der Y - einen Betrag in Höhe von EUR MM im Wege der Aufrechnung mit dem gemäß Beherrschungs- und Gewinnabführungsvertrag für das Geschäftsjahr 2014 an die X abzuführenden Gewinn als Einlage in die freien Kapitalrücklagen der Gesellschaft Y (§ 272 Abs. 2 Nr. 4 HGB) einzubringen.

So here it is an "offset"? as opposed to the "return/add-back"

My attempt:

X undertakes – with the aim of improving Company Y’s capital base – to contribute funds amounting to EUR MM into the free capital reserves of Y by way of an offset of net profits from fiscal 2014 that were transferred to X under the terms of the control and profit and loss transfer agreement (Section 272(2) no. 4 HGB).

Many glossary entries confirm this. The legal term can be used as opposed to 'offset'.

if einbringen is appropriate to the capital reserves > in die freien Kapitalrücklagen der Gesellschaft Y (§ 272 Abs. 2 Nr. 4 HGB) einzubringen > then Wiedereinbringung is a re-appropriation or write-back, rather than the non-technical idea of a 'contribution'.

the reference is to 'Einlage' further down and to maintain capital stock whittled down by tax obligations.

BTW:
X doesn't 'undertake'... instead: X pledges.... is standard contract language
