It means representations and warranties held or possessed by XXX relating to the corporate status and the corporate authroization and eofrceability of the Acquisition Agreement which XXX has the right to perform, authorize and describes the coporate status in the Agreement. I believe in the Agreement there is XXX, who is part of the agreement, and YYY who is the other party of this acquisition agreement. I'm not sure which acquires which, but in this agreement, each party's status, enforceability of one's right, warranties, customary representations are listed clearly to distinguish between the two parties. |
