"Quotation"
the quotation issued by the Company to the Distributor containing prices and special terms for each order for the Products;

The Conditions of Sale shall apply to all sales of the Products to the Distributor pursuant to this Agreement and shall' prevail at all times over any terms and conditions of purchase of the Distributor notwithstanding anything to the contrary therein, except to the extent that the Conditions of Sale are inconsistent with any of the provisions of this Agreement, in which case the latter shall prevail, and unless specifically stated in each individual quotation as special conditions.

The prices for all the Products shall be those set out in the individual Quotation valid up till the given expiry date, and together with any special conditions stated.

If the Distributor fails to pay for any of the Products within the due date as stipulated herein or in the Conditions of Sale or Quotation, the Distributor shall indemnify the Company against any loss and expense incurred or to be incurred by the Company as a result and the Company shall be entitled ....
