"A maximum of xxxxxxxx existing ordinary shares is hereby being offered outside the United States in offshore transactions in reliance upon Regulation S under the U.S. Securities Act of 1933, as amended (the “Securities Act”) by means of (i) private placements to institutional investors (the “Institutional Offering”) and (ii) a public offering in Hungary (the “Public Offering” and, together with the Institutional Offering, the “Offering”). The shares being offered in the Offering are referred to herein as the “Offer Shares”.
"The Offer Shares have not been and will not be registered under the Securities Act and may not be offered, sold or delivered within the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act. There will be no public offering of the Offer Shares in any jurisdiction outside of Hungary. The Offering does not constitute an offer to sell, or a solicitation of an offer to buy, Offer Shares in any jurisdiction in which such offer or solicitation would be unlawful."
