Call Option

If the employment of XXX in the Company is terminated in any manner, the other Members shall have the right, to purchase from XXX all (but not some only) of the shares held by XXX in the Company at the time of exercise of this option (the “Call Option”).


XXX hereby irrevocably agrees to sell to the other Members all the shares (but not some only) held by him in the Company, which for the avoidance of doubt shall be Class A Shares, (the “Called Shares”) pro rata to their participation in the Company on an as converted basis, and free from all claims, changes, liens and encumbrances.
