Explanation:
[a series of Participating Shares] issued in respect of any performance fee-paying Class of one or more Funds of the ICAV, as determined by the Directors from time to time.

"issued in respect of " is only showing the link with "Participating Shares", while the term to translate is:

performance fee-paying class [of funds]

IOW a class of funds where a "performance fee" is part of the cost structure - as it's an actively managed fund (as opposed to a tracker fund that is simply passively following an index) the performance fee is the reward to fund managers for the "performance" of the Fund!

the whole of :
Participating Shares issued in respect of any performance fee-paying Class of one or more Funds of the ICAV
means:

-- Participating Shares = type of shares

-- issued in respect of = qui concernent / qui portent sur ...

-- performance fee-paying Class of one or more Funds = type of funds - these shares are shares in this type of funds

Reality check:

Shares:
you can buy them and (hopefully) you get dividends and you can also resell them and that's about it!

Investment funds:
IF it's an "active/managed" fund, you will be charged a management and possibly a performance fee

IOW "performance fee" on shares = no such thing / the "performance fee" can ONLY concern the investment fund in which you buy shares!

Explanation:

As said in the attachment, performance fees are tied to the NAV (net asset value)

disagree  Daryo: it only says that fees are related to the performance, NOT that the performance is somehow automatically above average // that's how they like to present themselves, but there's no guarantee whatsoever that it will be the case!

-> Only a stronger evidence can dismiss my evidence, dude!

"Class" is defined as "classe d'actions" so Class of one Fund = classe d'actions d'un Fonds.

-> the grammatical analysis of this sentence leaves no doubts - it's about a class of funds + also makes real-life sense // classes of shares are associated with classes of Funds - funds come/exist first

agree  Germaine: Je dirais même toujours utile.
