Explanation:

'on a solvent basis' verwijst naar Solvent Liquidation. Zie bijvoorbeeld:

http://www.wikinvest.com/stock/Virgin_Media_(VMED)/Mergers

"25.8 Mergers

No Obligor shall (...) without the prior written consent of an Instructing Group, amalgamate, consolidate or merge with any other person unless:
(...)
(d) any member of the Bank Group liquidates or dissolves in either case on a solvent basis and, with respect to the Obligors on a basis that is in accordance with the provisions of Clause 25.20 (Solvent Liquidation),
(...)"

Zie bijvoorbeeld:

http://www.mw-w.com/a-guide-to-members-voluntary-liquidation...

"If the company is solvent and can pay all its creditors in full, the liquidation may be a ‘members’ voluntary liquidation'."
