In consideration of our agreeing to make available to you certain information in relation to the Florida company (“**Target**”) with a view to a possible purchase by you of all the shares of such **Target** (the "Transaction"), you hereby unconditionally and irrevocably undertake to us as follows:

In terms of this letter agreement, “Confidential Information” shall mean all written, oral, visual, electronic, or in any other form transmitted, information, (including without limitation, commercial, technical, operational, financial, process or any other information or data of whatever kind and irrespective in which form and on which carrier they may be stored or fixed) relating to the **Target** and its activities, assets, products, customers, suppliers, liabilities and intellectual property rights which may be supplied by us or by our Representatives to you or to your Representatives.
