Código Civil Brasileiro: "Art. 991. Na sociedade em conta de participação, a atividade constitutiva do objeto social é exercida unicamente pelo sócio ostensivo, em seu nome individual e sob sua própria e exclusiva responsabilidade, participando os demais dos resultados correspondentes.
