السند المستحق الوفاء بعلاوة إصدار، وهو السند الذي تصدره الشركة بمبلغ معين يسمى (سعر الإصدار) ، ولكنها تتعهد برد المبلغ في ميعاد الوفاء بسعر أعلى، مضافًا إليه علاوة تسمى (علاوة إصدار) ، فمثلًا تصدر الشركة سهم الإصدار بمبلغ (50) دينارًا، ولكنها توقعه بمبلغ (60) دينارًا أي بعلاوة إصدار قدرها عشرة دنانير
