agree  Hannah Geiger (X): principal must sign Power of Attorney (this fact should be in the text) and attorney in fact can't be "just attorney" as you suggest, IMO

  -> Indeed PoA should be signed. If we're speaking about the very text of PoA, it is attorney-in-fact. In contracts though, I've seen just attorney for the person acting under PoA. Don't want to argue : )

Proxies are agency agreements, the voting member being the principal and the proxy-holder, the agent.

In some ways, the proxy is much like a limited power of attorney in that it empowers the agent to act as if he or she was the principal at the relevant meeting at which the proxy is for. But unlike a power of attorney, the form of a proxy is generally much simpler and does not require, as might a power of attorney in most jurisdictions, onerous form requirements.

  -> Pavel, skôr si myslím, že to platí všeobecne...., 'an absent member' (principal) môže byť všeobecne akákoľvek osoba, ktorá deleguje plnú moc (power of attorney) na splnomocnenca (proxy-holder), vo všeobecnosti sa v dokumentoch uvádza len ako 'proxy'.
