The clause in which the phrase appears is somewhat awkward. I don't understand the relationship between the first and the second sentence. Presumably in this context, the subject of the first sentence is the same as in the second, which renders the clause nonsensical. Unless "to do so" refers to something else (not mentioned in your quote), this is my current reading:

"Where stated to [take effect until the Closing Date], certain provisions of this Agreement do not take effect until the Closing Date."

It sounds to me that the phrase is paradoxical. How can certain provisions take effect and not take effect at the same time? Either poor wording or is there something else that we're not seeing? Can you provide more context? Otherwise, you might want to clarify this with the client.
