2. Return request due to mismatch between delivery and order:

The DEALER requests a Return of goods due to mismatch in delivery and order. The mismatch can occur in the references, quantities or requested delivery address.

In case the delivery matches the order confirmation accepted (implicitly or explicitly) by the customer, the request for Return is denied.

In case of a proven mismatch between order confirmation and delivery, COMPANY will arrange the collection of the goods at the delivery location and the DEALER will be credited for the goods returned, provided that the DEALER supplied COMPANY with all the agreed supported documentation, such as the CMR, the notations on the faulty goods, and provided the conditions in §1 and §3 are met. Any other goods returned by the DEALER to COMPANY will not be eligible for credit or replacement, and will be kept by COMPANY or sent back to the DEALER at the DEALER’s expense.

Explanation:
"(удерживать из) суммы, выставленной по счет-фактуре, сумму своих заявленных издержек (расходов)". Т.е. я так понял, что дилеру присылают счет фактуру, он должен полностью выплатить эту сумму, не удерживая из нее свои какие-то расходы, убытки и т.д.
