In the absence of any standard set expression, is there any reason not to simply say 'right to sell/transfer all shares'?

(Note that 'cession' strictly means transfer, though in practice it usually implies sale. For a belt-and-braces approach, use both.)

Note to asker: you're looking in vain, since there is no standard set expression. if you really must use 'assign' (which I would seriously question), use 'right to assign all shares'.

If this is in fact reference to an assignment clause, then "right to assign all shares" may work, as may "right to total assignment". However, I cannot find a whole ton of "droit de cession totale". In fact, I find "cession totale" usually in the type of situation described here : http://www.dictionnaire-juridique.com/definition/plan-de-ces...

It might be worth bearing in mind that "cession" is not alwyas used to mean assignment. It is also used to mean "sale, transfer", both of which can be more generally rendered by the term "disposal", which is also wide enough to include "assign".

The question is what the term "cession" means here. Is there an "assignment clause"? Or it is more general, and thus perhaps bettere rendered by "disposal"? Perhaps further on in the source text, you have sufficient pointers to clear that up. Perhaps not.
