ТОО имеет разделенный на доли уставный фонд, размер которого определяется уставными документами, и несет ответственность по обязательствам только в пределах своего вклада.

Закон Республики Казахстан от 22.04.1998 N 220-1 «О товариществах с ограниченной и дополнительной ответственностью» регламентирует основной порядок регистрации.

Для государственной регистрации ТОО учредителями должны быть представлены следующие документы:

- заявление о создании товарищества, подписанное лицом, уполномоченным учредителями на создание товарищества;

- устав товарищества (ст. 17 настоящего закона);

- документ, подтверждающий внесение сбора за государственную регистрацию юридического лица.

Если ТОО создается на основе Типового Устава ТОО (п.6 ст.17 настоящего закона), то предоставление устава для регистрации не требуется.
