The Board may amend, alter, suspend, discontinue, or terminate the Phantom Unit Plan or any portion thereof at any time; provided, that any such amendment, alteration, suspension, discontinuance, or termination that would materially and adversely affects the rights of any Participant or other holder of a Phantom Unit Award theretofore granted or issued in a manner disproportionate to the other holders of Phantom Units shall not, to that extent, be effective without the consent of the affected Participant.

Пояснение: Basically, that phantom unit holders must be treated essentially the same. The Board has the power to “amend, alter, suspend, discontinue, or terminate the Phantom Unit Plan or any portion thereof at any time”—a very broad right-- but it can’t diminish the value of a phantom unit that has already been granted to an individual awardee unless it does the same to the other awardees, unless the obtain the agreement of the individual awardee.
