Полагаю, здесь имеется, что т.н. "фантомные опционы" - это чисто мотивационная схема, т.е. получая их, сотрудник компании не становится акционером (т.е. не имеет права на % от прибыли в соответствии с кол-вом имеющихся акций).

Вот одно из объяснений:

"Еще сложнее ситуация с опционными программами, которые разрабатывают непубличные компании. Поскольку их акции нигде не торгуются, они используют «фантомные» опционы. То есть сначала владелец проводит оценку стоимости компании, исходя из которой рассчитывается стоимость выделенной для опциона доли. Затем перед наступлением реализации опционов он снова проводит оценку стоимости бизнеса, и сотрудник получает на руки курсовую разницу причитающихся ему условных акций".
