Witam, mam ogromny problem z przetłumaczeniem powyższego zwrotu. Oto kontekst:

This Contract shall be binding on and shall endure for the benefit of each Party's successors, legal heirs and assigns, and the Parties hereto shall not assign or transfer any of their rights or obligations hereunder without the prior written consent of the other Party, except to any subsidiary or affiliate or legal heirs of such proposing assignor and upon such subsidiary, affiliate or legal heirs undertaking in writing to comply with the provisions of this Contract and the assignor guaranteeing by deed (in a form acceptable to the other Party hereto) under seal the due performance of the assignor's obligations hereunder by the assignee.
