Je cherche la traduction de "controlling ownership" dans le contexte suivant :

"This agreement may be terminated imediately by XXX upon notice to Retailer if there is a change in the controlling ownership of Retailer."

La seule idée qui me vienne à l'esprit est "majorité de contrôle", mais c'est peut-être un peu éloigné...

Il me semble que vous cherchez dans la bonne direction, il s’agit bien d’une « majorité ». La traduction s’avère difficile car il faut tout d’abord remplacer la collocation d’origine par son équivalent synonymique « majority ownership », ce qui nous donne l’expression bien établie - « participation majoritaire ». En fait, aucun élément de la phrase « controlling ownership » ne se traduit pas par son équivalent le plus apparent.

disagree  Germaine: Attention: une participation de contrôle n'est pas nécessairement une participation majoritaire. Un actionnaire peut détenir le contrôle avec 15%, 20% ou 30% des actions; ça n'en fait pas un actionnaire "majoritaire".
