Da bi lice uopšte moglo da vrši funkciju direktora potrebno je da ispunjava određene uslove koji se utvrđuju osnivačkim aktom ili statutom društva. Ukoliko ne bude imenovan za direktora po konkursu, on ima pravo da bude raspoređen na radno mesto koje je ranije obavljao.
