This is my try with two sentences:

"Resolutions of the Board of Directors made using video or telephone conferencing shall be deemed valid, under mutual acknowledgement and provided that no Board Member objects to this procedure and the resources for this are made available. Said resolutions shall be recorded in the minutes of the Board and in the certification of the resolutions adopted to be issued."

As Phil points out, there's the question of the consistency required in this type of text (it's not exactly Wuthering Heights) so the term chosen must be correct. And it's "Resolutions" - the Board obviously takes decisions and may make recommendations, but "los acuerdos sociales" are the "resolutions of the Board", voted and adopted (or not) and are the whole point of calling the meeting in the first place.

If you're not consistent, it looks like resolutions and decisions are two different things.
I think your sentence is a bit muddled, and you should put "shall be deemed valid" at the beginning rather than the end. "Resolutions of the board of directors made using video or telephone conferencing shall be deemed valid if..." Also, the sentence is too long and needs breaking down into two parts.
