Nello specifico, si è ritenuto opportuno prevedere che il Presidente del Consiglio di Amministrazione si avvalga, per la realizzazione operativa del processo di autovalutazione, del personale della Direzione Legale e Affari Societari, ferma restando la partecipazione delle altre strutture della Banca che, di volta in volta, fossero ritenute necessarie.
Per quanto riguarda, invece, il Questionario di Autovalutazione, la struttura prevede una articolazione in tre sezioni:
Autovalutazione del Consigliere, ricondotta alle aree di conoscenza e specializzazione;
Autovalutazione della composizione dell’Organo, ricondotta alla composizione e struttura, dimensioni, consiglieri non esecutivi e consiglieri indipendenti;
Autovalutazione del funzionamento dell’Organo, ricondotta a funzionamento e dinamiche, adeguatezza complessiva, ruolo del Presidente e Comitati.
Infine, per ciò che attiene le tempistiche, una volta approvato da parte del Consiglio di Amministrazione il Regolamento Interno, si procederà entro la fine del mese all’invio dei questionari, che verranno quindi raccolti entro le due settimane successive.
