estoy traduciendo un contrato y veo que "Action" tiene muchísimas traducciones, desde "acción judicial", pasando por "demanda, proceso, litigio, pleito, actuación judicial, trámites jurídicos, diligencias, etc..". En este apartado específico se trata el tema de las indemnizaciones entre comprador y vendedor.

El contexto es:

if the Indemnitor shall control the defense of any such Action, the Indemnitor shall obtain the prior written consent of the Indemnitee before entering into any settlement of an Action or ceasing to defend such Action if:

Por otro lado, en el apartado de definiciones, el texto dice:

“Actions” means any and all claims (including any cross-claim or counterclaim), causes of action, suits, charges, complaints, litigation, demands, arbitration, proceedings (including any civil, criminal, administrative, investigative or appellate proceeding), hearing, inquiries, audits and disputes, whenever or however arising.
