Niby proste, ale czytam ten dokument piąty raz i już zgłupiałam.
Adresatem nakazu sądowego są Dłużnicy. Nakaz dotyczy oszacowania i ustalenia maksymalnej dopuszczalnej (? - allowed) kwoty CLAIMS na potrzeby podziału zgodnie z Planem (co to za plan - nie wiem, bo wniosek, na podstawie którego wydano nakaz, nie poszedł do tłumaczenia). Czytam, czytam, i początkowo pasowało mi roszczenie - firma zbankrutowała, a coś jest winna kilku spółkom, więc one teraz składają roszczenia, żeby im oddano co do nich należy. Ale pod koniec pisma pojawiają się takie akapity:

Na początku jest też taki zapis: "Motion for entry of an order estimating and establishing the maximum Allowed amount of the Disputed claims (...)."

Bardzo chciałabym być mądra na tyle, żeby nie głowić się tyle nad takimi tekstami. Prawnikiem nie jestem i już nigdy nie będę, śpię z dwujęzycznym wydaniem Kodeksu Spółek Handlowych pod poduszką, ale to przecież i tak za mało...
może być, np. wierzyciel zgłasza 100.000 PLN ale dłużnik to zakwestionował i w efekcie uznał 50.000 PLN, bo wierzyciel nie potrafił dostatecznie wykazać całej kwoty - fakturami etc. (polecam polskie prawo upadłościowe i naprawcze - wiele przydatnych zwrotów :)
A to też prawda, nigdzie w całym tekście nie jest napisane kto jest sprawcą tego "allowance".
Wydaje mi się, że tutaj są dwa "allow" - jedno dotyczące maksymalnej dozwolonej przez sąd kwoty wierzytelności (maximum Allowed amount of the Disputed claims), a drugie dotyczące uznania samej wierzytelności.
chodzi o kolokację, z tłumaczenia uznana wierzytelność nie wynika, kto ją uznaje, w efekcie procedura może się zakończyć nakazem zapłaty wydanym przez sąd co do wierzytelności uznanej w postępowaniu upadłościowym (bo inaczej nie nakazu by nie wydano)
Tak przerabiam teraz to moje tłumaczenie i dojechałam do momentu "Wierzytelności oszacowanych" - może po prostu nie wiadomo dokładnie komu i ile spółka w likwidacji jest winna i dlatego ci wierzyciele muszą ładnie udowodnić ile im się należy, a na tej podstawie sąd określi ile mają dostać?

Jeszcze jest coś takiego z Parlamentu Europejskiego:
"W kwestii wkładu kapitałowego, władze belgijskie poinformowały Komisję, iż władze walońskie zgłosiły Sądowi Gospodarczemu w Mons wierzytelność niezabezpieczoną do zaspokojenia z masy upadłości spółki Verlipack Holding II." Więc to chyba faktycznie ta wierzytelność jednak.
Many businesses and individuals want to know what is Chapter 11 bankruptcy and is it right for me or my business? Although less commonly filed in comparison to Chapters 7 and 13, Chapter 11 still far outnumbers the other less common bankruptcy chapters, such as Chapter 9.
Eligibility
Any business or individual may file for Chapter 11 bankruptcy protection. Businesses include anything from a sole proprietorship to a national corporation. Many people are surprised that Chapter 11 is available to individuals as it is most commonly known by the public as a tool for large companies such as Borders Books. However, the bankruptcy code provides for individual eligibility. Chapter 11 is only preferable for an individual when their debt exceeds the limits of Chapter 13, specifically: $360,475 of unsecured debt and $1,081,400 in secured debt.
Once priority claims are paid off, allowed claims are paid next. When unsecured creditors receive a bankruptcy notice they must file a proof of claim with the bankruptcy court. The proof of claim can be accepted or challenged by the debtor. The court decides which claims are to be allowed. In order to get paid, all unsecured creditors need to file proofs of claim within 90 days after the date set for the meeting of creditors. Usually, the Court holds confirmation hearings between 20 and 45 days after the first meeting of creditors. If the debtor wishes to pay an unfilled claim, a claim can be filed for that creditor within 30 days after the deadline for filing the proof of claim.
The bankruptcy plan should account for all secured creditors being paid in full. However, in-full payments need not include long term debts such as mortgage and child support owed to a government agency. The plan should also include partial payment to all unsecured and non-priority creditors.

Zgłoszenie i ustalenie wierzytelności odbywa się w trybie określonym w art. 236-266 Pr. Upadł. Zasadniczo niezbędne jest zgłoszenie wierzytelności. Z urzędu zamieszczane są na liście wierzytelności roszczenia wymienione w art. 236 ust. 2 i art. 237 Pr. Upadł., np. należności pracowników upadłego.
Zgłoszenia wierzytelności dokonuje się na piśmie w dwóch egzemplarzach. W zgłoszeniu wierzytelności należy podać (art. 240- Pr. Upadł.): imię i nazwisko bądź nazwę albo firmę wierzyciela i odpowiednio jego miejsce zamieszkania albo siedzibę; określenie wierzytelności wraz z należnościami ubocznymi oraz wartość wierzytelności niepieniężnej; dowody stwierdzające istnienie wierzytelności; kategorię, do której wierzytelność ma być zaliczona; zabezpieczenie związane z wierzytelnością oraz sumę zabezpieczenia; w razie zgłoszenia wierzytelności, w stosunku do której upadły nie jest dłużnikiem osobistym, przedmiot zabezpieczenia, z którego wierzytelność podlega zaspokojeniu; stan sprawy, jeżeli co do wierzytelności toczy się postępowanie sądowe lub administracyjne.
Do zgłoszenia wierzytelności należy również dołączyć oryginał lub notarialnie poświadczony odpis dokumentu uzasadniającego zgłoszenie.

Listę wierzytelności sporządza syndyk (nadzorca sądowy albo zarządca) i przekazuje ją sędziemu-komisarzowi. O sporządzeniu listy wierzytelności ogłasza się przez obwieszczenie i ogłoszenie w Monitorze Sądowym i Gospodarczym. Można ją przeglądać w sekretariacie sądu.
Następnie w terminie dwóch tygodni wierzyciele oraz upadły mogą zgłosić do sędziego komisarza sprzeciw - co do uznania lub też co do odmowy uznania wierzytelności. Na postanowienie sędziego-komisarza przysługuje zażalenie (art. 255 - 259 Pr. Upadł.).
Zatwierdzenie, prostowanie i uzupełnienie listy wierzytelności przez sędziego komisarza odbywa się w trybie art. 260-266 Pr. Upadł. Jeżeli wierzytelność nie została zgłoszona lub ujawniona w terminie istnieje możliwość umieszczenia tej wierzytelności na uzupełniającej liście wierzytelności (art. 262 Pr. Upadł).
Odmowa uznania wierzytelności nie pozbawia wierzyciela możliwości dochodzenia tej wierzytelności po umorzeniu lub zakończeniu postępowania upadłościowego (art.263 Pr. Upadł). Po zakończeniu lub umorzeniu postępowania upadłościowego wyciąg z zatwierdzonej przez sędziego-komisarza listy wierzytelności, zawierający oznaczenie wierzytelności oraz sumy otrzymanej na jej poczet przez wierzyciela, jest tytułem egzekucyjnym przeciwko upadłemu (art. 264 Pr. Upadł).
Osoba, do której należy mienie podlegające wyłączeniu może żądać wydania tego mienia lub świadczenia wzajemnego z masy upadłości w trybie określonym w art. 70-74 Pr. Upadł., a następnie wnieść do sądu upadłościowego odrębne powództwo o wyłączenie mienia z masy upadłości.
