What ZOK has brought:
"Proto zákon upřesňuje obecná pravidla pro střet zájmů, zákaz konkurence, samoobchodování (self-dealing), vyloučení z výkonu funkce, či povinnost členů orgánů vracet v případě jejich selhání ve vazbě na úpadek získaná plnění, případně ručit věřitelům za dluhy korporace (wrongful trading).

Specificky zákon reaguje na povinnost členů orgánů jednat s péčí řádného hospodáře, když zavádí pravidlo podnikatelského úsudku (business judgement rule). Dává tím jednajícím členům orgánu korporace nástroj na to, aby nenesli negativní následky svých rozhodnutí. Budou-li totiž jednat loajálně, pečlivě (informovaně) a v zájmu korporace, nebude soud následně zkoumat následek jejich jednání, ale právě pouze to, zda jednali řádně (lege artis). Toto pravidlo sleduje motivaci k rozumnému stupni rizikových nebo odvážných obchodních rozhodnutí." § 51 a násl. ZOK

I am now of the opinion that korektiv podnikatelskeho rizika IS business judgment rule. Does anyone agree with this?

it must be referring to the business judgment rule as a mitigating/exculpatory factor in directors' liability. Would that make sense with the 'korektiv' then?

to be pedantic, korektív is actually Slovak (short i in Czech), but the important thing is to determine whether it's directly from the French (= corrective, rider, qualification) http://en.wiktionary.org/wiki/correctif or has been filtered through German and if and how it has changed in meaning. I have been able to translate it as "corrective" before, but I don't think that works here, does it? Sorry, not much help.
