Hello, I am having difficulty finding a suitable English translation for various terms in this document, one of which is certificats de radiation.
Here is the sentence:

"De convention expresse entre les parties et pour garantir le cessionnaire du rapport des mainlevées et ***certificats de radiation*** de tous privilèges, inscriptions ou oppositions ou empêchements, la totalité de ce prix est affecté à titre de gage et nantissement au profit du cessionnaire qui accepte."

The context is the cédant who is selling a business to the cessionnaire who needs to be sure that all of the cédant's creditors have been duly paid before taking over the business. They have therefore agreed to set aside a certain sum (given to an escrow agent for safe-keeping) from the sale price as a guarantee to the cessionnaire that all creditors, outstanding taxes etc. will be paid. The cédant will then recuperate the residue after everyone has been paid.

I am just not sure how this can be expressed in "contract" English. Can anyone help? Many thanks
