Keďže ide o právny termín, ktorý v našom systéme neexistuje (aj keď mám pocit, že niečo podobné tomu druhému právu tam je) treba použiť opis funkcie. Terímn pravdepodobne skutočne pochádza z francúzskeho práva, pretože v súčasnosti ho možno nájsť v kanadských a louissanských právnych predpisoch v súvislosti so zárukami. O čo ide:
