Sto traducendo una procura. La società mandante (inglese) è rappresentata da due suoi funzionari:
1) XX che si firma per primo come "Director"
2) YY, che si firma come "Director and Secretary"
Nel testo della procura non compare alcun altro accenno ai due.

So che "Director" può essere tradotto in parecchi modi, dunque sono andata a vedere su Internet che posizione ricoprono esattamente le due persone in questione, ma mi trovo in difficoltà a rendere il termine considerando che nell'organigramma aziendale vengono così descritti (inserisco tutta la compagine per farvi meglio comprendere l'articolazione dell'azienda):

AA Independent Chairman of the Board
BB Chief Executive Officer, Director

XX ***Chief Financial Officer, Chief of Investor Relations and Executive Vice President ***

CC Chief Human Resource Officer, Senior Vice President
DD Executive Vice President, Chief Technology Officer

Mi trovo in difficoltà soprattutto per XX (definito Chief Financial Officer, Chief of Investor Relations ed Executive Vice President) in quanto per YY potrei forse mettere semplicemente "Consigliere e Segretario".

Asker: Simone, "membro del consiglio di amministrazione" non avrebbe senso nella firma perché, trattandosi di una carica tale che può sottoscrivere (come primo firmatario) la procura per conto della società, non può essere un membro qualunque del consiglio di amm. ma uno la cui qualifica gli conferisce l'autorità per farlo. Quindi, tra le due alternative che suggerisci, propenderei per "Amministratore"
