With respect to the Magazines, expenses include, but are not limited to, those
expenses described in the pro formas of estimated Magazine expenses (for each of the
Magazines) attached hereto as Exhibit F (the "Pro Formas"), and the expenses of:
(a)
acquiring rights in photos, artwork, text and other materials; (b) securing and dispatching
materials related to the production of the Magazines; and (c) maintaining editorial,
production, and marketing quality control on all aspects of the publication of the
Magazines.
The Pro Forma assume that:
(i) the start date for regular publication of the
Magazines shall be determined after all necessary antitrust approvals are obtained, and
shall immediately following the last month’s edition published by xx without
interruption to publication or distribution;
