11.3 i soci che recedono dalla società hanno diritto ad ottenere la liquidazione della partecipazione per la quale esercitano il diritto di recesso; il valore della partecipazione suddetta è determinato con le modalità di cui al quarto comma dell'art. 2437 ter. c.c. tenendo in considerazione il valore contabile degli elementi dell'attivo e del passivo risultanti da un bilancio straordinario riferito ad una data risalente a non più di trenta gg dalla richiesta di recesso, redatto dall'organo amministrativo con le modalità e i criteri di cui agli artt. 2423 e ss. del c.c., corredato dalla nota integrativa, dalla relazione sulla gestione e dal rapporto del collegio sindacale; non sono previsti criteri di rettifica al valore delle voci suddette.
