From a report concerning a lawsuit. This term appears at the very beginning of the document. I thought that voto abusivo was "voting rights" but not so sure now...


Aqui, em caso de voto abusivo, a Lei acionária fala, no § 3º do art. 115, já transcrito, em responsabilidade do acionista pelos danos causados. Já o § 4º do mesmo dispositivo trata da anulabilidade da decisão baseada em voto dado sob conflito de interesses e, também, na responsabilidade do acionista pelos danos e na obrigatoriedade de transferência das vantagens obtidas para a companhia.
