it has not received any notice of attachment over, third party claim, action, suit, litigation, arbitration or other legal proceeding with respect to or affecting, the Account, and, so far as the it is aware, no such attachment, claim, action, suit or proceeding is threatened, and (iii) accordingly, assuming there has been no prior assignment of the rights in the Account which has not been notified to the Account Bank, the Pledge would be first-ranking.
