Notwithstanding anything to the contrary in the foregoing, (A) if required by Applicable Law, subpoena or court order to so disclose any such confidential information, then the disclosing party shall, prior to disclosing such information, notify the ***proprietary party*** of such requirement and the disclosing party shall, at the request of the proprietary party, cooperate with the proprietary party, at the proprietary party’s expense, to enjoin, stay or limit such disclosure, (B) that no notice shall be required in connection with an audit of Borrower or Owner Participant, or their respective Affiliates in the Ordinary Course of Business and (C) with respect to disclosures permitted in clauses (iv), (vi) and (vii) above, the disclosing party shall inform the Person receiving such information of the confidential nature of such information and that by receiving such information such Person is agreeing to maintain the confidentiality of such information in accordance with the terms hereof.

Такое определение дал российский законодатель:
"обладатель информации, составляющей коммерческую тайну, - лицо, которое владеет информацией, составляющей коммерческую тайну, на законном основании, ограничило доступ к этой информации и установило в отношении ее режим коммерческой тайны" N 98-ФЗ
"обладатель информации - лицо, самостоятельно создавшее информацию либо получившее на основании закона или договора право разрешать или ограничивать доступ к информации, определяемой по каким-либо признакам" N 149-ФЗ
А вообще интересное использование термина disclosing party, мне оно чаще встречалось как раз по отношению к обладателю информации ("раскрывающая сторона").
