To make the agreement opposable for all persons who have not participated in its conclusion (third parties) and to ensure protection of their rights or interests, Law 31 contains provisions regarding the obligation to fulfill certain formalities of publicity.Thus, the Law 31 provides in article 203, para.
1 as "transfer of shares must be registered in Trade Registry and in shareholders register of the company".
According to article 198, para 1 of Law 31, the shareholders registry, which will register the transfer of shares, and can be verified by shareholders and creditors, should be kept under managers care.

"I'm still struggling a bit with the definition of "opposable" in this legal context. The meaning is becoming clear to me as I read the different threads - particularly on the "droit opposable au logement - which touch on this, but I think it would help if the site dictionary gave something more than the English word "opposable" (which apparently means:
"op·pos·a·ble
adj. 1. Possible to oppose or resist.
2. That can be placed opposite something else: The thumb is an opposable digit. "

I think this quotation shows that the English term does not have a distinct legal meaning in itself (though you could use it, with sense 1 above, in a phrase like "opposable in a court of law"), in the way that the French term does. From my reading of the various threads, the French term seems to mean "legally binding" (though the thread which discussed this concluded that there was a better way to expess that phrase) or - though no-one else has suggested this as far as I can see - "legally enforceable". This last phrase seems to me the best answer to all the issues raised in the threads. "Enforceable" seems preferable to "binding" to meet the cases where a natural right (like to shelter) may not be binding in law, but could be enforced in a tribunal which could consider particular cases. "
