"El accionista de Clase A tendrá derecho de preferencia para la adquisición de la totalidad de las acciones de Clase B ofrecidas en venta por un accionista de Clase B, según se establece en este Artículo (salvo en el caso de venta o transferencia a una entidad que sea, directa o indirectamente, de propiedad exclusiva (salvo por participaciones minoritarias de oferta pública) de la casa matriz en última instancia del accionista vendedor."

Entiendo la frase muy bien hasta "en última instancia del accionista vendedor". ¿A qué se refiere? Le he dado vueltas y vueltas pero no consigo enlazarlo con el resto.
En realidad, no pido que me lo traduzcáis al ruso, sería bastante con que me ayudárais a comprender qué se quiere decir con las últimas palabras.

Через английский переводить: ultimate parent company, а это точно оно, то вот такое название получается, хотя "материнский" мне не очень, но именно так написано вот, например, здесь: http://slovarist.ru/index.php?a=term&d=1&t=10169

то есть, здесь en última instancia относится не к accionista vendedor, а к casa matriz. И это (casa motriz de última instancia) похоже на устойчивое понятие.

disagree  Anna Islamova: se refiere a que el accionista del tipo A es el que puede comprar las acciones del tipo B únicamente, eso es la última instancia. El accionista es el último que determina si le interesa comprar - por tener el dcho preferente.
